AN ORDINANCE TO AMEND THE INTOXICATING LIQUORS (MANUFACTURE AND BAUE) ORDINANCE.

BE IT ENACTED by the High Commissioner for Palestine, with the advice of the Advisory Council thereof : —

1. This Ordinance may be cited as the Intoxicating Liquors Short title. (Manufacture and Sale) (Amendment) Ordinance (No. 2), 1937, and shall be read as one with the Intoxicating Liquors (Manufac­ Cap. 71. ture and Sale) Ordinance, hereinafter referred to as the principal Ordinance. 2. Section 3 of the principal Ordinance shall be amended by Amendment the addition of the following proviso thereto :— of section 3 of the "Provided that where any licensed manufacturing whole­ principal Ordinance. sale pharmaceutical chemist or druggist proves to the satisfac­ tion of the Director that any alcohol upon which excise duty has been paid has been delivered to him and used by him solely in the manufacture or preparation of any article certi­ fied by the Director of Medical Services as being used for medical purposes, he shall, subject to his having complied with such rules as may be prescribed for the purpose under this Ordinance, be entitled to obtain repayment• of such excise duty, less ten per centum".

OBJECTS AND REASONS.

This Ordinance amends the Intoxicating Liquors (Manufacture 71־ •and Sale) Ordinance so as to provide for the refund to licensed CaP wholesale chemists and druggists of excise duty on alcohol used by them for medical purposes, subject to their compliance with the provisions of such rules as may be prescribed.

'AN ORDINANCE TO AMEND THE BANKING ORDINANCE, AND TO MAKE FURTHER PROVISIONS RELATING TO BANKING BUSINESS IN PALESTINE.

BE IT ENACTED by the High Commissioner for Palestine, with the advice of the Advisory Council thereof :—

Short title. 1. This Ordinance may be cited as the Banking (Amendment and Further Provisions) Ordinance, .1937, and this Ordinance and No. 9 of 1936, the Banking (Amendment and Further Provisions) Ordinance, Cap. 8. 1936, shall be read as one with the Banking Ordinance, herein• after referred to as the principal Ordinance.

Substitution 2. Section 3 of ilie principal Ordinance, as amended in section of now 2 of the Banking (Amendment) Ordinance, 1935, shall be repealed section in and the following section substituted therefor : — place of section 3 of "3.—(1) No banking business shall be transacted in Palestine the principal Ordinance. except by a company registered under the provisions of — (a) the Registration of Companies and Partnerships Ordi• nance, 1919, published in the Gazette dated the first day of August, 1919, or (b) the Companies Ordinance, 1921, or any Ordinance subst ituted tberefor. (2) The incorporation of a company which has as its object or one of its objects the carrying on of banking business shall not be authorised unless its authorised capital is not less than fifty thousand pounds. (3) The Registrar of Companies shall not certify that any com• pany which lias as its object or one of its objects the carrying on of banking business is cutitiled to carry on business in accordance Cap. 22. with the provisions of section 92 of the Companies Ordinance, unless — (a) if its authorised capital is fifty thousand pounds the same has been subscribed and not less than twenty-five thousand pounds has been paid-up in cash, or (b) if its authorised capital is more than fifty thousand pounds at least fifty thousand pounds has been subscribed and not less than twenty-five thousand pounds has been paid-up in cash.

(4) No foreign company within the meaning of the Companies Ordinance, which has as its object or one of its objects the carrying on of banking business shall be registered unless it is proved to the satisfaction of the High Commissioner that it has a paid-up capital of a sum which in his opinion is equivalent to an amount being not less than one hundred thousand pounds.

(5) The High Commissioner may in his absolute discretion vary the requirements of sub-sections (2), (3) or (4) of this section 24th June, 1937 CHE PALESTINE GAZETTE

in respect of any company when he considers it to be in the interests of the public so to do :

Provided that where the High Commissioner has reduced the requirements as to capital prescribed in sub-sections (2), (3) or (4) hereof, the company in favour of which such variation has been made shall not open a branch office except under special licence of the High Commissioner."

3. Section 4 of the principal Ordinance shall be deleted and the Substitution following section substituted therefor :— of new section in "4.—(1) Every company carrying on banking business in Pal• place of section 4 of- estine shall— the principal (a) exhibit throughout the year in a conspicuous position Ordinance. in every office and branch of the company in Palestine a copy of its last audited balance sheet; (b) on or about the date of the presentation of such bal• ance sheet to the shareholders in general meeting, cause a copy thereof to be published in a daily newspaper cir• culating in Palestine.

(2) Any company to which this section shall apply which fails to comply with the requirements thereof shall be liable on convic• tion to a fine not exceeding one hundred pounds."

4. —(1) Any company lawfully carrying on banking business in Provisions Palestine at the date of this Ordinance, which has not on that relating to banks carrying date a subscribed capital of fifty thousand pounds, of which not on business less than twentv-five thousand pounds has been paid-up in cash at the comrnenei shall — ment of this Ordinance. (2) The provisions of section 5 of this Ordinance shall apply to any company not complying with the requirements of this section. 5. —(1) The High Commissioner may, after consulting with the Provisions relating to Advisory Committee and the Examiner of Banks, and if he con• banks which siders it to be in the public interest so to do, order any company— do not fulfil (a) to delete from the name under which it is carrying on requirements business, within a period of seven days from the date of regarding minimum such order, the word 'bank' or any of its derivatives, or capital, any other word or words forming part of its name; etc. (6) to refrain from receiving from the public money with• drawable by cheque or order : Provided that before such order is made, the High Commis• sioner shall give such company notice in writing of his intention so to do and shall afford it an opportunity of being heard in op• position thereto. (2) Any company failing to comply with an order made under this section shall be liable to a fine not exceeding ten pounds for every day during which default continues.

continue to use the word 'bank' or any of its derivatives in the name under which he is carrying on business.

(2) Any person or body of persons whether incorporated or un• incorporated, other than a company authorised by virtue of sec• tion 3 of the principal Ordinance as enacted in section 2 of this Ordinance to carry on banking business within the meaning of this Ordinance, who is using the word 'bank' or any of its derivatives in the name under which he is carrying on business shall within one calendar month from the date of enactment of this Ordinance, apply to the High Commissioner for authorisation so to do, or within that period, delete such word from the title under which he is carrying on business.

(3) The High Commissioner may, in his absolute discretion, either grant or refuse such application. (!) Where such application lias been refused, the applicant shall within a period of seven days from the date of such refusal, delete the word 'bank' or any of its derivatives from the title under which he is carrying on business.

(5) Any person or body of persons whether incorporated or un• incorporated who acts in contravention of the provisions of this sec• tion shall be liable to a fine not exceeding ten pounds for every day during which the offence continues.

Constitution 7. —(1) The High Commissioner may appoint an Advisory Com• of Advisory mittee consisting of such persons and appointed on such terms as Com mittee. he may think fit• to advise him on matters relating to banking business and he may at any time determine any appointment so made.

(2) The High Commissioner may make rules providing for the procedure to be followed at any meeting held by the Committee to be constituted under this section.

Individuals 8. —(1) Without prejudice to anything contained in section 73 not eligible of the Companies Ordinance, no person — to take part in management (a) who lias been a director of, or directly or indirectly con• of banks. cerned in the management of, a bank which has been wound up by a Court, or (b) who has been sentenced by a Court of "Law to a term of imprisonment, of one year or upwards or if so sentenced has not received a full pardon for the offence for which he was sentenced, shall, without the express authorisation of the High Commissioner, act or continue to act as a! director of, or be directly or indirectly concerned in the management of, any company carrying on bank• ing business within the meaning of this Ordinance.

(2) Any person acting in contravention of sub-section (1) of this section shall be liable on conviction to imprisonment for a term not exceeding two years or to a fine not exceeding five hundred pounds, or to both such penalties.

Annual foe 9. —(1) Every company carrying on banking business in accord• payable by ance with the provisions of this Ordinance shall as from the second banks. day of January, 1938, pay to the Treasurer an annual fee of one hundred pounds, which shall be payable upon the second day of each calendar year. (2) Any company which carries on banking business after the second day of January, '1938, without having paid the annual fee required under this section shall, in addition to any other prescribed penalty, be liable to a penalty not exceeding ten pounds for each day during which such fee remains unpaid, and every director, •24th June. 1987 Til I•: PALESTINE GAZETTE 629

manager, secretary or other officer of the company who knowingly and wilfully authorises or permits such non-payment shall be liable to a •like penalty. 10. Section 2 of the principal Ordinance shall be amended by— Amendment, of section (a) the addition of the following words to the definition of 2 of the 'bank' principal "but shall not include a registered cooperative society". Ordinance. (6) the deletion of the following words in the definition of 'company' "or a cooperative society which under section 3(1) is deem• ed to be a bank so registered". 11. Section 6 of the principal Ordinance shall be deleted and the Substitution following substituted therefor : — of new section in "6. 12. Notwithstanding anything contained in the Mortgage Holding of Law (Amendment) Ordinance, the making by a District Court of land by banks. an order vesting in any company carrying on banking business any Cap. 95. immovable property which had been mortgaged to such company as security for any debt shall not be deemed to discharge the mortgagor from all further liability in respect of such debt.

13. Any person who, being a director of a, company carrying on General penalty. banking business, (a) fails to take all reasonable steps to secure compliance by the company with the requirements of the principal Ordin• ance, or the Banking (Amendment and Further Provisions) Ordinance, 1936, or this Ordinance, or (I)) fails to take all reasonable steps to ensure the correctness of any statement submitted under the provisions of the principal Ordinance or the Banking (Amendment and Fur• ther Provisions) Ordinance, 1936, or this Ordinance, shall in respect of each offence be liable on conviction to.imprison• ment for a term not exceeding two years or to a fine not exceeding three hundred pounds or to both such penalties.

OBJECTS AND REASONS.

The object of this Bill is to tighten up the conditions under which banking opera• tions may be conducted in Palestine.

It is' provided that a company shall not, engage in the business of banking unless it has an authorised capital of LP.50,000 of which LP.25,000 must be paid-up in cash. Foreign companies can only operate if they have as paid-up capital a sum which the High Commissioner is satisfied is equivalent to LP. 100,000.

Power is given to the High Commissioner to reduce those amounts in certain circumstances. 630 24th June, 1937

Companies already established are given a time limit within which to make the necessary financial adjustments. Provision is also made for the constitution of an Advisory Committee to advise on banking matters. After consultation with 'the Advisory Committee and the Examiner of .Banks, the High Commissioner may issue orders restricting the activities of any company.

Clause 12 of the Bill modifies a provision of Palestine land legislation which is considered to be detrimental to banks taking deeds as security for advances.
