Corporate Governance: The New Horizon 9 PRESIDENT PROFILE

Mr David Fu FCIS FCS(PE) President The Hong Kong Institute of Chartered Secretaries

Mr David Fu is currently the President of The Hong Kong Institute of Chartered Secretaries (HKICS).

Mr Fu joined the Swire group as a Group Management Trainee in 1988 and has worked with the group in Hong Kong and Beijing. He is responsible for the full spectrum of the group’s company secretarial functions, and has been Company Secretary of Swire Pacific Limited, Cathay Pacific Airways Limited and Hong Kong Aircraft Engineering Company Limited since January 2006 and of Swire Properties Limited since February 2010.

Mr Fu has been a member of the Takeovers and Mergers Panel and the Takeovers Appeal Committee of the Securities and Futures Commission since April 2015. He has been a member of the Standing Committee on Company Law Reform since February 2017.

Mr Fu graduated from the University of Oxford in 1988 with a Bachelor of Arts degree in Engineering, Economics and Management and obtained a Master of Arts degree from the University of Oxford in 1991. He also holds a Postgraduate Diploma in Corporate Administration from the City University of Hong Kong.

Mr Fu was admitted as a Fellow of HKICS and ICSA in 2012. He was elected as a Council member of HKICS in 2014 and as the President for 2018. He served on the Institute’s Education Committee as a member from 2014 to 2015 and as the Chairman from 2016 to 2017. He has been the Honorary Secretary of The Oxford and Cambridge Society of Hong Kong since 1999.

The Honourable Mr James Lau JP Secretary for Financial Services and the Treasury The Government of the HKSAR

Mr James Lau was appointed the Secretary for Financial Services and the Treasury on 1 July 2017.

Mr Lau joined the Hong Kong Government as an Administrative Officer (AO) in 1979 and was promoted through the ranks to AO Staff Grade C in April 1988. He joined the Hong Kong Monetary Authority (HKMA) in April 1993 and was the Head and Executive Director of various divisions of the HKMA until 2004.

In July 2004, Mr Lau was seconded to the Hong Kong Mortgage Corporation as Chief Executive Officer until he retired in December 2012. Mr Lau was appointed Under Secretary for Financial Services and the Treasury in January 2014.

Mr Lau holds a Bachelor of Mathematics (Computer Science and Statistics) Honours Degree and a Master of Mathematics Degree in Computer Science from the University of Waterloo, Canada.

Professor Mervyn King Chairman International Integrated Reporting Council

Professor Mervyn King is a Senior Counsel and former Judge of the Supreme Court of South Africa. He is Professor Extraordinaire at the University of South Africa on Corporate Citizenship, Honorary Professor at the Universities of Pretoria and Cape Town and a Visiting Professor at Rhodes.

Professor King has an honorary Doctorate of Laws from the Universities of the Witwatersrand in South Africa and Leeds in the UK, an honorary Doctorate from Deakin University, Melbourne, and a honorary Doctorate in Commerce from Stellenbosch University in South Africa, is Chairman of the King Committee on Corporate Governance in South Africa, which produced King I, II, III and IV, and Chairman of the Good Law Foundation.

Professor King is Chairman of the International Integrated Reporting Council (IIRC) in London, Chairman Emeritus of the Global Reporting Initiative in Amsterdam and a member of the Private Sector Advisory Group to the World Bank on Corporate Governance. He chaired the United Nations Committee on Governance and Oversight and was President of the Advertising Standards Authority for 15 years and a member of the ICC Court of Arbitration in Paris for seven years.

Professor King is chairman of the African Integrated Reporting Council and chairman of the Integrated Reporting Committee of South Africa.

Professor King recently received the ICGN Lifetime Achievement Award for promoting quality corporate governance globally. He is a fellow of the Royal Society of Arts and Commerce, honorary fellow of the Institute of Chartered Accountants of England and Wales; of the Institute of Internal Auditors of the UK; of the Chartered Institute of Management Accountants; of the Certified Public Accountants of Australia; of the Chartered Institute of Public Relations of the UK and a Chartered Director of South Africa.

Professor King has been a chairman, director and chief executive of several companies listed on the London, Luxembourg and Johannesburg Stock Exchanges. He has consulted, advised and spoken on legal, business, advertising, sustainability and corporate governance issues in over 60 countries and has received many awards from international bodies around the world including the World Federation of Stock Exchanges and the International Federation of Accountants.

Professor King is the author of four books on governance, sustainability and reporting, the latest being ‘The Chief Value Officer’.

Professor King sits as an arbitrator and mediator internationally.

Mr Peter Greenwood MA FCIS FCS

Mr Peter Greenwood holds a Master of Arts degree in law from the University of Cambridge and a diploma in German law and legal system from the University of Tuebingen and the Justice Ministry of North Rhine-Westphalia. In 2006, he completed full-time study for a Master of Arts degree in War Studies from King’s College, London University. He is a solicitor in England and Wales and in Hong Kong, as well as being qualified as an avocat in France.

Mr Greenwood was admitted as a Fellow of The Institute of Chartered Secretaries and Administrators (ICSA) and The Hong Kong Institute of Chartered Secretaries (HKICS) in 2001. He is currently a representative of HKICS on the International Council of ICSA. He has served on different committees and panels of HKICS. From 1997 to 2005, he was a member of the Company Secretaries Panel of HKICS. He served on the Technical Committee as a consultant in 2001 and as a member in 2002 and 2003, and on the Appeal Tribunal as a member from 2005 to 2007 and as the Chairman from 2008 to 2013. Mr Greenwood was the Chairman of the Advisory Board from 2012 to 2014. Also, he has been serving on the Technical Consultation Panel as a member since 2006. He has been the Chairman of HKICS’s biennial Corporate Governance Conference for many years.

Mr Greenwood served on the HKSAR Government’s Standing Commission on Company Law Reform and the ’s Listing Committee. He is the Co-Chairman and lead international resource on the corporate governance training programmes of the Standing Committee of Public Enterprises in India.

From 2007 to 2013 Mr Greenwood was the Group Executive Director – Strategy of CLP Holdings, one of the largest investor-owned companies in the Asian power sector, reporting to the Chief Executive Officer. His principal focus was to work on matters of a strategic nature impacting the overall direction of the CLP Group. He was also responsible for the oversight of CLP Group’s corporate secretarial and legal affairs. Prior to stepping down in 2005, Mr Greenwood was an Executive Director (since 2001), the Company Secretary and Corporate Counsel (since 1996) of CLP Holdings. He retired in May 2013.

Before joining the CLP Group in 1995, Mr Greenwood was a Senior Commercial Lawyer with the Provisional Airport Authority, Hong Kong, and prior to that was in private practice as a solicitor with leading corporate law firms in London, Hamburg, Hong Kong and Paris.

Professor C K Low FCIS FCS Associate Professor in Corporate Law CUHK Business School

Professor Chee Keong Low is an Associate Professor in Corporate Law at CUHK Business School with research interests in issues pertaining to corporate governance and the regulatory framework of capital markets. His research, which has been published in journals in Australasia, Europe and the United States of America, is supported by private sector grants from Sino Group and Tricor Services.

An Advocate and Solicitor of the High Court of Malaya, Professor Low is a member of the Process Review Panel of the Financial Reporting Council in Hong Kong and of the Executive Committee of the Asia-Pacific Structured Finance Association. He was previously a member of the Listing Committee of The Stock Exchange of Hong Kong from May 2006 to July 2010; the Financial Reporting Review Panel from July 2007 to July 2013; as well as of the Securities and Futures Appeals Tribunal from April 2011 to March 2017. In addition, he served as a Director of the Asian Institute of Finance in Malaysia for three years through April 2012.

Mrs April Chan FCIS FCS Past President and Chairman of Technical Consultation Panel, HKICS Inaugural President, CSIA

Mrs April Chan FCIS FCS is the former Company Secretary of CLP Holdings Limited. She has extensive experience and expertise in company secretarial practice and was instrumental in developing and implementing the framework of corporate governance in CLP. She was named Asian Company Secretary of the Year in 2013 by Corporate Governance Asia and is a frequent presenter on corporate governance in Hong Kong and overseas. Before joining CLP, she has worked in professional firms and academic institutions in Hong Kong and Australia.

Mrs Chan is a Fellow of The Institute of Chartered Secretaries & Administrators in England and a Fellow of The Hong Kong Institute of Chartered Secretaries (HKICS). She was educated in Hong Kong and completed the Senior Executives Course at Tsinghua University, Beijing in 1997, the Leadership in the Public Sector Programme run by the HKSAR Government in 2000, and the Program for Management Development at the Harvard Business School, USA in 2001.

Mrs Chan was the inaugural President of Corporate Secretaries International Association (CSIA) and a Past President of HKICS, Past Chairman of HKICS’ Company Secretaries Panel and a Past Member of the Citizens Advisory Committee on Community Relations of the Independent Commission Against Corruption in Hong Kong. Mrs Chan is currently the Chairman of HKICS’ Technical Consultation Panel, Appeal Tribunal and Public Governance Interest Group, a member of HKICS’ Nomination Committee, the Hon Secretary of The Hong Kong Breast Cancer Foundation and the Hon Secretary of The Hong Kong Women Professionals & Entrepreneurs Association Limited.

Ms Julia Leung SBS Deputy Chief Executive Officer and Executive Director, Intermediaries Securities and Futures Commission

Ms Leung is a member of the Securities and Futures Commission (SFC). She is the Deputy Chief Executive Officer and an Executive Director with responsibility for the Intermediaries Division, which comprises the Intermediaries Supervision and Licensing departments. That Division is primarily responsible for administering licensing requirements and conducting ongoing supervision of licensed corporations with a focus on their business conduct and financial soundness. Ms Leung was Executive Director responsible for the Investment Products Division from March 2015 to mid-June 2016.

Prior to joining the SFC, Ms Leung was the Under Secretary for Financial Services and the Treasury from August 2008 to December 2013. Before that, she worked with the Hong Kong Monetary Authority (HKMA) for 14 years, spending the last eight years as the Executive Director responsible for establishing offshore renminbi business development, financial cooperation with Mainland and other international regulators.

Professor Frederick Ma was born and educated in Hong Kong. He graduated with a Bachelor of Arts (Honours) degree from the University of Hong Kong in 1973 majoring in economics and history. Ms Pru Bennett Managing Director, Blackrock & Head, BlackRock Investment Stewardship Team

Ms Pru Bennett is a Managing Director at BlackRock and is Head of BlackRock’s Investment Stewardship team for the Asia Pacific Region based in Hong Kong. In that role Pru leads a team that is responsible for engagement and proxy voting activities in relation to the companies in which BlackRock invests on behalf of clients. Pru’s team is located in Hong Kong and Tokyo.

Ms Bennett is an active participant in the public debate on corporate governance, stewardship and responsible investment and as such regularly speaks and writes on the importance of these issues for company performance and investment decisions. In 2013, she was named as one of Australia’s top 10 Women of Influence in Corporate Governance. she represents BlackRock on a number of industry and regulatory bodies including ESG Working Group of the Australian Financial Services Council and the Public Shareholder Group of Hong Kong’s Securities and Futures Commission.

Ms Ng is an associate member of The Hong Kong Institute of Chartered Secretaries (HKICS) and The Institute of Chartered Secretaries & Administrators. She was educated in Hong Kong and completed the 2012-2013 Acceleration Management Talent Consortium Executive Program at Richard Ivey School of Business as well as the Applied Leadership Program organised by the International Institute for Management Development (IMD), Switzerland in 2014.

Ms Ng is currently a member of the Education Committee and the Public Governance Interest Group of HKICS as well as the HKICS representative on Young Coalition Professional Group of Hong Kong Coalition of Professional Services.

The Hong Kong Institute of Chartered Secretaries (HKICS) is an independent professional body dedicated to the promotion of its members’ role in the formulation and effective implementation of good governance policies as well as the development of the profession of Chartered Secretary in Hong Kong and throughout Mainland China.

HKICS was first established in 1949 as an association of Hong Kong members of The Institute of Chartered Secretaries and Administrators (ICSA) of London. It was a branch of ICSA in 1990 before gaining local status in 1994 and has also been ICSA’s China/Hong Kong Division since 2005.

HKICS is a founder member of Corporate Secretaries International Association (CSIA) which was established in March 2010 in Geneva, Switzerland. In 2017, CSIA was relocated to Hong Kong in which it operates as a company limited by guarantee. CSIA aims to give a global voice for corporate secretaries and governance professionals.
