Directory 2020 rev1.indd 3 4/27/20 1:08 PM What is the GLA? Mission: Since 1935, the Geneva Lake Association (GLA) has served as a guardian of Geneva Lake and its surrounding area. GLA advances its mission of conservation, preservation, environmental integrity and general welfare of Geneva Lake with timely and issue-centered communications and education through a wide membership base of area residents and local businesses. See page 69 for the GLA By-Laws. GLA services and benefits include: • Attentive monitoring of Geneva lake area issues and concerns through the GLA Execu- tive Secretary and its 27 member Board of Directors; • Annual publication of the GLA Directory of residents and pier numbers distributed to nearly 600 member families and businesses; • Annual updating of the GLA established pier numbering system as a cross reference guide (pier numbers to street address) to enhance lake safety and for emergency use by the Water Safety Patrol, police, ambulance, and fire departments around the lake; • Periodic distribution to members and friends of the GLA produced newsletter, the Geneva Lake Guardian. Background: During its 84 year history, the GLA has grown to a broad membership of residents and businesses representing every village, association, inlet, bay and shore path around Geneva Lake. Residents on and off the lake look to the GLA as the lake-wide organization in place to be attentive and pro-active with an emphasis on communications and education. The size of the area and the wide, varied interests of its growing population require that the GLA Board include 27 Directors from all corners of the lake. This group, plus several retired (honorary) Directors, the GLA officers and its Executive Secretary form the governing structure of the GLA. The GLA’s foundation is its membership base. It is the only organization of its kind around the lake with dues-paying members as its financial support. All contributions are tax deductible as the GLA is a 501(c)(3) tax exempt organization under IRS and State regulations. While it is virtually a volunteer run group, the GLA carries out its responsibilities with a paid part-time Executive Secretary working within an operating budget to provide services and bene- fits to a growing membership of nearly 600 families and businesses. The GLA will continue to serve and support the interests of the wider Geneva Lake commu- nity through coordinated relationships with other lake-serving groups whose missions are com- patible, such as the Geneva Lake Water Safety Patrol, the Geneva Lake Environmental Agency, the Kishwauketoe Conservancy, the Geneva Lake Conservancy, the Geneva Lake Level Corporation, and the GLA affiliated Environmental Education Foundation. What has GLA done for me lately? The following are a few good examples of GLA participation through communication and education in events of significant importance to Geneva Lake over the years: • Taking the lead in preventing commercial use of the lake shore path; • Revising and codifying the rules and signage for the lake shore path among selected property owners and, in the future, the municipalities; • Securing funding for a Fire Boat for Linn Township to provide additional support to all area Fire Departments; • Supporting the efforts of the Geneva Lake Level Corporation to maintain the lake’s water level; • Early attention to forming a close relationship with the DNR in Madison to gain critical 4

Directory 2020 rev1.indd 4 4/27/20 1:08 PM support in stocking populations of a wide variety of fish in our lake on a regular basis; • Helping to prevent the Northwestern Military Academy property from becoming a dense multi-family development with hundreds of units. • Aggressive lake community response to the emergency need for rebuilding the Lake Geneva City Dam controlling the water level of the entire lake; • Participating in the successful lake-wide initiative to stop the serious development effort of turning the property into a large scale lake front hotel/spa complex with potential environmental and land/lake conservation damage resulting; • The ongoing 45-year affiliation with its sister organization, the Environmental Edu- cation Foundation, as it provides scholarships and grants to lake area students for environmental-centered studies and experiences. • Providing an annual forum each summer for members to hear from local leaders on current issues related to property trends, water quality, boating safety and area-wide conservation efforts, among other topics. Annual Meeting: GLA ANNUAL MEETING Minutes Saturday, August 10, 2019 Lake Geneva Country Club Lake Geneva, 9:30 a.m. WELCOME — President Goggin called the meeting to order at 9:36 a.m. and thanked the attendees for their support. He welcomed invited speakers, members, and guests, and specially welcomed Mark Lillie who will take over as President. Goggin reminded the membership of the Mission of the GLA, and was pleased to have been involved with a donor membership which would rise to the occasion to fund a fireboat at $440,000 within a few short months and accomplish additional services to the lake community. Goggin thanked Dianna Colman for taking the reins of the fireboat project and now the Yerkes Future Foundation. MINUTES FROM THE ANNUAL MEETING, AUG. 4, 2018 — A motion to approve the minutes as published was passed (Taylor/Otzen). TREASURER’S REPORT was deferred to the Board of Directors’ Meeting. NOMINATING COMMITTEE REPORTS — Nominating Committee nominated the following, which were approved unanimously: EEF Directors for three-year terms ending in 2022: Karin Bennett (1st term), Mike Hinske (2nd term), Mary King (2nd term), and Chuck Palma (1st term). GLA Directors with three-year terms to expire in 2022: Brigid Cashman; Brian Griffith; James W. McAvoy; Robert T. Morava, Jr.; Thomas Nickols, Dana Hagenah, Robin Randolph, Karl Otzen, and William B. Duncan. Retiring EEF board members Barbara Kelly, Harold Friestad, and Past President Chuck Ebeling were thanked for their dedicated service. EEF Officers are Carl Rathmann, President; William Duncan, Vice President; Mike Hinske, Vice President; and James Smith, Secretary/Treasurer as elected by the EEF Board. At the following meeting of the GLA Board of Directors, the following officers will be nominated: Mark Lillie, President; Lynn Grayson, Vice President; Robin Randolph, Treasurer; Robert T. Morava, Jr., Secretary; and James Smith, Executive Secretary. Jack Goggin was thanked for his many years of service on the board including his five years as President.

The mission of the EEF is to award educational scholarships and grants to area students and schools for environmental-centered studies and to pro- mote environmental awareness to all ages of the Geneva Lake area. See page 63 for the EEF By-Laws. The Environmental Education Foundation (EEF) was founded in1980 as an affiliate of the Geneva Lake Association. Mr. Thomas E. Reynolds, Sr. and Mr. Fillmore W. Galaty, both past presidents of the Geneva Lake Association, recognized an opportunity to promote environmental education by offering scholarships and environmental experiences to Geneva Lake area youth. Their dedication to area youth and environmental awareness led to the formation of the Environmental Education Foundation. The EEF is an independent, tax exempt 501(c) (3) affiliate of the Geneva Lake Association. During its 40-year history, the EEF has awarded nearly $600,0000 in college scholarships, and camping and outdoor education grants benefiting over 500 area students and schools, from 5th grade through graduate school. Nearly $50,000 is awarded annually to students in a variety of age groups and educational levels. Included in this amount is the Environmental Education Foundation Thom- as E. Reynolds (TER) Endowment Fund, which annually contributes $12,000 in the form of a four-year scholarship to a qualified local graduating senior interested in pursuing a degree in the environmental science field. Past scholarship recipients include students from Badger High School, Big Foot High School, Williams Bay High School, and Faith Christian High School. Funding for environmen- tal activities such as Outdoor Education grants are awarded to local elementary and middle school students. In 2019 the EEF launched an effort to fund local environmental research and educational studies pertaining to the Geneva lake area. One such study was of the creek flowing into Geneva Lake at Buttons Bay. High school students performed research under the auspices of the Geneva Lake Environmental Agency. EEF also funded the first phase of the Lakeshore Environmental and Night Sky Sensor project (LENSS) guided by Geneva Lake Astrophysics and STEAM (GLAS) Education, Inc. Applying for Scholarships or Grants The EEF maintains an informative website at www.eefscholars.org. The website includes descriptions of the scholarships that are available, as well as download-able and online application forms. Donors Welcome Contributions to the Environmental Education Foundation, Inc. are deductible for income tax purposes, and donations may also be made via the Foundation’s website.

In 2013, the GLA Board of Directors replaced those signs. Some had deteriorated, and improvements were made to the message. Additional signs have since been requested and added. In 2017, the GLA revised the language on some of the signs to better clarify the intended use of the Lake Path. GLA volunteers have recorded photos with GPS coordinates of the signs and indicated their placements on the map above. The wording of these attractively painted wood signs, mounted on steel or wood posts, is shown at right. Eventually all of the existing signs will be replaced with those carrying the revised message. We are all aware that the public, by tradition of well over 100 years, is allowed to walk the shore path completely around the lake, even though it passes over private property. Most people respect the privilege and are very careful not to violate the trust given them by lake shore property owners. We know, however, that there are abuses by a few, sometimes because they are not aware of the implied rules. The signs, strategically located on the walking path, remind the public of what is allowed and what is not permitted. The Lake Shore path on Geneva Lake has existed for more than 100 years. There seems to be no specific judicial ruling as to the status of this Lake Shore path. It is believed to consist of an easement in favor of the public, and upon this basis the following answers are offered:

Question: Where does this easement exist? Answer: It exists only upon the location in which it has been used without change or variation for the prescriptive period of twenty years, provided by our statute, although a slight variation at a given point will not impair such rights.

Question: Does an owner of property have a right to materially alter its course or character, even if such alteration be of public benefit? Answer: No. If, however, an owner does make such change and if the public continues in the use of the easement in its altered condition for a length of time sufficient to show acquiescence in the change, effective complaint cannot afterward be made because of the change. Change in a structure, however, which does not impair the easement but tends to ornament it, does not constitute any violation of the right owed by the owner to the public. Where the owner alters the location of the easement, as to its direction and grade, such as the case where he deflects it from its original course and causes it to descend a bank, possibly supplying steps or some other means, although the user of the easement is not obliged to travel upon the path as changed, he may do so, and when he does so, it is by the license or implied consent of the owner. There seems to be no duty of an owner toward a license, beyond the avoidance of any active, willful act, structure or contrivance which might injure the license.

Question: Can an owner be held liable for one injured by a danger concealed only by the darkness of night? Answer: No. It is, however, strongly recommended that in case of changes made by owners as to the surface, course or level of the path crossing his property, it be so supplied so that travel thereon be not more hazardous than that part of the path discontinued. Proper guard rails are suggested. It is very dangerous to prescribe limitations on liability and to define corresponding rights as applied to any specific instance. The above statements are on the general principles involving the relative rights of the public and liabilities of owners of Lake Shore property.

The following answers to questions are based on the opinion of legal counsel:

Question: Is Geneva Lake a navigable lake? Answer: Yes. It is so designated by Government Survey. Question: In whom does title rest? Answer: Title to the bed of the lake is vested in the State of Wisconsin, which holds title as trustee for the public to the end of maintaining and preserving the rights of the public in navigation thereof. Question: What are the riparian owner’s rights? Answer: Riparian owners own their land on a navigable lake in fee simple down to low water mark. Their rights are based on their ownership and title to the banks. This ownership gives to them the exclusive privilege to the shore for the purpose of access to their land and the water. These rights include the right of using the shore for the building of piers extending into the water beyond low water mark, walls to prevent loss of soil by erosion, waves, etc. Question: What rights and control does a riparian owner have over his private pier? Answer: Private piers constructed and abutting on the private shore property constitute the sole and private property of the owner of the adjoining land; such owner is as free to prohibit the entrance upon such pier of unauthorized persons (except in emergency of storms, distress, etc.) as he is to deny his home to them. His dominion and control over the shore line is of the same nature, subject only to the right of navigation over the waters of the lake. Question: May an unauthorized person moor a boat near a private pier and may he make a landing on private property? Answer: No unauthorized person may moor a boat or a raft in front of private property in any manner that might interfere with reasonable navigation, to and from such property at any time. It is believed that the choice of an owner or his authorized friends as to the course of water ingress to or ingress from the property should rest entirely with the owner or his friends so using the property. Owner of such private property may notify any unauthorized person to remove such boat or raft, or may remove such boat or raft or cause same to be removed, in a manner not doing more harm to the boat than must necessarily result from its act of removal. Care should be exercised by the owner to avoid unreasonable action in the matter and to avoid further any manner of carrying out the removal of the boat from which malice could be inferred. Directory 2020 rev1.indd 59 4/27/20 1:08 PM GLA Annual Meeting Minutes (continued from page 5) EEF SCHOLARSHIP/GRANT PRESENTATIONS — EEF President Carl Rathmann announced that thanks to the generosity of the community along with a grant from the GLA, the EEF was able to award nearly $41,000 in scholarships and grants to a wide range of scholars to study environmental disciplines including graduating high school seniors, undergrads, and post graduates. EEF also awarded Outdoor Education grants to eleven elementary/middle schools in our area. Rathmann announced new efforts to provide scholarships to Gateway students in pursuit of one of the several environmentally-based associate degrees offered. Additionally, the EEF is supporting the GLAS LENSS program in a study of the Geneva Lake area dark sky, and is supporting student involvement in a study of the creek entering Geneva Lake at Big Foot Beach. Of the twelve scholars receiving scholarships in 2019, the following were introduced at the meeting: Thomas E. Reynolds Endowment Scholars, each of whom receives a $12,000 scholarship over four years. The endowment from the Reynolds family in 1980 fully funds the awards: Emily Sheen (freshman at UW-Platteville from Badger) Danielle Wrzesinski (sophomore at Iowa State from Big Foot) Casey Burmeister (senior at George Williams College from Badger) High School Graduate Scholars: Christian Johnston (Northwestern Univ. from Badger) Lexie Judd (Roosevelt Univ. from Williams Bay) Julia Keenan (Montana State Univ. from Badger) Undergraduate Scholars: Brooke Bowser (UW-Madison from Barneveld) Levi Myers (UW-River Falls from Elkhorn) Natasha Trush (UW-Stevens Point from Williams Bay) Makalyn Peterson (Big Foot TER scholar), Grace Spiegelhoff (Catholic Central High School Scholar), and Douglas Reuss (Badger Undergraduate Scholar) were unable to attend.

STARRY STONEWORT PANEL: Goggin introduced GLEA Director Ted Peters and Trinke Estates President Tim Cavanagh to join him in answering questions about the invasive plant and current plans to deal with it. Peters gave a lengthy overview of the situation, including the considerations of the GLEA emergency meeting which had been held just days previous. The plant was initially found in a small area of Trinke lagoon, and has subsequently been found in two other locations on the south shore, one east of Trinke Lagoon and one at the mouth of Trinke Lagoon. More surveying will be taking place in the next week, and options on how to control its spread will be considered. Peters emphasized that there has been great cooperation from Trinke Estates members, neighbors, and the community at large, as well as the DNR. Many questions from the audience were fielded by the panel members. Relevant responses include: • Chemical treatment of the Trinke plant seems successful so far to kill the vegetative part of the plant; more treatment may follow. The quarantine curtain was vandalized ren- dering it partially ineffective. • It is possible to mark additional sites, but difficult to quarantine sites. •Unhealthy lakes are most vulnerable to infestation of Starry Stonewort. Geneva is very healthy and has successfully fought off other invasions like zebra mussels and milfoil. A healthy littoral zone is key. Deep water is important. • Education of boaters entering the lake is key as is cleaning of boats before entering the lake. Implementation of state program ‘Clean Boats/Clean Waters’ would be helpful. 60

Directory 2020 rev1.indd 60 4/27/20 1:08 PM • The plant is not known to be toxic. • All 40 Trinke Estate homeowners have been cooperative and have committed to con- tinued cooperation. • DNR has committed to two $20,000 grants for education and dredging; total effort may involve several hundred thousand dollars. Lake communities are willing to stand behind a loan for needed funding via GLEA. GLEA is a governmental agency com- prised of and funded by the municipalities around the lake. • Local marinas and public launch officials are aware of the issue. Peters was applauded for his passion dealing with the threat of the plant on Geneva Lake. The GLEA website will continue to publicize efforts related to the plant. GLA members can receive important updates from GLA if their email addresses are on file. LEGISLATIVE REPRESENTATIVES: Representative Tyler August announce that the state budget was completed in a timely fashion and that he appreciated having time to spend in his districts with constituents. He and Representative Loudenbeck accompanied Water Safety Patrol Director Ted Pankau and Geneva Lake Law Enforcement Agency Commander Hausner on a tour of the lake for the purpose of determining how the state can help with issues facing these two entities. August is involved with the Speaker’s task force on water quality—lake, ground, and drinking water— which will make a report in the fall. August is proposing legislation to streamline adoption processes in Wisconsin. Representative Amy Loudenbeck was unable to attend due to a prior commitment. Senator Stephen Nass congratulated the scholars and seconded the idea of providing support to students pursuing associate degrees. He is active in legislation designed to assist in the training of fire and EMT volunteers. The budget is complete, but little is left for additional projects. Nass emphasized the importance of knowledgeable citizens to testify regarding local and state issues. The best governmental decisions evolve from critical information from constituents. The state has held hearing regarding run-off from farms. Farmers have some means to control this and need to help. Representative Loudenbeck has been active in working with Yerkes Future Foundation. YERKES FUTURE FOUNDATION: Dianna Colman spoke on behalf of the Yerkes Future Foundation (YFF) Committee. The committee has been inundated with work including travel and meeting with national and international experts of all kinds, including astrophysicists, scientists, astronomers, etc. The Foundation has retained the pro bono services of a very respected law firm. The mission of YFF remains to preserve and maintain the architectural treasure, keep it open to the public and foster its educational and outreach programs, especially among the youth. The YFF has completed its 501.c.3. tax standing, and has hired two world-renowned consultants and studied issues such as zoning, titling, and sunset laws. Representative Loudenbeck has been very helpful. The owns the land, and the heirs of Yerkes own the building if no scientific work continues there. Currently the U of C has continued studies there to comply with the original letter of bequest from Yerkes. The Yerkes family members are in full support of the YFF and are eager to help, expressing the same values as the YFF. YFF and U of C are still covered by a non-disclosure clause which prevents publication of ongoing negotiations. Community volunteers will be in great need as thing progress in the future. Directory 2020 rev1.indd 61 4/27/20 1:08 PM GLA Annual Meeting Minutes (continued from page 61) AFFILIATED ASSOCIATION REPORTS: Geneva Lake Water Safety Patrol —Ted Pankau and Brigid Cashman spoke on issues affecting the WSP. After a slow June because of the all the rain, activity has exploded in July and August. The patrol has responded to hundreds of calls and assisted many pull-outs. Education remains paramount for water safety, and the Patrol’s swimming and boating classes address that need. Propeller dangers are a key element in this year’s safety tips. Boaters need to turn engines off and keep distance from their swimmers and skiers, who should swim to the boat when it is not running. Cashman noted a loophole in the law which allows a child of 10 years to operate a boat but only when accompanied by an adult 18 year or older. The law neglects to require the adult to have a license or comply with the age requirement for operation. Representatives August and Loudenbeck are working to get that loophole closed. Cashman noted that rental facilities are required to check the operating eligibility of boat renters. WSP remains as an educational entity, informing boaters of the law, but not as enforcement. Geneva Lake Law Enforcement Agency — Commander Hausner was called to a lake patrol issue on the water and was unable to attend the meeting as intended. Kishwauketoe Nature Conservancy — President Harold Friestad noted the conservancy operates completely on donated funds, and no government funds are given to the project. Friestad thanked all donors and volunteers and for the financial support from the GLA. The conservancy will celebrate its anniversary next year, 30 years from when $1,575,000 purchased 231 acres of pristine nature. The goal continues to provide nature experiences for youth and adults, as well as continuing education classed for youth. This summer 20-30 children attended two classes per week. The Conservancy also will host renowned author Emily Stone to lead a hike and discuss ‘finding stories in nature.’ Geneva Lake Conservancy — Treasurer Don Parker noted its goals are education and advocacy in preservation. It is currently involved in a phosphorous reduction project in conjunction with GLEA and GLA, including seminars, letters to property owners, and testing of streams. The conservancy will ultimately propose municipal ordinances to limit the amount of phosphorus that enters the lake and streams and groundwater. Many projects are working to protect oak trees and oak forests, by encouraging the purchases of oaks grown from acorns, and purchasing forests areas to become conservation easements. Geneva Lake Environmental Agency — Director Ted Peters noted the project study of the creek entering Geneva Lake at Big Foot Beach is funded by grants from the Environmental Education Foundation and DNR and is being done by area teachers and Badger students. Real Estate Market Trends — Bob Rauland, from Rauland Realty, highlighted real estate market trends especially those related to lakefront and lake access houses. Bob provided a hand out with current statistics and maps of Walworth County lakes. The handout was available in the room, and copies are available from the Rauland office. One example of information in the handout shows vacant lakefront of 300 frontage feet for sale at $3,375,000 or $11,250 per front foot. Another example of 22 properties shows an average of improved lakefront properties for sale at $4,403,227 or $35,194 per front foot. ARTICLE ONE – NAME, OFFICE AND PURPOSE 1.01 The name of the corporation is “THE ENVIRONMENTAL EDUCATION FOUNDATION, INC.” 1.02 The corporation shall maintain in the State of Wisconsin a registered office and a registered agent at such office, and may have other offices within or without the state. The principal office of the corporation shall be in the Geneva Lake area. 1.03 The purposes of the corporation are as follows: (1) To provide scholarships or awards to qualified high school, college and graduate students, with preference to those who attend or attended a high school located in the Geneva Lake area, and who have demonstrated significant interest in an environmental science and intend to further their study in the field. (2) To provide scholarships to qualified high school students at the same high schools described above who will attend field courses offered by Wisconsin Department of Natural Resources or similar short courses. Also, to provide scholarships to qualified grade school students in the school districts in which the high schools described above are located, who will attend field courses in the nature camps offered by the Wisconsin DNR and the University of Wisconsin System. (3) To administer all gifts and grants of money or property, real or personal, by corporations, partnerships, and natural persons for the purpose of providing such scholarships. (4) To do all and everything necessary to accomplish the purposes herein before mentioned either alone or in association with other individuals, corporations or partnerships, including federal, state, county, and municipal bodies and in general, to do any and all things which a natural person could do, or which now or hereafter may be authorized by law, and in general to do or perform such acts and transact such business in connection with the foregoing purposes, which are not inconsistent with law. (5) If, in any one year, after all of the scholarships and expenses have been covered, and there is a surplus of funds available, the Corporation may vote to financially support a program, project or activity that will promote environmental education and/or create awareness to environmental issues in the Geneva Lake Area. 1.04 It is intended that awards be made annually. Potential recipients may apply to the corporation for awards or they may be nominated by others who know of their qualifications. Recipients shall be of good to excellent academic standing, and they shall have demonstrated an interest in the environmental sciences and intend to further their study in an environmental field. They shall be recommended by the appropriate committees of their respective schools and may be interviewed by the members of the Geneva Lake Association. Presentation of the awards shall be made by a member of the Geneva Lake Association or by an appropriate designee. The amounts of the awards shall be decided annually by the Board of Directors. While it is intended that awards shall be made annually, it should be realized that if suitable recipients are not available or if the corporation does not have sufficient funds, awards may not be made in some years.

The Board of Directors shall be elected by the members of Geneva Lake Association, Inc., from among its members at the annual meeting of the Association. ARTICLE THREE – BOARD OF DIRECTORS 3.01 The affairs of the corporation shall be managed by its Board of Directors. 3.02 The number of directors shall be established from time to time at any annual or regular meeting, or at a special meeting called for that purpose, but in no event shall the number of directors at any time be less than nine(9) nor more than fifteen (15). 3.03 The members of the Board of Directors shall be elected for terms of three (3) years each, with one-third (1/3) of the directors being elected each year. No directors shall serve more than two (2) complete terms consecutively, and must remain off of the Board of Directors for at least one (1) year before thereafter being reelected. 3.04 The President of the Geneva Lake Association, and the Executive Director of the Geneva Lake Environmental Agency, shall both be ex officio members of the Board of Directors, serving without election. Anything otherwise set out herein to the contrary notwithstanding, each of such President’s and Executive Director’s terms as a member of the Board shall coincide with, and terminate automatically upon the expiration of his/her term as President or Executive Director. Said members shall further have all rights and responsibilities of a Director of the Corporation including, but not limited to, the right to vote upon all matters coming before the Board. 3.05 Any person having served with distinction as a Director of the Foundation may be considered for service as an Honorary Director of the Foundation subject to election by the Board. Any person so elected will hold the title of Honorary Director and has the responsibility to be an ambassador for the Foundation supporting the Foundation and its programs with his or her contacts in the Geneva Lake Area. An Honorary Director may attend and participate in meetings of the Board but will not have a vote. 3.06 A regular annual meeting of the Board of Directors shall be scheduled for and held during the month of July of each calendar year. Notice of the annual meeting shall be given to the members of the board in the manner and in the time as provided in Section 3.07 below. It is anticipated that said annual meeting shall take place no earlier than fourteen (14) days before nor later than the day of the Geneva Lake Association annual meeting. The Board of Directors may provide by resolution the time and place, for the holding of additional regular meetings of the board without other notice than such resolution. 3.07 Special meetings of the Board of Directors may be called by or at the request of any Director. The Director who calls a special meeting may fix any place as the place for holding such special meeting. Said notice shall, to the extent required by Wisconsin law, shall also include the purpose of such meeting. 3.08 Unless a greater time is required by Wisconsin law, notice of any special meeting of the Board of Directors shall be given at least five (5) days prior thereto by written notice to each Director at his address as shown on the records of the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States Mail in a sealed envelope so addressed, with postage prepaid. Notice of any meeting of the Board of Directors may be

The attendance of a Director at any meeting shall constitute a waiver of notice of such meeting, except where a Directors attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Except as provided above, neither the business to be transacted at, nor the purpose of, any regular or special meeting of the Board need be specified in the notice of such meeting. 3.09 Any vacancy occurring in the Board of Directors may be filled by the remaining directors. A Director appointed to fill a vacancy shall hold office until his successor shall have been elected by the members of the Geneva Lake Association, Inc. in accordance with the provisions of Section 2.01 above. 3.10 A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board, provided that if less than a majority of the Directors are present, a majority of the Directors present may adjourn the meeting to another time without further notice. 3.11 Any action which may be taken by the Board at a meeting may also be taken without a meeting if a consent in writing, setting forth the action to be taken, is signed by one hundred percent (100%) of all of the directors then in office. Actions pursuant to such a written consent shall have the same force and effect as a unanimous vote of the Board, and shall be effective when the last director signs the consent (or upon such other effective date as specified in the consent). 3.12 The Board of Directors may permit any or all directors to participate in a regular or special meeting, or in a committee meeting, of the Board of Directors by, and may conduct such meeting through, the use of any means of communication by which any of the following occurs: (1) all participating directors may simultaneously hear or read each others’ communications during the meeting; or (2) all communication during the meeting is immediately transmitted to each participating director, and each participating director is able to immediately send messages to all other participating directors. If a meeting will be conducted under this section, all participating directors shall be informed that a meeting is taking place at which official business may be transacted. A director participating in a meeting conducted in a manner described in this section is deemed to be present in person at the meeting. If requested by a director, minutes of the meeting shall be prepared and distributed to each director. All rules applicable to regular or special meetings of the Board shall apply to a meeting satisfying the communication and other requirements set out in this Section, and all actions shall have the same force and effect as if taken at a meeting at which all of the Directors were present in person. ARTICLE FOUR - OFFICERS 4.01 The officers of the corporation shall be a President, Vice-President, Secretary, Treasurer, and such other officers as the Board may from time to time deem necessary. The Board of Directors may provide for appointment of such additional officers as they may deem in the best interest of the corporation. Any two offices may be held by the same person, except the officers of the President and Secretary. The officers shall perform such additional or different duties as shall from time to time be imposed or required by the Board of Directors, or as may be prescribed from time to time by the bylaws. 65

Vacancies may be filled or new offices created and filled at any meeting of the Board of Directors. Each officer shall hold office for one year or until his successor shall have been duly elected, and shall have qualified. Election of an officer shall not of itself create contract rights. 4.03 Any officer elected or appointed by the Board of Directors may be removed by the Board of Directors whenever in its judgment the best interests of the corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed. 4.04 The President shall be the principal executive officer in all activities and transactions of the organization and shall preside at all meetings of the Board of Directors, and shall have general supervision of the affairs of the corporation. 4.05 The Vice-President shall discharge the duties of the President in the event of the absence or disability for any cause whatsoever of the latter. 4.06 The Secretary shall record the minutes of the meeting of the members and the Board of Directors in one or more books provided for that purpose. The Secretary shall countersign all deeds, leases and conveyances executed by the corporation, affix the seal of the corporation thereto, and to such other papers as shall be required or directed to be sealed. The Secretary shall be custodian of the corporation records, except the books and records as incidental to the duties of the Treasurer; and shall see that all notices are duly given in accordance with the provisions of these bylaws or as required by law. 4.07 The Treasurer shall keep and account for all money, credits and property, of any and every kind, of the corporation, which shall come into his hands, and keep an accurate account of all money received and disbursed and proper vouchers for money disbursed, and to render such accounts, any statements received and disbursed, and of money and property on hand, and generally of all matters pertaining to his office, as shall be required by the Board of Directors. ARTICLE FIVE – COMMITTEES 5.01 The Board of Directors shall have the authority to appoint one or more committees as the need arises. 5.02 Thomas E. Reynolds Endowment Fund Committee (1) A permanent Thomas E. Reynolds Endowment Fund Committee will be appointed by the Board of Directors consisting of three (3) members. The tenure of this committee will be open for a change any time. If a vacancy occurs or a change must be made, the Board of Directors will handle. (2) This Committee will consist of: 1. A member of the Thomas E. Reynolds family. 2. A qualified high school administrator or teacher. 3. A qualified individual, if possible, who has had experience in the interviewing of students and who is interested in the preservation and conservation of our natural resources and environment. (3) The responsibility of this committee will be to interview the selected winners in each of the four (4) high schools and choose one (1) qualified graduate for a four (4) year scholarship, renewable annually subject to review, at an accredited university such as The College of Natural Resources, University of Wisconsin/Stevens Point. (4) The student chosen must express a desire to complete a four (4) year course in the College of Natural Resources and to follow this career as a lifework. 66

Payment will be made directly to the university by July 15 of the award year. (6) The candidate must supply the committee at the end of each school year the courses and grade, and his or her plans for the coming year. The committee will advise our Treasurer when to mail the checks to the universities. (7) The students must be advised of our requirements and should be asked to keep the committee chairman posted on their progress as well as current home and school addresses. ARTICLE SIX – CONTRACTS, CHECKS, DEPOSITS AND FUNDS 6.01 The Board of Directors shall authorize any officer or officers, agent or agents of the corporation to enter into any contract or execute and deliver any instrument in the name of or on behalf of the corporation and such authority may be general or confined to specific instances. 6.02 All checks, drafts or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation shall be signed such officer or officers, agent or agents of the corporation and in such manner as shall from time to time be determined by resolutions of the Board of Directors. In the absence of such determination by the Board of Directors, such instruments shall be signed by the Treasurer and countersigned by the President or the Vice- President of the corporation. 6.03 All funds of the corporation shall be deposited from time to time to the credit of the corporation in such banks, trust companies, or other depositories as the Board of Directors may select. (1) The Thomas E. Reynolds Scholarship Endowment Fund must be established under a separate bank account of The Environmental Education Foundation, Inc.. The capital money in this fund cannot be used. It must be wisely invested and the income only be used for scholarships and, if necessary, for operating expense incurred by the special Endowment Fund Committee. (2) The Environmental Education Foundation, Inc. will keep a separate checking account to handle the operating expense, overhead, and fund raising expense. Income for this account will come from fund raising letters as needed to the general public around the lake. (3) Our secretary and treasurer must examine every gift to make sure the donor’s money is deposited to the correct account 6.04 The Board of Directors are authorized to raise funds in order to accomplish its purpose by an appropriate means and may accept on behalf of the corporation any contribution, gift, bequest or devise for the general purpose of the corporation. 6.05 The members of the Board of Directors are authorized to reimburse themselves for expenses incurred for services rendered in the administration of the Corporation. In no event shall any director who has made a contribution to the Corporation receive compensation therefrom. ARTICLE SEVEN – BOOKS, RECORDS AND FISCAL YEAR 7.01 The corporation shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its Board of Directors, and committees having any of the authority of the Board of Directors. All books and records of the corporation may be inspected by any Director or his agent or attorney for any proper purpose at any reasonable time. 67

ARTICLE EIGHT – MISCELLANEOUS MATTERS 8.01 The corporation seal shall have inscribed thereon the name of the corporation and the words “Corporate Seal, Wisconsin.” 8.02 Whenever any notice is required to be given under the provisions of Wisconsin Nonstock Corporation Law or under the provisions of the Articles of Incorporation or bylaws of the corporation, a waiver thereof in writing, signed by person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. 8.03 The power to alter, amend or repeal the bylaws or adopt new bylaws shall be vested in the Board of Directors. Such action may be taken at any regular or special meeting. The bylaws may contain any provisions for the regulation and management of the affairs of the corporation not inconsistent with law or the Articles of Incorporation. 8.04 Indemnification and Liability. (1) Indemnification. To the fullest extent permitted or required by law, including but not limited to Wisconsin Statutes Sections 181.0871 through 181.0889 (and any subsequent amendments thereto), the Corporation shall indemnify its Directors and Officers against any and all Liabilities, damages, costs and Expenses and shall advance, as incurred, any and all reasonable Expenses, incurred in any Proceeding to which any such Director or Officer is a party because he or she is a Director or Officer of the Corporation, or because he or she is responsible for the operation of the Corporation or any part thereof. The rights granted herein shall not be deemed exclusive of any other rights to indemnification against Liabilities, damages, costs and Expenses, or the advancement of Expenses to which a Director or Officer may be entitled under any written agreement, board resolution, statute or otherwise. Further, all such rights shall continue as to any person who has ceased to be a Director or Officer, and shall inure to the benefit of the heirs, executors, administrators and assigns of such person. All capitalized terms used herein and not otherwise defined shall have the meaning set forth in Section 181.0871 of the Wisconsin Statutes. (2) Liability. Upon receipt of a request for indemnification against Liabilities and Expenses and/or advancement of Expenses pursuant to this provision, a prompt determination shall be made by a disinterested quorum of the Board, if available, or by such other means recognized by law, to determine the requesting Party’s right to indemnification or advancement. If no such determination is made within thirty (30) days from the date of the request, it shall be conclusively presumed for all purposes that the requesting Party has rights to indemnification and for advancement unless, by proper resolution of the Board, said thirty (30) day deadline is extended. The Corporation may, but shall not be obligated or required to, supplement the foregoing rights to indemnification against Liability and Expenses, and/or advancement of Expenses by purchasing insurance on behalf of any one or more Directors or Officers, regardless of whether the Corporation shall be obligated to indemnify against Liability or advance Expenses to the Director or Officer covered by said insurance. ARTICLE I NAME Section 1-1 – Name: The name of the Corporation shall be THE GENEVA LAKE ASSOCIATION, INC. (the Association). ARTICLE II PURPOSE Section 2-1 – Purpose: Since 1935 the Geneva Lake Association has served as guardian of Geneva Lake and its surrounding area. The Geneva Lake Association advances its mission of conservation, preservation, environmental integrity and general welfare of Geneva Lake with timely and issue-centered communications and education through a wide membership base of area residents and local businesses. Section 2-2 – Revenue Code: All activities of the Association will be conducted within the meaning of Section 501 (c) (3) of the Internal Revenue Code. ARTICLE III MEMBERS Section 3–1 – Eligibility: Anyone interested in promoting the general welfare and conservation of the Geneva Lake Region is eligible for membership in the Association. There shall be six classes of membership in the Association. Section 3-2 – Regular Member: A person making an annual contribution of $40 in support of the operations of the Association will be considered to be a Regular Member of the Association. Section 3-3 – Sustaining Member: A person making an annual contribution of $75 in support of the operations of the Association will be considered to be a Sustaining Member of the Association. Section 3-4 – Contributing Member: A person making an annual contribution of $100 in support of the operations of the Association will be considered to be a Contributing Member of the Association. Section 3-5 – Donor Member: A person making an annual contribution of $150 in support of the operations of the Association will be considered to be a Donor Member of the Association. Section 3-6 – Benefactor Member: A person making an annual contribution of $250 in support of the operations of the Association will be considered to be a Benefactor Member of the Association. Section 3-7 – Commercial Member: A corporation making an annual contribution of $100 in support of the operations of the Association will be considered to be a Commercial Member of the Association. Section 3-8 – Redetermination of Member Classes and Contribution Levels: The Board of the Association shall have the authority to revise the classes of Members, to add additional Member qualifications and to re-determine the annual contribution requirement for membership. Section 3-9 – Mail Address: Each Member of the Association shall file with the Executive Secretary of the Association their permanent mailing address, their lake address, if different than their permanent mailing address and their e-mail address. All Notices shall be sent to the Member’s e-mail address on file or if no e-mail address is on file to the Member’s permanent mailing address on file. Any Member failing to provide his or her current e-mail 69

Section 3-10 – Removal of a Member: Any Member who fails to make his or her annual contribution within the fiscal year, after written notice of such default has been given, shall automatically forfeit membership in the Association. ARTICLE IV MEETING OF MEMBERS Section 4-1 – Annual Meeting: The Annual Meeting of the Members of the Association shall be held on any Saturday during the months of July or August, at an hour and place to be determined by the Board. Section 4-2 – Special Meetings: A Special Meeting of the Members of the Association may be called by the President, a majority of the Board or at the request of any twenty (20) Members of the Association. Section 4-3 – Meeting Notice: Notice of a Meeting of the Members of the Association shall be sent to all Members of the Association at their e-mail address on file or, if an e-mail address is not on file, to their permanent mailing address, at least ten (10) days, but not more than fifty (50) days, prior to the meeting, stating the place, day and time of said meeting. In the case of a Special Meeting of Members of the Association, the purpose or purposes for which the Special Meeting of the Members of the Association has been called shall also be included in the Notice of the Meeting. Section 4-4 – Vote: Each Member of the Association in good standing in attendance or represented by an authorized Proxy shall be entitled to one (1) vote on all issues considered at the Meeting of the Members of the Association. Section 4-5 – Quorum: Twenty (20) Members of the Association shall constitute a quorum at a Meeting of the Members of the Association. Section 4-6 – Proxy: Each Member entitled to vote at a Meeting of Members of the Association, or to express consent or dissent to an Association action in writing without a Meeting of Members of the Association taking place may authorize in writing another Member or Members to act on his/her behalf by Proxy. No such Proxy shall be valid after eleven (11) months from the date of execution unless the Proxy provides for a longer period of effectiveness. ARTICLE V BOARD OF DIRECTORS Section 5-1 – General Powers: The affairs of the Corporation shall be managed by its Board of Directors, (the Board). Section 5-2 - Number and Tenure: The number of Directors shall be twenty-seven (27). The Board shall be elected by the Members at the Annual Meeting of the Association, except a past president shall serve three (3) years without election after the completion of his/her term of office. The members of the Board shall be elected for terms of three (3) years each. Nine (9) of the Directors shall be elected each year at the Annual Meeting of the Association. Section 5-3 – Non Voting Members: The Executive Secretary shall serve as non voting member of the Board. Section 5-4 - Regular Meeting: A Regular Meeting of the Board shall be held, without other notice than these bylaws, immediately after the Annual Meeting of the Members. The Board may provide by resolution the time and place for holding additional, regular meetings of the Board, with appropriate notice.

The person or persons authorized to call a Special Meeting of the Board may fix any place within the Geneva Lake Area as the place for holding any such meeting of the Board called by them. Section 5-6 - Meeting Notice and Waiver: Notice of any Regular or Special Meeting of the Board shall be given at least five (5) days prior thereto by e-mail to each Director at his or her e-mail address, as shown on the records of the Association or, if specifically requested in writing by a Director, at his or her permanent mailing address, as shown on the records of the Association. Notice of any meeting of the Board may be waived in writing, signed either before or after the time of the meeting. The attendance of a Director at a meeting shall constitute a Waiver of Notice of such meeting, except when a Director attends a meeting for the expressed purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of any Regular or Special Meeting of the Board need be specified in the Notice of such meeting. Section 5-7 - Quorum: Nine (9) members of the Board shall constitute a Quorum for the transaction of business at any Meeting of the Board, provided that if fewer than nine (9) of the Directors are present at such meeting, a majority of the Directors present may adjourn the meeting to another time, with similar Notice of the adjourned meeting date. Section 5-8 – Resignation: Except as otherwise required by law, a Director may resign from the Board at any time by giving notice in writing to the Board. Such resignation shall take effect at the time specified therein, and unless otherwise specified therein, no acceptance of such resignation shall be necessary to make it effective. Section 5-9 – Removal: A Director may be removed by a majority vote of the Board at any Regular or Special Meeting of the Board whenever in the Board’s judgment the best interests of the Association would be served by the removal of the Director. Section 5-10 - Vacancy: Any vacancy occurring in the Board may be filled by the Board. A Director elected to fill a vacancy shall be elected for the unexpired term of his or her predecessor in office. Section 5-11 – Electronic Voting: Motions approved by the Executive Committee may be submitted electronically to the Board for their approval. Only one motion and appropriate supporting materials shall be sent to the Board for consideration at a time. The submission shall request an indication of Approval or Disapproval. The result of the electronic vote shall be recorded in the minutes of the next meeting of the Board. ARTICLE VI HONORARY DIRECTORS Section 6-1 – Qualification: Any person having served with distinction as a Director of the Association for a minimum of six (6) years and meeting the requirements set forth in ARTICLE III as a Member in good standing of the Association may be considered for service as an Honorary Director of the Association. Section 6-2 – Election: Any past Director meeting the qualifications to serve as an Honorary Director may be elected as an Honorary Director at any meeting of the Board of the Association or by electronic vote by a majority vote of the Board. Any person so elected will hold the title of Honorary Director as long as he or she is a Member in good standing of the Association. Section 6-3 – Responsibilities: An Honorary Director has the responsibility to be an ambassador for the Association supporting the Association and its programs with his or her contacts in the Geneva Lake Area. An Honorary Director may attend Meetings of the Board and with the prior approval of the President of the Association the Honorary Director may speak but will not have a vote. 71

The Secretary shall countersign all deeds, leases, and conveyances executed by the Association, affix the seal of the Association on papers that are required to be sealed. Section 7-8 – Treasurer: The Treasurer shall oversee the preparation of the annual budget, oversee all cash investment activities, and make recommendations as to financial institutions to be used by the Association. Section 7- 9 – Executive Secretary: The Executive Secretary shall be the custodian of the Association records, except the books and records incidental to the duties of the Treasurer, keep a register of the postal, e-mail and phone numbers of each Member and see that all Notices are duly given in accordance with the provisions of these By-Laws or as required by law. In addition the Executive Secretary shall perform any additional duties that may from time to time be directed by the Board. Section 7-10 – Additional Officers: Additional Officers shall perform those duties that are assigned at the time the position is created by the Board. ARTICLE VIII COMMITTEES Section 8-1 - Executive Committee: The Executive Committee shall be made up of the Elected Officers of the Association, the Immediate Past President of the Association, and the Chairman of the Standing Committees of the Association. In addition, the Executive Secretary of the Association will serve as non-voting members of the Executive Committee. Five (5) members of the Executive Committee shall constitute a quorum. The Executive Committee shall have the authority to take any action not inconsistent with these By-Laws. Minutes of all Executive Committee meetings shall be kept by the Association’s Executive Secretary. 72

Standing Committees shall be composed of no fewer than three Members of the Association, a majority of which are Directors of the Association. A simple majority of the members of a Standing Committee shall constitute a quorum. Each Standing Committee shall operate under procedures established in the committee’s charter, approved by the Executive Committee. Minutes of all Standing Committee meetings will be prepared by a member of the Standing Committee and filed with the Executive Secretary. Standing Committees of the Association shall include, but not be limited to, Nominating, Finance, Membership, Commercial Membership, Mission, Land and Lake Use, Legal, Program and Publicity and Budget. Section 8-3 - Special Purpose Committees: The President of the Association may appoint Special Purpose Committees consistent with the Purposes of the Association. Special Purpose Committees shall be composed of no fewer than three Members of the Association, a majority of which are Directors of the Association. A simple majority of the members of a Special Purpose Committee shall constitute a quorum. Each Special Purpose Committee shall operate under procedures established in the Special Purpose Committee’s charter, approved by the Executive Committee. Minutes of all Special Purpose Committee meetings will be prepared by a member of the Special Purpose Committee and filed with the Executive Secretary. Section 8-4 – Electronic Voting: Committee actions may be taken electronically if all materials supporting the action being taken have been provided to all committee members and actions taken are recorded in the official minutes of the committee. ARTICLE IX FINANCIAL POLICIES, BUSINESS MATTERS and RECORDS Section 9-1 - Registered Office: The Association shall maintain a registered office and a registered agent in the State of Wisconsin, and may have other offices within or without the state. Section 9-2 - Fiscal Year: The fiscal year of the Association shall begin on July st1 of each year and end on the following June 30th. Section 9-3 - Banking Relationship: All funds of the Association shall be deposited from time to time to the credit of the Association in such banks, trust companies, or other depositories as the Board may from time to time select. Section 9-4 – Checks and Deposits: All checks, drafts, or other orders for the payment of money, notes, or other evidences of indebtedness, issued in the name of the Association, shall be signed by such Officer or Officers, agent or agents of the Association and in such manner as shall from time to time be determined by resolutions of the Board. In absence of such determination by the Board, such instruments shall be signed by the Treasurer and countersigned by the President, Vice President or Executive Secretary of the Association. Section 9-5 - Contracts: The Board may authorize any Officer or Officers, agent or agents, to enter into any contract or execute or deliver any instrument in the name of and on behalf of the Association, and such authorization may be general or confined to specific instances. Section 9-6 - Loans: No indebtedness for borrowed money shall be contracted on behalf of the Association and no evidences of such indebtedness shall be issued in its name unless authorized by or under the authority of a resolution of the Board. Such authorization may be general or confined to specific instances. Section 9-7 - Acceptance of Cash Gifts, Non-Cash Gifts and Bequests: The Board may accept on behalf of the Association any contribution, gift, bequest, or device, for the general purposes or for any special purpose of the Association. 73

Directory 2020 rev1.indd 73 4/27/20 1:08 PM Section 9-8 - Books and Records: The Association shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its Member, Board, and Committee meetings, and shall keep at the registered or principal office a record giving the names and addresses of the Members entitled to vote. All books and records of the Association may be inspected by any Member or his or her agent or attorney for any proper purpose at any reasonable time. Section 9-9 - Corporate Seal: The Board may provide a corporate seal that shall be circular in form and shall have inscribed thereon the name of the Association and the state of incorporation and the words “CORPORATE SEAL”. Section 9-10 - Mandated Reserve: In order to maintain the Association’s financial stability and to prepare for unexpected contingencies, the Board aspires to establish and maintain a cash reserve (Reserve Account). The Reserve Account will be equal in amount to the prior eighteen (18) months’ total cash disbursements (excluding discretionary grants). Such funds shall be recorded separately on the financial statements as the “Board Mandated Reserve”. The Board shall review the size of the Reserve Account each year as part of the annual budgeting process. Draw downs from the Reserve Account shall require majority approval of the entire Board. Section 9-11 - Investment Policy: The Association’s primary objective in managing its investable assets is to preserve principal. However, the Board recognizes that during some market conditions, an all-cash policy may be inappropriate. Provided that the Reserve Account has been achieved, the Executive Committee is authorized to allocate no more than twenty-five (25) per cent of the Association’s remaining investable assets in prudent, non-cash accounts. The Board shall review the allocation of the investments each year as a part of the annual budgeting process. ARTICLE X INDEMNIFICATION and LIABILITY Article 10-1 – Indemnification: To the fullest extent permitted or required by law, including but not limited to Wisconsin Statutes Sections 181.0871 through 181.0889 (and any subsequent amendments thereto), the Association shall indemnify its Directors and Officers against any and all Liabilities, damages, costs and Expenses and shall advance, as incurred, any and all reasonable Expenses, incurred in any Proceeding to which any such Director or Officer is a party because he or she is a Director or Officer of the Association, or because he or she is responsible for the operation of the Association or any part thereof. The rights granted herein shall not be deemed exclusive of any other rights to indemnification against Liabilities, damages, costs, and Expenses, or the advancement of Expenses to which a Director or Officer may be entitled under any written agreement, Board resolution, statute or otherwise. Further, all such rights shall continue as to any person who has ceased to be a Director or Officer, and shall inure to the benefit of the heirs, executors, administrators and assigns of such person. Article 10-2 – Liability: Upon receipt of a request for indemnification against Liabilities and Expenses and/or advancement of Expenses pursuant to this provision, a prompt determination shall be made by a disinterested quorum of the Board, if available, or by such other means recognized by law, to determine the requesting Party’s right to indemnification or advancement. If no such determination is made within thirty (30) days from the date of the request, it shall be conclusively presumed for all purposes that the requesting Party has rights to indemnification and for advancement unless, by proper resolution of the Board, said thirty (30) day deadline is extended. The Association may, but shall not be obligated to, supplement the foregoing rights to indemnification against Liability and Expenses, and/or advancement of Expenses by purchasing insurance on behalf of any one or more Directors or Officers, regardless of whether the Association shall be obligated to indemnify against Liability or advance Expenses to the Director or Officer covered by said insurance.

Directory 2020 rev1.indd 74 4/27/20 1:08 PM Article 10-3 – Definitions: All capitalized terms used in ARTICLE X and not otherwise defined shall have the meaning set forth in Section 181.0871 of the Wisconsin Statutes. ARTICLE XI CONFLICT OF INTEREST Section 11-1 – Disclosure of Possible Conflicts: Each Director shall disclose to the Board any duality of interest or possible conflict of interest whenever duality or conflict pertains to a matter being considered by the Board. Section 11-2 – Minutes: The minutes of the Board meeting involving any situation where a conflict has been identified shall reflect the disclosure of the conflict, the individual’s limited involvement in the discussion of the topic, the abstention from voting and that a quorum was present after removal of the Director with the conflict. Section 11-3 – Statements of Policy: The Association will have approved policies in place complying with the IRS’s recommendation that 501 (c) (3) organizations have approved policies on Conflict of Interest, Whistleblowers and Record Retention. ARTICLE XII DISSOLUTION CLAUSE Section 12-1 Dissolution Clause: The corporation shall be nonstock and no dividends or pecuniary profits shall ever be declared or paid to the members thereof. In the event of the dissolution of the corporation, the Board of Directors shall, after paying or making provisions for the payment of all the liabilities of the corporation, dispose of all the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the Circuit Court of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes. ARTICLE XIII AMENDMENTS Section 13-1 Amendments: The power to alter, amend or repeal the By-Laws of the Association, or adopt new By-Laws shall be vested in the Board unless otherwise provided in the Articles of Incorporation. Such action may be taken at any Regular or Special Meeting of the Board. Notice of the proposed amendment, to include the suggested text of the change, shall be given in writing to all Directors at least twenty (20) days prior to the meeting at which the proposed change will be considered. The By-Laws may contain any provision for the regulation and management of the affairs of the Association not inconsistent with law or the Articles of Incorporation. Revised, August 2017

With the approval of the communities around the lake, the Geneva Lake Association several years ago erected a number of Lake Path signs where the walking public enters onto private land. In 2013, the GLA Board of Directors replaced those signs. Some had deteriorated, and improvements were made to the message. Additional signs have since been requested and added. In 2017, the GLA revised the language on some of the signs to better clarify the intended use of the Lake Path. GLA volunteers have recorded photos with GPS coordinates of the signs and indicated their placements on the map above. The wording of these attractively painted wood or aluminum signs, mounted on steel or wood posts, is shown above. Eventually all of the existing signs will be replaced with those carrying the revised message. We are all aware that the public, by tradition of well over 100 years, is allowed to walk the shore path completely around the lake, even though it passes over private property. Most people respect the privilege and are very careful not to violate the trust given them by lake shore property owners. We know, however, that there are abuses by a few, sometimes because they are not aware of the implied rules. The signs, strategically located on the walking path, remind the public of what is allowed and what is not permitted. Lake Path signs are available to home owners or property owner associations at cost, subject to the approval of GLA.
