This ~nline Products Institutional Access Agreement (the "Agreement" or the "Access Agreement") is entered into this i fs day of July, 2016 and is effective January I, 2016, between the American Chemical Society ("ACS"), a federally-chartered nonprofit located at 1155 16• Street NW, Washington DC 20036 and the Regents of the University of California, with its primary offices located at 415 2011t Street, 4m Floor, Oakland, California 94612 USA ("Grantee") (ACS and the Grantee are collectively referred to in this Agreement as ''the Parties").

1. SCOPE OF GRANT

ACS grants Grantee non-exclusive, worldwide, and nontransferable license to access ACS products and services as identified in the attachments to this Agreement (collectively "ACS Products"), subject to the terms and conditions set forth in this Agreement, including all attaclunents.

ACS grants to the Grantee such other rights as described in Section 8.b. of this Agreement.

2. TERM

The Initial Term of this Agreement shall be through December 31, 2020. Unless otherwise agreed to by ACS and Grantee in writing. or modified or terminated as provided for herein, the Agreement shall automatically renew for additional terms upon mutual written acceptance of updated financial terms, which specify the fees associated with access to defined products over a specific period of time for a specific list of Universities. The financial terms will be added to this agreement as the "License Fee" attachment(s).

3. FEES AND PAYMENTS

a. Grantee agrees to pay ACS the amounts (License Fee) set forth in the attached "License Fee" attachment, and any subsequent mutually agreed upon "License Fee" attachment as set forth in this Agreement. ACS will not activate Grantee's access to the ACS Products until Grantee provides ACS with: (I) the email address of a contact person; (2) a duly executed Agreement; and (3) any other information required by ACS to set-up and activate Grantee's access.

b. Grantee agrees to pay all ACS invoiced Access Fees within forty-five (45) days of receipt of the invoice, but no earlier than thirty (30) days before the respective access start date • ACS reserves the right to discontinue Grantee's access to the ACS Products and to terminate this Agreement in the event Grantee fails to pay all Access Fees in accordance with the ACS invoice.

4. INSTITUTIONAL CUSTOMER TYPE; AUTHORIZED USERS; SITES; ADDRESSES

a. The Consortium is comprised of the University of California, including all of its campuses and libraries, and participating campuses of the California State University, that have authorized the California Digital Library to negotiate this license on their behalf. The University of California system and the California State University system will maintain separate "License Fee" attachments under this Access Agreement. The separate University of California system and califomia State system "License Fee" attachments may define different content profiles, fee schedules and periods of performance. Grantee shall, prior to ACS's activation of Grantee's access to the ACS Products, provide ACS with a current listing of all participating consortium members, including physical location and IP addresses. Further, by entering into this Agreement, Grantee affirms its authority to enter into this Agreement on behalf of each of the listed consortium members. During the Tenn of this Agreement, Grantee shall promptly notify ACS of any changes to the membership of the consortium. Grantee acknowledges that any such changes to the membership of the consortium may necessitate a change in the Access Fee due under this Agreement. Grantee shall notify each consortium member of the terms and

Grantee further agrees to notify ACS promptly upon learning of any violations of this Agreement by Grantee's consortium members and will cooperate with the ACS in investigating any such violations or unauthorized uses and in taking reasonable steps to prevent a reoccurrence.

b. ACS grants to Grantee and its Authorized Users at the authorized sites approved by ACS ("Authorized Sites") identified in the Site List and IP Address Attachment ("Site List Attachment"), online access to the ACS Products. This Agreement extends to Grantee and Authorized Users individually at Authorized Sites. For purposes of this Agreement, "Authorized Users" means, those serving in the capacity of employees, faculty and other teaching staff, independent contractors, and persons officially registered as full or part-time students located at an Authorized Site regardless of the worldwide physical location of such persons. Authorized Users may access the ACS Products from remote sites. Others who arc physically present at an Authorized Site may access the ACS Products but may not do so from locations outside of an Authorized Site ("Other Users").

c. Authorized Users will be recognized and authorized by their [nternet Protocol ("IP") addresses and/or a delegated authentication mechanism such as Shibboleth that conforms to accepted industry practices and that is acceptable to both ACS and Grantee. Grantee is responsible for providing valid IP addresses. The form of the IP addresses must be acceptable to ACS as defined on the IP Address and Site List Attachment. IP Ownership must be verifiable and IP addresses must be directly affiliated with Grantee. Only those IP addresses submitted by Grantee, listed on the Site List Attachment and exclusive to Grantee that meet the above criteria will have access to the ACS Products. Grantee(s) may use a Proxy Server or enable Virtual Private Network (VPN) or other remote access mechanisms that conform to mutually acceptable industry practices.

d. Grantee shall exercise reasonable care and shall be responsible for all access control to ensure only Authorized Users and Other Users access the ACS Products for Permitted Use as defined herein. Grantee further agrees to notify ACS promptly upon learning of any violations of this Agreement by Authorized Users and Other Users and will cooperate with the ACS in investigating any such violations or unauthorized uses and in taking reasonable steps to prevent n reoccurrence. Grantee shall make reasonable efforts to provide Authorized Users and Other Users with appropriate notice of the terms and conditions under which access to and use of the ACS Products is granted under this Agreement including, in particular, any limitations on access or use of the ACS Products as set forth in this Agreement.

S. PERMITTED USES

a. Authorized Users and Other Users may view, download, save, or print individual articles, individual book chapters, proceedings, Reagent Chemicals monographs or other individual items from the ACS Products for their personal scholarly, research, and educational use and may transmit to a third party in hard copy or electronically, minimal, insubstantial amounts of the Licensed Materials for personal use or scholarly, educational, or scientific research or professional use but in no case for resale or Commercial Use, as described in this Agreement. Minimal and insubstantial amounts shall be non-systematic, infrequent and sporadic transmissions to a third-party. The aforementioned minimal and insubstantial use permission does not extend to nor include procedures and practices that might circumvent a licensed subscription requirement.

Authorized Users and Other Users may make a printed copy of individual articles, individual book chapters, proceedings, Reagent Chemical monographs, or other individual items from the ACS Products for the internal or personal use of others who are Authorized Users but who are unable to access the ACS Products. Authorized Users and Other Users may include (and are encouraged to provide) links to the ACS Products as part of course pack offerin~ or within e­ mail communications .

.b. Except as set forth in Prohibited Uses herein, Grantee may use the ACS Products to fulfill requests for InterLibrary Loan (JLL) according to the provisions of this Agreement by transmitting a copy of an article in PDF format via electronic transmission or by mail, fax, Ariel, or other InterLibrary Loan mechanisms. Pennitted ILL shall include requests to support non-commercial scholarly research by patrons of other libraries such as public, school or college libraries, Grantee agrees to fulfill such requests in compliance with § 108 of the United States Copyright Law (17 USC

c. Grantee or Authori:zed Users may provide print or electronic copies of individual items taken from ACS Products to national or international regulatory authorities in connection with the preparation or submission of the Grantee's or Authorized User's applications for drug and product approval, provided that such applications do not amount to commercial redistribution for direct profit. Grantee and Authorized Users may supply print or electronic copies of individual items taken from the ACS Products when required by law.

d. Fair Use: Nothing in this Agreement shall in any way exclude, modify or affect anything the Grantee or an Authorized User is allowed to do in respect of any of the ACS Products consistent with the Fair Use Provisions of United States Copyright Law.

e. As provided for in a certain text and data mining Rider attached hereto and incorporated by reference herein, Authorized Users may use the ACS Products to engage in text and/or data mining activities for non-commercial academic research and other non-commercial educational purposes, utilize and share the results of text and/or data mining in their scholarly work, and make the results available for use by others, so long as the purpose is non-commercial. Text and data mining will conform to the Text and Data Mining Rider attached to this Agreement and incorporated by reference herein. ACS will cooperate with Grantee and Authorized Users as reasonably necessary in making the ACS Products available in a manner and fonn most useful to Authorized Users.

6. PROHIBITED USES

a. Except as provided in Permitted Uses herein, Grantee, its Authorized Users and Other Users agree not to forward, transfer, sell, rent, or otherwise knowingly distribute or provide access to the ACS Products or any portions thereof, to any third party. Individual articles, individual book chapters, proceedings, Reagent Chemicals monographs or other individual items from the ACS Products and other information obtained under this Agreement may not be used for fee-for-service purposes such as document delivery, except under a separately negotiated transactional agreement. The ACS Products may not be used to fulfill ILL requests from a commercial organization or library that belongs to a for­ profit company without prior written approval of ACS.

Unless explicitly stipulated in this Agreement, no rights for "Commercial Use" are granted to Grantee hereunder. Commercial Use includes but is not limited to: • Copying or downloading of articles or other materials !Tom the ACS Products for further access, distribution, sale or licensing, for a fee; • The inclusion or incorporation of articles or other materials from the ACS Products in other works or services that are then available for sale or licensing, for a fee; • Use of articles or other materials from the ACS Products (other than normal quotations with appropriate citation) by for-profit organizations for promotional purposes, whether for a fee or otherwise; • Sale of translated versions of articles or other materials from the ACS Products that have not been authorized by license or other permission from the ACS.

b. Authorized Users and Other Users may not use ACS Products to support work perfonned on behalf of any commercial entity other than the Grantee. For the avoidance of doubt, academic research undertaken by Grantee's Authorized Users with financial support from a commercial entity shall not be considered work perfonned on behalf of a commercial entity if such access and work is perfonned with the primary purpose of benefitting the academic and/or not­ for-profit research mission of Grantee.

c. Authorized Users and Other Users may not modify, alter, or create derivative works of the materials contained in the ACS Products without prior written permission from ACS. Authorized Users and Other Users may use illustrations or other graphic excerpts or abstracts provided such use is with a complete citation and the inclusion of a persistent URL link to the appropriate material within ACS Products.

d. Individual articles, book chapters, Reagent Chemicals monographs, and other individual items from the ACS Products that include infonnation obtained as a result of access to the ACS Products are not to be systematically downloaded, re-distributed. re-published in any media, print or electronic form. Individual articles, book chapters, Reagent Chemicals monographs, or other individual items from the ACS Products may not be downloaded in aggregate quantities or centrally stored for later retrieval except as required for those non-commercial, academic purposes permitted under this Agreement, such as for use in text and data mining projects.

e. Grantee acknowledges that ACS may prevent Grantee, its Authorized Users and Other Users from using, implementing, or authorizing use of any computerized or automated tool or application to search, index, test, or otherwise obtain information from ACS Products (including without limitation any "spidering" or web crawler application) that has a detrimental impact on the performance of the services under this Agreement. Grantee agrees to assist ACS in correcting unauthorii.cd use of such methods or applications and acknowledges that in order to prevent such detrimental impact, ACS may from time-to-time implement tools or other controls on the ACS Products to regulate or restrict use of computerized or automated applications that are used to search, index, test, or obtain infonnation from the ACS Products. ACS acknowledges that Grantee may not be able to prevent its Authorized Users and Other Users from using such methods or applications.

f. Grantee is required to notify ACS of any infringements of copyrights or unauthorized use of which it becomes aware. Grantee will cooperate with the ACS in investigating any unauthorized uses and in taking reasonable steps to prevent a reoccurrence.

7. TRIAL AND/OR NEW SUBSCRIPTIONS

Grantee may from time to time during the Term of this Agreement desire access to other ACS products and/or !· services not identified in this Agreement as ACS Products, either for a limited, trial period ("Trial Subscription") to determine its usefulness or suitability to Grantee or for changes to the list of ACS Products for the remainder of the Term of this Agreement. Similarly, Grantee may from time-to-time during the tenn of this Agreement desire access to other ACS products and/or services through the Metered Access Plan {MAP). Grantee's access to and use of any and all such additional ACS products and/or services shall be subject to and governed by all applicable Tenns and Conditions of this Agreement.

8. ACCESS

a. ACS shall use reasonable efforts to provide continuous service seven (7) days a week with an average of 98% up-time per month, exclusive of scheduled maintenance. ACS shall use reasonable commercial efforts to provide continuous availability of ACS Products through the Internet. It is understood that availability will be subject to periodic interruption due to maintenance of the server(s), installation or testing of software, loading new infonnation files, and downtime related to equipment or services outside the control of ACS including public and private telecommunications services or Internet nodes or facilities. ACS shall not be liable for any delay, downtime, transmission error, software or equipment incompatibilities, force majeure or other failure of performance.

b. Upon termination of this Agreement for convenience or upon expiration of the Agreement, ACS will provide Grantee perpetual access rights to only those ACS journals that Grantee subscribed lo during the time Grantee had an active paid subscription to ACS Web Editions. Such digital access rights shall be contingent upon payment of an annual post-cancellation platform maintenance fee. Agreements that terminate through cause or default as the result of Grantee's material breach have no post cancellation rights under this program. Agreements that terminate through cause of default due to violations caused by ACS shall not affect potential post cancellation rights of Grantee. This Section 8.b. will survive termination ofthis Agreement

c. ACS wilt make reasonable efforts to maintain the legacy archive of journal articles published in PDF format between 1879 and 1995. ACS will make reasonable efforts to maintain the ACS Symposium Series Archive, Current Editions of the Symposium Series, and other similar eBook published content, online published in PDF and/or HTML fonnat. ACS will cooperate with Portico to deliver digitized print and electronic content for all products listed in

Revised October 2013 ACS Institutional Access Agrccmc:nt Page4or11 ~alifomia Digital Library University of California 236158~ this Section 8.c and to maintain the availability of that content in case of catastrophic failure, or in case it becomes commercially unreasonable for ACS to maintain on-going availability from its own servers. ACS' use of Portico technology, or its use of a comparable, industry-accepted company's technology, for backup and archival purposes and to provide access under the tenns of this provision is therefore expressly pennitted by Grantee.

e. ACS agrees to provide Grantee COUNTER compliant or, in the event that COUNTER is superseded by another reporting standard, comparable usage reports via a self-service web site on a monthly basis for applicable ACS Products subscribed to by Grantee under this Agreement.

f. ACS shall make reasonable efforts to comply with the Americans with Disabilities Act (ADA), Section 508 of the Rehabilitation Act Amendments, and provide Grantee current completed Voluntary Product Accessibility Template (VPAT).

9. DISPUTES

The Parties agree to enter into negotiations to resolve any controversy, claim or dispute ("Dispute") arising under or relating to this Agreement. The Parties agree to negotiate in good faith to reach a mutually agreeable resolution of such dispute within such time period as ACS and Grantee mutually agree. If the dispute is not timely resolved, the Parties agree, on request of either Party, to resolve the dispute by binding and final arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The arbitration shall take place at a location that is reasonably centrally located between the parties, or otherwise is mutually agreed upon by the parties. The arbitrator(s) shall be bound to follow the provisions of this Agreement in resolving the dispute, and may not award specific perfonnance or punitive damages. The decision of the arbitrator(s) shall be final and binding on the Parties, and any award of the arbitrator(s) may be entered or enforced in any court of competent jurisdiction. The Parties agree that the conduct and results of the arbitration will be kept confidential except as required by Jaw. Notwithstanding anything in this Section to the contrary, disputes in which there is a claim for injunctive relief or other equitable remedy, including specific performance, may be brought in any court having competent jurisdiction throughout the world.

10. TERMINATION

a. Termination for Default. If either party breaches a tenn of this Agreement, the other may send written notice of the breach, including a reasonable cure period ofnot less than thirty (30) days. If the breach is not cured within that time, or if the Parties do not reach a satisfactory agreement on extending the cure period, then the non-breaching party may tenninate this Agreement effective immediately upon written notice. In the event Grantee wishes to restore access after a termination for default, if the reduced access period is less than ninety (90) days, there will be no reduction in Grantee's current subscription price. Once Grantee's account is in good standing, ACS will provide Grantee with a prorated credit for its following year's subscription fee equivalent to the reduced or terminated access period.

b. Termination for Convenience. Either party may cancel this Agreement at any time by providing the other party with sixty (60) days prior written notice. In the event of such a termination by Grantee, Grantee shall not receive a pro-rated refund of the unused Access Fee, and in the event of such a termination by ACS, Grantee shall be entitled to receive a pro-rated refund of the unused Access Fee.

11. COPYRIGHTS; OTHER INTELLECTUAL PROPERTY RIGHTS

Except as otherwise specifically noted, ACS is the owner of all right, title and interest in the content of the ACS Products, including. without limitations, individual journals, articles, abstracts, book chapters, proceedings. All ACS Products arc protected under the Copyright Laws of the United States Codified in Title 17 of the U.S. Code and subject to the Universal Copyright Convention and the Berne Copyright Convention. Grantee agrees not to remove or obscure copyright notices. Grantee acknowledges that it has no claim to ownership of any part of the ACS Products or other proprietary information accessed under this Agreement.

12. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

ACS warrants that it is entitled to grant this Agreement. EXCEPT AS SET FORTH IN THE PRECEDING SENTENCE, ACS MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE ACS PRODUCTS INCLUDING THEIR QUALITY, ORlGINALITY, SUITABILITY, SEARCHABILITY, OPERATION, PERFORMANCE, COMPLIANCE WITH ANY COMPUTATIONAL PROCESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

ACS SHALL NOT BE LIABLE FOR: EXEMPLARY, SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT GRANTED HEREUNDER, THE USE OR INABILITY TO USE ANY ACS PRODUCT, ACS'S PERFORMANCE UNDER THIS AGREEMENT, TERMINATION OF THIS AGREEMENT BY ACS OR THE LOSS OF DATA, BUSINESS OR GOODWILL EVEN IF ACS IS ADVISED OR AW ARE OF THE POSSJBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ACS OUT OF ANY BREACH OR TERMINATION OF THIS AGREEMENT EXCEED THE TOT AL AMOUNT PAID BY GRANTEE FOR ACCESS TO ACS PRODUCTS FOR THE CURRENT YEAR IN WHICH SUCH CLAIM, LOSS OR DAMAGE OCCURRED, WHETHER IN CONTRACT, TORT OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, DUE TO NEGLIGENCE. The foregoing limitations and exclusions of certain damages shall apply regardless of the success or effectiveness of other remedies. No claim may be made against ACS unless suit is filed within one (I) year after the event giving rise to the claim.

13. GRANTEE'S AUTHORIZATION

Grantee represents and warrants that it has the right to enter into this Agreement on behalf of each and every one of the Consortium members.

14. INDEMNIFICATION

Copyright Indemnification: ACS shall defend, indemnify and hold Grantee harmless from all damages, costs, fees (including reasonable attorney's fees) resulting from any judgment or settlement agreement arising out of the claim by a third party that Grantee's use of the ACS Web Editions, as permitted herein, constitutes an infringement of any the copyright or other proprietary or intellectual property rights of any third party. Grantee shall give prompt notice of an infringement claim to ACS, provide such cooperation and assistance to ACS as is reasonably necessary to defend the claim, and shall allow ACS to have sole control of the defense, provided, however, that Grantee retains the right to participate in the defense at its own expense. The foregoing indemnity obligation shall not apply with respect to any claim of infringement of materials contained in ACS Web Editions which have been modified by Grantee without the prior authorization of ACS.

Each party shall indemnify and hold the other hannless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees, which arise from any alleged breach of such indemnifying party's representations and warranties made under this Agreement, provided that the indemnifying party is promptly notified of any such claims.

15. GENERAL

This Agreement sets forth the entire understanding of the Parties and, except as provided herein, may not be modified without the express written consent of both Parties. Grantee acknowledges that the delivery of the ACS Products will occur in the District of Columbia, USA. Grantee shall pay any taxes lawfully due from it, other than taxes on ACS's net income, arising out of Grantee's use of ACS Products and/or other rights granted under this Agreement. Grantee may not assign or transfer its rights under this Agreement without the express written consent of ACS.

The University of California reasonably believes that funds can be obtained sufficient to pay all monies due during the term of this Agreement and hereby covenants that it will do all things lawfully within its power to obtain, maintain, and properly request and pursue funds from which payments for this transaction may be made, including making provisions for such payments to the extent necessary in each budget submitted for the purpose of obtaining funding, using its bona fide best efforts to have such portion of the budget approved and exhausting all available administrative review and appeals in the event such portion of the budget is not approved. It is the University of California's intent to make payments for the full term of this transaction. The University of California represents that the use of the materials under this transaction are essential to its proper, efficient and economic operation.

17. MISCELLANEOUS PROVISIONS

a. Notice of the Use of Digital Rights Management Technology: [n the event that ACS utilizes any type of digital rights management technology to control the access or the usage of Licensed Product, ACS agrees to notify Grantee of the name, contact information and any technical specifications for the digital rights management technology utilized.

b. Notice of the Use of Digital Watermarking Technology: If ACS utilizes any type of digital watermarking technology for any element of the ACS Products, ACS agrees that watermarks will not degrade image quality. These watermarks shall not contain user-related information such as account number or IP address.

c. Option

In the event that ACS offers an open access option to its authors, ACS agrees to annually review the nwnber of open access articles published in the ACS Products under the open access option. For all ACS Products in which such articles are published, ACS will share with Grantee the following information:

• the number of articles published under the open access option by University of California authors, listed by journal title and campus.

• the number of articles published under the open access option by all authors, listed by journal title.

ACS will enter into good faith discussions with Grantee concerning open access business models and how these may influence future business models, including the potential impact on institutional subscription pricing.

18. ACCEPTANCE

Signing this Agreement constitutes acceptance by Grantee of the terms and conditions contained herein. Grantee warrants that it has read and understands this Agreement. ACS reserves the right to modify this Agreement at any time by posting the modified terms and conditions on the ACS Publications Web site. Any use of ACS Products after such posting shall constitute acceptance of the terms and conditions as modified. ACS reserves the right to unilaterally modify or change the contents of the TenllS and Conditions without notice, provided that such changes shall not materially affect the rights of the Grantee and the Grantee's Authorized Users under this Agreement. RIDER

Text & Data-Mining (TOM)

This Text & Data-Mining Rider is effective January I, 2016, and is attached to and is incorporated by reference in a certain ACS Publications Division Online Products Institutional Access Agreement by and between the American Chemical Society and the Regents of the University of California dated July !L 2016 (the "Agreement").

Capitalized terms used herein that are not otherwise defined shall have the meanings ascribed to them in the Agreement.

Definitions

"Text and Data Mining" means to perform extensive automated searches of ACS Products, including data embodied therein, the sorting, parsing, addition or removal of linguistic structures, and the sci ection and inclusion of ACS Products into an index or database for purposes of classification or recognition of relations and associations."

"TDM Output" means the result of any Text and Data Mining activity or operation, capable of fixation, reproduction and/or communication in any form, including without limitation the creation of an index, reference, abstract, relative or absolute description or representation of ACS Products, an algorithm, fonnula, metrics, method, standard or taxonomy describing or based on ACS Products, a relational expression or measurement, whether scalable or not, of ACS Products, extraction, alternative representation or translation of any extracts from mined ACS Products.

Clause 1 - Licensed uses: Text and Data Mining

The Grantee and Grantee's Authorized Users may use all of the ACS Products in the course and for the purpose of non-commercial research:

(a) for Text and Data Mining (TDM) by carrying out the following activities: download, extract and index infonnation from the ACS Products to which the Grantee has access under this Subscription Agreement. Where required, mount, load and integrate the results on a server used for the Grantee's text-mining system and evaluate and interpret the TDM Output for access and use by Authorized Users.

(b) store electronic copies of the ACS Products as necessary solely to ensure efficient use by Authorized Users in connection with their work on a TDM project and only during the lifetime of any project. Such locally stored . copies of ACS Products are not to be redistributed for any purpose or to be used for marketing of the Grantee or the Authorized User's research capabilities. This also includes any commercial research capabilities. 1

(c) use TDM Output as part of original non-commercial research carried out by Authorized Users and describe or otherwise reproduce extracts and quotations from TDM Output as part of original works of authorship, e.g. articles that describe, analyze, and interpret research. Where ACS Products are embodied, quoted or referred to, or where bibliographic metadata of ACS Products is displayed, it should be accompanied by a DOI link that points back to the individual full text item of ACS Products.

Revised October 2013 ACS Institutional Access Agreement Page 9 ofll ~alifomia Digital Library University of California 236158~ (d) not make the results of any TOM Output available on an externally facing server or website beyond the inclusion of a few lines of query-dependent text of individual full text items of ACS Products. In no event shall the TOM Output contain the inclusion of a persistent URL link to the appropriate material within ACS Products for unauthorized users to access substantial parts of a full-text work or database of ACS Products beyond the above limitation. ACS acknowledges that Grantee may not be able to prevent its Authorized Users from taking such actions. The Grantee will cooperate with the ACS in investigating any unauthorized uses and in taking reasonable steps to prevent a rcoccurrcnce.

(e) Subject to sub-clause l(d) above and clause 2 below, the Grantee may for non-commercial purposes communicate the TOM Output whether for internal or external use without creating products that substitute for ACS Products, provided that the Grantee may not make the results or the TOM Output in the form of data sets available to third parties for their use.

Clause 2 - Prohibited uses relating to ACS Products and TDM Output

(a) Subject to clause 1 above and unless agreed by separate written agreement. the Grantee and its Authorized Users may not engage in activities listed under (b. l to b.6).

(b. l) create derivative products or services that would compete with or be substitutable for the ACS Products;

(b.2) extract, develop or use ACS Products in any commercial activity;

(b.3) abridge, modify, translate ACS Products, or create any derivative work based on the ACS Products, except to the extent necessary to make them perceptible on a computer screen to Authorized Users;

(b.4) allow a third party to harvest any TDM Output to an internal server;

(b.5) remove, obscure or modify in any way any copyright notices, other notices or disclaimers as they appear in the subscribe Content;

(b.6) substantially or systematically reproduce, retain or redistribute the ACS Products. c) This clause 2, as well as the restrictions in sub-clause I (c) to l(e) shall remain effective and survive tennination of this Subscription Agreement, howsoever arising.

Clause 3 - Security, Grant of Access Rights, Formats and Delivery Mechanisms

The ACS and the Grantee agree to the following access protocols:

(a) The Grantee shall inform Authorized Users of ACS's Usage policies, including security and technical access requirements. Text and data mining may be undertaken on either locally loaded ACS Products or as mutually agreed.

(b) Grantee shall implement and maintain adequate and effective data security systems and measures, in line with international industry standards and best practice.

(c) In the event that Grantee or Authorized Users collect or otherwise process or use personal data contained within the ACS products, Grantee or Authorized Users shall be responsible for complying with applicable data

(d) Content to be used in TOM projects may be downloaded directly from a site where ACS hosts its content, subject to reasonable and customary restrictions, controls and limitations of this direct platform access. For example, the ACS may require the Grantee and Authorized Users to adhere to scheduling and staggering over time of any TDM activities to avoid detrimental impact on system performance in line with ACSs' policies referred to in clause 1.1.2 of this Agreement. ACS will work with individual Authorized Users on mutually acceptable arrangements to support the delivery of content outside of the ACS Platform for any TOM project requiring alternative delivery mechanisms.

(e) The ACS does not provide any warranty or assurance of fitness or availability of ACS" electronic servers and systems to carry out TOM or to extract TDM Output, nor of completeness or accuracy of any downloaded materials. f 1 Clause 4 -Breach and Termination I. (a) Breach: In addition to any contractual rights and remedies under applicable law, and in addition to rights ! and remedies as may be available to ACS as provided for in the Agreement attached hereto, with respect to this Text & Data Mining Rider, ACS shall retain the right to deny access to any TOM functionality by individuals where those individuals are in breach of any of the conditions of this Agreement inclusive of its Rider relating to TOM. Where Grantee or an Authorized User has made available any ACS Products or any resulting TOM Output to third parties except as set forth in this Text & Data Mining Rider or in the Permitted Uses of the Agreement attached hereto, ACS shall be entitled to tenninate rights granted under the Text & Data Mining Rider for the breaching individual.

(b) Termination: Removal of locally-loaded copies of ACS Products: Upon termination of any TOM grant of rights under this Rider or upon termination of the entire Agreement, howsoever arising. the Grantee shall destroy any copies of the ACS Products under Grantee's direct control (which the Parties acknowledge to be any person who participates in Text and Data Mining under the auspices of this Rider) if locally loaded for purposes of Text and Data Mining. The Grantee shall provide a certificate of destruction no later than 30 days after termination, signed by an authorized officer of the Grantee.

An addendum to this "License Fee" attachment (addendum lo license fee attachment, California State University system, participating campuses and ACS Products), is attached hereto and is incorporated by reference herein (the "Addendum"). During the Initial Term, the "License Fee" attachment and the Addendum, and its allocation of ACS Products to certain California State University System campuses, may be modified only upon mutual, written consent by the Parties to the Agreement.

Note: Subject to the limitations provided for, herein, for 2017-2020, the License Fee/Access Fee increases, as a percentage, for the California State University system will be the same, annually, as are the License Fee/Access Fee increases, as a percentage, for the University of California University system (the "U. C. System Annual Fee Increases"). In the event the Parties modify or otherwise amend the Addendum, so that an increase or decrease in the License Fee/Access Fee occurs with respect to the California State University system, then the U. C. System Annual Fee Increases will not apply in the calendar year that such License Fee/Access Fee change occurs. For subsequent years, however, during the Initial Term, the License Fee/Access Fee Increases, as a percentage, for the California State University system wilt be the same, annually, as arc the U. C.
