PURPOSE

The purpose of Democratic Woman’s Club of Kentucky (DWCK) is to promote the principles of the Democratic Party; to work toward unity among all Democrats; to encourage more women to join Democratic Woman’s Clubs and commit to the election of more Democratic candidates.

OBJECTIVES

• Increase the number of clubs each year.

• Provide assistance to clubs that need revitalization.

• Increase membership by retaining present members and recruiting new members.

• Emphasize the recruitment of young women.

• Conduct meetings efficiently and effectively with emphasis on increased knowledge, improved skills, and nourishment for positive political action.

• Work toward an informed membership through the newsletter; regular communication from the President, Officers and Com- mittee Chairs; and beneficial programs.

• Carry out the goals/objectives of the State Organization as spelled out in the handbook and abide by the Constitution and Bylaws as written.

• Foster active political action at the local, state, and national levels to elect Democrats at every level of service.

5 History of the Democratic Woman’s Club of Kentucky

The history of the Democratic Woman’s Club of Kentucky dates back to March 17, 1927, St. Patrick’s Day.

On that day, over 500 women assembled at the Seelbach Hotel in Louisville, Kentucky, to form and charter an organization of state Democratic women.

Their aim: to promote the principles of the Democratic Party in all communi- ties throughout the state in order to reach every voter before election day.

At the time, Kentucky women were new to the game of politics. Only a few women had arrived at positions of importance in the political world to repre- sent them.

Anne Shanks Bourne of New Castle was elected the club’s first President. She was elected a delegate to the 1924 National Democratic Convention held in New York and in 1928 she was elected a delegate to the National Democrat- ic Convention. She served on numerous committees at the local, state, and national levels.

Today, the Democratic Woman’s Club of Kentucky follows guidelines and for- mats as set out by the early pioneers of 1920s and 30s. Quoting from the first issue of the Democratic Woman’s Club Journal dated June 1928, Anne Shanks Bourne stated, “We have just completed the first milestone in our journey of democracy. Has it occurred to you that this organization is a band of politi- cal pioneers seeking a clearing through a wilderness of past endeavor? The journey is a difficult one, but with faith in our task and determination for its accomplishment, we are impelled to go on and on until victory is ours.”

On June 1, 1931, the Democratic Woman’s Club of Kentucky affiliated with the Woman’s National Democratic Club and today the Kentucky Democratic Woman’s Club is a member of the National Federation of Democratic Wom- en.

The official logo of the Democratic Woman’s Club of Kentucky was designed, adopted and copyrighted in 1984. The logo incorporates “A Rose for Woman- hood” and “A Rooster for Democratic Strength.” Mae Peniston, President of the Democratic Woman’s Club of Kentucky from 1982-84, is responsible for the design of the logo and for compiling the history of the club.

Since 1927, Kentucky Democratic women have continued to serve the Demo- cratic Party through strength, leadership, and commitment to the principles of the Party. January 1, Deadline to Submit Local Club Officers Contact Information 2020 DEMOCRATIC WOMAN’S CLUB OF KENTUCKY CONSTITUTION AND BYLAWS PREAMBLE Feeling the deep obligation imposed upon the women of Kentucky by the privilege of the ballot, and believing deeply in the principles of the Democratic Party, so long the benefactor of all classes, we dedicate this organization to the principles laid down by Thomas Jefferson, the father of the Democratic Party, and by Andrew Jackson, on whose sage wis- dom we still lean. We, therefore, pledge ourselves to stand for all that is highest and best in Kentucky womanhood and good government. For this purpose, we have associated ourselves together to carry on the organization of the Democratic Woman’s Club of Kentucky.

ARTICLE I. NAME The name of this organization shall be “Democratic Woman’s Club of Kentucky.”

ARTICLE II. OBJECT The object of this organization shall be: a. To promote the principles of the Democratic Party. b. To encourage harmony among all Democrats, both men and women. c. To urge Democratic women to become club members and all-year party workers. d. To aid campaign committees in electing the party nominees. e. To work for a party organization based on a fifty-fifty percentage (50%-50%) of men and women, beginning with the precinct and extending up through the state governing bodies.

ARTICLE III. MEMBERSHIP Section 1. Qualifications: Any woman registered as Democratic and entitled to vote under the laws of our state, who will be loyal to the principles of the Democratic Party, both in the primary and general elections, may become a member of the Democratic Woman’s Club of Kentucky. Section 2. Invitation to Membership: Any member shall have the right to invite for membership such women as she believes will add to the strength of the organization. Section 3. State Membership: In counties having no Democratic Woman’s Club, written application for membership may be made to the president of the Democratic Woman’s Club of Kentucky. Such membership shall be known as “independent active,” and such member shall pay dues of 9 Three Dollars ($3.00) annually to the club state treasurer, but shall have no vote at annual convention. Such member shall also agree to make every effort to initiate a Demo- cratic Woman’s Club in her county. Where local club bylaws permit, membership may be made to an adjacent or nearby county’s club. Full membership status may be attained if said local club bylaws permit. No woman shall be counted as a member of more than one club pursuant to Article VII Section 4.

ARTICLE IV. OFFICERS AND ELECTIONS Section 1. Officers: The elected officers of this club shall be: pres- ident, first vice president, second vice president, third vice president, recording secretary, treasurer, auditor, first mem- ber-at-large, and second member-at-large. Section 2. Term of Office: The term of each officer shall be two (2) years or until her successor is elected and installed. The president, first vice president, treasurer and first member- at-large shall be elected in even numbered years. The sec- ond vice president, third vice president, recording secretary, auditor, and second member-at-large shall be elected in odd numbered years. Where no nominations are made for an office, the office shall be filled pursuant to the bylaws as it relates to a Vacancy in Office in Section 8. Section 3. Members-at-Large: At no time, shall the two members- at-large be residents of the same congressional district, except in the case of a congressional district reapportion- ment, in which event, each member may continue to serve out the remainder of her term. Section 4. Corresponding Secretary and Parliamentarian: The corresponding secretary and parliamentarian shall be appointed by the president, their terms of office to be concurrent with that of the president. Section 5. Succeeding Terms: No elected officer shall hold the same office for the succeeding two years after expiration of the term for which she has been elected. Section 6. Primary Elections: No officer or member of the Board of Directors of the Democratic Woman’s Club of Kentucky shall publicly endorse or otherwise indicate preference for one Democratic candidate over any other Democratic candidate in a Kentucky Primary election in any manner which would indicate or imply endorsement by this organization or by the officeholder in her official capacity with the club. Any officer or board member found in violation of this section may be subject to dismissal from her office upon a two-thirds (2/3) vote of the Board of Directors. Section 7. Election and Installation of Officers: Officers shall be elected during the annual convention under the rules laid out in Article VII, Section 7, of this constitution and shall be installed and assume office at the close of the annual convention. Section 8. Vacancy in Office: In the event the office of the pres- ident shall become vacant, the first vice president shall succeed to that position for the unexpired term. In the event of a vacancy in any other state elective office, said office shall be filled by appointment of the president, with confirmation by the Board of Directors at its next regular meeting.

ARTICLE V. BOARD OF DIRECTORS AND EXECUTIVE COMMITTEE Section 1. Board of Directors: The Board of Directors of the Democratic Woman’s Club of Kentucky shall consist of the elected state officers, the corresponding secretary, district directors, chairpersons of the standing committees, chair- persons of special committees, Democratic National Com- mittee woman, all past presidents of the state club, and the current presidents of local Democratic Woman’s Clubs. a. The Parliamentarian shall serve in a non-voting capacity. b. In the absence of the district director, the district’s vote may be cast by the first associate director, the second associate director, the secretary, the treasurer (secre- tary-treasurer), in that order. c. In the absence of the local club president, the club president’s vote may be cast by the first vice president, second vice president, third vice president, secretary, treasurer, in that order. Section 2. Meetings: Any elected or appointed member of the Executive Committee as set out in Section 3 of this Article who fails to attend three (3) board meetings in a calendar year, without an excuse by the Executive Committee shall be automatically removed from the board, provided how- ever, that any such member shall be entitled to a hearing 11 before the Executive Committee upon written request. If good and sufficient cause is demonstrated in such hearing, the board may rescind the action by a two-thirds (2/3) vote. The Board of Directors shall have three (3) regular meet- ings each year, the third meeting to be held on the evening preceding the annual convention. Notice of all board meetings shall be provided to members ten (10) days prior to the date set by the president. Special meetings may be called by the president and SHALL be called upon request of three (3) members of the board, with ten (10) days writ- ten notice. Section 3. Executive Committee: The Executive Committee shall consist of the elected state officers of the club. The corre- sponding secretary shall meet with them in a non-voting capacity. Meetings of this committee may be called by the president. The committee shall be empowered to act on behalf of the Board of Directors, provided a quorum is present and a two-thirds (2/3) vote is received. Any action of said Executive Committee, presumably of any emergen- cy nature, shall be reported to the Board of Directors at its next regular meeting for approval.

ARTICLE VI. COMMITTEES Section 1. Standing Committees: There shall be the following standing committees: Constitution and Bylaws, Conven- tion Site Selection, Hospitality, Handbook, Legislative, Public Relations, Publications, Ways and Means, Finance, and Scholarship. The president shall appoint a chair, a vice chair, if deemed necessary, and all members of the above committees, with the exception of Finance (see Article VIII, Section 1). Vice chairs and committee members are not members of the Board of Directors. Section 2. Special Committees: The president shall appoint the chair, one vice chair, if deemed necessary, and all members of such special committees as she may deem necessary. She shall designate their duties, and the term of their ap- pointment (not to exceed the term of the president). Vice chairs and committee members are not members of the Board of Directors. Section 3 Vice Chairs and Committee Members: Vice chairs and committee members may attend board meetings but shall have no vote. However, in the absence of a commit- tee chair at a board meeting, the vice chair may vote.

ARTICLE VII. ANNUAL STATE CONVENTION Section 1 Purpose: The Democratic Woman’s Club of Kentucky shall meet in an annual convention during the period from September 15 to October 15 for the purpose of receiving reports, electing officers, and carrying out any other busi- ness that may come before it. Section 2. Call: The Call to Convention shall be issued by the pres- ident to the Board of Directors and district officers, desig- nating the time and place of said convention and urging the attendance of all members of the Democratic Woman’s Club of Kentucky, be they authorized voting delegates or not. Section 3. Voting Body: The voting body of the convention shall consist of the delegates of the local clubs or their alter- nates, members of the Board of Directors (this includes the local club presidents), and all district officers. Section 4. Delegates and Alternates: Delegates and alternates to the annual convention shall be elected by local clubs at a meeting preceding the annual convention, each club being entitled to one delegate and one alternate for the first ten (10) members, and one (1) delegate and one (1) alternate for an additional six (6) to nine (9) members, whose dues have been paid by June 30th. New clubs formed between June 30th and August 15th may become entitled to delegates and alternates at convention by paying annual dues to the state treasurer no later than August 15th. No woman shall be counted as a member of more than one club for the purpose of determining the number of delegates and alter- nates to which a club is entitled (see Article X, Section 5). Section 5. Convention Committees: The president shall appoint the following convention committees: Rules, Credentials, Election, and Resolutions. The parliamentarian shall serve as a member of the Rules Committee. The treasurer shall serve as a member of the Credentials Committee. The cor- responding secretary shall serve as a member of the Resolu- tions Committee. Section 6. Credentials: The state treasurer shall furnish to the presi- dent of each local club, credential cards, for the president, the delegates, and the alternates. This credential card, signed by the local president and treasurer, is to be presented by each individual when voting at a convention. 13 Section 7. Elections: The annual election of state officers shall be conducted by the president. Nominations may be made from the floor and are recorded by the recoding secretary. Where two or more nominations are received, voting shall be by secret ballot. The Election Committee shall furnish official ballots, distribute them to authorized members of the voting body, collect said ballots, count them, and report the official results to the recording secretary and convention membership. Any candidate for office may designate one representative to serve with the Election Committee. Any questions regarding proper procedure in an election shall be referred to the Rules Committee for final adjudication. Any Rules Committee member who is a candidate for office shall disqualify herself from any ruling involving her candidacy. Section 8. Convention Site Selection Committee: This commit- tee shall be a standing committee of the Board of Directors and shall be charged with the responsibility of securing future state convention sites for not less than three (3) years in advance. The committee shall (a) encourage advance invitations from local clubs; (b) assist local clubs interested in hosting a future state convention with selecting potential convention site(s) and hotel facilities: (c) assist local clubs with the detailed invitation to the State Board of Directors.

ARTICLE VIII. FINANCES Section 1. Finance Committee: There shall be a Finance Commit- tee composed of the president, treasurer, and chair of the Ways and Means Committee, which shall administer the club’s fund with the approval of the Board of Directors. Section 2. Annual Dues: Annual dues shall be two ($2) dollars per capita for members of this organization, of which fifty ($.50) cents shall be forwarded to the District Directors for district use. All dues are payable to the state treasurer before June 30th of each year. Section 3. Treasurer: The treasurer shall present for approval, at each Board of Director’s meeting, a report on the current state of the club’s finances and said report shall be incor- porated in the minutes. The treasurer shall present for approval to the total membership at the annual convention, a report on the state of the club’s finances for the twelve (12) months preceding the convention. Section 4. Auditor: The auditor shall have access to all books and records kept by the treasurer. She shall audit said books and present a report to the full membership during a busi- ness session of the annual convention. Section 5. Financial Records: In even years, the out-going treasur- er’s books, statement and all other financial records, along with a copy of the auditor’s report, shall be turned over to the incoming treasurer no later than fifteen (15) days following the close of convention. Section 6. Expenses: No state or district officer, member of the Board of Directors, or any other member of the Democratic Wom- an’s Club of Kentucky shall receive any salary or compensa- tion for duties performed. The president shall be reimbursed for reasonable expenses, including but not limited to, station- ary, printing, postage, in-state travel, and such supplies as she may need to carry out the duties of her office. In-state travel shall be defined as travel within the state to events where the president’s attendance is required or where she is a featured speaker or special guest. Reimbursement for in-state travel shall based on submitted receipts for gas purchase, tolls, or parking fees. Registration or additional fees for events shall be submitted to the Finance Committee for review. Reim- bursement requests shall be accompanied by a voucher and supporting receipts or documentation. The president shall additionally be reimbursed for reasonable expenses incurred as a delegate to the annual convention of the National Fed- eration of Democratic Women including registration fees, travel, food and lodging. The president may be reimbursed for additional out-of-state expenses when approved by the Board of Directors. Said expenditures shall be recorded and approved by the Finance Committee and made a part of the treasurer’s report.

ARTICLE IX. DISTRICT ORGANIZATION Section 1. District Officers: The elected officers of each congressio- nal district organization shall consist of a director, first associ- ate director, second associate director, secretary and treasurer (or secretary-treasurer). The offices of secretary and treasurer may be separate or combined in one office according to the desire of each district. This decision will be made by majority vote of the qualified voters present and voting at the district’s election meeting. The first and second associate directors may 15 not be from the same county, except in the case of a sin- gle-county district. It shall be the duty of the district director, with the assistance of the associate directors, to organize clubs within the district, to assist existing clubs whenever possible, to call a minimum of three (3) lmeetings annually (one being the annual district meeting), to keep club presidents informed on district and state political activities, and to submit an annual report at the state convention. All district officers may attend Board of Direc- tors meetings, but only the director is a member of the board and has a vote. All district officers shall abide by Article IV, Section 6, concerning primary elections. Section 2. Term of Office: The term of each district officer shall be for two (2) years or until her successor is elected and installed. No officer shall hold the same office for the- suc ceeding two (2) years after expiration of the term for which she shall have been elected. Section 3. Election and Installation: District officers shall be elected in even-numbered years during the annual district meeting. Elections shall be conducted under the Rules for Election of State Officers set forth in Article VII, Section 7, and qualified voters shall consist of those issued credentials by the district treasurer (or secretary-treasurer). District officers shall be installed and take office at the close of the annual district meeting. Section 4. District Meetings: District meetings may be called by the district director with three (3) weeks written notice to local club presidents: (a) The local club president shall give a two (2) weeks no- tice of the meeting to all members by telephone or in writing, and shall place notice in the local newspaper; (b) In even years, the annual district meeting shall be held during the period from June 30th to September 30th, for the purpose of holding elections and conducting other business: (c) In even years, if no election has taken place by the beginning of the annual state convention, the state president shall call a district meeting and election, to be held during the state convention. Section 5. Delegates and Alternates: Delegates and alternates to the annual district meeting shall be elected by local clubs within that district, each club being entitled to one (1) delegate and one (1) alternate for each ten (10) members, and one (1) delegate and one (1) alternate for six (6) to nine (9) additional members, whose dues have been paid by June 30th. New clubs formed after this date may become entitled to delegates and alternates at the district meeting by paying annual dues to the state treasurer no less than fifteen (15) days prior to the start of the district meeting. The president of each club is additionally a qualified delegate by virtue of her office. In the absence of a local club president, second vice president, third vice president, secretary, or treasurer of her club in that order. No woman shall be counted as a member of more than one club for the purpose of determining the number of delegates and alternates to which a club is entitled as set forth in Article X, Section 5. Section 6. Credentials: The district treasurer (or secretary/treasurer) shall determine from the state treasurer the allotted number of entitled delegates from each club within her district, and shall so inform the president of each club. The local pres- ident shall provide a list and affirm the credentials of each delegate and alternate to the district treasurer (or secretary/ treasurer). Section 7. Voting: The voting body of the annual district meeting shall consist of the authorized delegates or their alternates, and the district officers. Section 8. Expenses: The district director and the treasurer (or secretary/treasurer) shall jointly administer the district’s funds, with the approval of the State Board of Directors. All funds received by the district organization shall be kept and recorded by the treasurer (or secretary/treasurer). No district officer shall receive any salary or compensation for the performance of her duties. District officers may be reimbursed for reasonable expenses, including: travel with- in the district, stationery, postage, supplies and telephone. No district funds shall be used to reimburse any district officer for expenses incurred in traveling to and from any state Board of Directors meetings or the state convention. The secretary (or secretary/treasurer) shall take minutes of all district meetings and send a copy of the minutes to the state president immediately following each district meeting. The treasurer (or secretary/treasurer) shall keep an accurate record of all finances and expenditures, and 17 shall prepare a written financial report to be submitted for approval at each regular Board of Directors meeting and at the annual district meeting. All of these records shall be kept up-to-date and available to Democratic women in the district. Any district officer not abiding by this article may be removed from office by the state Board of Directors by a two-thirds (2/3) vote. However, upon written request, any such district officer shall be entitled to a hearing before said board. If good and sufficient cause is demonstrated in such hearing, the board shall not remove said district officer. Section 9 Vacancy in Office: In the event of a vacancy in the office of district director, the first associate director shall succeed to that position. In the event of a vacancy in the position of any other district office, the director shall appoint a person to fill said office until the next regular election. Section 10 Redistricting: In the event of any redistricting of the congressional districts, the Democratic Woman’s Club of Kentucky shall recognize the boundaries which existed at the time of the last district election for purposes of district organization and officers, until such time as the next district election is held.

ARTICLE X. LOCAL CLUBS Section 1. Organizing Clubs: Any Democratic woman who is eligi- ble for membership in the state club and desires to organize a club in her own community shall apply to the district director, the associate directors, or state president. Section 2. Bylaws: The newly organized club may adopt such bylaws or rules of order as best fit its local needs; provided, however, that such bylaws and rules of order do not conflict with the constitution of the Democratic Woman’s Club of Kentucky. In order to qualify as a member of the state club, the local club must hold at least four (4) meetings each year. Section 3. Election of Officers: All officers of local Democratic Woman’s Clubs shall be elected by November 30th of each year. Names and addresses of new officers shall be sent -im mediately to the State President, State Treasurer, and State Corresponding Secretary. Section 4. District Membership: Local clubs in counties which have been divided into two or more congressional districts shall be deemed to be within the district of their choice. Section 5. Dual Membership: No woman shall be a member of more than one local club for purposes of determining the number of delegates and alternates to which a club is entitled at the annual state convention or annual district meeting. In any case where a woman is a member of more than one club, membership for the purpose of determining the number of delegates and alternates to which a club is entitled shall be deemed to be with the club of the member’s choice, and each such member shall, prior to June 15th of each year, advise the president of each club of which she is a member of said selection. ARTICLE XI. QUORUMS Section 1 Annual Convention: Representation for twenty percent (20%) of the organized clubs, along with a majority of the members of the Board of Directors, shall constitute a quo- rum at the annual convention of the Democratic Woman’s Club of Kentucky. Section 2 Executive Committee and Board of Directors: A majority of the members of the Executive Committee or a majority of the Board of Directors shall constitute each body’s respective quorum. Section 3. District Meetings: Representation from fifty percent (50%) of the organized clubs within the district shall consti- tute a quorum at district meetings.

ARTICLE XII. PARLIAMENTARY AUTHORITY The rules contained in the latest edition of Robert’s Rules of Order, Newly Revised, shall govern the club in all cases to which they are applicable and in which they are not inconsistent with this constitution and with any special rules or order the club may adopt.

ARTICLE XIII. ADMENDMENTS Section 1. Requirements: The constitution of the Democratic Woman’s Club of Kentucky may be amended or revised at the annual convention of the club by a two-thirds (2/3) vote of those present and voting, provided a thirty (30) days notice has been given, in writing to each member of the Board of Directors (this includes local club presidents). Section 2. Time of Effectiveness: Amendments approved at the convention shall go into effect at the close of the conven- tion.

19 STANDING RULES

1. It shall be the policy of this club to screen carefully all requests for funds from outside individuals or organizations. These requests may be granted only if such requests are clearly com- patible with the purpose of this organization and can be shown to further that purpose. 2. Any proposal for outside expenditure of funds exceeding fifty dollars ($50) shall be presented in writing, with a detailed explanation of its proposed use, to the Executive Committee or to the Finance Committee, at least fourteen (14) days prior to the board meeting at which it will be presented. The com- mittee shall study the request, gathering further information if needed, and present the request to the board with a recom- mendation for or against the proposal. 3. Any in-club expenditure, which exceeds fifty dollars ($50) and is not specifically authorized in the constitution or in the budget, shall be referred to the Executive Committee or to the Finance Committee for study and recommendation to the board. 4. The three vice presidents shall perform whatever duties the president may assign. In the absence of the president, the first vice president shall preside at Executive Committee, Board of Directors, and annual convention meetings. Additionally, specific areas of responsibility for the vice presidents shall be as follows: a) the first vice president shall be on the finance committee and shall assist the treasurer in the general area of finance; b) the second vice president shall work with the president in the general area of members; c) the third vice president shall work with the district organizations, keeping in touch with the district directors and giving them assistance where needed. 5. The two (2) members-at-large shall perform such duties as the president may assign. Additionally, the first member-at-large shall be on the Ways and Means Committee, and the second member-at-large shall be on the Publications Committee. 21 “HOW TO START A LOCAL CLUB” The Democratic Woman’s Club of Kentucky has many clubs in counties throughout the Commonwealth of Kentucky. However, there are several counties throughout our state were there are no local clubs for Democratic women to participate. It is not hard to start a club. One only needs to organize a group of women to take up the cause.

Any Kentucky woman is eligible for membership: • who is registered as a Democrat • who is entitled to vote under the laws of our state and • who will be loyal to the Democratic Party, both in primary and general elections.

If a county does not have a local club, a woman may submit a written application for membership to the DWCK President. The member will be known as an “Independent Active” and will pay a $2.00 member- ship fee to the DWCK Treasurer. The “Independent Active” member will agree to work, organize and initiate a club in her county.

To start a local county club, the potential club will apply to the DWCK President, their District Director or their Associate Director(s) for a club charter (contact information in handbook or on DWCK website). The new club will adopt Bylaws or Rules of Order that fit the needs of their club, as long as such does not conflict with DWCK Constitution and Bylaws. (Sample Bylaws are found on page 45 of the DWCK hand- book.)

The local club MUST have at least four (4) meetings per year. Each year, prior to State Convention, the club will submit to the state club an annual “Scorecard,” found in the handbook on page 51. Also, each club will set their specific annual dues. The club’s treasurer will submit $2.00 per member to the DWCK Treasurer, of which 50 cents will be sent to the district and 50 cents will go to the scholarship fund.

The club must elect officers by December 15th of each year. The names and contact information of the newly elected officers must im- mediately be submitted to the DWCK president, treasurer and corre- sponding secretary.

The DWCK state officers, District Directors/Officers and other county clubs will be happy to help any county establish a new club where there is not one. You need only contact us! TIPS FOR CLUB PRESIDENTS Congratulations! You are now the public symbol of your club, the chief organizer of all activities, arbitrator of all disputes, builder of morale, source of inspiration, and liaison officer with all other Party organizations and individuals. Here are some tips from others who have “been there.” • Study your club bylaws. Know the duties of all officers and committee chairs. • Be sure they know their duties and understand routine procedures they must follow. • Call a meeting of your officers and invite their suggestions. • Appoint your committee chairs thoughtfully and carefully, remembering that these positions are the best training ground for future leadership. Program, publicity, membership, ways and means, and scholarship are committees which are basic to your club. • Help your chairpersons choose committee members, and encourage them to call meetings of their committees regularly. Discourage them from bringing unresolved matters to the floor in general meetings, or board meetings. • Adopt a budget for routine expenses, such as postage, printing, etc. • Brush up on Robert’s Rules of Order for basic parliamentary proce- dures. • Get acquainted with your County Chairperson and other Democratic officials in your county. Ask them how the club can help them, and how you can work together for a stronger Party. • Call board meetings regularly, for prior discussion of matters to be brought before the membership and for general planning. • Send officers’ names and addresses immediately after the election to President of DWCK; report to her on activities and ask for advice or help if needed. • Have interesting programs and speakers at each meeting and use “Tips For A Successful Meeting” to enhance your term. If it comes up on the floor first, refer it to proper committee unless it is urgent. • Keep business meetings brief. Arrange so your speaker does not have to sit through your business meeting. • Keep introduction brief. • Start and end your meetings on time. SAMPLE BYLAWS The following Sample Bylaws for local clubs are intended as a guide and any changes may be made to conform with local practices, pro- vided, however, that local bylaws DO NOT conflict with the Con- stitution of the Democratic Woman’s Club of Kentucky. Standing rules may also be adopted to cover such items as committee duties, policies on gift giving, fines, etc., rather than have such items incor- porated into the body of the bylaws. Standing rules are adopted without previous notice by majority vote. They may be amended or rescinded by two-thirds (2/3) vote without previous notice. They remain in force until amended or rescinded. Any items in parenthe- ses in these sample bylaws are suggestions of options and should not be written in.

ARTICLE I Section 1. The name of this organization shall be the Democratic Woman’s Club.

ARTICLE II Object Section 1. The object of this organization shall be to promote the principles of the Democratic Party; to encourage har- mony among all Democrats, both men and women; to urge Democratic women to become club members and all-year party workers; to aid campaign committees in electing the party nominees. Section 2. This club shall take no part in supporting one candidate over another in any primary election, nor shall any mem- ber or officer be permitted to do so in the name of the club.

ARTICLE III Membership Section 1. Any woman registered as a Democrat and entitled to vote under the laws of our state who will be loyal to the principles of the Democratic Party and support the can- didates of the Democratic Party may become a member of this club. Section 2. Any member shall have the right to invite for 25 member ship such women as she believes will add to the strength of the organization. Section 3. A member in good standing is one who meets the require- ments of Article III, Section 1, and has paid membership dues for the current year. ARTICLE IV Officers and Elections Section 1. The officers of this club shall be a president, vice presi- dent, secretary and treasurer. (Others may be added if needed: for example, second vice president, correspond- ing secretary). Section 2. Pursuant to Article X, Section 3, of the Constitution of the Democratic Woman’s Club of Kentucky, all officers shall be elected annually at the November meeting and installed at the December meeting. Names and addresses of new officers shall be sent immediately to the state president and treasurer. Section 3. All officers shall serve an elected term of one (1) year with the privilege of running for a second term in the same of- fice. No officer may serve more than two (2) consecutive terms in that office. Section 4. The president shall appoint a Nominating Committee of three (3) members of the club at the October meeting; this committee will prepare a slate of officers to present to the membership at the November election meeting. Nominations may be made from the floor. Voting shall be by secret ballot if there are two or more candidates for any position. Section 5. Only persons whose names have been registered with the club secretary sixty (6) days before the annual election and whose dues have been paid for the membership year, shall be eligible to vote. Section 6. Only persons who have been members for one (1) year prior to the annual election and whose dues have been paid shall be eligible to hold office. Section 7. In the event of a vacancy in the office of president, the vice president shall succeed to that position. In the event of a vacancy in any other office, the president shall ap- point a person to fill that office until the next regular elec- tion. ARTICLE V Executive Board Section 1. The Executive Board of this club shall consist of the elected officers, chairs of the standing committees and the immediate past president. Section 2. Meetings of the Executive Board may be called by the president and shall be called upon the written request of three (3) members of the Executive Board upon ten (10) days notice. Section 3. A majority of the members of the Executive Board shall constitute a quorum.

ARTICLE VI Duties of Officers Section 1. The duties of the president shall be to preside at all meet- ings of the club and of the Executive Board, appoint all standing committees, special committees, and to coor- dinate all aspects of the club’s operation. She shall be a member ex-officio of all committees except the Nominat- ing Committee. In the absence of the president, the vice president shall perform the duties of that office. The secretary shall keep accurate minutes of the business at each meeting of the club and of the Executive Board, in permanent form. She is custodian of the records and papers of the club. She sends the names and addresses of the newly elected officers to the state president, state trea- surer, and state corresponding secretary. She shall attend to all correspondence of the club. (These duties may be divided between the recording secretary and correspond- ing secretary, if desired). The treasurer is custodian of all funds of the club and shall collect, hold, and pay out such funds as directed by the club. She shall keep accurate books of all ac- counts open to inspection. She gives an itemized report of receipts and disbursements at business meetings, and submits in writing an itemized annual report of receipts and disbursements. She sends dues notices, issues

27 membership cards, and keeps an accurate list of mem- bers in good standing.

ARTICLE VII Meetings Section 1. The number of meetings each year may be more than, but no less than the minimum number required by the Democratic Woman’s Club of Kentucky. Section 2. The time and place for these meetings shall be decided by the president and confirmed by the Executive board, and members shall be notified. Section 3. A quorum shall consist of ____% of the current mem- bership. ARTICLE VIII Finances Section 1. Annual dues shall be $______payable by (date) each year. Per capita dues shall be paid to the state club as required in Article IX of the Constitution of the Democratic Woman’s Club of Kentucky. Section 2. ARTICLE IX Rules of Order Robert’s Rules of Order, Newly Revised, 2011 edition, shall govern all points of parliamentary law not covered by these bylaws.

ARTICLE X Amendments These bylaws may be amended or revised at any regular meeting of the club by a two-thirds (2/3) vote of those present and voting, pro- vided previous notice of thirty (30) days has been given, in writing, to the membership. (These descriptions of committee duties can be made Standing Rules:) Program Committee shall be responsible for all programs. These should be varied and in harmony with the purpose of the club and the interest of the members. Membership Committee shall be responsible for maintaining a full membership and securing new members. Publicity Committee shall be responsible for reporting all news and activities of the club through press, radio and television, and for keeping a scrapbook of publicity clippings. Ways and Means Committee shall devise ways and means of supple- menting the budget as necessary. Such plans must be approved by the president and executive board. All funds will be handed by the treasurer, who shall be a member of this committee. Scholarship Committee shall organize and manage the competition to select the club’s candidate for the scholarship given each year by the state club, according to the rules established by the state club.

After review of all local applications submitted, the local Democratic Woman’s Club Scholar- ship Committee will nominate and forward the winning application, along with a letter of introduction, to the Democratic Woman’s Club of Kentucky Scholarship Chair for competition at the state level. Lo- cal club must postmark State level applications by March 1. • All decisions by the Democratic Woman’s Club of Kentucky Scholarship Committee are final. • DWCK Scholarship Committee will notify the local Democratic Woman’s Club of the Scholarship Winner. The local club will notify their local winner. 39 ROOSTER BOOSTER MEMBERSHIP CONTEST Club Presidents: Before August 31st, complete this form and mail it to the State Second Vice President, noting the points your club has met during the period July 1st (of the prior year) through June 30th of the current year. All clubs are eligible and encouraged to participate in the Rooster Booster Contest. The goal of the Rooster Booster Contest is for the DWCK to R.I.S.E. Reward clubs with the most new members under age 40 Increase new membership in each club overall Sustain membership in all clubs Encourage growth of new clubs in dark counties Under the current guidelines the following applies to the contest: Small Clubs – up to 40 regular members Medium Clubs – 50 to 99 regular members Large Clubs – 100 or more regular members A club’s category (small, medium or large) will be determined by the number of paid regular members on July 1st of the previous year. In 2016, the Superstar Award was created. This award goes to an out- standing Democrat woman who has exceeded all the club could ask - either run for state office, received high state or national awards, worked beyond the state level for the betterment of club ideals. The Awards Committee shall determine if the entry shall be designated for the Anne Shanks Bourne Award (statewide achievement) or for the Rose Award (local involvement and achievement), or for the Superstar Award (for an outstanding level of success above club involvement).
