University Circle Incorporated's ("UCI") primary purpose is to serve as an overall vehicle for public betterment in the University Circle area . The University Circle area is a unique community of over 45 charitable and educational institutions, such as the Cleveland Museum of Art, Case Western Reserve University, Western Reserve Historical Society and University Hospitals of Cleveland, comprising approximately 500 acres on Cleveland's east side . As a result of social and economic changes, the University Circle area has over the years been threatened with destruction from urban decay on account of the deterioration in the neighboring areas . To prevent further deteriorations, and to keep the area vibrant and filled with residents and visitors, UCI's Amended Articles of Incorporation authorize it to plan for and assist in the development and operation of programs for the benefit of the University Circle area and adjacent areas by providing for the relief of the poor and distressed or underprivileged, and by combating community deterioration and lessening the burdens of government . Among other things, UCI engages in programs that (i) provide, or assist others to provide, housing to persons of low or moderate income pursuant to the policies of the Housing and Urban Act of 1968, as amended from time to time, (ii) provide parking facilities to employees of and visitors to the charities and educational institutions, (iii) provide police protection to the charities and educational institutions as well as the general public visiting the University Circle area, and (iv) in general, promote an educational and cultural awareness intended to bring people into the University Circle area . UCI believes that these programs promote the viability of the University Circle area and the charities and educational institutions located therein, and, thus, serve its primary purpose of being an overall vehicle for public betterment in the University Circle area . a . The Centralized Parking Operation managed $9,280,399 by UCI is for the benefit of all University Circle Institutions and their users . There are over 10,250 spaces in the system consisting of surface lots and parking structures . A portion of the spaces are owned by member institutions with the balance being owned by UCI . b . The Busing Program operates 18 vehicles 24 hours $1,134,191 a day providing free transportation among Circle Institutions, parking facilities and City of Cleveland bus and rapid transit stops within University Circle . (Grants and Allocations $ -0-)

c . The University Circle Police Department is $2,236,229 a private police force whose authority comes from the City of Cleveland . The police force patrols the University Circle area - approximately 500 acres . There are 25 fully trained and commissioned police officers in the department . (Grants and Allocation $ -0-)

Form 990-T is being filed as a result of a technical advice memorandum issued to the organization on October 6, 1982 . That document determined that security, landscaping, and snow removal activities of the organization are unrelated business income .

UCI has reflected in the Form 990-T Return certain management fees as unrelated business income, as claimed by the IRS with respect to management fees in the fiscal years ended June 30, 1983 and 1984 . While UCI paid the deficiency asserted by the IRS for such years, UCI disagreed with that characterization and reserved the right to file a claim for refund . Similarly, it reserves the right to file a claim for refund for the current year also .

University Circle Incorporated asserts that the management fees noted above are related business income in reliance on (i) Regulation Section 1 .513-1(d) (1) and (2) since, such activity contributes importantly to the performance by University Circle Incorporated of its exempt function ; (ii) Section 513(a)(2) and Regs . Section 1 .513(e) (2), expressly providing for such treatment with respect to an activity primarily for the convenience o£ a member ; and (iii) Revenue Ruling 80-278, 1980-2 C .B . 175 and Revenue Ruling 80-279, 1980-2 C .B . 176 . Technical Advice issued by the National Office o£ the IRS and received by UCI from the District Director, Cleveland, Ohio, with a cover letter dated October 6, 1982, held that the police, parking and busing functions were exempt functions .

The Technical Advice held that the UCI police activity is in furtherance of UCI's charitable purposes of preventing community deterioration and lessening neighborhood tensions . (Page 7 of such Technical Advice)

The Technical Advice also held that in order to accomplish UCI's charitable purpose of promoting the use of its member's facilities, it is necessary to provide adequate parking facilities ; and that accordingly, the operation of the parking facilities as described in the materials submitted to the National Office does not constitute an unrelated trade or business under Section 513 of the Code . The Technical Advice concluded that the bus service primarily promotes the common good and general welfare of the community because it enables members o£ the public to travel around in an area where public facilities and exempt organizations are located, and is a charitable activity within the meaning of Section 501(c) (3) of the Code . The rental income described was derived by UCI from real property owned by it and held by it in the performance of its land bank function, until such real property is needed by an exempt organization, a member of UCI, in the physical expansion of the charitable or other exempt function activities of such exempt member organization . The land bank function was among the principal functions for which UCI was organized, and was described in its original request for a tentative determination letter to the District Director, Cleveland, Ohio in 1957, and in its request for confirmation of that determination in February 1959, and from time to time thereafter when it submitted requests for additional determinations .

The land bank function of UCI, i .e . the acquisition of real property and retention of such property until needed by a charitable institution that was a member of UCI in connection with the expansion and development of the charitable activities of such member institution was among the principal purposes of UCI when initially created in 1957 . Under the Articles of Incorporation, UCI is authorized to acquire and make available by sale, gift or otherwise to any corporation, trust, fund or foundation organized and operated exclusively for charitable, scientific and literary or education purposes, real property located in or adjoining the community .
