Reference is made to the FCC Form 383 (First Round Conflict Decision) filed on behalf of Station WTOG St. Petersburg, Florida, by International Inc. ("Viacom"), its licensee, and a wholly owned subsidiary of Viacom Inc.'

WTOG operates on NTSC (analog) channel 44 and digital (DTV) Channel 59. In the First Round of the FCC's DTV channel election process. Viacom elected its NTSC Channel 44 for the post-transition digital operations of WTOG.

By letter dated June 7. 2005, the FCC notified Licensee that the proposed digital operation of WTOG on its elected Channel 44 would result in 0.4% interference to the proposed operation of WI'VK-DI', Naples. Florida on its elected DTV Channel 45. WTVK is licensed to ACME Television Licenses of Florida. LLC ("ACME").

Viacom wishes to retain its first round channel election for WTOG without reducing power, and ACME, believing the resulting interference to WTVK. which occurs outside its market, is insignificant, is willing to accommodate Viacom's election. Accordingly, as reflected by the attached letter, ACME has agreed to accept the interference that would result from WTOG-DT's currently proposed operation on NTSC Channel 44 to WTVK's currently proposed digital operation on DTV Channel 45.
