KEY ISSUE(S) I CONCEPTS DEFINED:

The North of Divide Community Association (NODCA) has drafted a new agreement between the member communities, which will replace the agreement originally adopted by the City in Bylaw 9/2011.

Major changes to the agreement involve updating the dispute resolution process and moving the details on how NODCA is intended to operate out of the agreement and into a different document that does not require provincial approval to amend.

If all member pass their respective bylaws, the agreement will be signed and submitted to Municipal Affairs for ?nal approval on December 17th.

A BYLAW TO PROVIDE FOR THE CITY OF MEADOW LAKE TO ENTER INTO AN AGREEMENT TO ESTABLISH THE NORTH OF DIVIDE PLANNING DISTRICT.

The Council of the City of Meadow Lake in the Province of enacts as follows:

1. This Bylaw shall be cited as The North of Divide Planning District Bylaw.

2. The purpose of this Bylaw is to adopt an agreement for the establishment of a planning district known as The North of Divide Planning District.

3. The District Planning Agreement between The Rural of No. 622, Rural Municipality of Loon Lake No. 561, Rural Municipality of Meadow Lake No. 588, City of Meadow Lake, Village of Dorintosh, Village of , Village of Loon Lake, and the Village of Pieroeland attached as Schedule “A”to this Bylaw is hereby authorized.

4. The Mayor and City Clerk are authorized to execute the agreement attached as Schedule “A”to this Bylaw.

5. This Bylaw comes into force upon receiving approval of the Minister of Municipal Affairs.

The Parties named above are entering into an agreement, pursuant to the provisions of ThePlanning and DevelopmentAct, 2007(PDA)to establisha planningdistrictto advise the Parties and guide development in the areas shown on a map attached as Appendix ‘A’. The municipalitiesinvolvedincludethe RM of Meadow Lake, RM of Beaver River, RM of Loon Lake, Village of Dorintosh,Village of Goodsoil,Village of Pierceland, Villageof Loon Lakeandtheareas surroundingthe City of MeadowLake.

The Parties individuallyand collectivelyagree that:

l. The adoptions of this agreement, subject to Sections 97, 98 and 99 of the PDA, to establish a planning district; to be known as “The North of Divide Planning District”.

2. The area of the planning districtshall encompass all those lands situated within the RM of MeadowLake,RM of Beaver River, RM of Loon Lake, the Village of Dorintosh, Village of Goodsoil,Village of Pierceland,and Village of Loon Lake outlined on the map attachedto this agreement as Appendix ‘A’. The speci?c common interestareasbetweenthe City of MeadowLakeand the RM of Meadow Lake are outlinedon the map attachedto this agreement as Appendix‘B’.

3. A District PlanningCommission,to be known as “The North of Divide Planning District Commission”, is establishedpursuant to Section97 (b) of the PDA. The Commissionwillconsistof 8 members, to be appointedin the following manner:

a. One membershallbe appointedby the Councilof theRM of Beaver River; b. One membershallbe appointedby the Council of the RM of Meadow Lake; One membershallbe appointedby the Council of the RM of Loon Lake; One membershallbe appointedfrom the Council of the Village of Dorintosh; e. One membershallbe appointedfrom the Council of the Village of Goodsoil; f. One membershallbe appointedby the Councilof the Village of Pierceland;

9-.“ g. One membershall be appointedby the Councilof the Villageof Loon Lake; h. One membershall be appointedby the Council of the City of Meadow Lake;

4. The Partiesagree:

a. that a majority of the appointedmembersof the Commissionconstitutes a quorum for the transactionof business; b. at their discretion, the Commission will include and invite other organizationsand employees, as non-votingmembers,to participateand provideinput to their meetings and business; c. to develop a new District Official Community Plan for seven (7) municipalities, meeting the requirements of The Planning and DevelopmentAct, 2007,and the needsof eachmunicipalityin the North of Divide Planning District (including speci?c policies that re?ect the regional goals and intereststo provide greater consistencyin development and processes); and d. to update and create zoning bylaws of each municipalityin the North of Divide Planning Districtto comply with the DistrictOfficial Community Plan and meet the requirement of The Planning and DevelopmentAct, 2007. e. Carry out implementationof the District Of?cial Community Plan.

5. The tenure of office of themembersof the Commission shall be as follows: a. The Urban and Rural Municipalities will appoint one member to the commissionduring the first regular councilmeeting following an election and those appointeeswill be renewed or replacedon an annualbasis; b. Eacha?iliated Municipalityshall designatean alternate Councilmember, who shall attend meetings in the absence of the appointed Council member; c. wherevacancies arise,by reasons other than the expiry of the appointee’s term of office to the commission, the council concerned shall appoint someoneto completethe unexpiredterm only; cl. Appointees to the Commission shall continue to hold office until a successor is appointedby theirrespective municipalcouncil.

6. Pursuantto section 100 of the PDA the duties andpowersof the Commissionare to: a. makerules of procedurethat are not contrary to law or inconsistentwith the PDA or its regulations for the conductof its business, the governing of itsproceedings, the calling of meetings and the requirementsfor quorum; b. establishprocedures for the affiliated municipalitiesto permit the holding of joint public hearings for the adoption, amendment or repeal of an o?icial communityplan or zoning bylaw; c. appoint any consultants or employees that may be necessary for the exercise of any of its powers or the performance of any of its duties and fix theirremuneration; appointadvisory committees, consisting of one or more of the members of the district planning commissionor any other person, and ?x their remuneration;and with the consent of an affiliated municipality, utilize the services of any of?cer or employeeof that municipality.

As outlinedin section 104 of thePDA, the Commissionmay also:

a. holdpublicmeetings andpublishinformationforthe purposeof obtaining the participationand co-operationof the residents of the planningdistrict, and any adjacent area, in determining the solutionto problems or issues affectingthe developmentof any part of the planning district; assist the council of any municipalitythat is located,in wholeor in part, in the planning district in the preparation of a. zoning bylaw or any other bylaw authorizedby the PDA; review any existingzoning bylaw or bylaw adopted or passed under the PDA and to submit, to the council, suitable amendments with a recommendationthat they be adopted or passed; ' suggest to any council ways and means of ?nancing public or capital Worksto be carriedout by public authoritiesover a specifiedperiod; investigate and study proposedsubdivisionsor developments, within and adjacentto the planningdistrict,and submitreports and recommendations to the appropriatecouncil; identify social or economic implications to a member municipality of adoptingthe commission'srecommendations;and prepare and submit to the af?iiated municipalitiesan operatingbudget for the planningdistrict for the upcoming fiscal year.

In addition,othertopics to be discussedby the Commissionwill include:

enforcementof bylaws for the health, safety, and welfare of citizensin the region; coordinationof regional assets for emergency planningand preparedness cohesivestandardsfor consistentregional planning;and the creation of a regional service agency to provide services to both members of the Commission and other municipalities including but not limitingto emergency services,bylaw enforcement and planning services.

7. The Parties agree that:

a. the councils of the Urban and the Rural Municipalities shall have the power to remunerate their appointeesto the Commission and that the amount of remuneration, if any, may be ?xed and provided by the

P‘-9.5" respective councils; b. any jointly appointedmembers of the Commissionshall be paid by the planning district and remuneration, if any, may be ?xed by the Commissionduringthe ?rs’:meeting ofthe calendaryear; c. any membersof an advisory committeeestablishedby the Commission, that are not municipalappointees to the Commission,shall be paid by the planning district and remuneration, if any, may be fixed by the

Commission;and _ d. any consultantsor employees of the planning district will be paid by the planningdistrictand remunerationwillbe ?xed by the Commission.

8. The DistrictPlanning Commissionshall annuallyappointthe chairperson for the Commission,from among the appointedrepresentatives,during the first meeting of the calendaryear.

9. The Commissionwillhire a Secretary to administerand manage the business of the PlanningDistrictunderthe directionof the Commission; the Commission may utilizethe secretarialservices from a participatingmunicipalityin the absence of the CommissionSecretary. ‘

10. The Secretary position will be:

a. responsible for ensuring administration of the planning district and managing meetings, hearings, agendas, ?nancial reporting, accounting, advertising,keeping of minutesgissuance of decisions and other business and any otherdutiesoutlinedby the Commission; b. paid for from the finances of the planningdistrict;and c. hired by the Commissionwhich will set out, in writing, any: i. remunerationand related increases; ii. bene?ts; iii. length or parameters of employment,if by contract; and iv. additionalresponsibilitiesof the position.

11.Any policy plans and zoning bylaws having effect within the planning district may beadministeredby a DevelopmentO?icer or other professionalappointed by the Commissionfor the district.

12.Funds requiredto meet the daily operationalexpensesof the Planning Districtand the Commission, as approved by the councils of the Urban and Rural Municipalities,shall be contributedby the Urban and Rural Municipalitiesand will be collectedthrough a yearly set membershipfee. The membership fee will be reviewedat the first meeting of the calendaryear with the ?nancial statements.

13. Fundsrequired to meet additional expenses and projects of the Planning District, as approved by the councils of the Urban and Rural Municipalities, shall be contributedby the Urban and Rural Municipalitiesthrough an agreed upon cost sharingarrangement determinedby the Commissionat that time.

14.In addition to referrals regarding planning and zoning within the area of the planning district:

a. the Rural Municipalitiesagree to refer all discretionary use development permits and subdivisionapplicationswithin the North of Divide Planning Districtto the Commissionfor comment; the Urban Municipalitiesexcluding the City of Meadow Lake agrees to refer all discretionary use development permits and subdivision applicationsto the Commissionfor comment; the RM of Meadow Lake will refer all discretionary use development permits and subdivisionapplicationwithin the North of Divide Planning . District to the Commissionfor comment; The Rural and Urban Municipalities must provide all permits and applications to the Commissionno later than 10 business days prior to the Commission’s regular scheduledmeetings; the Commission will provide a written recommendationto the affected municipality within 10 business days after the Committees regular meetings if no furtherinformationand/or investigation is neededto makea thorough recommendation.If further information and/or investigation is required, a written noticewill be provided to the affectedmunicipality; and the Parties agree to withholdan approval decision on discretionary use development permits and subdivision applications until comments from the Commission have beenreceived for consideration.

15. In the event that a dispute over anyissue related to or addressed under this agreement shouldoccurbetweenAffiliated Municipalities:

a. The Committeewill meet and attempt to resolve the dispute. b. In the event the Committeeis unableto resolve an issue, the next step will be to seekmediation. C. In the event a dispute cannot be resolvedthrough Steps 1 and 2, either party may appoint an arbitratorwhose decision shall be ?nal and binding upon both parties. The Arbitration Act of Saskatchewan in force from time to time shallapplyto arbitrationproceedingscommencedpursuant to this Agreement.

16. Withregards to amending this agreement:

a. the agreement will only be reviewedand amended upon: i. applicationfromthe council of one of the Parties to the agreement; ii. adoption of a new districto?icial community plan for the planning district; iii. inclusionof a new municipalityinto the planning district; or iv. the terminationof affiliationof a party to this agreement. b. amendmentswill be preparedand submittedto each councilby the sitting Commission for the planningdistrict; c. amendments will not be submitted for approval until each af?liate municipalcouncilhas signedthe new agreement; d. amendments will not take effect until an order has been issued by the Minister of MunicipalAffairs; e. The additionof membersfrom otheradjacentmunicipalitieswill be at the discretionof the Commission;the Commissionrequiresthat a formalletter be submitted to the Commissionand will be reviewed at the regular meetings; the Commissionwill determinethe conditions, provisions and requirementsfor the additionof new members.

17.Any municipalitywishingto withdrawfrom the planningdistrictmust:

"a) Follow the dispute resolutionmechanisms providedfor under section 15 of

this agreement. «

b) Provide 90 days notice to the Commissionin the formof a letter stating the reasons for resignation and include the certi?edresolutionfrom council. Once the notice as been received, the chairperson will conduct a follow up exit interviewwith the member.

c) Seek unanirnousapprovalof the Commissionmembers to withdrawfrom the planningdistrictafter the letterand interviewnotes are presented.

d) All ?inds submittedto the NODCA by the withdrawnmember will remain within the Association unless the planning district is dissolved outlined in section 19.

18.Shoulda municipalityterminate its affiliationwith the planning district all funds submittedto the planningdistrictwillremainwithinthe planning district

19.Should the planning district be dissolvedall assets and liabilitiesof the planning district will be distributedin proportionbased on the cost sharing agreements determinedandapproved by the Commission. The Parties hereby affixed their corporate seals, duly attested by the hands of their respective of?cers, the day andyear ?rst above written.

The District Planning Agreement between The Rural Municipalityof Beaver River No. 622, Rural Municipalityof Loon Lake No. 561, Rural Municipalityof MeadowLake No. 588, City of Meadow Lake, Village of Dorintosh, Village of Goodsoil, Village of Loon Lake, and the Village of Pierceland attached as Schedule “A”to this Bylaw is hereby authorized.

The Mayor and City Clerk are authorized to execute the agreement attached as Schedule “A”to this Bylaw.

Bylaw No. 9/2011, The North of Divide Planning District Bylaw, is hereby repealed.

1. The af?liated municipalities hereby agree to the establishment of a planning district, to be known as ”The North of Divide Planning District”, under the provisions of Sections 97 and 98 of The Planning and DeveIopmentAct, 2007 (The Act).

2. The said planning district shall be comprised ofall those lands situated within the Rural Municipality of Meadow Lake #588, the Rural Municipality of Loon Lake#561, the Rural Municipality of Beaver River #622, the City of Meadow Lake, and the Villages of Dorintosh, Pierceland, Goodsoil, and Loon Lake.

3. There shall be established a District Planning Commission, designed as "The North of Divide Planning District Commission,” such Commission to consist of either 8 or 9 members, to be appointed in the following manner:

a) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Rural Municipality of Meadow Lake #588,- b) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Rural Municipality of Beaver River #622; c) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Rural Municipality of Loon Lake#561; d) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the City of Meadow Lake; e) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Village of Dorintosh; f) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Village of Pierceland; g) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Village of Goodsoil; and h) One member, and one alternate, both of which shall be elected members of Council, shall be appointed by the Council of the Village of Loon Lake. i) One member may be appointed jointly by the Councils of the Rural Municipality of Meadow Lake #588, Loon Lake #561, Beaver River #622, the City of Meadow Lake,and the Villages of Dorintosh, Pierceland, Goodsoil, and Loon Lake.

4. That the tenure of office of the members of the Commission shall be as follows:

a) On the original appointments, each Council shall appoint a member to hold office until each respective Council's first meeting in November. Page 2 of 5

b) Subject to clause (c), hereof, each member thereafter appointed by the respective Councils shall hold office until the first meeting of the appointing Council in November ofthe year following the appointment. c) Where vacancies arise in respect of the Councils’ appointees, other than by reason of the expiry of the designated term of office of the appointee, the Council concerned shall appoint someone to complete the unexpired term only. d) Notwithstanding the expiry of the term for which any member has been appointed, the member shall continue to hold of?ce until a successor is appointed. e) At the first Commission meeting each year, the Commission shall appoint a chairman who shall hold office until the end ofthe year or until a successor is appointed. f) The Commission will favorably consider applications from other municipalities or First Nations in the region to join the Planning District based on a willingness to participate in Commission business and initiatives, including payment of membership fees.

5. That the Councils of the Rural Municipalities, City and Villages shall determine the remuneration to be paid to their respective member of the Commission and shall collectively determine the remuneration of the jointly—appointed member if applicable.

6. That the funds required to finance the expenses of the Commission, as approved by the Commission, shall be contributed by the City, Rural Municipalities, and Villages and will be collected through a yearly membership fee. The membership fee will be reviewed at the first meeting of the calendar year with the financial statements.

7. The office of the Commission shall be the office of the Village of Dorintosh where Commission meetings will be conducted.

8. That, without limiting the general application of Sections 97 and 100 of TheAct respecting the duties and powers of the Commission, the Commission shall:

a) pursuant to Section 102 ofThe Act, prepare a district plan; b) make Rules of Procedure for the conduct of its business, including procedures to permit the parties to conduct joint public consultation processes for amendment to and adoption of the District Plan and Official Community Plans and Zoning Bylaws for affiliated members; c) make recommendations the member Councils to amend the District Plan as needed; d) make recommendations to the Councils respecting development in the planning district and identify the social and economic implication ofthose recommendations; and e) appoint any consultants or employees that may be necessary for the exercise of any of its powers or the performance of any of its duties and fix their remuneration.

9. That the parties will establish a referral process to facilitate information sharing and to ensure effective communication for matters ofjoint interest pertaining to major developments on lands within Planning District area. Speci?cally, the City referral area shall be ‘/2mile (805 metres) inside the City of Meadow Lakeboundary and the rural—urbanfringe referral area shall be 1 ‘/2miles (2.4 kilometres) outside of an urban boundary.

10. That the parties hereby establish a dispute resolution process with the following steps:

a) A municipality identifying an issue in dispute may notify the Secretary of the Commission to arrange a meeting with the Commission at its next regularly scheduled meeting. Page 3 of 5

b) Prior to the Commission meeting the municipal staff of the parties in dispute shall meet to clarify the issues in dispute and to discuss potential solutions. Based on this meeting the staff shall prepare a report to the Commission. c) The Commission meeting shall hear representation from the parties in dispute and attempt to resolve the matter by consensus. d) Should the Commission meeting fail to resolve the dispute the respective Councils would meet to arrive at a solution. e) Should the Councils fail to achieve agreement, the parties may initiate a request for mediation and/orbinding arbitration by the Saskatchewan Municipal Board under Section 233 of TheAct. f) Should mediation fail to result in an agreement, the Saskatchewan Municipal Board may hold a hearing and make a decision to settle the matter requested in subsection e) above, in accordance with Section 106.1 (3) of The Act.

11. A municipality may terminate its affiliation in The North of Divide Planning District in accordance with the following procedures:

a) A municipality shall give 90 days’ notice, in writing, to the Secretary of the Commission and all other af?liated municipalities of its intention to terminate its affiliation. Such notification shall be accompanied by full payment of any outstanding ?nancial contributions pursuant to Section 6 herein. b) Following receipt of notification and full payment of any outstanding financial contributions, pursuant to subsections a) and 1‘),each affiliated municipality shall prepare and consider a bylaw to amend this Agreement by removing reference to the municipality proposing to terminate its af?liation. c) Where all af?liated municipalities adopt a bylaw pursuant to subsection (b), above, the District Planning Commission shall request the Ministerto amend this Agreement in accordance with Section 106(1)(a)(i) of TheAct. d) Where one or more municipalities does not adopt a bylaw pursuant to subsection (b), above, the District Planning Commission shall refer the matter to the Minister who may refer the matter to the Saskatchewan Municipal Board. e) Where a decision has been made to terminate the affiliation ofa municipality, the District Planning Commission shall determine the appropriate distribution of assets, liabilities, and fees on the basis of the contribution made by each af?liated municipality in accordance with Section 6 herein and any in kind contributions of equipment, furnishings and similar items which may have been contributed by the terminating municipality. No financial contributions made pursuant to Section 6 for the current financial year shall be returned to the terminating municipality except as a result of mediation or Saskatchewan Municipal Board decision. f) Subject to any mediation or Saskatchewan Municipal Board decision, costs incurred by the Commission and/oraf?liated members as a direct result of the withdrawal of an affiliated municipality shall be reimbursed to the Commission by the municipality wishing to withdraw.

12. This Agreement may be amended with the unanimous consent of all affiliated municipalities. Where unanimous consent is not achieved, the parties may pursue dispute resolution pursuant to Section 10 herein. Page 4 of 5

13. Pursuant to Section 97(2)(b) of The Act, where proposed amendments to the District Plan affect only lands within one affiliated municipality, the affected municipality may:

a) request the Commission to prepare the proposed amendment and make a recommendation respecting the amendment; and b) upon receipt of the amendment and recommendation from the Commission, adopt the proposed amendment by bylaw.

14. In accordance with Section 1OZ(17) of The Act, if an affiliated municipality adopts a proposed amendment by bylaw pursuant to Section 13 herein, the affiliated municipality shall submit to the Minister a certified copy of the bylaw adopting the amendment and a certi?ed copy of the recommendation mentioned in Section 13 (a).

15. The Commission will hire a Secretary to administer and manage the business of the Planning District under the direction ofthe Commission; the Commission may utilize the secretarial services from a participating municipality in the absence of the Commission Secretary. The Secretary position will be:

a) responsible for ensuring administration of the Planning District and managing meetings, hearings, agendas, financial reporting, accounting, advertising, keeping of minutes, issuance of decisions and other business and any other duties outlined by the Commission; b) paid for from the ?nances of the Planning District; and c) hired by the Commission which will set out, in writing, any: i. remuneration and related increases; ii. benefits; iii. length or parameters of employment, if by contract; and iv. additional responsibilitiesof the position.

16. This Agreement shall supersede the Agreement to establish the North of Divide Planning District dated the 26"‘day of May, 2011, as approved by the Minister of Government Relations.
