I GENERAL PROVISIONS
Article 1
By this Contract "Regional Agency for Economic Development of Sumadija and Pomoravlje" Ltd. Kragujevac (hereinafter: the Company), registration number 17385828, TIN 100559100, which was established on November 20,2001and entered into the Register of the Commercial Court in Kragujevac in the street. No. 1-19903-00 and transferred to the Register of Companies of the Agency for Business Registers by the Decision no. BD t2794/2O05 of May 15, 2005, conformed with the Law on business companies (" Official Gazette of RS, no. t25l2}O4l by the Contract which is certified by the Municipal Court in Kragujevac on 18.07.2008 and filed under No. ll 811/08, is ORGANIZED as a limited liability company in order to conform with the Law on business companies (RS Official Gazette Nos. 36/11 and 99ltt - hereinafter: the Law) and continues to work indefinitely.
This Contract is the Memorandum of association of the Company and the provisions of this Contract shall replace all the provisions of the Memorandum of association - the Contract on establishing of the company Regional Agency for Economic Development of Sumadija and Pomoravlje ltd. Kragujevac in their entirety, for the purpose of adjustment with the Law on business companies, signed on October t6,2OO7 and certified at the Municipal Court in Kragujevac on July 18, 2008 and registered under No. ll 811/08.

The Company may conduct all legal business activities by fulfilling set requirements in terms of technical equipment, protection of employees' health, safety of the environment, as well as other regulated conditions.
The Company will also conduct activities of foreign trade of goods and services within the registered business activities.
Conducting registered business activities include the activities for helping the small and medium size enterprises and entrepreneurs and improvement of economic development of the Region of Sumadija and Pomoravlje.
Article 7
Founders - members of the Company agree that the company activities, within the registered business activities, will be aimed at providing information to SMEs and entrepreneurs about economic policy, activities and programs of international assistance, extending advices relevant to production of business plans and positioning on the international markets, providing information regarding the legal regulations and standards, organization of trainings and extension of counseling significant for small and medium enterprises, all aimed at creating the conditions for faster regional economic development of Sumadija and Pomoravlje.
The Company is entitled to sign the contracts and undertake other legal business and legal acts within its competences.
The Assembly will decide about any change of prevailing business activity and carrying out other business activities.
V FOUNDATION CAPITAL AND SHARES, AMOUNT OF THE MEMBERS SHARES
Article 8
The funds required for the company activities are provided from the foundation shares, donations, and sponsorship of domestic and foreign legal entities and individuals, from the income achieved by company activities and other legally determined sources.
Article 9
Funds for start-up and activities of the Company are provided by the members of the company.

VI RELATIONS BETWEEN THE COMPANY AND ITS MEMBERS

The Founders are liable for the obligations towards the Company and the Company's obligations in accordance with the Law on business companies.

Article 14
The share can freely be transferred between the members of the Company by a written, court certified contract. The written consent of the Assembly is required when a member of the Company takes commitment for secondary obligation. The share may be transferred to a third party, by a written, court certified contract, with preemptive right of other members of the Company and with a written agreement of the members of the Company. lf more members of the Company express their will for purchase of share, and in lack of agreement between the assigner and interested members on the portion of the equity shares to be bought by each of them, the share will be divided between them in proportion to the value of their shares in the Company. lf the members of the Company do not express willing to purchase shares within 30 days from the date the share is offered for sale, the share can be transferred to a third party under conditions not more favorable for the buyer.
Article 15
The Company members have the obligation to pay the annual membership fee in order to secure funds for the work and operations of the Company, which is set up by the Decision of the Company's Assembly.
VII COMPANY ASSETS
Article 16
The Company's assets consist of the ownership on movable and immovable property, cash funds, securities and other property rights. The initial assets consist of shares of the members.
VIII ALLOCATION OF PROFIT AND RISK FOR LOSSES
Article 17
The Company will make revenue by conducting registered business activity, as well as in other legally permissible ways. Article 18
At the end of the fiscal year, which coincides with the calendar year; the Company is obliged to submit an annual report in accordance with applicable regulations.
Article 19
The members of the company have agreed that the company does not allocate profit and that all the profit remains in the Company. Made and unallocated profit will be used to finance the Company,s activities in accordance with the decisions of the Assembly of the Company.

The Assembly may introduce an obligation for additional payments by the Company members and determine the amount of such payments, in case they can cover the resulting loss of the Company. Additional payments shall be determined in proportion to the shares of the Company members but with no increase of the value of their shares.
