2. The “Bidder Certification” (Acceptance Form) must be signed by an authorized signatory of the company and submitted with the bid.

3. The “Product Safety Certification” form must be signed by an authorized signatory and submitted with the bid.

4. The “Statement of Non-Collusion” form must be signed by an authorized signatory of the company and submitted with the bid.

5. All quantities listed are for bid purposes and are estimates only. Quantities noted are estimates for the school year or period of the contract.

6. Prices must remain firm for acceptance for a period of not less than sixty (60) days.

7. Bid security is REQUIRED for this bid. Please note that only security in the form of a BID BOND, BANK CHECK OR CERTIFIED CHECK will be acceptable. PLEASE NOTE: COMPANY CHECKS WILL NOT BE ACCEPTABLE.

BID SECURITY MUST REFLECT 5% OF THE TOTAL ESTIMATED ANNUAL COST OF THE BID.

TERMS AND CONDITIONS

The specifications as provided herein will provide for PUBLIC ADDRESS SYSTEM, INTERCOM, AND MASTER CLOCK SERVICE, REPAIR AND PARTS for the school buildings listed herein, for the 2012-2013 school year. The contract start after Board of Education approval of the contract and will end June 30, 2013.

The service is to be performed trained service mechanics on the full time payroll of the successful contractor capable of performing the work as required under this contract.

It is the responsibility of the bidder to visit each and all of the buildings and sites where this work is to be performed. He must fully acquaint himself with all the problems, conditions and factors that he may encounter in connection with the work affecting this contract. The bidder, in submitting this proposal, declares that he has personally inspected the locations and has satisfied himself as to quantities, conditions, schedules, etc. and understands that in submitting this proposal he waives all right to plead any misunderstanding regarding the same.

Inspection of the sites should be arranged through the Facilities Departments of each school district as listed on the attached.

Definitions:

1. The term “District” as herein used shall be deemed as reference to the individual school district with whom the contractor has made an agreement with. This consists of listed herein.

2. The term “Contractor” as herein used shall be deemed as reference to the successful bidder, vendor, proprietor or corporation receiving an award for PUBLIC ADDRESS SYSTEM, INTERCOM AND MASTER CLOCK SERVICE AND REPAIR under the term of this agreement.

3. The term “PUBLIC ADDRESS SYSTEM, INTERCOM AND MASTER CLOCK SERVICE AND REPAIR contractor” refers to a company engaged in PA, Intercom and Master Clock systems service and repair.

4. Work under this contract shall be scheduled so as not to interfere with school operations, and the schedule shall be subject to District approval. All work is to be performed under a schedule determined by the District.

5. NOTICES: Any notices required to be given under this agreement shall be given in writing at the addresses herein set forth.

6. Bid Security:

Bid security is required. Each bidder shall be required to submit with this bid a bank (i.e., Teller’s) or certified check, or in the alternate, a bond written by a recognized surety company rated by A.M. Best & Co., Inc., currently as "A:Class IX", or better, and be an admitted carrier licensed to do business in the state of New York in an amount equal to 5% of the annual cost of the bid. The annual cost of the bid with is the sum of all districts contracts. Either the certified check, bank check or the bond shall be payable to, or in favor of, "Syosset Central School District”. Bid security checks will be returned to the unsuccessful bidders within seven (7) days after bid is awarded by the Board of Education. The bid security of the successful bidder will be retained until the contract is fulfilled.

Insurance and Workers’ Compensation:

1. The contractor shall maintain public liability insurance and property damage insurance, naming each CO-OP District as additional insured, in the amount of Two Million Dollars combined single limit Public Liability and Property Damage, and shall furnish the District with Certificate of Insurance, all at the contractor’s sole cost and expense before work can begin.

2. The contractor shall comply with all revisions of the Workers’ Compensation Law and shall furnish a certificate showing evidence of same.

3. The contractor shall furnish a schedule of insurance attesting to current coverage for all automobile liability for vehicles in his possession and insurance coverage for all employees engaged in work to be performed by this contract and which shall comply with all requirements of the State of New York.

4. The public liability insurance and property damage insurance as stipulated herein shall be subject to the approval of the District.

5. The contractor agrees to save harmless each CO-OP District and to indemnify each from any and all loss, damage or expense in connection with the performance of this contract or by reason of the negligence of the contractor or its employees in the performance of this agreement and from any claim or claims, suit or suits, which may be commenced or instituted against the contractor and/or the District by reason of any acts or omissions of the contractor or its employees, in connection with the performance of this contract.

Payment:

The participants in this cooperative agreement shall issue their own purchase orders and shall accept full responsibility for any payments due the contractor for their purchases hereunder.

The contractor shall submit his invoice, indicating the district purchase order number and claim for payment, to the individual school district with whom the contractor has made an agreement with. Payment will be made only after work is completed. Therefore, payments will be made after invoiced in arrears and sent to the accounts payable department of the District issuing the purchase order.

Award:

1. This bid shall be awarded to the lowest aggregate bid by a responsible bidder on or by any combinations of items to responsible bidders in the best interest of the Co-op.

2. The Co-op reserves the right to reject all bids.

3. All bids must be signed in ink. The bid price shall be all-inclusive.

Strikes

In the event of a strike by contractor’s personnel, the contractor shall continue to answer all emergency calls and continue required maintenance by use of supervisory personnel to prevent any loss of service to the Board of Education.

Cancellation:

1. The School District reserves the right, under its sole discretion, to terminate the contract to be awarded under this bid upon thirty (30) days written notice. District liability of such termination will be determined on a prorated basis.

2. Failure by the contractor to comply with the specifications contained herein shall constitute a breach of the contract. In the event of such failure, the district will give the contractor written notice of such termination.

3. In the event of termination as specified in paragraph 2 above, the District may re-let the contract by public bidding or otherwise, and may charge to the contractor any additional cost incurred by the District as a result of the re-letting, including the cost of re-letting itself, as well as any additional cost for the performance of the remainder of the work under the contract.

Scope of Work:

1. The intent of this contract is to provide labor and parts to repair, service, upgrade, and/or replace PUBLIC ADRESS SYSTEMS, INTERCOMS, and MASTERCLOCKS in the participating school districts of the Nassau County Director of School Facilities Purchasing Consortium.

B. MINIMUM CONTRACTOR QUALIFICATIONS

1. Successful contractor must possess a minimum of five years experience and be fully licensed, insured as required by local townships, the County of Nassau and/or the State of New York.

2. The successful bidder will be a factory authorized dealer/distributer for the brand for which the contract is awarded. Documentation showing that the bidder is authorized by the factory to sell and service the equipment shall be provided upon request.

3. With respect to the hourly rate of pay, the rate should be computed pursuant to Article 9 of the New York State Labor law. Attached please find a copy of the prevailing rate schedule from the Department of Labor. All service technicians performing work under this contract are to be paid the Journeyman’s prevailing wage as detailed on the NYS Department of Labor’s website for “HVAC Controls”, as listed under the general trade category Electrician.

The Department of Labor requires that “Every contractor, and subcontractor, shall submit to the department of jurisdiction within thirty days after issuance of its first payroll, and every thirty days thereafter, a transcript of the original payroll records, as provided by this Article, subscribed and affirmed as true…” (Section 220, subd 3-a). Therefore, the Districts require submission of the certified payroll accordingly. They may be submitted with your invoicing to the District’s Accounts Payable Department.

4. Response time is a maximum of forty eight (48) hours and is measured from the time the service call is placed to the time a qualified, capable technician arrives at the building and checks in with the Custodial Staff or main office.

5. No more than one technician shall be on site in any District at any one time. The contractor shall not be permitted to send any more than one technician unless approved by each Facilities Office under special circumstances prior to dispatching. This approval is on a per- service-call basis. Apprentices, helpers or additional technicians are not permitted unless specifically approved on a per call basis.

C. DISTRICT’S RIGHT TO WORK AND/OR COMPLETE THIS CONTRACT

1. The Syosset Central School District and all cooperative participating school districts reserve the right to complete this contract or have it completed by others after delivery of a three day notice to the contractor, when in the opinion of the Director of School Facilities & Operations, the contractor does not man the job or causes undue delay or work. The cost to the district to complete the project will be deducted from monies otherwise due the contractor.

D. SPECIFIC OPERATION PROCEDURE

1. Upon arrival at the building, the technician shall check-in immediately at the main office during school hours or with the custodian on duty after school hours and inform the school district which service call or job the technician is working on.

2. The contractor will keep an accurate time record of the men working on each specific service call and job. This time shall be clearly indicated on a service call report which shall be presented to the custodian for signature at the end of each visit. A signed copy shall be left with the District at the time the technician leaves the building. The Director of School facilities & Operations or his designee will verify each billing against these reports.

3. Material may be purchased either by the District or the Contractor as determined by the Director of School Facilities & Operations. In the event the bidder is designated to supply the materials for a job, the bidder will bid on a percentage of Manufacturer’s list price and/or percentage mark-up over his certified cost.

4. Emergency operation must commence immediately for temporary relief of the situation. Emergencies shall be defined as any situation that causes an unsafe or uncomfortable condition and shall be designated an emergency at the sole discretion of the District placing the call.

5. Non-emergency work must begin within 48 hours unless otherwise directed by the district representative.

In the event the bidder is designated to supply the materials for a job, the bidder will bid on a percentage of Manufacturer’s list price and/or percentage mark-up over his certified cost.

9. If requested by the District, the contactor shall provide a copy of the manufacturer’s current list pricing. The list pricing may be provided electronically or in print at the contractor’s option.

10. For all material and repair parts that were bid based on manufacturer’s list price (Johnson/Honeywell/Powers/Siemans/Barber-Colman/Robert Shaw/Invensys), the cost of standard shipping to the contractor’s place of business shall be included in the bid multiplier and no additional charges shall be allowed.

11. For all other materials and repair parts, the cost of standard shipping to the contractor’s place of business, as shown on the contractor’s invoice from his supplier, shall be considered to be part of the contractor’s cost and therefore may be marked-up as per bid form section for “all other manufacturers”.

12. If the District requests expedited shipping of any materials, the contractor will be entitled to shipping, plus the mark-up percentage of the bid form.

E. FINAL DECISIONS

1. The Director of School Facilities & Operations shall have the right to interpret the true meaning and intention of specifications, verbal or written; but should any controversies or disputes arise over such interpretations, his decision shall be binding and final. The Board reserves the right to bid special work projects separate and apart from this bid as determined by the Director of School Facilities & Operations.

F. OBLIGATION OF BIDDER

1. At the time of the opening of bids, each bidder will be presumed to have read and be familiar with the Contract Documents including all addenda. The failure or omission of any bidder to receive or examine any form, instrument, document, building or system shall in no way relieve any bidder from any obligation in respect to his bid. These instructions are to be considered as an integral part of all proposals.

G. TRAVEL TIME

1. No allowances for travel time will be permitted.

H. FUEL SURCHARGE

1. Under no circumstances shall a fuel surcharge be charged.
