NOTICE OF BOND ELECTION TO BE HELD BY THE NUECES COUNTY DRAINAGE DISTRICT NO. 2

Below is a copy of the Order Calling a Bond Election to be held on Tuesday, November 3, 2020, in the Nueces County Drainage District No. 2, which serves as the notice of such election required by Section 4.003 of the Texas Election Code.

ORDER CALLING A BOND ELECTION

STATE OF TEXAS § COUNTY OF NUECES § NUECES COUNTY DRAINAGE DISTRICT NO. 2 §

WHEREAS, pursuant to Section 56.201, Texas Water Code, the Board of Commissioners (the "Board") of the NUECES COUNTY DRAINAGE DISTRICT NO. 2 (the "District") is authorized to issue bonds to pay for drainage improvements, if the issuance of such bonds is approved by the voters of the District at an election held as required by Section 56.202, Texas Water Code, and the Texas Election Code; and

WHEREAS, the Board has determined that it is necessary to hold an election for the purpose of authorizing the issuance of $5,330,000 in principal amount of bonds to finance the construction, acquisition, and equipping of drainage improvements, including but not limited to (i) new drainage improvements to Bosquez Rd/Avenue J intersection, Ditch A/Blue Bonnet, Casa Blanca, and Belk Lane, (ii) vehicles and equipment necessary therefor, and (iii) the acquisition of rights-of-way for such improvements, with any remaining amount to be used to acquire real property for office expansion and to construct and equip a new administrative building; and

WHEREAS, there has been approved by the Board prior to the date hereof and filed in the office of the District, open to inspection by the public, an engineer’s report covering the facilities to be voted including the works, improvements, facilities, land, plants, equipment and appliances to be purchased, acquired and constructed by the District and the property, contract rights, rights of use and interests in property to be purchased or acquired as well as the estimated cost of all the foregoing, together with maps, plats, profiles and data showing and explaining the report; however, the engineer’s report is not part of the proposition to be voted on or a contract with the voters; and

WHEREAS, the engineer’s report heretofore filed and approved contains an estimate of the cost of the purchase, acquisition and construction of the proposed works, improvements, facilities, land, plants, equipment, appliances and an estimate of the District’s cost due or to become due under contracts and the cost of purchasing and acquiring such property, contract rights, rights of use and interests in property, administrative facilities and expenses incident thereto, as generally follows:

WHEREAS, the Board deems it advisable to call the bond election hereinafter ordered; and

WHEREAS, the District intends to conduct the election jointly with Nueces County (the "County"), as a joint election, in conjunction with County elections to be held on the same date, and possibly by other political subdivisions within the County (the "Joint Election Participants"); and

WHEREAS, pursuant to Chapter 271, Texas Election Code, the District may enter into a joint election agreement with the Joint Election Participants (the "Joint Election Agreement") to hold all such elections jointly in the election precincts that can be served by common polling places; and

WHEREAS, it is hereby officially found and determined that the meeting at which this Order was passed was open to the public, and public notice of the time, place, and purpose of said meeting was given, all as required by Chapter 551, Texas Government Code.

THEREFORE, BE IT ORDERED BY THE BOARD OF COMMISSIONERS OF THE NUECES COUNTY DRAINAGE DISTRICT NO. 2 THAT:

1. TIME. An election shall be held between the hours of 7:00 A.M. and 7:00 P.M. on Tuesday, November 3, 2020 in the District.

2. PRECINCT AND POLLING PLACE. The District shall hold the election in conjunction with the elections to be held by the Joint Election Participants on Tuesday, November 3, 2020, at the precincts and polling places as determined by the County Clerk pursuant to the provisions of the Joint Election Agreement. When so determined, such precincts and polling places shall be attached hereto as Exhibit A.

3. PRESIDING JUDGES. The Presiding Judge and the Alternate Presiding Judge for each of the election precincts and/or the polling places shall be appointed at a later date.

4. ELECTION CLERKS. Each Presiding Judge shall appoint not less than two nor more than six qualified election clerks to serve and assist in conducting said election; provided that if a Presiding Judge actually serves as expected, the respective Alternate Presiding Judge shall be one of such clerks.

5. EARLY VOTING. The Early Voting Clerk shall be the County Clerk, Kara Sands. Applications for a ballot by mail, and completed ballots, shall be directed to the Early Voting Clerk as identified on Exhibit B. Electors may cast their early votes in person at the locations, dates and times to be determined by the County Clerk. When so determined, the location, dates and times for early voting by personal appearance shall be attached hereto as Exhibit B.

6. EARLY VOTING BALLOT BOARD. An early voting ballot board will be created to process early voting results. The presiding judge of said board shall be appointed at a later date. The presiding judge shall appoint at least two other members of the board at a later date.

1 7. ELECTORS. All resident, qualified electors of the District shall be entitled to vote at said election.

8. OFFICIAL PROPOSITION. At said election the following PROPOSITION shall be submitted in accordance with law:

"Shall the Board of Commissioners of the Nueces County Drainage District No. 2 be authorized to issue bonds of the District, in one or more series, in the aggregate principal amount of $5,330,000 for the construction, acquisition and equipment of drainage improvements, including but not limited to new drainage improvements to Bosquez Rd/Avenue J intersection, Ditch A/Blue Bonnet, and Casa Blanca and the acquisition of rights-of-way for such improvements, and with said bonds to mature not more than 30 years from their date, bear interest at such rate or rates as approved by the Board of Commissioners (provided that such rate of interest shall not exceed the maximum rate authorized by law at the time of issuance of any series or issue of the bonds), and be issued and sold in accordance with law at the time of issuance, all within the discretion of the Board of Commissioners; and shall the Board of Commissioners be authorized to levy and pledge, and cause to be assessed and collected, annual ad valorem taxes on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of and interest on said bonds?”

9. FORM OF BALLOT. The official ballots for said election shall be prepared in accordance with the Texas Election Code so as to permit the electors to vote "FOR"or "AGAINST" the aforesaid PROPOSITION, with the ballots to contain such provisions, markings, and language as required by law, and with such PROPOSITION to be expressed substantially as follows:

G AGAINST

2 10. ELECTION CODE. In all respects said election shall be conducted in accordance with the Texas Election Code. Pursuant to the federal Help America Vote Act ("HAVA") and the Code, at each polling place there shall be at least one voting system that is equipped for disabled individuals, and each such voting system shall be a system that has been certified by the Texas Secretary of State as compliant with HAVA and the Code. The Chairman is hereby authorized to enter into any necessary agreements with Nueces County in order to comply with this section.

11. BILINGUAL ELECTION MATERIALS. All election materials (including notice of the election, ballots, instruction cards, affidavits, and other forms which voters may be required to sign) and all early voting materials shall be printed in both English and Spanish, or Spanish translations thereof, and/or other assistance shall be provided, as required by the Texas Election Code and the Federal Voting Rights Act of 1965, each as amended.

12. GENERAL STATEMENTS. In accordance with the provisions of Section 3.009(b), Texas Election Code, it is hereby found and determined that:

(a) The proposition language that will appear on the ballot is set forth in Section 9 hereof.

(b) The purpose for which the bonds are to be authorized is set forth in Section 8 hereof.

(c) The principal amount of the debt obligations to be authorized is set forth in Sections 8 and 9 hereof.

(d) As set forth in Sections 8 and 9 hereof, if the bonds are approved by the voters, the Board of Commissioners will be authorized to levy ad valorem taxes, on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds and the cost of any credit agreements executed in connection with the bonds.

(e) Based upon the bond market conditions at the date of adoption of this Order, the maximum interest rate for any series of the bonds is estimated to be 3.10% as calculated in accordance with applicable law. Such estimate takes into account a number of factors, including the issuance schedule, maturity schedule and the expected bond ratings of the proposed bonds. Such estimated maximum interest rate is provided as a matter of information, but is not a limitation on the interest rate at which the bonds, or any series thereof, may be sold.

(f) As set forth in Section 8 hereof, if the bonds are approved, they may be issued in one or more series, to mature serially, over a period not to exceed 20 years.

(g) The aggregate amount of the outstanding principal of the District’s debt obligations, through respective maturity, (all of which are secured by an unlimited tax levied for debt service purposes) as of the date of this order is $0.

(h) The aggregate amount of the outstanding interest of the District’s debt obligations (all of which are secured by an unlimited tax levied for debt service purposes) as of the date of this order is $0.

3 (i) The ad valorem debt service tax rate for the District for the 2019-20 fiscal year is $0.008200 per $100 of taxable assessed valuation.

13. NOTICE OF ELECTION. The District shall cause a copy of this Order (in English and Spanish) to be posted and published as the notice of election ("Notice") required by Sections 4.003(a)(1)(A), (b) and (f), Texas Election Code.

14. EXECUTION OF ADDITIONAL DOCUMENTS; AMENDMENTS AND REVISIONS. The Chairman and Office Manager are authorized to enter into any other agreements required by the County or the County Clerk in connection with conducting the election ordered herein, and the District is authorized to pay any fees charged by the County for services rendered in connection with the election. The Chairman is further authorized to enter into an agreement with other political subdivisions as necessary to effectuate the joint election. The Chairman is hereby authorized to approve technical changes to this Order, upon consultation with Bond Counsel, in order to correct any ambiguity or mistake or as may otherwise be required to comply with state law or the requirements or recommendations of the County Clerk in connection with the conduct of the bond election.

15. AUTHORITY TO EXECUTE DOCUMENTS. The Chairman and each of the Commissioners are individually authorized to execute any documents as may be necessary to enter into the Election Agreement or a Joint Election Agreement with the Joint Election Participants.

16. EFFECTIVE DATE. Pursuant to the provisions of Section 1201.028, Texas Government Code, this Order shall be come effective immediately upon adoption thereof.
