BUSINESS Background Twenty-First Century Fox, Inc., a Delaware corporation, is a diversified global media and entertainment company which currently manages and reports its businesses in the following four segments: (i) Cable Network Programming; (ii) Television; (iii) Filmed Entertainment; and (iv) Other, Corporate and Eliminations. The activities of Twenty-First Century Fox, Inc. are conducted principally in the United States, the United Kingdom, Continental Europe, Asia and Latin America. For financial information regarding Twenty-First Century Fox, Inc.’s segments and operations in geographic areas, see “Item 8. Financial Statements and Supplementary Data.” Unless otherwise indicated, references in this Annual Report on Form 10-K for the fiscal year ended June 30, 2018 (the “Annual Report”) to “we,” “us,” “our,” “21st Century Fox,” “Twenty-First Century Fox” or the “Company” means Twenty-First Century Fox, Inc. and its subsidiaries. On June 20, 2018, the Company entered into an Amended and Restated Merger Agreement and Plan of Merger (the “Amended and Restated Merger Agreement”) with The Walt Disney Company (“Disney”) and TWDC Holdco 613 Corp., a newly formed holding company and wholly-owned subsidiary of Disney (“New Disney”), which amends and restates in its entirety the Agreement and Plan of Merger that the Company entered into with Disney in December 2017, pursuant to which, among other things, the Company will become a wholly-owned subsidiary of New Disney pursuant to a merger of the Company with a subsidiary of New Disney (the “21CF Merger”). The Company stockholders may elect to receive $38 per share in either cash or shares of New Disney common stock (subject to adjustment for certain tax liabilities). The overall mix of consideration paid to the Company stockholders will be approximately 50% cash and 50% stock. The stock consideration is subject to a collar, which will ensure that the Company stockholders will receive consideration equal to $38 in value if the average Disney stock price at closing is between $93.53 and $114.32. Prior to the consummation of the 21CF Merger, the Company will transfer a portfolio of the Company’s news, sports and broadcast businesses, including the Fox News Channel, Fox Business Network, FOX Broadcasting Company, Fox Television Stations Group, FS1, FS2, Fox Deportes and Big Ten Network and certain other assets and liabilities into a newly formed subsidiary (“New Fox”) (the “New Fox Separation”) and distribute all of the issued and outstanding common stock of New Fox to the holders of the outstanding shares of the Company’s Class A Common Stock and Class B Common Stock (other than holders that are subsidiaries of the Company (shares held by such holders, the “Hook Stock”)) on a pro rata basis (the “New Fox Distribution”). Prior to the New Fox Distribution, New Fox will pay the Company a dividend in the amount of $8.5 billion. New Fox will incur indebtedness sufficient to fund the dividend, which indebtedness will be reduced after the 21CF Merger by the amount of a cash payment paid by Disney to New Fox. As the New Fox Separation and New Fox Distribution will be taxable to the Company at the corporate level, the dividend is intended to fund the taxes resulting from the New Fox Separation and New Fox Distribution and certain other transactions contemplated by the Amended and Restated Merger Agreement (the “Transaction Tax”). The Company will retain all assets and liabilities not transferred to New Fox, including the Twentieth Century Fox Film and Television studios and certain cable and international television businesses, including FX Networks, National Geographic Partners, Regional Sports Networks, Fox Networks Group International and STAR India, as well as the Company’s interests in Hulu LLC (“Hulu”), Sky plc (“Sky”), Tata Sky Limited and Endemol Shine Group.

    Challenging ESPN: How Fox Sports can play in ESPN’s Arena Kristopher M. Gundersen May 1, 2014 Professor Richard Linowes – Kogod School of Business University Honors Spring 2014 Gundersen 1 Abstract The purpose of this study is to explore the relationship ESPN has with the sports broadcasting industry. The study focuses on future prospects for the industry in relation to ESPN and its most prominent rival Fox Sports. It introduces significant players in the market aside from ESPN and Fox Sports and goes on to analyze the current industry conditions in the United States and abroad. To explore the future conditions for the market, the main method used was a SWOT analysis juxtaposing ESPN and Fox Sports. Ultimately, the study found that ESPN is primed to maintain its monopoly on the market for many years to come but Fox Sports is positioned well to compete with the industry behemoth down the road. In order to position itself alongside ESPN as a sports broadcasting power, Fox Sports needs to adjust its time horizon, improve its bids for broadcast rights, focus on the personalities of its shows, and partner with current popular athletes. Additionally, because Fox Sports has such a strong regional persona and presence outside of sports, it should leverage the relationship it has with those viewers to power its national network. He is responsible for all television channels, multiplatform content, original production, marketing, creative services, and research for the Walt Disney Company Television portfolio across the region. Diego leads the company’s content strategy across its four genres (kids, factual, entertainment, sports) and oversees the brand strategy for Disney Channel, National Geographic, FOX and ESPN/Fox Sports. In this role, he also partners with the EMEA Direct-to-Consumer team on content strategy, commissioning and acquisitions. Diego joined the Walt Disney Company following the acquisition of 21st Century Fox, where he was Chief Operating Officer, Fox Networks Group (FNG) Europe and Africa. In this role, Diego worked alongside the regional President to further the FNG Europe and Africa operation and growth objectives, and was directly responsible for the company’s product strategy, including programming, production, acquisitions, marketing and research. As regional Head of Italy and the UK, he also had P&L responsibility and oversight of the operations in these markets. A 21st Century Fox veteran, Diego joined the company in 1997 working in a variety of roles and countries over the past 22 years to create and successfully build the organisation’s international operations.
