A. Introduction. The Village of Bridgeview, (the “Village”) is proud to issue this request for proposals (“RFP”) to qualified entities to provide full-scale management, operation and marketing services in relation to Toyota Park. Written proposals submitted in response to this RFP shall comply with the instructions and procedures set forth herein.

This RFP is available on the Village of Bridgeview website at http://www.bridgeview-il.gov and Toyota Park website at http://www.toyotapark.com. Parties interested in receiving a hard copy of this RFP must provide a contact name, address, telephone number and email address to the Village.

B. Purpose. The Village is seeking proposals from qualified entities to provide, on an exclusive basis, management, operation and marketing (the “Services”) for all events at Toyota Park, home of home of both ’s Chicago Fire and the National Women’s Soccer League’s Chicago Red Stars and a venue for numerous concerts, festivals and other events, located at 7000 South Harlem, Bridgeview, Illinois (the “Venue”).

The selected entity shall oversee all aspects of the Venue including, without limitation, operations, scheduling and marketing. A detailed discussion of the Services is to be found below in Section II. It is the Village’s intention to establish a long term business relationship with the selected Proposer(s), but the Village reserves the sole and exclusive right to review the performance of the selected party (or parties) on an as needed basis and at least annually. The Village reserves the sole and exclusive right to: (1) reject all proposals submitted in whole or in part; and (2) award the Services to multiple vendors. Entities responding to this RFP must be prepared to undertake all aspects of facility management, marketing, and operations of the Venue. The Village reserves the right, in its sole and absolute discretion, to cancel or modify this RFP in part or in its entirety.

C. About the Village. The Village is a home rule municipality located in southwestern Cook County, Illinois, approximately thirteen (13) miles from downtown Chicago. The Village was incorporated in 1947. The Village is populated by approximately 15,000 persons.

D. About the Venue. Located just outside of downtown Chicago and five miles from Midway International Airport, the Venue has become a premier soccer destination in the Midwest with adjacent turf fields and a brand new 90,000 square-foot dome that opened this spring. Owned and operated by the Village of Bridgeview, the facility also hosts international soccer and rugby events, world-class concerts and music festivals (e.g. 2017 Chicago Open Air Festival featuring KISS and Ozzy Osbourne), and other community driven special events throughout the year drawing over 500,000 fans annually. The area surrounding the stadium is undergoing an extensive transformation, including a 109-room Hampton Inn and Suites and a mixed-use retail center featuring fast-casual restaurants and a mix of other businesses. A more detailed breakdown illustrating the location of each area listed below is attached hereto as Exhibit A.

A schedule of events and attendance is attached hereto as Exhibit B. Actual events scheduled in any year may differ substantially from this list. This list is provided for illustrative purposes only.

E. Response Format. Qualifications sent in response to this RFP must include the name of the entity and the name of the person submitting the response. Responses should follow the format as outlined in the RFP Questions section. All responses must be signed by a representative authorized to make a binding commitment on behalf of the entity submitting the response.

A Mandatory Pre-Proposal Meeting will be held at Toyota Park on October 23rd, 2017 at 10:30AM in the Stadium Club. This meeting will address several key components related to an interested party’s response, including but not limited to:

• Tour of the facility • Management questions • Operational questions • Marketing questions

If you are planning to attend, please email the RFP Contact specified in Section F below no later than October 18th, 2017 to confirm attendance. Please also indicate the number of attendees representing your party at the Pre-Proposal Meeting.

F. Instructions. The Village must receive five (5) executed copies and one electronic copy of all proposals no later than 2:00 p.m. on November 3, 2017. Late responses will not be accepted. Responses submitted by electronic mail and facsimile will not be accepted. All responses should be delivered as addressed below:

Any and all questions pertaining to this RFP must be submitted in writing and submitted to the individual identified above and must be submitted on or before October 27th, 2017. All questions will be posted on the Village website.

G. Communications. The Proposers considering responding to this RFP are strictly prohibited from communicating with any member of the Village, Village Board or staff of the Village with regard to this RFP as any and all questions should be directed to the RFP Contact identified in Section F above.

H. Remuneration. Interested parties are to present a financial proposal in connection with the presented services as specified in Section III,E of this RFP. A schedule of events is included as part of Exhibit B. Actual events scheduled in any year may differ substantially from this list. This list is provided for illustrative purposes only.

I. Oral Interviews. After receipt of all responses, the Village will review and evaluate submissions based on all of the criteria stated in this RFP. The Village may, in its sole and absolute discretion, request oral interviews to allow the most qualified candidates to clarify their proposals or further define their offer. All oral interviews shall be at the expense of the party granted the oral interview.

J. Proposal Timetable. The Village anticipates a timely completion of the RFP process resulting in the successful negotiation of a contract. The Village reserves the right, in its sole and absolute discretion, to make adjustments to the timetable below as required throughout the process.

K. Public Records. Any proposal received in response to this RFP constitutes a public document that may be made available to the public upon request under the Illinois Freedom of Information Act (“FOIA”) (5 ILCS 140/1, et seq.) and other applicable laws and rules.

L. Amendment. This RFP shall be modified only by written amendment issued by the Village. It is the responsibility of the Proposers to verify that they have received, and incorporated into their proposals, all changes to this RFP due to amendments.

II. SCOPE OF SERVICES

The Village seeks proposals from qualified entities to provide the following Services:

Management and Operation: Manage and oversee day-to-day operations of the Venue in a cost effective, high quality, and efficient manner. Day-to-day management, maintenance and operation of the Stadium and Venue in accordance with applicable agreements, event coordination, supervision and event related services, employing, supervising and directing employees and other personnel. Scheduling and booking of events and activities at the Venue. Management and creation of systems and policies to eliminate unnecessary operating expenses. Properly maintain and safeguard the Village’s investment in the Venue through the exercise of the highest standards of maintenance and preservation, and as the need arises, recommend capital improvements. Provide superior services to users of the Venue and patrons and visitors attending events at the Venue, thereby maximizing customer satisfaction as exhibited by industry-wide positive image of the complex, and maximizing re-bookings. Maximize the economic impact to the Village, surrounding region, and state (via the accommodation of non-local events, trade shows, conferences, and meetings) and overall utilization of the Venue, while focusing on minimizing the annual operating cost for the Venue.

Marketing: Develop and implement initiatives to penetrate new markets, attract new events andpromote the Venue to enhance the usage of the Venue and to increase hotel occupancy adjacent to the Venue. Develop and market products and services associated with the Venue. Work to ensure that events and other activities are attractive to and retained at the Venue by producing promoter friendly and cost effective environment. Maintain and build the Venue’s status a high- quality entertainment center that is a destination for world-class sporting events, soccer activities, entertainment, festivals and community events.

This section provides the minimal requirements that may be expected from the proposing entity pertaining to the needs of the Village. Proposing entities not meeting the minimum requirements may be eliminated from further consideration.

A. Minimum Qualifications.

(1) Three (3) years of collective experience within the proposing entity providing the Services specified in this RFP. Proposers shall provide a list of professional sports venue projects (preferably with seating capacity in excess of 15,000) where the Proposer provided or currently provides services similar to the Services set forth in this RFP over the past three (3) years.

(2) To the extent applicable, provide evidence that Proposer holds active licenses necessary in the State of Illinois to provide the Services set forth in this RFP.

(3) Proposers shall submit evidence of compliance with all equal opportunity employment and affirmative action laws when and to the extent these requirements are applicable (which will be satisfied by an affirmative certification to the same).

(4) Proposers shall comply with all applicable federal, state and local laws, ordinances, rules and regulations.

B. Additional Service Requirements. 6

(1) The Proposer will provide satisfactory evidence to the Village of its commercially reasonable policies of insurance, including, but not limited to: general liability, automobile liability, property and workers’ compensation insurance and dram shop insurance, if applicable, which policies shall remain in full force and effect during the Proposer’s performance of the services described herein and, to the extent possible, shall name the Village, its Mayor, Board of Trustees, officials, officers, employees, consultants, insurers, attorneys and independent contractors as Additional Insureds.

(2) The successful Proposer shall preserve for a period no less than seven (7) years from creation of the same, all original books and records disclosing information pertaining to gross sales at the Venue and such other information regarding the Proposer’s business operations on the Venue as directed by the Village.

(3) To the extent applicable, the Proposer shall be required to collect and disburse all taxes required by any federal, state, or municipal authority, including but not limited to gross sales tax, sales and use taxes personal property taxes, commercial rent tax or any other tax related to the venue.

7 III. RFP RESPONSE

A. Background.

(1) Please describe the proposing entity’s history, ownership, financial condition and client base including, but not limited to: 1) years in business; 2) total number of employees in the proposing entity or related entities ; 3) management and organizational structure; 4) culture, business philosophy and service model; and 5) latest annual report/financial statements.

(2) Please indicate the total number of your public sector and stadium clients, and a provide summary of services provided to the same. Please provide information regarding the name, address, contact person, length of service, size of the stadium, number and type of events. Provide a detailed description of the services provided.

B. Service Team.

(1) Describe the proposing entity’s expertise in the delivery of the Services at large venues and, in particular, with governmental or quasi-governmental clients.

(2) Describe the exact individuals that would be assigned by you to work at the Venue. Briefly describe the duties and responsibilities that each individual will have regarding the Village and the requested services. Please provide a staffing chart for (i) all key on-site full time staff, including, at a minimum, a general manager or assistant general manager. All proposals must include resumes and references for all key on-site staff members as described above. All proposals must further specifically provide for training for all employees.

(3) Organizational Chart. Please provide a table of organization which shall outline the duties and reporting relationships for all full-time employees required to perform the required services contained in this RFP.

C. Management and Operations Plan

The successful entity will be responsible for preparing, maintaining and updating, when appropriate, guidelines and policies outlined in an operations and procedures manual ("Operations Manual") to be provided to the Village and utilized by the Proposer during the term of any contract entered into with the Village. The Operations Manual provides guidance on policies, practices, and procedures of all aspects of the required services, and reflects the matters, duties, and standards of performance agreed to between the successful entity and the Village as applicable. Information in the Operations Manual shall include, but is not limited to:

Respondents to this RFP shall provide a description as to how it will undertake these responsibilities.

D. Operating and Capital Planning

The successful entity shall be responsible for the preparation of an Annual Operating Plan for the review and approval of the Village which shall include the annual Operating Budget, and annual Capital Plan and an anticipated budget therefor, planned operating maintenance activities by the successful entity, anticipated events at the Venue, anticipated advertising, marketing and promotional activities, planned equipment and furnishings purchases and such other information as the Village may request with respect to the finances, operations, maintenance, management, capital improvements for the Venue. E. Reporting

The successful entity shall be responsible for generating monthly reports regarding the Venue. These monthly reports will include, but will not be limited to:

• Monthly cash flow reports;; • Monthly financial and service reports; • Monthly invoices received • MonthlyAn anticipated cash summary; events list and summary, and other related information; • Monthly remittance and settlement reports; • event expenses and event revenues; and, • Previous months' events list and summary, and other related information; • reportsAccounting to date. for previous month's • Narrative summary of the various financial, operating, and marketing monthly The successful entity will also provide at the conclusion of each event at the Venue or a preliminary settlement report. This report shall include, at a minimum, operating revenues and operating expenses attributable to the event, and such other information as the Village may reasonably request.

The successful entity shall maintain full, accurate, and complete financial and accounting books, records, and reports of the management, operation, maintenance, and promotion of the Venue. In the maintenance of such records, the successful entity shall use accounting and record systems in accordance with Generally Accepted Accounting Principles (GAAP) and/or Governmental Accounting Standards Board (GASB). The successful entity shall provide any information required by the Village, by the independent financial auditor in support of the annual financial audit. The successful entity also has review and validation responsibilities, in support of the Village’s execution of: the monthly reconciliation of all bank and trust accounts; the monthly “waterfall” calculations; and any other financial calculations required by the Village.

F. Marketing of the Venue and Booking of Events

The successful entity will be responsible for marketing and booking of content for the Venue, on behalf of and subject to the approval of the Village. The Proposer understands that the Venue is a multipurpose Facility. The Proposer further understands that any booking or scheduling of events at the Facility must not conflict with the rights of the current users of the Venue including the obligations of the Village under the Permit and Operating Agreement.

10 The proposing entity shall: • Actively advertise, market and promote the Venue on a local, regional, national and international basis through a wide variety of media including but not limited to trade publications, social media, internet, radio and television; • Proactively seek local, regional, national and international events or content to the Venue to maximize paid ticketed events, utilization and revenues generated at or by the Venue; and, • Develop a detailed marketing plan on an annual basis that specifies how the Venue will be marketed and programmed for events for the upcoming Fiscal Year and the extended five (5) year period. The proposing entity shall provide detail of efforts to be expended (means and methods), expected costs for such efforts and the returns to be made by undergoing those efforts.

The proposing entity shall provide a detailed description as to how it will satisfy the marketing and booking of events responsibilities including the use of outside promoters, show managers and in-house or co-produced events. Furthermore, the proposing entity must describe its marketing approach and plan for the Venue in detail including how such marketing and promotion will facilitate the highest utilization of the Venue and maximize net revenues.

G. Supplemental Information. Additionally, please be prepared to address, at a minimum, your management style related to:

(1) Provisions in dealing with major sponsors and team supporters. This will include any stadium relationships and the pricing opportunities that may exist between the proposing entity and the Venue.

(2) Care provided to the facilities being used at/in the Venue.

(3) Level of customer service to be provided to customers at/in the Venue.

H. Financial Proposal.

(1) Interested parties are to present a management fee proposal based on the following assuming a management agreement term of five (5) years:

a. A fixed monthly or annual management fee for day-to-day management, operations and maintenance and marketing of the Facility and Facility Site.

b. An incentive fee which sets forth specific details of the fee and examples of how the incentive fee would be calculated using a hypothetical case. Such options may include, but are not limited to, (i) revenue or expense improvements as measured against certain benchmarks; (ii) quality of management and operations services performed as determined by the Village; (iii) achievement of the Village's programmatic and fiscal goals; (iv) community involvement; and, (v) customer satisfaction measurements (e.g. results of "mystery shopper" reports, informal and formal audits, inspections, customer surveys and observations conducted by the Village or stadium users).

c. A combination of a stated amount or periodic fixed fee arrangement and annual incentive fee based on performance criteria similar to the options set forth in paragraph b above.

I. Sales and Marketing Plan.

11 (1) All proposals must contain a sample sales and marketing plan to be implemented by the Proposer during the term of any resulting agreement. In particular, Proposer is encouraged to become an active participant in the sales and marketing process. The sales and marketing plan should clearly outline objectives along with the resources required (personnel and other) and who shall be responsible for any anticipated cost. The sales and marketing plan should also contain a definitive timetable as well as a schedule of expected deliverables.

J. Event Information and Reporting.

(1) The Proposer shall provide samples of event information, recaps, daily and monthly statements and the like to be furnished to the Village during the term of any agreement resulting from this RFP.

K. Training Programs.

(1) The Proposer will describe any training programs, including pre-season training programs, used to train both full-time and part-time employees at the Venue. The Proposer shall be required to conduct regularly scheduled training classes for all employees in accordance with a schedule that is approved by the Village. Such training shall consist of customer service training, and alcohol awareness.

L. Client References.

(1) Provide a listing of representative public sector clients.

(2) Provide at least five (5) references of current clients, include their company name, address, contact person, phone number, email address and length of service.

(3) Please provide a list of former or current clients operating soccer-specific venues or venues to which soccer is the primary tenant.

(4) Provide a list of clients that have terminated your services in the last three (3) years. Include company name, address, contact person, phone number, email address and length of service.

(5) Include a list of all lawsuits filed against the proposing entity or any of its principals regarding services rendered.

12 IV. EVALUATION CRITERIA

Please be prepared to discuss the proposing entity’s advantages over others in the industry, particularly as it relates to maximizing the Venue’s profitability, the proposing entity’s commitment to customer service, the ability to coordinate a successful transition and the proposing entity’s ability to enhance the overall fan experience.

Finances will not be the only factors upon which the Village will make its selection. The following factors will be used to determine a proposing entity’s qualifications to service the Village. The order of the following factors does not determine any relative ranking:

(1) The proposing entity meets all of the Village’s requirements;

(2) Demonstrated knowledge and experience;

(3) Conformance with specifications of the RFP and completeness of the questionnaire responses;

(4) The proposing entity’s ability to provide the products and services that are in the best interests of the Venue;

(5) References; and

(6) Other matters not herein specifically enumerated.

Selection does not guarantee the award of a contract. This RFP shall not create any legal obligation of the Village to evaluate any proposal that is submitted or to enter into any contract or any other agreement with an individual or party who submits a proposal except on terms and conditions that the Village deems, in its sole and absolute discretion, to be satisfactory and desirable. The Village reserves the right to award the services to multiple vendors. All proposals should contain an affirmative statement that there is no “conflict of interest” with the Village and the proposing entity and its principals.

The Village reserves the right to cancel at any time for any reason this RFP and to reject all proposals received and the right to waive non-material formalities and technicalities according to the best interests of the Village. The Village shall not have any liability to any Proposer arising out of such cancellation or rejection. The Village reserves the right to waive variations in the selection process. Any proposals submitted shall be binding for one hundred twenty (120) days following the Village’s opening and review of the same. The Village reserves the right to select one party or multiple parties to satisfy the services sought. The Village reserves the right to terminate the services provided by the successful Proposer. In-person interviews may be scheduled to finalize the selection.

By submitting a response the entity providing the qualifications acknowledges its understanding of the requirements of this submission and agrees to be bound to the same.

The Village assumes no responsibility for the costs incurred in the preparation, submission, presentation or negotiation of the proposals in response to or agreements arising out of this RFP, including negotiation of any management agreement that results therefrom.
