Architectural & Environmental Committee March 28, 2018 Item A-1 Approval of the lnterlocal Agreement between ECAT and the SRIA for trolley service, 2018. (Staff report by Paolo Ghio) Background: Each year, the SRIA rents 2 trolleys from ECAT starting Memorial Day weekend through Labor Day. This lnterlocal Agreement is between Escambia County (ECAT) and the SRIA. Last year we expanded the service to include an additional trolley for the core area. The 2018 Trolley schedule will be as follows; • May 25, 2018 through September 3, 2018 - 3 Trolleys - 7 days a week- the hours will be from 4:00 p.m. to 12:00 a.m. Project cost from ECAT for 2018 service is $172,147.00 Recommendation: Staff recommends approval of the lnterlocal Agreement between ECAT and the SRIA, the modifications, and cost associated for the 2018 Trolley service, $172,147.00 as presented. INTERLOCALAGREEMENT BETWEEN ESCAMBIA COUNTY, FLORIDA AND THE SANTAROSA ISLAND AUTHORITY RELATING TO MASSTRANSIT SERVICEON PENSACOLABEACH THIS AGREEMENTis made and enteredinto this by and betweenEscambia County, a political subdivisionof the State of Florida, (hereinafter"County"), acting through its Board of County Commissioners,and the Santa Rosa Island Authority, a dependent special district createdunder the Lawsof Florida(hereinafter 11 SRIA"),acting through its governingBoard. WITNESSETH: WHEREAS,the County and the SAIA are authorizedby §163.01, Florida Statutes, to enter into lnterlocal Agreementsand thereby cooperativelyutilize their governmentalpowers and availableresources in the most efficientmanner possible; and WHEREAS,the County operatesthe EscambiaCounty Area Transit, a publicly owned mass transitsystem, located at 1515West FairfieldDrive, Pensacola,Florida 32501 (hereinafter referredto as "ECAT'); WHEREAS,the SAIA desiresand requeststhe County,through Escambia County Area Transit(ECAT), to providemass transit serviceson PensacolaBeach; and WHEREAS,the County, through ECAT, is willing and able to provide such services, subjectto the terms and conditionsset forth herein;and WHEREAS,the County and SAIA have determined it is in the best Interest of the citizensto enter into this Agreementto cooperativelyprovide mass transit service on Pensacola Beach. NOW, THEREFORE,in considerationof the mutualcovenants contained herein and of the mutual benefitsto flow each unto the other, and for other good and valuable consideration, the Countyand the SRIAagree as follows: Section 1. Purpose of Agreement. 1.1 The recitals containedin the Preambleof this Agreementare declared to be true and correctand are incorporatedinto this Agreement. 1.2 Pursuantto §163.01,Florida Statutes, this Agreementestablishes the conditions,extent, and mechanism whereby the County, through ECAT, will provide mass transit service on PensacolaBeach. Section 2. Scope of Service. The County, by and through ECAT, shall provide the followingmass transitservice on PensacolaBeach: 2.1 Hours of Service. ECAT will provide mass transit service during the service period specifiedin Section2.2 hereinon a weeklybasis accordingto the followingschedule: Monday-Sunday (102 days) betweenthe hours of 4:00 p.m. and 12:00a.m. 2.2 Service Period. The service period will commence on May 25, 2018, and end on September3, 2018. During the service period, three (3) trolleyswill operate on the assigned service routeduring the hours of servicereferenced in section2.1 above. 2.3 ServiceRoute. The applicableservice route is depictedin ExhibitA, attachedhereto and incorporatedherein. Routesand scheduledhours of service may be revised as necessaryat any time during the term of this Agreement. Any increasein servicemay requirean Increasein budgetedcosts. Operatorswill not deviate from the assignedservice route, except for routine minor detours,without the approvalof ECATsupervisory personnel. SAIA officialsdesiring any routedeviations must makesuch a requestto the Transit DivisionManager of Operations. 2.4 Ogeratorsand Uniforms.ECAT will providequalified transit vehicleoperators to provide transportationservice. All operatorswill wear an appropriateuniform that is mutually agreed upon by SAIA and ECAT. 2.5 Service Review. ECAT and SAIA agree to meet as necessaryto review the level of service, schedules,service charges, etc. No changes will be made to the level of service provided for in this Agreementwithout the mutual consent of both parties, Includingbut not · limitedto changesin routesor schedulesor increasesin budgetedcosts. Section 3. Method of Payment. 3.1 In exchangefor the provisionof such publictransportation services described in Section 2 above, the SAIA shall reimbursethe Countyfor all operatingcosts as set forth in Exhibit B, attachedhereto and incorporatedherein. ECATwill submit monthlyinvoices to the SAIA for the authorizedoperating costs incurredduring the previousmonth, and SAIA will remitall payments to ECAT by the end of the monthin which the invoicewas received. 3.2 Costs for additional public transportationservice requested by SAIA will be clearly identifiedon the appropriatemonthly invoice and billed at the variablecost per hour as set forth in ExhibitB. Section 4. Insurance. Duringthe term of this Agreement,ECAT shall maintainall required insurancecoverage in accordancewith industry standards and applicablelaws, including but not limitedto, commercialgeneral liability coveragewith a $5,000,000combined single limit and $5,000,000excess limit. Any additionalinsurance coverage will be the responsibilityof SAIA. Section 5. Termof Agreement. This agreementshall remainIn full force and effect for one (1)year unlessterminated earlier by either party pursuantto Section6. Section 6. Termination. This Agreementmay be terminatedby either party at any time and for any reason upon thirty (30) days written notice to the other party; provided, however,that terminationshall not affect the reimbursementof any costs then owing to the County by the SAIA, or which subsequentlyare owed to the County by the SAIA as a result of actions concludedfollowing the effectivedate of termination. Section7. Liability. 7.1 The partieshereto, their respectiveelected officials, officers, and employeesshall not be deemedto assume any liabilityfor the acts, omissions,or negligenceof the other party. The SAIA agrees to be fully responsiblefor its negligentacts or omissionsor tortious acts which result in claims or suits against the County and agrees to be fully liable for any damages proximatelycaused by said acts or omissions. EscambiaCounty, Florida, as a subdivisionof the State of Floridaas definedin §768.28,Florida Statutes, agrees to be fully responsiblefor its negligentacts or omissionsor tortiousacts which result in claims or suits against the SAIA and agreesto be fully liablefor any damagesproximately caused by said acts or omissions.Nothing herein Is Intendedto serve as a waiver of sovereignimmunity by the SRIA or the County and nothing herein shall be construedas consent by the SAIA or the Countyto be sued by third partiesin any matterarising out of this Agreement. 7.2 Each party is responsiblefor maintaining,in a form acceptable to the parties, all necessaryrecords of personneland equipmentused under this Agreementfor a period
