WHEREAS Council of The Corporation of the City of Timmins considers it desirable to enter into an agreement with Goldcorp Canada Ltd. to provide temporary access rights over Goldcorp lands for the purpose of staging fireworks for the Stars & Thunder Event in the City of Timmins.

NOW THEREFORE the Council of The Corporation of the City of Timmins enacts the following as a By- law:

1. THAT The Corporation of the City of Timmins enter into an agreement with Goldcorp

d THIS AGREEMENT made with effect as of the 2" day of February, 2018 ( the " Effective Date"},

BETWEEN:

GOLDCORP CANADA LTD., a corporation incorporated under the federal laws of Canada,

hereinafter referred to as " Goldcorp" or " Grantor")

and-

THE CORPORATION OF THE CITY OF TIlVIlI7INS

hereinafter referred to as the " City" or " Grantee"),

WHEREAS:

A. Goldcorp is the owner of certain lands outlined with red boundary lines on the sketch attached as Schedule " A" ( the " Goldcorp Lands"); B. The City is hosting the Timmins Sta s and Thunder 2018 Festival and requires access to the Goldcorp Lands for the fireworks competition taking h place between June 24` and July 1s`, 2018 ( the " EvenY'); C. At the request of the City, Goldcorp has agreed to gant to the City certain temporary access rights over the Goldcorp Lands for the Event, as more particularly set out in this Agreement.

NOW THEREFORE, in consideration of the covenants and agreements herein contained ( the receipt and sufficiency of which is hereby acknowledged), the parties covenant and agree as follows:

ARTICLE 1 TEMPORARY ACCESS l.l Grant of Temporary Access

Goldcorp hereby grants a non- exclusive surface rights only temporary right of access in fa our of the Grantee and its contractors, in, over, along and upon that portion of the Goldcorp Lands, which access shall solely be for the purpose of sta ing firework displays for the Event and associated activities (the " Temporary Access"). 2-

1. 2 Duration of Access

The Temporary Access is granted commencing from June 1`, 2018 and to terminate on the earlier of:

a) July 16`, 2018; or

b) Earlier termination of this Agreement in accordance with ARTICLE 4

the " Access Period")

On or before May 1S`, 2018, Goldcorp and the City will meet in-person to update Schedule " A" with new surveys of fenced- in area, and discuss any updates to the Access Period to accommodate both parties' needs.

1. 3 Access Restrictions

a) The Goldcorp Lands will be fenced off in accordance with the red boundary lines indicated in Schedule " A", and Parties agree that the Temporary Access will be restricted to the area within the fenced boundary, and not on any other Goldcorp property.

b) Parties agree that the Temporary Access is for surface rights only and Goldcorp' s underlying mineral rights shall remain unaffected.

c) Grantee shall, and shall ensure its employees, contractors, other invitees or those for whom the Grantee may be responsible at law ( collectively the " Grantee Personnel"), adhere to the follow restrictions during the Temporary Access:

i) Securiry & Safety:

A) For the duration of the Temporary Access, the City is responsible for the safety and direction of all persons on Goldcorp Lands, including but not limited to implementing the necessary access control, supervise workers, and establish health and safety procedures for those working at the site.

B) Existing "Entrance" gate on the property, as outlined in Schedule A, known as " Centre Gate" shall be controlled by the City and locked at all times to ensure public safety. Goldcorp will provide the City with keys. 3-

C) The Goldcorp Lands will be fenced off as restricted area, and the City shall be responsible for public safety, including limiting access to such restricted area to those required to work in the area in

connection with the Event. Strict access requirements shall be imposed, where the City shall monitor and require registration by all people accessing the area and maintain a sign-in/ sign- out book for the area.

D) The City shall be solely responsible for all safety procedures and policies for work being conducted within the fenced boundaries for the Event, including but not limited to any permitting or signage requirements of government agencies.

E) A" Blasting Time Clearance Procedure" will be prepared by Goldcorp for the duration of the Temporary Access, and shall be adhered to by the City.

F) Any security breach, environmental incidents, public safety reports, injury reports or ministry of labour inspections on the Goldcorp Lands shall be immediately reported by the City to Goldcorp. ii) No Recordings:

Grantee and the Grantee Personnel is not permitted to make recordings of the Goldcorp Lands and adjacent Goldcorp activities. Photos, videos and other types of recordings of the site or any personnel is strictly prohibited without Goldcorp' s prior written consent. Cameras are not permitted on- site without Goldcorp prior approval. Photography or other images captured during site visits are subject to Goldcorp review. iii) Grantee and the Grantee Personnel shall:

A) only utilize the Temporary Access for the specific purposes set out in Section 1. 1 of this Agreement, and not deviate from such purpose without the prior written consent of Goldcorp ( which consent may be withheld by Goldcorp in its sole discretion),

B) act, and at all times be, at their own risk,

C) other than as provided in this Agreement, shall not interfere with the operations or activities of Goldcorp, its employees, contractors, 4-

agents and those for whom Goldcorp may be responsible, and shall not perform any work on, along or under the Goldcorp Lands, nor move or interfere with any chattels, equipment or fixtures of Goldcorp located on, under or about the Goldcorp Lands, including any signage, culverts, fencing or road related facilities, without the prior review and written consent of Goldcorp, acting reasonably, and at the sole expense of Grantee, and

D) comply with all applicable laws in the course of the Grantee' s activities during the Temporary Access, including but not limited to complying with all tr c signage and otherwise act at all times in a safe, prudent and reasonable manner and in accordance with all laws and rules and regulations, so as to minimize any interference, danger and inconvenience occasioned to Goldcorp or to other persons. iv) Construction:

A) The City is permitted to bring a 20 ft storage sea can on- site, but at no time shall the Goldcorp Lands be used as storage facility for fireworks, except for materials need for two ( 2) shows. Other permitted temporary structure are: trailer, tent and dumpsters.

B) Grantee and the Grantee Personnel shall not disturb any existing fixtures on the Goldcorp Lands, including but not limited to any hydro lines, gas line, sewer line, water line or other public utility lines.

C) Grantee and the Grantee Personnel shall not construct or erect any signage, fences, curbs, bamers or any other temporary or permanent fixtures on the Goldcorp Lands.

D) Grantee shall not commence any work on Goldcorp Land without first: (i) obtain Goldcorp' s prior written approval for the work, (ii) fumish to Goldcorp drawings of the proposed work, along with details of structure type and timing for the work, as required, ( iii) provide to Goldcorp a list identifying all contractor and sub- contractor, and any associated permits, insurance and clearance certificates for such contractors and sub- contractors as Goldcorp may request, and (iv) provide to Goldcorp a copy of the contract for the work and evidence satisfactory to Goldcorp as to the existence of all necessary permits, environmental studies and other authorizations from relevant regulatory authorities. 5-

v) Grantee and the Grantee Personnel shall not use any gravel, sand or other aggregate or surface materials found on the Goldcorp Lands or any other lands of Goldcorp without having first received written consent from both Goldcorp and any governmental authority having jurisdiction.

vi) Grantee and the Grantee Personnel shall not be entitled to cut any trees or growth or clear the property from other similar obstructions without the prior written consent of both Goldcorp and any governmental authority having jurisdiction.

vii) Grantee and the Grantee Personnel shall not obstruct the Goldcorp Lands or any access road, or construct any works on, under, over, along or across the Goldcorp Lands or otherwise deposit any materials ( including debris, garbage, toxic or noxious substances or trees or bush slash), chattels, equipment or fixtures ( including gates) on, under or about the Goldcorp Lands, without the prior written consent of Goldcorp.

ARTICLE 2 RIGHTS AND OTHER OBLIGATIONS PERTAINING TO ACCESS RIGHTS

2. 1 Goldcorp Reservation of Rights

Goldcorp hereby reserves to itself and its affiliates and their respective agents, employees, representatives, contractors, subcontractors, licencees, lessees, invitees, or other persons to whom Goldcorp may grant similar rights, the right to enter upon and use and enjoy the Goldcorp Lands, for such purposes as Goldcorp may deterniine in its sole discretion from time to time.

Goldcorp reserves the right to grant to other persons further access rights, in the nature of a license, easements or a right of way, on, over, along and across the Goldcorp Lands. 2. 2 Use License — Use License - Residential Tenancy Act Does Not Appty and No Easement.

Parties agree that this Agreement does not establish any form of tenancy at law or in equity, and instead the Temporary Access is a conditional " use license" granted by the Grantor to the Grantee. Parties agree that the Residential Tenancy Act (Ontario) does not apply to this Agreement and the Parties do not intend for the access rights granted hereunder to be interpreted as a residential tenancy lease or an easement registerable against title to the property.

2.3 Permits, Approvals and Governmental Rules and Regulations

Grantee covenants that it has obtained and will maintain in good standing during the term of the Temporary Access and this Agreement all required permits and approvals required from any governmental authority for the Temporary Access and the Grantee' s intended use thereof.

ARTICLE 3 TRANSFER & NO REGISTRATION

3. 1 Restrictions on Transfer

Grantee does not obtain any legal or beneficial interest in the Goldcorp Lands by virtue of the Temporary Access or this Agreement, and has no legal authority to, and shall not transfer, charge, mortgage, ( ease or assign or grant any right or interest in and to or derived from the Temporary Access or this Agreement, in any circumstances without the prior written consent of Goldcorp (which consent may be withheld by Goldcorp in its sole discretion).

Goldcorp shall be entitled to transfer, charge, mortgage, lease or assign or grant any other right, title or interest in and to the Goldcorp Lands, or any part thereof, including this Agreement and the Temporary Access granted.

3. 2 No Registration on Title

Neither ttus Agreement nor the Temporary Access (nor notice of either) shall be registered on or filed against the title to the Goldcorp Lands, nor noted on the title to the Grantee Lands, by or on behalf of Grantee without the prior written consent of Goldcorp ( which consent may be withheld by Goldcorp in its sole discretion).

3. 3 Knowledge of Hazards and Grantee' s Acceptance of Risks.

Grantee has full knowledge and awareness of the mining operations and conditions that may e cist on the Goldcorp Lands and has fully inspected the condition of the Goldcorp Lands it intends to access. Grantee has knowledge of, accepts and assumes full responsibility for all hazards and risks that may be present at the Goldcorp Lands and Grantee acknowledges that Goldcorp assumes no responsibility for the safety or security of Grantee' s Personnel or any of Grantee' s equipment or property accessing the Goldcorp Lands. Grantee assumes full responsibility for all loss of or damage to both the materials, machinery, equipment and other property of Grantee, Grantee' s Personnel making use of the Temporary Access and are brought onto Goldcorp Lands or otherwise utilized at the Goldcorp Lands. Without limiting the generality of the foregoing and for greater certainty, Goldcorp hereby disclaims any and all liability towards the Grantee or Grantee Personnel for incidents in or outside Goldcorp' s premises in connection with the Temporary Access granted hereunder.

ARTICLE 4 TERMINATION

4. 1 Termination without Cause

Goldcorp may terminate this Agreement at any time with thirty ( 30) days' prior written notice to Grantee.

4. 2 Termination for Cause

If Grantee fails to observe or perform any of its obligations or covenants in respect of the Temporary Access or otherwise under this Agreement:

a) and such failure,

i) is not remedied within seven ( 7) days after written notice of such failure is given to Grantee by Goldcorp, or

ii) where such remedy in ( i) above is not reasonably possible of completion, and Grantee has not commenced to remedy such failure within such seven 7) day period or, having commenced to remedy such failure, fails at any time after the giving of such notice to diligently proceed to remedy such failure until it is remedied,

b) or such failure occurs on a reperitive basis or on an ongoing basis ( even if subsequently remedied on a repetitive basis or from time to time) as determined by Goldcorp, then

Goldcorp may in any of the foregoing circumstances, at its option, immediately ter ninate without liability to the Grantee, the Temporary Access and this Agreement by written notice to Grantee to such effect, such termination to take effect on the date of delivery of such notice. 8-

4.3 Restoration of Lands

On or prior to the Effective Date, the City shall have inspected the Goldcorp Lands accompanied by Goldcorp representative. During this inspection, the Goldcorp representative will review with the City' s representative the restricted area boundaries, safety requirements, and reporting procedures, including but not limited to the " Blasting Time Clearance Procedure". Parties will sign off on the condition of the Goldcorp Lands as of the Effective Date, and the condition the property is to be restored to following the City' s Temporary Access.

Upon termination of the grant of Temporary Access and or this Agreement, and in no event later than July 13`h, 2018, Grantee shall restore the Goldcorp Lands to the condition in which they existed immediately prior to the grant of Temporary Access, including but not limited to clearing of wastes. Such restoration may involve the removal of temporary structures or works from the Goldcorp Lands, and the rehabilitation of the Goldcorp Lands as required as a result thereof, all at Grantee' s expense and to Goldcorp' s satisfaction. Goldcorp may elect to perform the removal/rehabilitation work itself or through Goldcorp' s contractors ( at the option of Goldcorp), at Grantee' s expense.

ARTICLE 5 LIABILITY, INSURANCE & SECURITY FOR RESTORATION COSTS

5. 1 Indemnity and Release by Grantee

a) Except to the extent attributable to the negligent acts of Goldcorp or its employees, agents or other invitees, Grantee shall and hereby agrees to indemnify and save harmless each of Goldcorp and their liates and their respective officers and directors and representatives, employees, contractors and agents:

i) with respect to any loss, damage or injury to any persons or property including, without limitation, all personal and real property of Goldcorp, and from all fnes, suits, proceedings, liabilities, losses, damages, settlements, liens, costs, expenses ( including legal costs and the costs of reviewing plans or specifications), claims, demands or actions of any nature or kind whatsoever caused directly or indirectly by or related to or arising out of:

A) any negligent act or omission of, or wilful misconduct by, Grantee or Grantee' s Personnel during the Temporary Access period contemplated in Section 12;

B) the grant of the Temporary Access by Goldcorp or Grantee' s use, access or the performance of any work during the Temporary Access period contemplated in Section 1. 2 on the Goldcorp Lands, , by Grantee or its contractors, agents or other invitees or their respective

officers, directors, employees, representatives, subcontractors, agents or other invitees;

C) a breach of any terms and conditions of this Agreement by Grantee or Grantee' s Personnel, or failure of Grantee to perform its obligations under the terms of this Agreement; and

ii) against any and all costs, expenses, and fees ( including without limitation, all legal expenses) incurred by or on behalf of Goldcorp in respect of any of the foregoing or in the investigation or defense of any and all such suits, orders, proceedings, claims, damages, or actions including, without limitation, any environmental liabilities or potential environmental liabilities, those arising under the Occz.rpier' s Liability Act and those for compensation under the Worker' s Compe asatiort Act or any similar laws.

The aforesaid indemnity shall survive the surrender, expiration or other termination of the Temporary Access or this Agreement.

b) Except to the extent attributable to the negligent acts of Goldcorp or its employees, agents or other invitees, Grantee shall, and hereby does release Goldcorp and their affiliates and their respective officers, directors, representarives, employees, contractors, agents and other invitees from and against all manner of actions, causes of actions, suits, claims, debts, duties, accounts, liabilities, damages or demands for damages, indemnity, costs, expenses, interest or loss of every nature and kind whatsoever arising out of or relating to: the grant of Temporary Access, the use of the Goldcorp Lands, or the entry upon the Goldcorp Lands, by Grantee or its contractors, agents or invitees or their respective officers, directors, employees, contractors, agents or other invitees or by any other person not acting pursuant to the authority of Goldcorp.

5. 2 Security for Costs

Upon execution of this Agreement, Grantee will deliver to Goldcorp a security deposit in the form of a certified cheque in the amount of $10, 000 to secure against: ( a) the costs ofrestoration of the Goldcorp Lands as referred to herein; or (b) the costs to Goldcorp for Grantee' s failure to comply with any of the obligations set out in this Agreement. In the event of non- compiiance by Grantee with its restoration obligations as set out herein, Goldcorp may draw on the certified cheque to cover all costs incurred by Goldcorp in restoring the Goldcorp Lands following termination of the grant of Temporary Access, or other costs associated with the termination.

Goldcorp will return the said certified cheque upon: 10-

a) completion of the restoration work to the saUsfaction of Goldcorp; or

b) termination or expiration of this Agreement, whichever event occurs later.

5. 3 Liability Insurance

Grantee agrees to maintain at all times during the term of the Temporary Access and this Agreement and for two (2) years thereafter, such insurance coverages as Goldcorp may reasonably require, including a minimum of Ten Million ($ 10,000,000. 00) Dollars general commercial liability and automobile liability insurance per claim per occurrence in respect of personal injury, death, loss or damage of or to any person or property of any person arising out of the use or location of any access road or the use of the Goldcorp Lands or the performance of work thereon or in respect thereof, by Grantee or its liates or their respective officers, directors, representatives, employees, contractors, agents or other invitees or by any other person, with major substantial insurers acceptable to Goldcorp acting reasonably. Goldcorp shall be added as additional insured parties in the general commercial liability insurance policy or policies with severability of interest and rights of cross claim and subro ation. No such policies shall be cancelled or allowed to lapse so that Grantee does not have such general commercial liability or automobile insurance at any time during the term of the Temporary Access. Grantee shall acquire and deliver to Goldcorp at the time ofexecution and delivery ofthis Agreement, and have at hand at all times and shall deliver to Goldcorp upon its request, an up to date certificate of said insurance policies reflecting the foregoing.

ARTICLE 6 GE1 IERAL

6. 1 Confidentiality, Publicity and Media

a) Grantee agrees to not disclose to others or use any confidential information acquired by Grantee or Grantee Personnel by virtue of or during the course of the Temporary Access to Goldcorp Lands without the written consent of Goldcorp. This includes any information regarding the design, construction, operation, processes, equipment or maintenance of the site. Exceptions to the foregoing confidentiality obligation: ( i) information which is or becomes publically available through no fault of the Grantee; ( ii) information which is already in the Grantee' s possession; or ( iii) information which is lawfully obtained by the Grantee from a third party, other than Grantee Personnel.

b) Media visits or access to the Goldcorp Lands is not permitted without prior Goldcorp written consent. 11-

c) No publicity or release of information to the public relating to this Agreement shall be issued by the City without the prior written consent of Goldcorp.

6.2 Notice

Any notice, request or other communication ( in each case, a" Notice") required or permitted to be given hereunder shall be in writing and shall be delivered by hand or registered mail addressed as follows:

Either Goldcorp or Grantee may change the address at which a Notice is to be given pursuant hereto, by giving notice of the change pursuant to this Section 6. 1. Any Notice given in accordance with this section, if delivered by hand or registered mail, shall be deemed to have been received when delivered. 12-

6. 3 Governing Law

This Agreement and the Easement shall be governed by and interpreted exclusively in accordance with the Laws of the Province of Ontario and the federal Laws of Canada applicable in such province and the Parties hereby attorn to exclusive jurisdiction of the Courts of Ontario.

6.4 Counterparts

This Agreement may be executed in counterparts and delivered by facsimile transmission or in pdf format ( with executed originals to be delivered immediately thereafter), each of which shall constitute an original and each of which taken together shall constitute one and the same instrument.

6. 5 Amendment

This Agreement may only be amended, altered or modified by written agreement signed by both Parties.

6. 6 Entire Agreement

This Agreement contains the entire agreement between the Goldcorp and Grantee in respect of the subject matters herein and supersedes all prior agreements, term sheets, statements, representations, understandings, warranties, communications and negotiations, whether oral or written, with respect to the subject matters of this Agreement.

6.7 Severability

The validity or enforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement and such invalid or unenforceable provision shall be deemed to be severable.

6.8 Limitation of Liability

In no event shall Goldcorp or its affiliates be responsible or liable under or pursuant to this Agreement for any direct, or indirect, or consequential damages, including loss of business or profit, sustained by Grantee, howsoever caused.

6. 9 Survival

Sections 5. 1 ( Indemnity and Release by Grantee), 52 ( Security for Costs), 5. 3 ( Liability Insurance) and 6. 8 ( Limitation of Liability), and all applicable definitions, cross-referenced provisions and applicable schedules, shall continue in full force and effect for a period of three years from the date of termination, surrender or expiration of this Agreement. 13-
