American Airlines and their Joint Business partners are pleased to confirm the terms of this Joint Business Incentive Agreement.

This Joint Business Agreement ('Agreement') is effective as of October 01, 2018 ('Effective Date') between the airlines listed on the attached signature page and TVL EXPERTS INC ('Agent'), and sets out the terms under which the Agent will receive incentive payments or other rewards for the performance of sales activities.

For the meaning of capitalized terms not defined in the main text, please refer to the definitions in the Appendix.

The Agreement is comprised of the following documents: A. arrangements under this Agreement;

B. Multiple addenda which specify the Incentives (Exhibit B) and other rewards the Agent may receive for performing Activities

C.

Please note that each Commercial Addendum will be separately provided to the Agent by the applicable Immunized Joint Business or applicable Airline. Agent must not share any Commercial Addendum, or any of the information contained therein, with an Airline that is not a party to that addendum. This is important in order to ensure that all information exchanged by the Airlines falls within the scope of immunity from

The Agreement will be effective once Agent and all Airlines named on the signature page attached to the General Terms have signed the signature page, except that each Commercial Addendum must be separately signed by the parties thereto (and returned to the specified Airline) in order to come into effect. Unless otherwise specifically agreed in writing (e.g., in the applicable Commercial Addendum), the Agent is only entitled to the Incentives established in a particular Commercial Addendum for Activities performed after the later of (a) the Effective Date of this Agreement, (b) the date the specified Airline receives the signed Commercial Addendum from the Agent, and (c) the start of the incentive period, if any, set forth in the Commercial Addendum.

In addition to the General Definitions contained in the General Terms, there is a list of Commercial Definitions that apply only to this Commercial Addendum.

Airline(s) will pay a Backend Incentive to Agent in accordance with the terms of this Addendum, including any Exhibit. Measurements and calculations of performance and Backend Incentives will be based on the activities of Authorized Sales Outlets only, subject to any specific exclusion set forth in any Exhibit.

Bookings, ticket sales, passengers, revenues and the like derived from fulfillment services provided by Agent for a third party but not reported and attributed to its Authorized Sales Outlets will not be credited to Agent for performance measurement or Backend Incentive payment purposes. An Airline may prorate or otherwise normalize amounts attributable to changes in Authorized Sales Outlets. Backend

delivery, see Appendix to this Addendum or by such other electronic payment means as each Airline may designate, (ii) by mail to the

Airline as soon as reasonably possible any changes to the banking information or mailing address previously provided to each Airline to ensure proper receipt of payment. Agent acknowledges that it usually takes eight to ten weeks after the end of any performance period for each Airline to receive and compile data and to process Backend Incentive payments. An Airline may issue credit memos, instead of checks, for any Backend Incentives under $2,000.00. An Airline may elect not to pay a Backend Incentive payment that total less than $150.00 for any performance period and Agent will forfeit these amounts. If Agent chooses to receive Backend Incentive payments via check, each Airline may deduct a $50 per check processing fee (or such other amount as each Airline may designate upon thirty (30) days prior written notice to Agent) from the payment to Agent. In the event of an ACH or direct deposit failure due to incorrect information provided or not updated by Agent, each Airline will issue a check for the Backend Incentive payment and may apply the foregoing $50 processing fee.

Subject to the terms and conditions of the Addendum, American shall pay on behalf of the Airlines a Backend Incentive payment to Agent on a calendar quarterly basis, based on performance in the geographic markets set forth below in order to earn a Backend Incentive payment in a geographic market, Agent must achieve a Revenue Share Performance (RSP) equal to the minimum RSP stated in the corresponding Incentive Table below, whereupon the minimum Backend Incentive Rate set forth in such table will be multiplied by Agent's Net Flown Revenue for the relevant Fare Class Group in such geographic market to determine the amount of the calculate the Backend Incentive payment payable to Agent directly increases until the stated Maximum RSP and corresponding maximum Backend Incentive Rate is achieved. Once Agent achieves the maximum RSP , further increases in RSP beyond the stated maximum do not result in further increases in the Backend Incentive Rate.

RSP will be utilized to calculate performance based Backend Incentives as determine by each individual Airline and set out in the applicable Exhibit(s).
