The question seems to be whether the FCC and the Dept. of Justice now see satellite radio as a unique medium -- or in the same light as it views traditional radio. It also remains to be seen if a precedent was set five years ago when the DoJ blocked EchoStar Communications’ (Dish Network) bid to acquire DirecTV from GM Hughes Electronics, saying that the number of competitors in rural markets would drop to two from one. In a late Tuesday afternoon development, XM Satellite Radio filed a letter it had sent to employees with the SEC, saying some jobs at both XM and Sirius are “likely to be eliminated” if the proposed merger is approved. XM said that while there was some overlap in the companies’ businesses, no decisions had been made about individual positions. The letter went on to say that those decisions would not be made until after regulatory approval and after closing -- which probably puts personnel decisions sometime early in 2008. Earlier in the day, estimated cost savings based on merger synergies ranged from $3 billion to $7 billion. On Tuesday, Karmazin said in a conference call that savings related to synergy could range between $5-$6 billion. “There are synergies in every line item of the income statement,” he said, noting savings on everything from catering bills to legal expenses. He also said “there are all kinds of opportunities” to make programming available to both XM and Sirius radios while the merger’s being considered, through negotiations with content partners. Regulators may not be the only opposition facing the merger. The Consumer Coalition for Competition in Satellite Radio (“C3SR”) -- a group formed last January by a group of Washington DC law students -- said it “is ready to oppose the merger and fight for consumer choice and public interest.” C3SR is looking for additional support from Sirius and XM subscribers and from other consumer groups and key industry allies who oppose this merger. “Our main goal right now is to stop this merger,” said a spokesman. “If a merger were to be approved, subscribers would likely end up paying more for less programming, and would end up subsidizing unwanted services.”
