Versus is a film set in the exciting world of Mixed Martial Arts (MMA), and follows the struggles of a former Marine as he rises through the ranks of the sport to reach the heights of stardom. This is a timely film project, capitalizing on the stellar rise in MMA’s popularity and combining solid, dramatic storytelling with well-placed humor, over-the-top action and characters the audience will believe in. Versus captures the intensity, action and power of the sport of MMA, which delivers an exciting backdrop for a great story. This is the world of MMA brought to life like you’ve never seen. If you’re interested in getting a taste of what we envision, we’ve created a small site with a teaser trailer: http://www.versusthemovie.com/ Versus has been budgeted and scheduled, taking advantage of Georgia’s state tax incentives. This project is to be filmed in Atlanta. Unlike other martial arts films, Versus is set fully in the world of the sport. The fights in the story take place at sanctioned events, with huge crowds and lots of sponsor coverage. MMA is a billion dollar industry and growing every day. Driven by the phenomenal success of the Ultimate Fighting Championships (UFC) bouts on pay-per-view television, Mixed Martial Arts is now the fastest growing sport in the world. Versus will tap that audience by being true to the sport, and by including well-known fighters in the film’s background and perhaps even in speaking roles, as well as MMA organizations and celebrities. To launch the project we need seed capital. Getting in early has its risks and rewards, and we understand the initial capital raise can often be the most difficult. To offset this, we’ve structured an offer that has a high reward ratio. We’re offering two returns: • 120% on the initial investment • 10% of the film’s profits for the life of the project This is unusual in that owning a portion of the film is something not typically found in such an investment scenario. Twenty percent return is good by any standard, in addition there will be residual payments throughout the life of the project, (across all media; theatrical, DVD, TV, etc.), which will be a significant return on the investment. Enclosed are highlights of the project. I welcome the occasion to speak with you further about this opportunity. Sincerely, Hawk Younkins (323) 899-9499 [email protected] ENCLOSURES: The funding source we have secured is a 90/10 fund, wherein 10% equity is necessary to trigger the remainder of the budget. Our budget is $9.2 million. The fund is structured such that repayment of the seed investor begins 2 months after the investment is made. Here are some particulars: • The same day the investor provides access to the seed investment funds, the super-lender (our fund provider) delivers the capital. • The seed investor is repaid in a preferred position at 120%. • The seed investor’s return starts in month 2 of the draw downs. This means payback of the initial investment begins quickly, and the seed investor is then paid out completely by month 13 (to avoid short-term capital gains), which is considerably before the film opens in theaters. • The seed investor also receives 10% of the producer’s net profits in all media, worldwide, for the life of the project. Since the film is fully financed from day one, both the seed investor, producers and super-lender receive a percentage of revenues from the first dollar received.
