Business OVERVIEW Who We Are IAC has majority ownership of both Match Group, which includes Tinder, Match, PlentyOfFish and OkCupid, and ANGI Homeservices, which includes HomeAdvisor, Angie’s List and Handy, and also operates Vimeo, Dotdash and The Daily Beast, among many other online businesses. As used herein, "IAC," the "Company," "we," "our," "us" and similar terms refer to IAC/InterActiveCorp and its subsidiaries (unless the context requires otherwise). Our History IAC, initially a hybrid media/electronic retailing company, was incorporated in 1986 in Delaware under the name Silver King Broadcasting Company, Inc. After several name changes (first to HSN, Inc., then to USA Networks, Inc., USA Interactive and InterActiveCorp, and finally, to IAC/InterActiveCorp) and the completion of a number of significant corporate transactions over the years, the Company transformed itself into a leading media and Internet company. From 1997 to 2005, we acquired a number of e-commerce companies, including Ticketmaster Group, Hotel Reservations Network (later renamed Hotels.com), Expedia.com, Match.com, LendingTree, Hotwire, TripAdvisor and AskJeeves. In 2005, we completed the separation of our travel and travel‑related businesses and investments into an independent public company called Expedia, Inc. (now known as Expedia Group, Inc.). In 2008, we separated into five independent, publicly traded companies: IAC, HSN, Inc. (now part of Qurate Retail, Inc.), Interval Leisure Group, Inc. (now part of Marriott Vacations Worldwide Corporation), Ticketmaster (now part of Live Nation, Inc.) and Tree.com, Inc. From 2008 to 2014, we continued to invest in and acquire e-commerce companies, including Meetic, About.com (now known as Dotdash), Dictionary.com and Investopedia. In 2015, we acquired Plentyoffish Media Inc. and completed the initial public offering of Match Group, Inc. In 2016 and 2017, we completed the combination of the businesses in our former HomeAdvisor segment with those of Angie’s List, Inc. under a new publicly traded holding company that we control, ANGI Homeservices Inc. ("ANGI Homeservices"), as well as acquired controlling interests in MyHammer Holding AG, HomeStars Inc. and MyBuilder Limited, leading home services platforms in Germany, the United Kingdom and Canada, respectively. Through Vimeo, we acquired VHX, a platform for premium over-the-top (OTT) subscription video channels, and Livestream Inc., a leading live video solution. In 2018, through ANGI Homeservices, we acquired Handy Technologies, Inc., a leading platform in the United States for connecting consumers looking for household services (primarily cleaning and handyman services) with top-quality, pre-screened independent service professionals. We also acquired a controlling interest in BlueCrew, an on-demand staffing platform that connects temporary workers with traditional blue-collar jobs in areas like warehouse, delivery and moving, data entry and customer service. Lastly, we sold our Dictionary.com business, the television business of Electus (including Notional) and our Felix and CityGrid businesses. 2 EQUITY OWNERSHIP AND VOTE IAC has outstanding shares of common stock, with one vote per share, and shares of Class B common stock, with ten votes per share and which are convertible into common stock on a share for share basis. As of the date of this report, Barry Diller, IAC’s Chairman and Senior Executive, his spouse (Diane von Furstenberg) and his stepson (Alexander von Furstenberg), collectively beneficially own 5,789,499 shares of Class B common stock representing 100% of the outstanding shares of Class B common stock. Together with shares of common stock held as of the date of this report by Mr. von Furstenberg (61,685), a trust for the benefit of certain members of Mr. Diller’s family (136,711) and a family foundation (1,711), these holdings represent approximately 42.8% of the total outstanding voting power of IAC (based on the number of shares of common and Class B common stock outstanding on February 1, 2019). As of the date of this report, Mr. Diller also holds 1,050,000 vested options and 250,000 unvested options to purchase shares of common stock.

    Evermore Global Value Fund Portfolio Commentary: 4th Quarter 2019 Dear Shareholder, In stark contrast to 2018, the fourth quarter of 2019 ended on a strong note as trade tensions between the U.S. and China eased once again. The so-called Phase One trade deal halted the previously announced increased U.S.-imposed tariffs on China that were set to go into effect in mid-December. At the same time, central banks across the globe continued to pursue policies to stimulate their respective economies rather than raising interest rates. For example, both the U.S. Federal Reserve (“Fed”) and ECB expanded their balance sheets and the Fed cut interest rates once again. As a result of largely positive economic data, global markets posted a strong quarter and year, as did the Evermore Global Value Fund (the “Fund’). For the quarter and year ended December 31, 2019, Institutional Class shares of the Evermore Global Value Fund (the “Fund”) were up 10.24% and 25.41%, respectively.     Page 1 of 11 IAC Q4 2016 Shareholder Letter February 1, 2017 Dear Shareholders, A few weeks ago, we gathered the top executives of all IAC operating businesses to talk about the future of the company, which was the first time we’ve assembled everyone in person in nearly a decade. The autonomy of our businesses is paramount, so we try not to disturb the operators too frequently. Plus, shortly after we last assembled, we ended up spinning most of those companies out of IAC in a four-way spin-off – and dispersed most of those people with them (incidentally, those four companies are now worth a combined $8.5 billion outside of IAC). I know I’ll disappoint some shareholders, who are eager for another IAC spin-off, by failing to confirm a pattern here; executive assembly need not lead to company disassembly. But looking back at the situation at that time, we can draw some analogies to today. After we completed those spin-offs, our first full year as a smaller IAC looked remarkably similar to IAC excluding Match Group today. Shareholders were so unenthused by what remained in IAC after the spinoffs that they affectionately dubbed it “the stub” – a moniker which has recently resurfaced to describe everything in IAC except our 83% stake in Match Group. Our cash balance at the end of 2009 was $1.7 billion and we had just finished the year with $167 million of Adjusted EBITDA, down 21% from the prior year. 2009 included our first and only quarter with negative OIBA (Operating Income Before Amortization, our key operating metric at the time) on a fully consolidated basis.

    Page 1 of 10 IAC Q1 2019 Shareholder Letter May 8, 2019 Dear Shareholders, As of yesterday, we hold $22.5 billion of net cash and liquid securities (226 million shares of MTCH, 421 million shares of ANGI, and $1.1 billion of cash net of debt). With 87 million IAC shares outstanding, IAC’s equity market value is currently $19.7 billion, which is $2.8 billion below the value of those securities, a discount of approximately $32/share, or 12%. All that math entirely excludes any value for our non-public assets: Vimeo, Dotdash, Applications, and our Emerging & Other segment – those still come free with the purchase of an IAC share today. As you can see in the chart below, the discount has been shrinking, but persistent.
