PARTIES 1. Bauer Radio Limited ('Bauer') is a UK-based division of Bauer Media Group, a multi-national media group covering print, online, radio and TV. In 2012, Bauer's total UK radio turnover was approximately £[ ]million with advertising revenues accounting for approximately £[ ]million. Bauer currently holds 41 local and eight national commercial radio licences which Bauer transmits on AM, FM, digital audio broadcasting ('DAB'), Digital Terrestrial Television ('DTT'), satellite, cable and the internet across the UK. Bauer's key brands include Kiss and Magic in addition to multiple local radio stations. 2. Absolute Radio ('Absolute') is owned by TIML Golden Square Limited ('TIML'), which is in turn owned by TIML Global Limited, a subsidiary of The Times of India Group. Absolute's 2012 UK turnover is £[ ]. Absolute Radio broadcasts across its national AM licence, a London FM licence and national DAB services, all under the Absolute brand. 1 TRANSACTION 3. On 26 July 2013, Bauer signed a Share Purchase Agreement to acquire the entire issued share capital of TIML, the owner of Absolute Radio (the 'Merger'). Completion of the Merger is subject clearance by the UK competition authorities. 4. On 25 October 2013, the OFT received an informal submission from the parties concerning the Merger. -

Digital-Only Stations Drive Digital Momentum
DIGITAL RADIO UK PRESS RELEASE DIGITAL-ONLY STATIONS DRIVE DIGITAL MOMENTUM 51% of the population tunes in via a digital platform each week, up 13% year on year Digital listening hours up 14% year on year from 320 million to 366 million Impressive first reach figures for Kisstory and Kiss Fresh, and strong performances from digital-only stations including Kiss, Absolute 80s, Smooth and BBC Radio 5 Live Sports Extra Digital listening now 35.6%, up 14% year on year from 31.3% DAB is the most popular device for digital listening (65% of all digital hours) and 24 million adults have access to a DAB digital radio, up 10% year on year All platforms show growth in hours, with DAB up 13% year on year, online/apps up 37% and DTV up 7%. The share of analogue listening in home is below 50%, at 49.7%. Listening via a digital platform is up 13% year on year in terms of reach, with 51% of the population now tuning in each week (27 million people), according to the Q3 2013 Rajar data released today. Digital listening hours are up 14% year on year, from 320 million in Q3 2012 to 366 million in Q3 2013. This growth has been driven by increasing choice and strong performances from digital-only stations. BBC Radio 5 Live Sports Extra showed a 51% increase in listeners year on year to over 1.5 million listeners, driven by the popularity of the Ashes coverage. Kiss showed an increase of over 50% in the number of people listening via a digital platform, while Kiss Fresh and Kisstory showed impressive debuts with 857,000 listeners and 854,000 listeners respectively in their first-ever Rajar quarter. -

DIGITAL RADIO UK PRESS RELEASE DIGITAL RADIO DELIVERS ONE THIRD OF LISTENING Digital radio listening is now one third (33%) of radio listening, up 14% year on year Over 25 million people (25.2 million) now listen to digital radio, up 2.1 million year on year DAB listening now accounts for 21.1% of all listening, up 9% year on year Online listening now represents 4.9% of all listening, up 43% year on year BBC 6 Music reach has now increased to 1.9 million making it the leading digital-only station Digital radio has reached an important milestone and now represents one third (33%) of digital listening in Q4 2012, up 14% from 29.1% last year, according to the latest RAJAR data issued today. This coincides with the latest data from CAP/SMMT which shows that one third of all new cars (33.3%) now has digital radio fitted as standard. In total 25.2 million people now listen to radio via a digital platform each week, up 9% year on year from 23.1 million in Q4 2011. Weekly digital reach is now 48.2% of UK adults, or 53.6% of radio listeners. DAB maintains its strong growth as the dominant digital platform representing 21.1% of all radio listening hours, up from 19.4% in Q4 2011. On a weekly basis, DAB now reaches 15.3 million UK adults, up 10% from 13.9 million in Q3 2011. DAB listening hours have reached a record 219 million, up 9% year on year, representing 65.2% of all digital listening hours. -

DIGITAL RADIO UK PRESS RELEASE DAB SHOWS DOUBLE-DIGIT GROWTH · DAB records its highest ever share of radio listening, up to 20.4% from 18% in Q3 2011 · Weekly DAB reach is at an all time high of 15.3 million adults, up 10% from 13.9 million adults in Q3 2011 · 31.3% of radio listening hours are now to digital platforms, flat over the Olympics quarter but up 6% year on year · Online/apps listening is 4.2%, up from 3.7% in Q3 2011 but down from 4.6% quarter on quarter, with workplace listening hours down by 17% in the quarter · Radio 4 Extra is the number one digital-only station, and Radio 4 has the highest digital audience with over 5 million digital listeners each week · Many digital-only stations record highest ever reach, with strong performances from spoken word and genre music stations DAB maintains its strong growth as the dominant digital platform representing 20.4% of all radio listening hours, up from 18% in Q3 2011. On a weekly basis, DAB now reaches 15.3 million UK adults, up 10% from 13.9 million in Q3 2011. DAB listening hours have reached a record 209 million, up 8% year on year, representing 65.2% of all digital listening hours. 42% of the population now has a DAB digital radio set, up from 39.4% in Q3 2011. DIGITAL RADIO UK PRESS RELEASE EMBARGO: NOT FOR PUBLICATION BEFORE 00.01hrs THURSDAY, 2 FEBRUARY 2011 DIGITAL LISTENING ACCELERATES TO OVER 29% Digital listening now accounts for 29.1% of all radio listening, up 16.4% year on year Half of all radio listeners (49.4%) listen via a digital platform each week Over 40% of all people live in a household with a DAB digital radio DAB share of listening has increased to 19.4% of all listening, up 21% year on year Listening to digital platforms is now at 29.1%, up 16.4% year on year, according to the Q4 2011 RAJAR figures released today. Over 23 million people listen to digital radio each week, an increase of 2.2 million people year on year, representing an increase in digital reach of 10% year on year. Of all radio listeners, half (49.4%) now listen via a digital platform each week. Internet listening has increased year on year by 10% to 3.4%, and digital television by 5% to 4.5%, but the increase in digital listening is being driven by listening to DAB. The share of all radio listening to DAB is now at 19.4%, up from 18% in Q3 2011 and from 15.8% in Q4 2010, an increase of 21% year on year. Listening to DAB accounts for 71% of digital listening (excluding digital unspecified). Ownership of DAB digital radios in the home has increased to 40.3%, up 13% year on year, with almost 21 million adults living in a household with a DAB digital radio.
