Executive Summary The Association of Educational Purchasing Agencies (AEPA) and CDW Government LLC (CDW•G) have a solid business relationship spanning nearly 15 years. Prior to that, many of the AEPA members worked with our same team through a contract with MicroWarehouse, giving us nearly two decades of experience with this unique and valuable cooperative. During this time, we have strengthened this relationship by promoting AEPA’s mission to cooperatively serve your members by securing multi-state volume purchasing contracts with benefits that are measurable, cost-effective, and continuously exceed your members’ expectations. As a named supplier on the current AEPA technology contract, CDW•G was responsible for nearly $216M in CY 2016―more than 45% of the total contract portfolio volume managed through AEPA. We feel a large part of this success is our mutual understanding of the level of commitment it takes to make a contract successful. CDW•G continues to meet and frequently exceed AEPA’s vendor qualifications in the following ways:

Extensive Educational Experience. CDW has been serving customers in education since its founding in 1984. CDW•G, a wholly-owned subsidiary of CDW, was created nearly 20 years ago to focus solely on the needs of public-sector customers including thousands of K-12 institutions. Our K-12 sales force is dedicated to K-12, not intermingled with sellers focusing on state, local, higher education and K-12 combined. We hire former educators to complement our sales training by teaching the values of K-12 alongside the benefits of the technology and creating practical solutions to integrate technology into meaningful curriculum in the classroom.

CDW•G offers our customers a team of K-12 Education Strategists who are subject matter experts with years of experience in serving schools and learning communities as teachers and administrators. They help lead Customer Education events as a value-added service to increase awareness and build capacity in the K-12 learning community. Along with our internal teams, these strategists are trained by industry thought leaders in concepts of practical and research-based guidance on learning spaces and their design. In addition to our Education Strategists, our dedicated account teams have access to partnerships with vital industry leaders within Educational Technology, Professional Development and Training, and Collaborative Learning Environment Solutions.

Full Range of IT Solution Products and Services. AEPA’s contract is unique in its offering to member agencies in that our expansive portfolio provides a depth of product and services not often matched by a single manufacturer, resellers, or local vendors. We hold a long list of specializations, certifications, and awards from many of the 1,100 different manufacturers we work with. We also leverage our OEM relationships to gain pricing advantages for our customers. Our industry position affords us opportunity to secure products when there are channel constraints, frequently acquiring stock when no one else can.

Strong National Presence. CDW•G serves our customers with 26 locations throughout the US and we continue to grow strategically. We have nationwide recognition, with over 250,000 customers in all areas of the public and private sectors. Additionally, CDW currently ranks #199 on the Fortune 500.

Nationwide Distribution Capabilities. CDW•G maintains two strategically located distribution centers with a combined area of nearly one million square feet, each housing more than 100,000 top brand- name products. This allows AEPA Member Agencies to receive their products in an average 3-5 days. Most credit-approved, in-stock orders are shipped same day, with a 99.7% shipment accuracy.

Demonstrated Sales Presence. Each AEPA member has a dedicated Account Manager (AM) whose objective is to exceed that member’s expectations. Each AM is backed by large groups of Technology Specialists, Solution Architects, Pre-Sales Engineers, and onsite OEM Representatives, all of whom provide valuable guidance and support. The AM is the first point of contact and will engage additional resources as needed. Our Account Managers are familiar with trends in the education industry that allow them to tailor solutions to each member’s specific challenges and needs. In addition to telephone, email, chat, and fax, purchasers can utilize their user- friendly, customized websites. Each site provides a plethora of tools, with their own CDW•G Extranet page giving them the ability to create custom reports, manage assets, and retrieve invoices, among many other functionalities.

In addition to the customization, this landing page has nearly all of the same functionalities as our website cdwg.com, with contract pricing listed for each item available on contract. The site requires no login to view, so AEPA Members can easily view the competitive pricing available. The page also allows customers to perform quick product searches and to “comparison shop” by viewing side-by-side product descriptions. Providing device information in a single location takes the hassle out of downloading data from multiple manufacturer websites and allows for easy procurement of in-demand products. Agency-Tailored Marketing Campaigns

CDW•G has successful marketing campaigns with each of the Member Agencies, customizing our monthly flyers, websites, and sales teams’ promotions for each Member Agency. As detailed in the Key Marketing Contacts section, we have dedicated contacts available to help drive and market the AEPA contract. For example, under our current AEPA contract, CDW•G provides a marketing flyer updated monthly that is emailed to all AEPA Member Agencies that have signed our contract. This flyer is emailed to the lead agency in each state that then posts the flyer to their website and sends it out in their monthly marketing campaigns. Our marketing customization has is beneficial in promoting sales and awareness. In addition, CDW•G has availability for Member Agency co-branded/co-funded marketing pieces via EdTech and other flyers. Capture Manager Support for Quick Adoption

A new addition to our AEPA support team, our Capture Manager, Brian Heidt, spent time prior to the release of this IFB learning the nuances of this contract and the landscape of Member Agencies through researching the current contract and attending several meetings with AEPA members. Some of the activities that were conducted include receiving feedback from Member Agencies during the spring 2017 meeting, which was then communicated to our K-12 sales managers, their directors, and vice president to ensure questions, concerns, and successes were conveyed to those who can directly impact the customer experience of this contract. This information was then used to revise our contract approach to enhance our marketing strategy and increase sales where possible.

Once awarded, Brian will lead the strategic aspects of the contract ramp up to ensure the contract is quickly implemented and thoughtfully presented to customers for adoption. This includes his heavy involvement in a new award marketing campaign, industry events, and managing any contract kickoff activities.

4. Sales Training: Explain how your company will educate your sales staff on the AEPA contract including timing, methods, etc.

Upon award of the AEPA contract, CDW•G will launch a sales training program in person or via online training methods that is required by all Account Managers supporting states who opt-in for this contract. The contract training is led by our Program Managers David White and Mark Ellis, and will include how to market the AEPA Member Agency contract, contract pricing, eligible members, and all contract information that is relative to them selling off of this contract. Each account manager is trained on the contract specific to their respective states, not the national contract, to provide a tailored experience for AEPA Members. This sales training will occur the two weeks prior to the contract launching. In addition, the sales team has

ongoing support throughout the contract to ensure its success. For example, if a deal on pricing arises for a specific state, account managers have access to that information and can communicate it to AEPA customers. Contract Launch

In addition to training our sales team, our dedicated Program Management team monitors the contract to ensure compliance and the overall success of the contract. This team has a detailed launch plan that follows five key steps:

• Intake. In this phase, the Proposal Team does a formal handoff to the AEPA Program Manager. From this handoff, the Program Manager prepares to stand up the agreed upon contract and prepares the contract kick-off. • Set-Up and Compliance. All backend aspects of the contract are set-up, including launching the contract pricing to the AEPA members via our internal contract management system. Customized Premium Pages are created, flow down agreements with services partners are documented, SLA process is defined, and contract stakeholders, such as lead sales resources, are identified. • Education. This is the phase in which the Program Manager takes the sales team through their initial training on the contract. The Program Manager explains critical aspects of the contract to ensure compliance and grow contract sales. • Measure. The Program Manager establishes a reporting cadence in accordance with the AEPA contract. • Grow. The Program Manager provides competitive and practical information on how to sell the contract. This is done through working with the sales team, advocating for special pricing from partners, meeting with Contract Officers to determine customer needs, and identifying potential new customers.

CDW•G has long been conscious of our impact on the environment, and we have taken significant steps to effectively manage our consumption of resources and lessen our environmental impact. We implemented a “beGREEN” program, which provides coworkers with a platform to reduce, reuse, and recycle in an effort to make CDW•G’s operations leaner, more efficient, and more environmentally responsible. CDW•G’s beGREEN campaign provides AEPA peace of mind that their supply partner has programs and processes to help conserve, recycle, and lower our carbon footprint. AEPA can be sure that in partnering with CDW•G, you are working with a company that recognizes the importance of responsible environmental management and conservation of resources.

We are committed to managing energy consumption and reducing environmental impact. Our multiple locations participate in our annual Earth Day celebration, intended to educate coworkers on sustainability by providing them with information and products.

Recycling at CDW•G CDW•G reduces and eliminates waste, when possible, through recycling. All waste is safely and responsibly handled and disposed. Our distribution centers recycle corrugate, shrink wrap, wooden pallets, and paper. Historically, we have recycled approximately 1,300 tons of corrugate, 1500 tons of wooden and plastic pallets, 157 tons of shrink wrap and 250 tons of paper While fluctuations vary depending on the volume received each year, our recycling efforts have resulted in a consistent reduction in our waste hauls from three times a week to only once per quarter. Due to comingled recycling, the Las Vegas Distribution Center has realized a 96% diversion rate for waste.

Environmental Sustainability In connection with the beGreen program, we continually improve upon our environmental sustainability. Our distribution centers are ISO 14001 certified – the international standard for environmental management systems. We installed energy efficient lighting and have seen a significant reduction in energy usage in our distribution centers and corporate headquarters. Our distribution centers are also equipped with motion-controlled high bay lighting that powers off the lights after 12-15 minutes of inactivity. Our maintenance crews replace petroleum-based degreaser products, when possible, with a citrus-based cleaner/degreaser that is made from natural products and is better for the environment. Over 95% of our shipments use carriers that are enrolled in the EPA Smart Way Transport Partnership.

Eco-Conscious Packaging CDW•G is committed to providing maximum protection for your IT assets while they are being shipped to your location. For example, we use environmentally friendly boxes and packing materials that are 100 percent recyclable. Our boxes use 100 percent of the maximum allowable post-consumer recycled product. More than 50 percent of our shipments are sent in the original manufacturer packaging instead of being re-packaged in new boxes. Our main packing material is a plastic pillow filled with air that reduces the amount of packing material needed to fill voids and to securely package the product so that

it arrives safely at your location. Fill-Air packaging is 100 percent recyclable; it maintains its form and can be reused for future shipments.

Customers who did not purchase maintenance/onsite support contracts through CDW’s Technology Services should call CDW Technical Support for issues with products that are under warranty. The technician will guide the customer in the appropriate direction for resolution of the issue.

If the customer has onsite support through the manufacturer or a service company such as ServiceNet, the technician will have access to that information and will direct the customer to call the appropriate company.

First and foremost, CDW•G respects the customer’s request. This means, that if customers request information on a specific program, we give it. Our account teams know their customers’ preferred programs, and we do not “hard sell” our customers any particular programs. In cases where the customer is undecided, we recommend the best solution for their project, similar to the way we offer the best technology solution for the desired outcome. In this process, we take into account a variety of factors including the local benefits of the cooperative, use of grant funds, and additional support from the cooperative, among other factors.

calculated using the product weight and distance traveled, frequently called a “Zone”. AEPA members in Ohio who purchase one cable are going to pay less than an AEPA member in Connecticut who orders a small UPS device.

Freight rates will always be quoted and agreed upon prior to CDW•G placing an order; account managers will actively encourage customers to ‘bundle’ orders and avoid freight by ordering more than the minimum on each purchase. It is our experience that such bundling ultimately advantages the member additionally by reducing the number of purchase orders and invoices that the agency will be required to process.

10. Product Returns: Does your company have a return policy? X Yes No

CDW•G Return Policy Return Privileges CDW•G allows returns based on the policies of the original product manufacturer. Software is not returnable if the packaging has been opened. If software was distributed electronically, it is not returnable if the licenses were downloaded. Customers must notify CDW Customer Relations of any damaged Products within fifteen (15) days of receipt. We do not charge a restocking fee within the first 30 days. There are a few exceptions in which the restocking fee would be charged upfront, which would be communicated to purchasers.

Seller offers a 30-day return policy on most products sold. Manufacturer restrictions apply to certain merchandise, as detailed below and as updated from time to time. Customer may obtain additional details and any applicable updates from the dedicated Seller account manager and may obtain manufacturer contact information by contacting CDW Customer Relations, which may be reached by calling 866.SVC.4CDW or by emailing [email protected].

1. Return Restrictions.

• Defective Product Returns. Customer may return most defective Products directly to Seller within fifteen (15) days of invoice date and receive, at Seller’s option, credit, replacement, exchange, or repair. After fifteen (15) days, only the manufacturer warranty applies.

• Non-Defective Product Returns. Customer may return most non-defective Products directly to Seller within thirty (30) days of invoice date and receive, at Customer’s option, credit or exchange, except that an automatic Seller restocking charge will reduce the value of any such credit or exchange by a minimum of fifteen percent (15%).

• Restricted, Repair-Only Returns. Certain Products can only be returned for repair—not for exchange, replacement or credit—based on current manufacturer requirements. Such Products should be returned to Seller, shipped directly to the manufacturer, or taken to an authorized service center in Customer’s vicinity. More information may be provided by the dedicated Seller account manager or by CDW Customer Relations.

• Restricted, Manufacturer-Only Assistance. Certain Products cannot be returned to Seller for any reason—without exception—and Customer must contact the manufacturer directly for any needed assistance. More information may be provided by the dedicated Seller account manager or by CDW Customer Relations.

• Special Orders. Products that are specially ordered may be non-returnable or may have unique return restrictions provided at the time of sale. More information may be provided by the dedicated Seller account manager or by CDW Customer Relations.

Last Revised: 03/26/2010 • Return of Software or DVDs. Seller offers refunds only for unopened, undamaged software and DVD movies that are returned within 30 days of invoice date. Seller offers only replacement for software products and DVD movies that either: (i) are defective but are returned within thirty (30) days of invoice date; or (ii) are unopened and undamaged, but are returned more than 30 days after invoice date; such replaceable merchandise may be exchanged only for the same software or DVD movie title. Multiple software licenses may be returned for refund or exchange only (i) if specifically authorized in advance by the manufacturer; and (ii) if returned within thirty (30) days of invoice date.

2. Customer Shipment of Returned Merchandise.

• Return Merchandise Authorization (RMA) Number. No returns of any type will be accepted by Seller unless accompanied by a unique RMA number, which Customer may obtain by providing the following information to CDW Customer Relations: customer name, applicable invoice number, product serial number, and details of Customer’s issue with the product. Customer has five (5) days to return a Product after the applicable RMA is issued. CDW reserves the right to refuse any UNAUTHORIZED returns: those that occur after the five (5) day period or those involving Products that are unaccompanied by valid RMA’s.

• Returned Products Must Be Complete. All Products MUST BE returned one hundred percent (100%) complete, including all original boxes, packing materials, manuals, blank warranty cards, and other accessories provided by the manufacturer. CDW reserves the right to refuse the return of incomplete Products. In addition, CDW will charge a minimum fifteen percent (15%) restocking fee for returns that are accepted.

• Responsibility for Shipping Costs. Customer is responsible for the cost of shipping returned items; Seller is responsible for the cost of shipping replacements or exchanges of returned items and will match Customer’s shipping method.

• Customer Shipping Insurance. Customer is strongly advised to purchase full insurance to cover loss and damage in transit for shipments of returned items and to use a carrier and shipping method that provide proof of delivery. Seller is not responsible for loss during such shipment.

3. Merchandise Damaged in Transit.

• Refusal/Receipt of Damaged Products. If a package containing items purchased from Seller arrives at Customer’s address DAMAGED, Customer should REFUSE to accept delivery from the carrier. If Customer does accept delivery of such a package, Customer must: (i) note the damage on the carrier's delivery record so that Seller may file a claim; (ii) save, as is, the merchandise AND the original box and packaging it arrived in; and (iii) promptly notify Seller either by calling CDW Customer Relations or by contacting the Seller account manager to arrange for carrier’s inspection and pickup of the damaged merchandise. If Customer does not so note the damage and save the received merchandise and does not so notify Seller within fifteen (15) days of delivery acceptance, Customer will be deemed to have accepted the merchandise as if it had arrived undamaged, and Seller’s regular return policy, as described in sections 1 and 2 above, and all current manufacturer warranties and restrictions will apply.

4. Credits

Any credit issued by Seller to Customer under this return policy must be used within two (2) years from the date that the credit was issued and may only be used for future purchases of Product and/or Services. Any credit or portion thereof not used within the two (2) year period will automatically expire.

Manufacturer’s Representative Dealers, distributors and installers of specialized facility technology, electrical, mechanical systems and equipment, who, if permitted by the Scope of Work, submit an offer as a manufacturer’s representative, must be able to provide documented evidence from and/or between it and the manufacturer certifying that the Bidder is a bona fide manufacturer’s agent for the specific products/services proposed, the Bidder is authorized to submit an offer on such products/services, and a guarantee that, should the Bidder fail to satisfactorily fulfill any obligations established as a result of the award of contract, the manufacturer will either assume and discharge such obligations covered by warrantees or provide for their competent assumption by one or more bona fide representatives for the term of the contract/warrantee period.
