LVCVA STAFF REPORTS AND REQUESTED ACTIONS

MARKETING DIVISION

1. Advertising and Marketing Communications Agreement That the Board consider: 1) Approving a one (1) year agreement, with a possible six (6) month extension, in the amount of $110,000,000 with R&R Partners, Inc. to serve as the LVCVA’s commercial advertising and marketing communications agency; and 2) Authorizing the Chief Executive Officer (CEO)/President to execute the agreement.

2. Las Vegas Events (LVE) Promotion Agreement - July 1, 2020 – June 30, 2021 That the Board consider: 1) Approving an expenditure in the amount of $7,804,277 for the Las Vegas Events, Inc. (LVE) Fiscal Year (FY) 2021 events promotion agreement; 2) Authorizing the CEO/President to execute the events promotion agreement; and 3) Authorizing the CEO/President to execute the agreements for Destination events currently budgeted in the FY21 LVE budget.

3. Execution of Sublease Agreement That the Board consider authorizing the CEO/President to execute a sublease agreement for office space at 455 North Cityfront Plaza, NBC Tower, in , Illinois to WesAmerica Mortgage Corporation.

4. Company-Paid Long-Term Disability & Life Insurance Due to the financial impact of the COVID-19 pandemic, 270 LVCVA ambassadors were placed on unpaid, temporary furlough. Mutual of Omaha, the LVCVA’s previous provider of Long-Term Disability (LTD) Insurance and Life Insurance for ambassadors notified the LVCVA staff, on May 31, 2020, of the following: 1) cancellation of LTD coverage for furloughed ambassadors, effective immediately; and 2) cancellation of Life Insurance for furloughed ambassadors, effective July 31, 2020.

Staff expedited quotes from insurance providers for the current LTD and Life Insurance coverage levels. The Standard Company agreed to provide LTD and Life Insurance coverage, equivalent to the previously existing coverage, starting June 1, 2020 with a guaranteed extension for current and furloughed ambassadors through August 31, 2020 for both policies.

Due to the need to procure LTD and Life Insurance coverage in an expedited fashion, as a result of the impact of the COVID-19 pandemic on the work status of the LVCVA’s ambassadors, the CEO/President executed an emergency contract pursuant to Board Policy 5.01.

5. Public Hearing on the Proposed Memorandum of Agreement Modifying the Collective Bargaining Agreement with Service Employees International (SEIU) Local 1107 That the Board consider, pursuant to NRS 288.153: 1) Conducting a public hearing on a proposed Memorandum of Agreement (MOA) between the LVCVA and SEIU Local 1107 modifying the Collective Bargaining Agreement (CBA); 2) Approving the MOA and authorizing the CEO/President to execute the MOA.

COMMENTS FROM THE FLOOR BY THE PUBLIC

Bruce Radel, member of the Service Employees International Union (SEIU) Local 1107 and furloughed LVCVA ambassador addressed Agenda Item 4, Public Hearing on Proposed Amendments to the Collective Bargaining Agreement (CBA) with SEIU Local 1107. Mr. Radel commented on the difficulties working through the unemployment system, and stated he looked forward to the public hearing, specifically the proposed amendment to the CBA regarding canine officer allowance.

Ms. Bateman informed the Board of the options provided to the public for public comment, including email submission. Ms. Bateman informed the Board that the attached document submitted by Mr. Ed Uehling would be read into the record for three minutes. Ms. Bateman proceeded to read Mr. Uehling’s document for three minutes and noted that the public comment submission would be included in the meeting minutes in its entirety.

APPROVAL OF Member Mary Beth Sewald moved, and it was carried by unanimous vote of the voting THE AGENDA members, to approve the May 12, 2020, Regular Meeting of the Board of Directors AND MINUTES agenda, and the April 14, 2020, Regular Meeting of the Board of Directors minutes.

CHIEF EXECUTIVE OFFICER (CEO)/PRESIDENT’S REPORT Steve Hill, Chief Executive Officer (CEO)/President provided an update on the progress of the expansion project including obstacles presented by the Coronavirus pandemic.

Mr. Hill informed the Board of the imminent completion of the second underground people mover tunnel by The Boring Company and provided an update on the construction of the stations. Mr. Hill thanked [Clark] County staff for their work on this project and outlined next steps for taking The Boring Company project into the community.

Mr. Hill informed the Board of the recent hiring of Kate Wik as the LVCVA’s Chief Marketing Officer, described Ms. Wik’s work experience, and thanked Fletch Brunelle, LVCVA Vice President of Marketing for his work with the LVCVA during the past year. Mr. Hill reminded the Board that the R&R Partners contract expires at the end of June 2020 and stated an RFP process for an advertising firm was started but then suspended due to the Coronavirus pandemic. Mr. Hill informed the Board a contract extension request with R&R Partners will be presented to the members at the June Board meeting.

Mr. Hill provided information on the installation of a “telehealth facility” in the Las Vegas Convention Center. Mr. Hill detailed an RFP process was concluded prior to any knowledge of the Coronavirus and stated that the contract with the selected company is close to completion. Mr. Hill described the characteristics and intended use of the telehealth facility.

Mr. Hill informed the Board that the LVCVA enrolled in an accreditation and inspection program operated by the Global Biorisk Advisory Council (GBAC), which provides online training, facility assessment, and assistance with recommended protocols and procedures for safety and health measures. Mr. Hill stated both the telehealth facility and the GBAC program are “solid investments” in ensuring the health and safety of visitors to the Las Vegas Convention Center.

LVCVA STAFF REPORTS AND REQUESTED ACTIONS

GENERAL GOVERNMENT DIVISION

ITEM 1. Fiscal Year 2021 Preliminary Budget Mr. Hill outlined the statutory and internal budget approval process and provided an overview of the preliminary fiscal year (FY) 2021 budget including revenue and expense reductions, reserves, ending fund balance, and a transfer from the OPEB reserve. Mr. Hill described frameworks to provide a sense of the financial capacity of the LVCVA. Mr. Hill provided some detail on the sporting event and operating budgets and stated that the marketing and advertising of the destination is the organization’s priority.

Mr. Finger stated budget analyses were a collaborative effort with Applied Analysis, hotel operators, and other local governments. Mr. Finger delivered a detailed PowerPoint presentation on the Preliminary FY 2021 Budget.

ITEM 2. OPEB Internal Service Reserve Fund Reduction Mr. Finger requested that the Board consider deeming $27,000,000 of reserves in the Other Post-Employment Benefits (OPEB) Reserve Fund to be no longer required, in accordance with Nevada Revised Statute (NRS) 354.6215.

Fiscal Impact Fiscal Year 2020: $27,000,000 transfers out of the OPEB Fund $27,000,000 transfers into the General Fund

Member Michele Fiore moved, and it was carried by unanimous vote of the voting members, to deem $27,000,000 of reserves in the OPEB Reserve Fund to be no longer required, in accordance with NRS 354.6215.

ITEM 3. Contracts Report Ms. Bateman provided the Contracts Report, which serves to notify the Board, pursuant to Board Policies (1.04 and 5.01) and NRS Chapters 332 and 338, of the following: 1) Contractual commitments, change orders, or amendments to contracts executed under the CEO’s Signature Authority that exceed $50,000; 2) Contractual commitments and amendments to contracts related to the Las Vegas Convention Center District (LVCCD) projects as executed under the delegated authority of the CEO/President; and 3) Public Works contracts awarded by the LVCVA.

ITEM 4. Chair Brown opened the Public Hearing on the proposed amendments to the CBA.

Mr. Bruce Radel, SEIU 1107 Steward and furloughed LVCVA ambassador stated the three [furloughed] canine officers would prefer having canine pay deferred until their return, in order to avoid disruption of their unemployment status. Mr. Radel expressed the desire to work with the LVCVA directly to avoid a delay in communication.

Close Public Hearing on proposed amendments to the CBA between the LVCVA and SEIU Local 1107

Mr. Finger confirmed all pay during furlough is stopped for employees who are not working. Mr. Finger stated canine officers still must work by taking care of their dogs while they are on furlough, and the LVCVA is not legally or morally in a position to not pay employees who are working.

Member Michele Fiore moved, and it was carried by unanimous vote of the voting members, to: 1) Approve the following amendments to the CBA – (a) to pay Canine Officers an allowance for canine care while on furlough status; (b) to defer the payment of compensatory time off (“comp time”) and longevity for furloughed employees; and 2) Authorize the CEO/President to execute any documents necessary to finalize the amended CBA.

COMMENTS FROM THE FLOOR BY THE PUBLIC Mr. Radel thanked Chair Brown and the LVCVA for listening to his comments and reiterated the desire for direct communication between union stewards, whether or not on furlough, and the LVCVA, as opposed to communicating through the SEIU 1107 Union Hall.

Aleta Dupree expressed concern of the delay of Phase Three of the Las Vegas Convention Center District project, which includes a solar installation that will reduce energy costs. Ms. Dupree provided thoughts on the reopening of Las Vegas and described the work of the LVCVA as “legendary.”

Ed Uehling commented on the impacts on the community from the reduction in Las Vegas’s income, provided thoughts on the LVCVA’s role as the voice of “what we want”, and recommended the legalization of Airbnb.

Ms. Bateman informed the Board that Daniel Braisted submitted public comment via email and proceeded to read Mr. Braisted’s attached document for three minutes. Ms. Bateman noted that Mr. Braisted’s public comment submission would be included in the meeting minutes in its entirety.

The expectation that general revenues of the LVCVA will drop from $355 M to $145 M in FY2021 (as I read it and understand it) is alarming and spells very bad news for all Las Vegans. Does this mean fewer than 20 million visitors?

While it is true that the US economy is in shambles and going to get worse because of 1. Legitimate concerns about Covid-19i combined the misguided iiand even more destructive response by government to the virus.iii 2. The incompetence, disorganization, and greed of governments at all levels in the US 3. The messages being given to ALL Americans that they ALL must indiscriminately and sheepishly cower in their homes at the orders of their government bosses and turn off all creative and imaginative impulses of surviving and thrivingiv and, instead, expect the government to subsidize their prior standard of living (something that is a mathematic impossibility). 4. The devaluation of the dollar that will take place because of absurd levels of borrowing when the dust finally settles 5. The unemployment rate of 30% among Americans and the government-imposed requirement that they pay three months of expenses with one month of income.

That does not mean that the Entertainment Capital of the World and the nation’s most attractive place to live, work and play must sink into this cesspool of pessimism. To the contrary, Las Vegas and the LVCVA should be brave and adopt an alternate optimistic vision of attracting MORE visitors to Las Vegas than in 2020, and even in 2019, because: 1. The airlines, natural curiosity of human beings, tourism, conventions, meetings, concerts, sport competitions, city life, etc. (I.e., everything Las Vegas represents) are not going to all suddenly morph backwards into Dark Age Feudalism (unless we let it). 2. By the start of 2020 Las Vegas tourism had already languished for 12 years: That is, merely based on global tourism growth since 2007 Las Vegas should have had 80,000,000 visitors in 2019, not the pitiful 42M it actually hosted. 3. Foreigners now have a lot more money than Americans and, to them, Las Vegas is a DAILY 24/7 Mecca of the most desired aspect of their lives: FREEDOM 4. There are 10 times MORE tourists in ONE easy-to-reach market, China, than in the US even though the population of the former is only 4 times greater, because Chinese both travel more and regard it as continuing education (their second most important value). While impolitic to even mention China in today’s charged environment, the Chinese have been instrumental in creating past profits for Las Vegas and will have an even more important role in the future.

How can such a “miracle” be accomplished? 1. Believe that it is possible 2. Inform President Trump that Las Vegas wants to be friends with China and insist that he cease his hate-mongering toward China and Mexico and much of the rest of the world. 3. End prohibitions against house-sharing so that Las Vegas can have enough rooms to accommodate 80M visitors and is able to jump-start to broad visitation and visitor options. Not everyone wants to stay in a hotel and in the early stage of re-opening it’s actually healthier to stay in homes than in hotels). 4. Put a water boiling pot, tooth brush, toothpaste, comb in every room 5. See footnote: Open gay entertainment venues immediately and start catering to and expecting visitors to swarm in from neighboring statesv 6. Invite gay influencers for tours from around the world, but especially from China 7. Re-envision McCarran as the International airline hub and help organize charter flights with various Chinese and other international cities. While it is now politically condemned to mention China, it is advisable and even necessary, because that country will become the focus of wealth creation in the world. 8. Open up entertainment venues and include in charter packages at least one show and one trip to Grand Canyon, Zion National Park, or 9. Open the marriage license office24 hours/day 10. Fill the Strip and downtown with translators 11. Count your money at the end of each day because China is moving forward and its people are not only making money but know 1) that nothing is free and 2) this is the fulfillment of one or more of their dreams

The effects of the pandemic and shutdown should not become excuses to give up the vital global leadership we have inherited. Rather these challenges should impel us to expand that leadership through vision, courage and more complete and better hospitality. Those on the board or employed by LVCVA incapable of thinking beyond themselves, their past interests and the dogmas that have directed their lives, should resign to be replaced with visionaries (such as convention producers) who are available from around the world and who know how easy it is to bring visitors to our city. LET LAS VEGAS AND LVCVA BOOM!

The virus is literally SCREAMING, “Build your immune system by exposing yourself to pathogens as when you were a baby crawling on the pathogen-infested floor; eat plants; eat meat sparingly-- especially that which is factory-produced with hormones and antibiotics; lose weight; avoid sugar and over-the- counter meds and pharmaceuticals; learn to deal with stress in a way that avoids drug addiction”. Just LISTEN to it. Sadly, while it seems true that the shutdown “flattened the curve” it is likewise true that it extended the time people, who are old or immune-compromised, will be endangered. Mr. Finger requested that the Board consider, pursuant to Nevada Revised Statute (NRS) 354.598: 1) Conducting a public hearing on the LVCVA’s fiscal year (FY) 2021 Tentative Budget; and 2) Adopting a Final Budget for FY 2021.

PURPOSE AND BACKGROUND During the April 14, 2015 meeting of the LVCVA Board of Directors, the Board approved a three (3) year advertising and marketing communications agreement with R&R Partners, Inc. The agreement outlined the following services: account services and planning, product management, brand strategy, content creation, research, media planning and buying, events

The agreement included an automatic extension provision that allowed for an extended term of two (2) years absent a performance review by the LVCVA to determine whether extension was appropriate.

On June 12, 2018, the LVCVA and R&R Partners, Inc. executed an extension of the agreement. The extension is set to expire on June 30, 2020.

Staff requests that the Board approve a new advertising and marketing communications agreement with R&R Partners, Inc. for a one-year term with a possible six-month extension period. If the budget allows for future augmentation of the agreement’s total expenditure amount, such proposed augmentation shall be presented to the Board for its approval.

The destination capitalizes on special events to drive visitor volume and media exposure, extend television and other media coverage, and provide co-sponsorship and branding for Las Vegas and outlying areas. Mesquite and Laughlin utilize these special events as part of their branding campaigns as well.

PURPOSE AND BACKGROUND The Las Vegas Convention and Visitors Authority (LVCVA) leased office space at the NBC Tower in Chicago, with a term of July 1, 2015 through March 31, 2026. In late calendar year 2019, the LVCVA’s Chicago office moved to a remote model, making the office space available for the LVCVA to sublease.

The LVCVA engaged CBRE in January 2020 as the commercial real estate broker to assist with this transaction. CBRE has actively marketed the property during this time.

LVCVA staff has entered into a non-binding letter of intent to sublease the approximately 3,577 square foot Chicago office space with a proposed term of July 1, 2020 through March 31, 2026, with WesAmerica Mortgage Corporation (the sublease tenant) and Metropolis Investment Holdings Inc. (the building landlord).

The LVCVA’s current combined base rent rate and operating rate for the Chicago office is $41.98 per rentable square foot, per year, with 3% per year annual escalators. The negotiated sublease rate is $33.00 per rentable square foot, per year, with $0.50 per year escalators. The sublease includes six (6) months of rent abatement in the first year. The commission for this sublease will be an amount not to exceed $47,000, which will be shared between CBRE for their services, and the prospective subtenant’s representative.

RECOMMENDATION Due to the financial impact of the COVID-19 pandemic, 270 LVCVA ambassadors were placed on unpaid, temporary furlough. Mutual of Omaha, the LVCVA’s previous provider of Long-Term Disability (LTD) Insurance and Life Insurance for ambassadors notified the LVCVA staff, on May 28, 2020, of the following: 1) cancellation of LTD coverage for furloughed ambassadors, effective May 31, 2020; and 2) cancellation of Life Insurance for furloughed ambassadors, effective July 31, 2020.

Staff expedited quotes from insurance providers for the current LTD and Life Insurance coverage levels. The Standard Company agreed to provide LTD and Life Insurance coverage, equivalent to the previously existing coverage, starting June 1, 2020 with a guaranteed extension for current and furloughed ambassadors through August 31, 2020 for both policies.

Due to the need to procure LTD and Life Insurance coverage in an expedited fashion, due to the impact of the COVID-19 on the work status of the LVCVA’s ambassadors, the CEO/President executed an emergency contract pursuant to Board Policy 5.01.

This is an information item and does not require Board action.

PURPOSE AND BACKGROUND The LVCVA provides the following company-paid insurance policies:

1) LTD insurance policy to all full-time ambassadors providing 60% of base salary (with a cap) after 120-day elimination period when an ambassador is away from work due to a certified disability.

2) Life insurance policy to the Executive, Management and Professional class ambassadors by tiered level based on the ambassadors’ assigned classification.

The Board approved the previous two (2) year contract with Mutual of Omaha, for LTD and Life Insurance coverage, during the August 13, 2019 meeting in the total amount of $330,000 for FY21 and FY22. The Standard Company contract is valued at $260,000 for FY21 and FY22 with premium rates guaranteed through June 30, 2022.

Pursuant to Board Policy 5.01(3), the CEO is authorized to approve the procurement of emergency contracts, in accordance with the Local Government Purchasing Act, and must notify the Board of such action at the first Board meeting following the procurement.

PURPOSE AND BACKGROUND NRS 288.153 requires the governing body of every local government employer to approve all new, extended, or modified Collective Bargaining Agreements (CBAs) or similar agreement between the local government employer and employee organizations during a public hearing.

SEIU Local 107 requested that the Administrative Secretary position be included in the current CBA. The Administrative Secretary position is not in the current CBA but is legally allowed under NRS 288 to be in a bargaining unit. The LVCVA and SEIU negotiated on title, starting wage, seniority dates, longevity and future wages, all which is outlined in the attached MOA. The attached SEIU salary step wage rates reference the current Grade 16 in which these ambassadors will be placed. The MOU has already been approved by the SEIU.

The Board is asked to approve the attached MOA between the LVCVA and SEIU Local 1107, effective June 9, 2020, through June 30, 2023.

Regular Meetings • Regular meetings of the Las Vegas Convention and Visitors Authority (LVCVA) Board of Directors (Board) are scheduled for the second Tuesday of each month at 9 a.m., or at the call of the chair.

• All Board meetings of the LVCVA are open to the general public.

• Per NRS 354.596(4): The public hearing on the tentative budget must be held by the governing body not sooner than the third Monday in May and not later than the last day in May. Committee Meetings/Other • Agendas and approved minutes of the Board meetings are posted on the LVCVA website at: www.lvcva.com/agenda.

• Most meetings are held at the Las Vegas Convention Center in the Board Room at 3150 Paradise Road, Las Vegas, Nevada 89109. Locations of meetings are subject to change.
