Factors That Shape an Organisation‟S Risk Appetite: Insights from the International Hotel Industry Oxford Brookes University FACTORS THAT SHAPE AN ORGANISATION‟S RISK APPETITE: INSIGHTS FROM THE INTERNATIONAL HOTEL INDUSTRY Xiaolei Zhang Thesis submitted in partial fulfilment of the requirements of the award of Doctor of Philosophy December 2016 ABSTRACT Since the 2008 global financial crisis, a major challenge for the Board of Directors (BoD) and risk managers of large, public corporations has been to clearly define and articulate their company‟s risk appetite. Considered as a business imperative to ensure successful enterprise risk management, risk appetite has been widely discussed among practitioners and, more recently, academics. Whilst much emphasis has been placed upon defining risk appetite and identifying the ways in which an organisation‟s risk appetite statement can be articulated, the literature has largely ignored the critical idea that risk appetite is not a „static picture‟, but changes over time according to a variety of factors residing in the organisation‟s internal and external contexts. Using the international hotel industry as research context, this study explores the underlying factors that shape an organisation‟s risk appetite. Building on the „living organisation‟ thinking and employing the „living composition‟ model as a conceptual lens, this thesis integrated several strands of literature related to risk appetite, organisational risk taking and individual risk taking, and developed a conceptual framework of factors that shape an organisation‟s risk appetite. Given the scarcity of risk appetite research, an exploratory, qualitative approach was adopted and the fieldwork was conducted in two stages: stage one served to gain a generic-business perspective of the main factors that shape an organisation‟s risk appetite. Data was gathered from ten risk consultants using unstructured in-depth interviews. The findings were subsequently validated and further explored in stage two, which involves a case study of two publicly listed international hotel companies with different risk appetites. Questionnaires and follow-up semi-structured interviews were used to collect data from sixteen corporate executives and risk managers in order to understand the factors that shape their organisation‟s risk appetite. The findings indicated that an organisation‟s risk appetite is collectively shaped by a set of „organisational‟, „environmental‟ and „decision-maker‟ factors. While most factors are shared between the case organisations, the significance of each factor to risk appetite, the ways in which each factor shapes the risk appetite and the interrelationships among different factors are dissimilar. This led to the development of a „living organisation‟ framework of factors that shape an organisation‟s risk appetite, which is a key contribution to knowledge of this study. The findings also revealed how corporate executives and risk managers understand the concept of risk appetite, thus contributing to the literature with an „end user‟ perspective of risk appetite definition, as well as a unique „black hole‟ analogy of risk appetite. Not only can the findings facilitate a more accurate and meaningful articulation of an organisation‟s risk appetite statements, they also highlight the need for corporate executives and risk managers to regularly monitor and update their organisations‟ risk appetite.     ABSTRACT LUCY, ZACHARY MARC. Analysis of Fixed Volume Swaps for Hedging Financial Risk at Large-Scale Wind Projects (Under the direction of Dr. Jordan Kern). Large scale wind power projects are increasingly selling power directly into wholesale electricity markets without the benefits of stable (fixed price) off-take agreements. As a result, many wind power producers are incentivized to use financial hedging contracts to mitigate exposure to price risk. One particular hedging contract - the “fixed volume price swap” - has gained prevalence, but it poses several liabilities for wind power producers that reduce its effectiveness. In this paper, we explore problems associated with fixed volume swaps and examine two different interventions to improve contract performance for wind power producers. Using a hypothetical wind power project in the Southwest Power Pool (SPP) market as a case study, we first look at how “shape risk” (an imbalance between actual wind power production and hourly production targets specified by contract terms) negatively impacts contract performance and whether this could be remedied through improved contract design. Using a multi-objective optimization algorithm, we find examples of alternative contract parameters (hourly wind power production targets) that are more effective at increasing revenues during low performing months and do so at a lower cost than conventional fixed volume swaps. Then we examine how “basis risk” (a discrepancy in market prices between the “node” where the wind project injects power into the grid, and the regional hub price) can negatively impact contract performance. We statistically manipulate basis risk as a proxy for the effects of increased transmission and its effect on contract performance.

JABOUR Introduction Proposed “Skin in the Game” Rule Section 941(b) of the Dodd-Frank Act, codified as new Section 15G to the Securities Exchange Act of 1934, requires six Federal agencies—the U.S. Department of the Treasury, Federal Reserve Board, Federal Deposit Insurance Corporation, U.S. Securities and Exchange Commission, Federal Housing Finance Agency, and Department of Housing and Urban Development (collectively, the “Agencies”)— jointly to prescribe regulations requiring increased credit risk retention for securitizers of asset-backed securities and limiting the hedging or transferring of securitizers’ retained risk.1 Section 15G generally requires securitizers of asset-backed securities (“ABS”)2 to retain an unhedged five percent economic interest in the credit risk of securitized assets, but authorizes several exemptions from the general risk retention requirement. These include an exemption for securities collateralized by “qualified residential mortgages,” which must be underwritten pursuant to specific standards established by regulation, as well as exemptions for certain other asset classes. To implement section 941, the Agencies recently issued a proposed rulemaking on Credit Risk Retention, seeking public comment by June 10, 2011. While the Agencies satisfied the section 941 requirement for issuing regulations within 270 days of enactment, the effective date of any rule will not occur until one year after publication of a final rule in the Federal Register for securitizers and originators of asset-backed securities backed by residential mortgages and two years after publication of a final rule for securitizers and originators of all other classes of asset-backed securities.

Two agents invest in their own project, each choosing a level of risk and effort, and share risk through transfers. This can correspond to farmers in developing countries, who share risk and decide individually upon the adop- tion of a risky technology. The paper mainly shows that the impact of moral hazard on risk crucially depends on the observability of investment risk, whereas the impact on transfers is much more utility dependent. Here, we consider interactions emerging from risk-sharing arrangement. Indeed, many studies docu- ment that households share risk through informal insurance.2 Risk sharing may con- tribute to shape risk taking in two respects. First, there are some clear-cut stylized facts attesting that farmers are risk averse, and therefore that they should take more risk when they are insured. Second, a more subtle argument is that risk sharing can embody a moral hazard issue3, which may affect individual risk-taking decisions.
