Frontier Communications Corporation ("Frontier") and Verizon Southwest request approval by the Public Utility Commission of Texas for the transfer of control of Verizon Southwest Certificate of Authority No. 50028 ("COA") from Verizon Communications Inc. ("Verizon") to Frontier. Frontier and Verizon Southwest request that the transfer of control of the COA be approved effective upon closing of the transaction described below. On February 5, 2015, Frontier and Verizon entered into a Securities Purchase Agreement (the "Agreement"). Under the Agreement, Verizon has created Newco West Holdings LLC ("Newco") as a wholly owned indirect subsidiary of Verizon. In conjunction with the closing of the proposed transaction, the ownership interests of Verizon Southwest and two non-Texas affiliates will be moved to Newco so they will become wholly owned direct subsidiaries of Newco. Frontier will then purchase all of the ownership interests of Newco. Upon completion of the transaction, Newco will become a wholly owned direct subsidiary of Frontier, and Verizon Southwest will become a wholly owned indirect 5 5 subsidiary of Frontier. Corporate organizational charts depicting the proposed transaction are attached as Attachment A. This application only relates to Verizon Southwest COA No. 50028, which authorized Verizon Southwest to provide competitive services in the service territory of AT&T Texas. The transfer of control will only affect a limited number of business customers Verizon Southwest serves under its COA outside its incumbent local exchange carrier footprint. Verizon Southwest will continue to exist as an operating entity and its COA will not be transferred or assigned to another entity as part of the transaction. Verizon Southwest will continue to serve the same customer base in its COA service area after the transaction. Immediately following the closing, existing customers will continue to receive the same services from Verizon Southwest on the same terms and conditions. 6 6 2. COMMISSION ORDER The Commission promulgates a proposed amendment to Rule 2.6 of the Rules and Regulations for the Government of Telephone Utilities, 150 C.S.R. Series 6 (Telephone m)for comment. BACKGROUND On September 11, 2013, the Commission opened a general investigation into the continuing need for local exchange carriers (LECs) to annually distribute printed telephone directories to customers as required under Teleuhone Rule 2.6.a. The Commission opened that proceeding after a request from Frontier West Virginia Inc., and Citizens Telecommunications Company of West Virginia dba Frontier Communications of West Virginia (together Frontier) seeking Commission consent for an opt-in directory distribution program. Instead of proceeding with the Frontier request, the Commission invited interested parties to submit comments and directed the Executive Secretary to publish notice of this matter statewide. The Executive Secretary also provided notice to all incumbent and competitive carriers of this proceeding. Beginning on September 23, 2013, the Commission began receiving letters from the public regarding the Frontier proposal. The letters, often from senior citizens, stated that they continue to use printed telephone directories and argued for ongoing directory printing and distribution. One customer, however, wrote in support of ending the requirement to distribute printed directories, concluding that eliminating the requirement will reduce waste and cut costs.
