Page 8 of 26 1 included with the Proposed Transaction, although it is quite possible that EPE will 2 experience a one-notch downgrade of its Moody’s rating due to weaker cash flow, 3 regardless of whether the Proposed Transaction is consummated. As is discussed below, 4 Moody’s placed EPE on negative credit outlook more than a year before the 5 announcement of the Proposed Transaction, therefore any future downgrade by Moody’s 6 would likely be the result of factors unrelated to the Proposed Transaction. While both 7 Moody’s and S&P took ratings action following the announcement of the merger 8 agreement, when the Proposed Transaction closes the protection of the credit ratings of 9 EPE will be aided by the full and complete set of ring-fencing commitments proposed by 10 the Joint Applicants. 11 In preparing my Direct Testimony, I compared the ring-fencing provisions 12 proposed by the Joint Applicants against a systematic and comprehensive list of standards 13 that reflects my prior experience regarding credit defaults and bankruptcies particularly in 14 the utility and energy sector. This master list of standards incorporates the guidelines 15 applied by the three major credit rating agencies. The Joint Applicants’ proposed ring- 16 fencing provisions satisfy every aspect of these standards. Taken together, these 17 protective provisions will provide strong separation for EPE and EPE’s customers and 18 communities from risk of involuntary consolidation in bankruptcy with Sun Jupiter, IIF 19 US 2, or any IIF US 2 affiliate. Equally important, the proposed ring-fencing provisions 20 will enable EPE to retain access to all of its own financial and physical assets and cash 21 flow so that EPE can properly conduct its business and remain viable, even in the case of 22 financial distress of Sun Jupiter, IIF US 2, or any IIF US 2 affiliate.

Powell Chairman Federal Communications Commission 445 12th Street, S.W., Room 8-B201 Washington, D.C. 20554 Re: Applications for Transfer of Control of Hispanic Broadcasting Corp., and Certain Subsidiaries, Licensees of KGBT(AM), Harlingen, Texas et uL (Docket No. MB 02-235, FCC File Nos. BTC-20020723ABL et d) Dear Chairman Powell: On behalf of Univision Communications Inc. (“Univision”) and Hispanic Broadcasting Corporation (“HBC”), we are writing to urge that the Commission promptly grant the above-referenced merger application, as well as to respond to recent ex parte contacts by opponents of the UnivisiodHBC merger who now assert that the Commission should rewrite its multiple ownership rules to create a “separate but equal” class of broadcasters to be known as the Spanish-language media market. As both Univision and HBC have previously demonstrated to the Commission, and reiterate below, there is no factual basis for this unprecedented effort to partition the broadcast audience, particularly in the face of prior Commission decisions specifically rejecting such an approach. Those seeking the creation of such an artificial regulatory classification based solely upon a station’s chosen program content rely upon an inaccurate stereotype of American Hispanics that suits their agenda. However, there is nothing in the record of this proceeding to support such an ad hoc revision of the Commission’s Rules.

I. Introduction. Joint Commenters reiterate their request that the Commission increase the digital power levels at which FM HD Radio may operate, up to a maximum of 10 percent of a station’s authorized analog power (-10 dBc). This proposal has been met with some opposition, primarily from NPR and others who are either NPR affiliates or whose opposition is based principally on 1 Letter to Ms. Marlene Dortch from Joint Parties, June 10, 2008 (MM Docket No. 99-32). 2 The Broadcaster Traffic Consortium (“BTC”) is an industry-wide association formed to explore ways to use HD Radio technology to broadcast real-time traffic and other location-based information to portable navigation devices and automobile in dash systems. the predictions of interference from in-lab studies generated by NPR Labs.3 However, even
