None Public Comment: No Action Required 1:30 – 1:35 None Other Matters for the Authority: No Action Required 034439/00001/9882058v1 TAB 1 Oregon Facilities Authority Minutes of Meeting of March 19, 2019 A duly called meeting of the Oregon Facilities Authority ("OFA" or the "Authority") was held on March 19, 2019, commencing at approximately 12:00 p.m. at 888 SW Fifth Avenue, Suite 1600, Portland, Oregon. Authority Members participating in the meeting (in person, unless otherwise indicated) were: Chair Eric Johansen, and Authority Members Sean Hubert, Beth deHamel, Kevin McAuliffe, and Roy Kim. Participating in the meeting to assist the Authority (in person, unless otherwise indicated) were: Gwendolyn Griffith, Executive Director of the Authority; Duncan Brown of PFM, Financial Advisor; Carol McCoog of Hawkins Delafield & Wood LLP, SNAP Loan and Special Bond Counsel, Michael Schrader and Doug Goe of Orrick, Herrington and Sutcliffe LLP, Lead Bond Counsel; Lee Anaya and Lee Helgerson of the Office of the State Treasurer ("OST"); and Assistant Attorney General Cynthia Byrnes (by phone), Oregon Department of Justice ("DOJ"). Chair Eric Johansen called the meeting to order and presented the notice of meeting. Introduction of Mr. Lee Helgerson Mr. Lee Anaya introduced Mr. Lee Helgerson to the Board. Mr. Helgerson is working, once again, at the Debt Management Division of the Office of the State Treasurer. Mr. Helgerson previously worked at the Debt Management Division before joining Orrick Herrington & Sutcliffe LLP as a project manager and then assuming a role at the Oregon Department of Transportation. Ms. Griffith welcomed Mr. Helgerson back to OFA. Approval of Minutes The Minutes of the meeting of January 14, 2019, were unanimously approved. Executive Director Reports Ms. Griffith directed the Board's attention to the Bonding Report and General Report, both of which were included with the materials. Mr. Michael Schrader reported on the status of the Howard St. Charter School transaction, explaining the school district and the Applicant have reached an agreement that would make the financing transaction viable. The Applicant is currently negotiating the ground lease with the church, and intends to seek final approval at the April meeting. Oregon Facilities Authority Page 1 of 3 Mr. Schrader also reported on the PCRI transaction, noting the Applicant is apparently working through the requirements for tax-exempt financing. He believes that the Applicant will seek Final Approval in May, but at this time the transaction team is apparently in a holding pattern. Mr. Schrader also discussed the announcement by the Portland Public School District that Trillium Charter School will be losing its charter. This was a 2007 limited offering through OFA. Two series were originally issued, with one series outstanding. Mr. Schrader confirmed it has one single bond holder. The Board took a brief recess and reconvened at approximately 1:00 p.m. Consideration of Preliminary Approval for the application by Meyer Memorial Trust for an OFA SNAP Loan in an approximate amount of $15,000,000. Ms. Michelle DePass, President and CEO, Ms. Brenda Hodges, Director of Finance, and Ms. Kimberly Wilson, Director of Communications, appeared on behalf of the Applicant. Ms. Kathy Swift, Senior Vice President, Non-Profit Development Officer of Heritage Bank, the sponsoring bank, appeared to assist with the presentation. Ms. DePass presented the mission, vision and goals of the Applicant. It has awarded over $700 million in grants to nonprofits throughout the Pacific Northwest. Its mission is to work with and invest in organizations, communities, ideas and efforts that contribute to a flourishing and equitable Oregon. Ms. Wilson and Ms. Hodges described the Project, which is the construction of a new headquarters located in northeast Portland, on land the Applicant has already purchased. The Applicant’s presentation materials are available upon request. Ms. Swift presented the terms of the financing. The amortization period will be 25 years. The initial interest rate (computed with a tax factor of .8078) will be fixed for 15 years, and will reset at the 16-year mark. The projected initial interest rate is 4.09%. SNAP Counsel's report is included in the materials. Ms. McCoog reported that she and Ms. Cordova participated in the scoping call and the Project appeared to be straightforward. SNAP Counsel will perform the usual diligence, including addressing any private use issues that might arise. Ms. McCoog recommended the transaction for preliminary approval. Mr. Duncan Brown reported that he met with the Applicant in August of 2018 and that the Application is consistent with their conversation at that time. Mr. Brown recommended the transaction for preliminary approval. Ms. Griffith explained she has a conflict of interest because the law firm in which she is a partner provides legal representation to the Applicant. As a result, she did not provide any recommendation relating to this transaction. Mr. Anaya, on behalf of OST, recommended the transaction for preliminary approval. After discussion, Ms. deHamel moved that the Authority adopt Resolution 2019-3, granting preliminary approval to Meyer Memorial Trust for an OFA SNAP Loan in an Oregon Facilities Authority Page 2 of 3 approximate amount of $15,000,000. Mr. McAuliffe seconded the motion. Resolution 2019-3 was unanimously approved. The Chair asked for public comment. There was none. There being no further business to come before the Authority, the meeting was adjourned at approximately 2:15 p.m. Eric H. Keeping the Elliott State Forest in public ownership is critical to fulfilling our fiduciary obligations to the Common School Fund while preserving the habitats of diverse species and public access to the lands for future generations. Elliott State Forest Bonding Proposal The Elliott State Forest has contributed nearly $617 million to the Common School Fund to advance investments in schools and education, while also developing, maintaining, and protecting Oregon’s natural resources. Since 2013, because of harvest limitation prompted by a lawsuit over Federally protected species, owning the Elliott has cost the Commons School Fund more than $4 million. We must change the way we own and manage the forest to honor the Common School Fund (CSF) and protect the Elliott’s diverse habitats. This can be achieved while supporting jobs with the sustainable harvest of timber. • The Elliott is Oregon’s first State Forest and has been a State Forest Since 1930. Under m plan, the Elliott State Forest would remain in public ownership, with either the state or tribes owning the land. • A bond proposal will be developed to include up to $100 million in state bonding capacity to protect high value habitat, including riparian areas, steep slopes, and old growth stands. • On the remainder of the forest, we have renewed negotiations with the Federal Services for a Habitat Conservation Plan to allow for sustainable timber harvest, while protecting native, as well as endangered and threatened species that are home to the Elliott Forest.

Although still in its relative infancy, the program has reached an average account size of more than $7,700 and, so far, over $12 million has been contributed to ABLE accounts in 2020. “ABLE accounts are a powerful tool that people experiencing disabilities can use to save for their current and future needs, without putting other benefits in jeopardy,” said Oregon State Treasurer Tobias Read. “It is gratifying to know that ABLE is helping so many Oregonians improve their day to day lives and reach their long-term goals. I will continue to push for ways to expand this critical program so we can serve more people.” The anniversary of Oregon’s ABLE programs coincides with the six-year anniversary of the federal Achieving a Better Life Experience (ABLE) Act, signed into law in 2014, that allowed states to create savings plans for people with disabilities. Before Congress and the Oregon State Legislature paved the way for the creation of ABLE plans, people living with disabilities were functionally forced to live in poverty if they wanted to remain eligible for vital means-tested benefits, like Medicaid and Supplemental Security Income, which required the individual to have less than $2,000 in their name.

Hammer, Gilliam County Treasurer and Director of Finance TITLE OF AGENDA ITEM: Consider Approval of Oregon State Treasury: Oregon Local Government Intermediate Fund Investment ___________________________________________________________________________________________ SUMMARY: Oregon Local Government Intermediate Fund (OLGIF) is an actively managed, diversified portfolio of investment grade bond investments. These investments are managed by the Oregon State Treasurer and their team of financial/investment professionals. The Oregon State Treasurer anticipates that returns over longer periods of time will be greater in the OLGIF than in the shorter maturity Oregon Local Government Investment Pool (“OLGIP”). Participants invest in OLGIF by purchasing shares like OLGIP, but redemption restrictions are different. KEY FACTS & FINDINGS: Using the Oregon State Treasurer’s Office as an investment resource has the benefit of low fees and a proven track record (including during the last financial crisis), which compares favorably to other investment options available to county governments. Investments in OLGIF and OLGIP are not insured or guaranteed by the U.S. Government, Federal Deposit Insurance Corporation, any Federal Agency, or by the State of Oregon. Approval of OLGIF as an investment fund manager is the first step in participation. The second step is to get our Gilliam County Investment Policy updated, reviewed, adopted and filed with the Oregon State Treasurer. The current timeline on this project is to have the Gilliam County Investment Policy submitted to the Oregon State Treasurer by the middle of October, for review at their January 20, 2021 meeting.

New research on gubernatorial succession is at www.nlga.us A new research piece is available which answers the question: How often do seconds‐in‐command succeed to governor? The National Lieutenant Governors Association (NLGA) today released “Gubernatorial Succession Data: 1980 – current.” Tomorrow, on February 18, 2015, the third second‐in‐command this decade is slated to succeed to governor. Oregon Secretary of State Kate Brown will succeed to governor upon the effective date of the governor’s resignation. Oregon State Treasurer Ted Wheeler will become the new second‐in‐ command. “The previous two gubernatorial successions between January 1, 2010, and today were in North Dakota and West Virginia,” said NLGA Director & CEO Julia Hurst. “Between January 1, 2000, and December 31, 2009, twenty‐two (22) gubernatorial successions occurred,” said NLGA Associate Director Michael Conway. That tally includes the “Five‐Governors‐in‐ a‐Day” experience in New Jersey as one succession. “The successions across this decade occurred in every region in the country,” he said. Between January 1, 1990, and December 31, 1999, nine (9) gubernatorial successions occurred. “When Secretary Brown succeeds, she will become the ninth (9th) current governor who first served as Lieutenant Governor or first in line of gubernatorial succession,” said Hurst. “These include the governors of Iowa, Kentucky, Mississippi, North Dakota, Oklahoma, South Dakota, Utah, and West Virginia,” she said.
