NOTICE TO BIDDERS/ADVERTISEMENT FOR BIDS

Cabarrus County Schools (CCS) is accepting sealed bids for “Lawn Maintenance Services” on February 23, 2021, at 2:00 p.m. Companies shall provide appropriate pesticide license, workers compensation and general liability certificates to be included in bid submission documents. The specifications will be available at www.cabarrus.k12.nc.us , go to “ Departments”, “ Facilities Management”, “Upcoming Projects, Bids and RFQ’s” , beginning Thursday January 28 th , 2021 at 9 am and can be picked up at CCS Facilities Management Department, 4425 Old Airport Road, Concord, NC 28025. Mandatory Pre-Bid Conference Location, Date, and Time: • Due to Covid 19 Precautions, this will be a virtual meeting via Microsoft Teams taking place on Tuesday February 2, at 9:30 a.m. Any site visits will need to be conducted 2/2 – 2/5 2021 by reservation arranged through Beth Bobrek.

• Any new contractors intending to bid must visit the school sites they will bid on. Any existing contractors must visit any NEW schools that are included in the districts they intend to bid on. Proper Legal ID, masks and temp checks will be required before being admitted to the school site. It is recommended that you bring only the staff that is required for your visit.

SECTION 001000 INSTRUCTIONS TO BIDDERS PART 1 - SECURING DOCUMENTS A. PART 2 - EXAMINATION OF SPECIFICATIONS AND BID DOCUMENTS AND SITE OF WORK A. The specifications are intended to describe the complete project including all materials, process, equipment, etc. Therefore, before submitting a bid, each bidder shall carefully examine the specifications, bid documents, and visit and examine the sites of proposed maintenance. There is to be only one bid per district submitted per organization. Your organization may bid on as many districts as you wish, the max to be awarded per organization is 3. B. Each bidder shall do all things necessary to become thoroughly familiar with the Lawn Service requirements, prior to bidding, as to all existing conditions and limitations under which the work is to be performed and shall include in their bid a sum to cover the cost of all items necessary to perform the work as set forth in the Specifications. C. No allowance will be made to any bidder because of lack of such examination or knowledge. The submission of a bid shall be construed as conclusive evidence that the bidder has made such examination. D. Bidders shall contact a Project Manager or Grounds Manager at least five (5) working days prior to bid opening for clarification of any item not fully understood.

PART 3 - INTERPRETATION OF SPECIFICATIONS AND BID DOCUMENTS PRIOR TO BIDDING A. If any person contemplating submitting a bid for the consideration of the work is in doubt as to the true meaning of any part of the specifications or bid documents, or finds discrepancies in or omissions from any part of the specifications or bid documents, they may submit to the CCS Facilities Management Department Project Manager or Grounds Manager a written request for an interpretation or correction thereof, no later than five (5) working days prior to bid opening. B. Address all communications regarding this work to: Beth Bobrek, Project Manager ( [email protected] ) James Waldroup, Grounds Manager at [email protected]

C. Any interpretation or correction of the contract documents will be made by written addendum and will be emailed to each prime bidder of record. Any addendum issued will be posted on the Cabarrus County Schools website ( www.cabarrus.k12.nc.us , “Departments”, “Facilities Management”, “Upcoming Projects, Bids and RFQ’s”. The Owner will not be responsible for any other explanations or interpretation of the contract documents. D. It is the responsibility of each bidder to verify for themselves that they have received all Addenda before submitting a bid. It is responsibility of all sub-bidders and material suppliers to be familiar with and to include in their price, all Addenda issued up to the time of bid opening. Requests for clarification or additional information shall be accepted from the prime contractor only; sub-bidders and suppliers shall coordinate their requests through the prime contractors only. PART 4 – Section not used. PART 5 – INSURANCE and LICENSE A. The contractor is required to provide liability insurance and proof of license, included with the bid, as indicated below: 1. Proposer/bidders currently providing lawn maintenance services shall submit a Certificate of Insurance for these operations. In the absence of such certification, proposers/bidders may submit a Letter-of-Commitment from an acceptable insurance company, licensed to do business in North Carolina, stating that the required insurance coverage will be available to the proposer at the time/term of contract commencement. LETTERS-OF-INTENT FROM INSURANCE BROKERS WILL NOT BE CONSIDERED ACCEPTABLE. Insurance coverage must reflect the coverage listed in “Section 002000, Detailed Specifications, PART 4-INDEMNITY AND INSURANCE. 2. Proof of License required: NC Dept. of Agriculture Pesticide License, sub-class L. A copy of Pesticide License should be included in the bid submittal. 3. A valid North Carolina Landscape Contractor license, as issued by the NC Landscape Contractors’ Licensing Board, will be required if the cost of mowing, mulching, and trimming per site exceeds $30,000 annually.

PART 6 – FAMILIARITY WITH LAWS A. It is assumed that the bidders are familiar with all federal, state and local laws, ordinances and regulations which may in any manner affect those engaged or employed in the work, or the materials or equipment used in or upon the work, or in any way affect the conduct of the work. No plea of misunderstanding or ignorance on the part of the contractor will in any way serve to modify the provisions of the contract.

PART 7 - SUBSTITUTIONS A. Each bidder represents that their bid is based upon the service, materials and equipment described in the bidding documents. No substitutions will be accepted. PART 8 - MODIFICATION AND WITHDRAWAL OF BIDS A. Bids may be withdrawn on personal requests received from bidders prior to opening time. B. Withdrawn bids may be resubmitted up to opening time. C. Negligence or error on the part of the bidder in preparing their bid confers no right for withdrawal of the bid after it has been opened. D. No bid may be withdrawn for 30 consecutive calendar days after opening time except as provided by North Carolina G. S. 143-129.1. E. Telecommunicated (phone, fax, email, etc.) bids will not be considered. PART 9 - FORM OF PROPOSAL A. Bids shall be submitted upon the Bid Form provided in the Specifications, properly executed and with all items filled out. Do not change the wording of the Bid Form and do not add words to the wording of the Bid Form. Unauthorized conditions or limitations of provisions attached to the bid may be cause for rejection of the proposal. Alterations, erasure or interlineations must be explained or noted in the bid over the signature of the bidder. B. Federal Taxes: Cabarrus County Schools is exempt from and will not pay Federal Excise Taxes. C. State Taxes: Applicable North Carolina Sales and Use Taxes and Labor taxes shall be included in bids and shall be shown as a separate line item on all invoices. D. Any fees, service or trip charges should be included in all bid pricing.

Sealed bids are due no later than 2PM on Tuesday February 23, 2021 at the offices of Cabarrus County Schools, Facilities Management Department at 4425 Old Airport Road, Concord, NC 28025 and shall be submitted as follows: 1. However, Bids for individual districts will only be opened if three (3) bids are received for the individual districts. Individual districts should be in separate envelopes to avoid confusion. 4. If required number of bids are not received for a district, that district will be re-advertised and a new bid opening date will be established. 5. PART 11 - AWARD OR REJECTION OF BIDS A. In accordance with State Law (143-131) the award will be made to the lowest responsible bidder taking into consideration quality, performance and verification of knowledge of lawn maintenance experience. Evaluation criteria for the best responsible bid will be based upon the following considerations/criteria: 1. Operational capabilities: The bidder’s successful experience in the grounds maintenance field will be evaluated through comprehensive reference follow-up. A statement from the bidder/proposer listing five (5) major grounds maintenance activities in the last two (2) years, emphasizing experience related to grounds maintenance must be provided. The bidder must identify any grounds maintenance related contracts within the last two (2) years that have been cancelled or renewed. The form is included in the bid documents and must be submitted with the bid package. 2. Equipment: The bidder’s current inventory of mowing equipment and other necessary grounds maintenance equipment required to perform the work must be submitted and will be evaluated. If adequate equipment is not currently in inventory, the proposer must provide a letter of credit from a recognized banking institution in the State of North Carolina stating that funds for the purchase or lease of adequate equipment can be obtained if a contract is awarded. The letter must state the amount of the line of credit. The proposer/bidder must list the specific items of equipment he/she intends to purchase. 3. Pesticide License: Required sub class L (ornamental and turf) to be valid for the duration of the contract, non-compliance could result in termination of contract. Company owner or officer is the required pesticide licensee. Contracts will not be awarded to companies without a pesticide license 4. Awards of bids will be based on cumulative base bid pricing and any alternates that we choose to approve/accept. 5. Such other reasonable factors as the Owner deems fit.

B. No more than three (3) of the nine (9) total districts will be awarded to any company if company had demonstrated operational capability to perform all work required. C. All bids are subject to the Owner’s right to reject any or all bids and to waive any informality in the bids or the bidding. D. Failure to complete all information required on the Bid Form may result in rejection of the bid. E. Bids may be rejected if they show any unexplained erasures, omissions, alterations of forms, additions not called for, added restrictions or qualifying conditions or other irregularities of any kind. F. The Owner will exercise its discretionary right to award the districts for reasons it deems are for the good of the public or in the interest of the public’s welfare. Alternates #1 and #2 may be considered in the decision to award contracts.Cabarrus County Schools reserves the right to reject any bid for any reason it deems for the good of the public or in the interest of the public’s welfare.

G. The following rules of interpretation will apply when evaluating bids: 1. All spaces for lump sum and unit prices in the Bid Form shall be filled in with a number. 2. Spaces left blank will be evaluated as zero ($0.00). 3. Discrepancies between the multiplication of units of Work and Unit Prices will be resolved in favor of the Unit Prices. 4. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. 5. Discrepancies between words and figures will be resolved in favor of the words. 6. Basis of award will be the lowest total amount of the Base Bid and any combination of Parts that the Owner elects to accept. PART 12 - EXECUTION OF AGREEMENT A. The form of agreement, which the successful bidder, as contractor, will be required to execute, is available from the Owner upon request. The General Conditions of the Contract, any Supplementary General Conditions, all sections of the Specifications and Bid Package, and any drawings/diagrams shall be carefully examined by each bidder prior to the submittal of a bid; no allowance shall be made by the Owner to a Contractor for failure to review or understand the provisions of the Contract. B. The form of agreement shall be CCS’s Purchase Order, incorporating by reference the entire Lawn Maintenance Services, East and South Districts, Specifications and Bid Package as modified by Addenda, along with the applicable Owner-accepted Contractor’s Bid Forms. C. The bidder to whom the contract is awarded by the Owner, shall, within 2 days after notice of award from the Owner, sign and deliver to the Owner all required copies of the agreement forms, required insurance certificates, license documentation, and employee background check documentation. All documents shall be approved by the Project Manager or Grounds Manager before successful bidder may proceed with the work. D. Failure or refusal to furnish required documentation in the form satisfactory to the Owner and in a timely manner, could subject bidder to forfeit award of contract. E. The successful bidder will be expected to be available to begin mowing operations immediately after receiving a notice to proceed from the Grounds Manager. The actual mowing start date will be determined by the Grounds Manager. The Grounds Manager will determine the number of mowings per season, when the contracted mowing will seasonally begin and end, and when a site is in need of mowing. No sub-contracting will be allowed . Equipment breakdown is no excuse for non-performance. Short cutting is not allowed, all properties will receive complete mowings. Contractors must provide Grounds Manager with a phone number for direct connection to Contractor for immediate and emergency communications. F. Contracts generated as a result of this proposal will obligate the contractor not to discriminate on grounds of race, color, creed, religion or national origin in employment practices.

SECTION 001100 GENERAL CONDITIONS 1. The Contractor will provide turnkey service. 2. The Contractor awarded the contract must adhere to all state, city and county codes. 3. All specifications are noted in the Specifications and Bid Package and are not subject to change. 4. The Contractor shall be familiar with and understands all federal, state and local laws, ordinances and regulations which may in any manner affect those engaged or employed in the work, or the materials or equipment used in or upon the work, or in any way affect the conduct of the work. No plea of misunderstanding or ignorance on the part of the contractor will in any way serve to modify the provisions of the contract. 5. The Contractor is required to ensure that all employees have criminal background checks and pose no risk to the student population. 6. All workers must obtain approval through the E-verify system and be legal to work in the United States. 7. Each member of the contractor’s work crew must have a valid ID and check in and out in the front office through the Lobby Guard system each time they are on campus. If the front office is closed, crew members will not be required to check in. Contractors will be provided with the office hours for each school in their district after contracts are awarded. 8. All employees must be legally employed and working within their allowed scope as defined by the Department of Labor. 9. The Contractor shall be prepared to begin work on July 1 st , 2021 10. Payment will be made on a monthly basis. Payment terms are net 30 days. Original invoice only will be accepted (NO FAX COPIES). All invoices should be received by the Grounds Manager by the end of the first week of a new month. 11. The Board of Education will provide appropriate staff to effectively monitor the provisions of the mowing contract. This will be done by promptly providing inspections of the maintained sites. The Grounds Manager will be available to address any problems or concerns that may arise during the term of the contract. 12. OSHA Recommendations and Guidelines should be followed throughout the duration of the project.

SECTION 002000 DETAILED SPECIFICATIONS

PART 1 - DUTIES OF THE CONTRACTOR A. Mowing: 1. Contractor shall provide all routine mowing, grass trimming and edging services as defined by the detailed specifications in all areas (including exterior courtyards) currently being mowed, trimmed, edged at Cabarrus County Schools Facilities and as discussed during pre- bid meeting. 2. The Contractor understands that the Lawn Services contract excludes all varsity high school baseball/softball/football playing fields; however, the contract does include all surrounding areas. Example: banks in football stadiums. B. Equipment: 1. The Contractor's firm shall demonstrate that there is sufficient and appropriate equipment in the firm's inventory to provide a well-manicured, neat appearance to the mowed areas. If sufficient or appropriate equipment is not currently in the Contractor's inventory, it will be demonstrated by the Contractor that financing can be secured to purchase and/or lease the appropriate equipment. All manufactured safety equipment must be in good repair and functional. C. Mowing Caution: 1. The Contractor and his/her staff shall exercise extreme caution when mowing or weed trimming around trees, fences, or other landscape material. 2. Trees with a caliper reading of up to 3" that are struck by the Contractor's firm's mowers resulting in a 25% or greater loss of bark at the tree's base, will be replaced with a similar size and species tree at the Contractor's expense. This would include both tree purchase and installation. 3. Damaged trees having a reading greater than 3" will be paid for by the Contractor based on standard nursery evaluations. 4. Mulched tree wells must not be struck by mowing units when mowing. If the mulch ring is struck, it will be re-established by the Contractor. Areas around tree wells should be trimmed with a string trimmer, not chemicals. 5. Any and all corrective measures must comply with the specific instructions of the Grounds Manager. 6. Mower guards must be in the down position at all time when mowing. D. Mowing Standards: 1. The mowing of turf will be done according to recommendations of the U.S. Department of Agriculture. Mowing height for fescue turf grass is 3-1/2". At no time will turf be mowed shorter than 3-1/2" without permission from the Grounds Manager.

2. All glass, paper, limbs, trash or other hazards must be removed prior to mowing. 3. The Grounds Manager reserves the right to determine the interval between mowings. This interval will be based on appropriate turf grass management practices. No mowing will occur if the Grounds Manager does not approve. 4. At no time will the turf be mowed when the soil base is excessively wet so as to avoid compaction and rutting. 5. Direction of travel must be changed after two mowing cycles to avoid rutting and compaction. 6. If the grass becomes excessively long and windrowing or clumping of cut grass occurs, this excess will be removed immediately. 7. Scalping of turf will not be tolerated. If excessive scalping occurs, the Contractor will be responsible for re-establishing the turf. 8. Mowing should occur with well-maintained equipment. Blades will always be kept sharp to prevent tearing or uneven cut. 9. Fence lines, parking lots, driveways, walkways, etc. that are adjacent to “natural areas” shall be mowed or cut with a weed eater five feet (5’) wide on the “natural area” side of the fence line, parking lots, driveway, walkway, etc. to prevent vegetation encroachment. Fence lines include those around football stadiums, playgrounds, athletic fields, etc. 10. Any building, mobile classroom, etc. that is adjacent to “natural areas” shall be mowed five feet (5’) wide on the “natural area side of the building, mobile classroom, etc. The five feet (5’) wide area required to be mowed may be either mowed or cleaned with a weed eater as some areas will not allow for mower access.

11. Athletic fields include all elementary Baseball/Softball and Football/Soccer fields, all middle school Baseball/Softball and Football/Soccer fields, and all high school practice fields. a. Athletic fields will be mowed at 1-1/2". Most fields are Bermuda and will not tolerate high growth. b. Contractor shall have a designated rotary or reel mower to be used specifically for athletic fields. c. Contractor shall be allowed to utilize the designated athletic field(s) mower AFTER athletic field(s) have been mowed. d. Contractor shall ensure that the mower shall be free of grass clippings and debris which can potentially track unwanted weeds and grasses onto athletic playing fields. e. If mowing at multiple school sites on the same day, all mowers must be thoroughly cleaned of grass clippings and debris before mowing athletic fields. 12. Any clippings or mulch that are on paved areas such as parking lots and sidewalks should be removed on the same day as mowing cycle. 13. Clippings must not be blown into landscape beds. If this occurs, they must be removed.

14. Avoid blowing grass clippings onto playground mulch. If this happens the clippings shall be removed. 15. Avoid blowing clippings toward building doorways as they frequently get inside the building. 16. The Contractor should make every effort to complete a site in one day's time. If this is not possible, the site must be completed the next day. 17. All areas around beds, trees, curbing, buildings or other areas not accessible to mowers will be trimmed with string trimmers after each mowing. 18. No chemical edging is allowed, with the exception of fence lines. Chemical herbicide will be allowed a maximum of 4” on each side of fence lines. E. Trimming/Edging: 1. All walking paths and trails; exterior courtyards, fenced generator, HVAC and irrigation areas; paved/concrete areas (including sidewalks, parking lots, stadium seating, etc.); play areas; flower beds, shrubbery beds, and mulched areas (regardless of their condition) shall be kept weed and grass free. 2. All turf edges, including but not limited to, sidewalks, patios, drives, curbs, parking lots, shrub beds, flower, groundcover beds, around all mulched beds shall be edged to a neat and uniform line, remove all weeds. 3. Any and all structures, around tree bases, shrubs, headwalls, rip rap areas, sign posts, steps, buildings or other structures, walking tracks, lake and stream banks, walls, stumps, posts, or anything protruding from the ground shall be neatly trimmed, but not with chemicals. Chemical use near water is not allowed. 4. Fence lines may be trimmed with approved chemical herbicide a maximum of 4” on each side of the fence. 5. All groundcover areas and mulched areas (regardless of their condition) shall be kept neatly edged, with grass and weed invasions eliminated. 6. All leaves, fallen limbs, and other shrub and tree debris shall be removed from the following areas during each mowing cycle: lawn areas; walking paths and trails; interior and exterior courtyards; fenced generator, HVAC, and irrigation areas; paved/concrete areas (including sidewalks, parking lots, stadium seating, etc.); play areas; flower beds, shrubbery beds, and mulched areas (regardless of their condition). 7. Fenced-in equipment areas vary from school to school. Contractor should utilize the following guidelines for the fenced-in equipment areas ONLY. a. Weeds in areas with gravel, stone or mulch may be controlled with chemical herbicide. b. Areas with grass should be mowed or cut with a weed eater. F. Chemical Edging & Detailing: 1. Any and all chemical applications to grounds must be reported to the school principal and Grounds Manager. 2. Chemical applications will not be made in the presence of the public.

3. On school sites extreme care must be used to avoid drift of chemicals to playground areas. 4. At no time will RESTRICTED USE chemicals be applied on school property. 5. All diluted and concentrated chemicals must be secured at all times according to North Carolina Department of Agriculture. 6. All chemical applications must be made by a licensed applicator or in the presence of a licensed supervisor. 7. Material Safety Data Sheet for all chemicals applied to Cabarrus County Schools property must be submitted to the Grounds Manager, according to OSHA regulations before application begins. 8. All applications will be made in accordance with manufacturer's labeling. 9. Linear chemical edging of turf boundaries shall not be used to replace mechanical edging. Prior to application of chemicals, all areas shall be trimmed to proper mowing height. 10. A string trimmer may be used instead of mower to accomplish proper height of grass. 11. No chemicals will be applied to ditch drainage areas or any area where erosion can occur. 12. Gravel parking areas, gravel service roads around schools, and gravel walking tracks should be kept weed and grass free and may be controlled with chemical herbicide. 13. Weeds growing in asphalt parking lots, roadway cracks, tracks, and concrete sidewalk expansion joints may be controlled with chemical herbicide and should be addressed on a weekly basis. 14. For schools with students who are affected by herbicide applications, chemical may NOT be applied during hours students are on campus. CCS Grounds Department will notify Contractor of affected schools. 15. Playgrounds must be kept weed free WITHOUT the use of herbicides. G. Litter Control: 1. While school employees will continue to pick up paper and other litter on a daily basis, the Contractor shall remove all litter from the grounds before mowing. 2. At no time shall Contractor mow over trash/garbage on any school property. Should excessive amounts of garbage be on school property on a regular basis, Contractor should communicate this problem to the CCS Grounds Manager for resolution. H. Leaf Removal: 1. Leaf build up on grounds shall be removed from grass, shrubs, mulched areas, gravel and paved areas, and walkways on a regular basis while mowing grounds. 2. Leaves will not be ground up by mowers to reduce volume. 3. There will be no additional charges approved for leaf removal. 4. Leaves shall be removed from the site and disposed of by the Contractor. L 5. eaves shall NOT be disposed on school property by dumping over a bank or in adjacent wooded areas.

6. For heavy accumulation, such as seasonal buildup in the fall of the year, Contractor will be expected to remove said leaves during each mowing cycle so as not to damage turf or prevent water flow in drainage swales, storm water structures, driveway gutters, etc. 7. Total removal of leaves shall be required in those areas with large accumulations of leaves on turf, gravel areas, paved areas, walkways and shrub beds. 8. Leaf removal shall be completed as needed to maintain a well-groomed appearance and is included as a part of total mowing contract. I. Bush hog: 1. Areas requiring bush hog services may be completed with a bush hog or a weed eater. 2. Facilities which require bush hog services include: East District: Mt. Pleasant Elementary South District: Central Cabarrus High and AT Allen South East District: CC Griffin and Rocky River Elementary South West District: Harrisburg Elementary, Hickory Ridge High and Hickory Ridge Middle West District: Harold Winkler and JM Robinson

3. General bush hog locations are indicated on each facility location diagram. Bush hogging is expected to be completed three times per year. 4. Contractor will be notified by the Grounds Manager when each bush hog cycle should be completed. J. Safety: 1. If the Contractor encounters high visitor use on any site during mowing, then mowing of that site must be stopped and accomplished when the visitors leave. 2. On public school sites, mowing may not be conducted in an immediate area populated by students or visitors. 3. Contractor will be provided with monthly program schedules in order to help avoid the high use periods. However, it will be impossible to predict all high use time, and the Contractor must be prepared to reschedule mowing if necessary. 4. Equipment must be maintained in a safe condition at all times. a. All mowing equipment must be equipped with safety guards to prevent the mowers from throwing rocks or debris. b. Guards must be in place and in a down position while mowing is occurring. c. Periodic inspection of equipment for these or other safety considerations may be conducted by the Grounds Manager. d. The Grounds Manager has the right to suspend mowing operations if it is not being conducted in a safe manner.

e. If this occurs, the Contractor will not be compensated until the entire area is properly mowed. f. The Contractor will be expected to immediately correct the safety concern and resume mowing after he/she receives approval from the Grounds Manager. 5. The Contractor's employees will wear all OSHA required safety equipment while working on Cabarrus County Schools property. This will include, but not be limited to, approved safety glasses, safety toed shoes, hearing protection, etc. 6. Repeated or flagrant safety violations may constitute grounds for contract termination. K. Potential Conflicts: 1. The Contractor's mowing activities will not conflict with any turf improvement or related activities being performed by the Grounds Department. 2. The Grounds Manager may stop mowing at a school for a specified time if it is considered by the Grounds Manager to be in the best interest of the school and/or the turf. 3. Contractor will not have standard time restricted access for mowing CCS properties during school hours. a. Mowing will be restricted during school hours for events such as field days, testing days, or other special events. b. Contractor should note that elementary schools with athletic facilities may be home of Youth Athletics typically beginning at 6:00 pm, middle and high school athletic activities typically begin immediately after school hours. c. Every effort should be made to complete all mowing services prior to outdoor athletic activities. d. At Contractor request, CCS Grounds Department will provide after school schedules when they become available. e. Preferred time for Lawn Services at Mary Frances Wall Center is before 10:00 a.m. or after 5:00 p.m. f. At middle and high schools that have multiple buildings, Contractor shall cease mowing, weed eating, etc. while students are changing classes and are moving outdoors between buildings.

L. Contractor Staff: 1. The Contractor shall maintain an adequate and proper staff. a. If it is determined that staffing levels are not adequate to perform the required work, this may constitute grounds for contract termination. b. The Contractor shall take reasonable measures under the circumstances to assure Cabarrus County Schools that the conduct and activities of the Contractor's employees will not be detrimental to the interest of the public patronizing the schools.

2. The Contractor is required to ensure that all employees have criminal background checks and pose no risk to the student population. a. All worker’s shall obtain approval through the E-verify system and be legal to work in the United States. b. Each person working on site must have a valid ID and check in and out in the front office through the Lobby Guard system daily. 3. The appearance of the Contractor’s personnel working at schools must meet the approval of the Grounds Manager. a. Personnel working at the schools shall be clean and neat, and wear appropriate clothing. b. Shirts will be worn at all times, with shirt tails tucked in. c. Contractor personnel shall be in attire that includes identifiable uniforms, Identification badges and vehicles. d. The Contractor shall establish and submit to the Grounds Manager written regulations concerning the Contractor’s dress code policy and the method of enforcement. This policy should, at a minimum, ensure identifiable uniforms and vehicles and must be approved before work begins. 4. The Contractor will insure that all of their employees show respect for school employees at all times. 5. There is to be no interaction, of any type, with students. 6. Contractor assures that their employees will not sexually harass or act aggressively toward any school employee or student. 7. Contractor agrees that their employees will not smoke use any tobacco products or vape on any school site. 8. Violation of any of the above will require Contractor permanently remove that employee from all school sites. 9. Contractor personnel shall adhere to all Board of Education Policies. Information most relevant to staff on school property includes: Policy 5022: Registered Sex Offenders - Prohibits anyone registered under the Sex Offender Program is forbidden on school property. Policy 5025: Alcoholic Beverages - Prohibits the possession or consumption of alcoholic beverages on property. Policy 5026: Tobacco products - Prohibits the use of tobacco products on school property. Policy 5027: Weapons/Explosives - Prohibits the possession of weapons/explosives on school property. M. Schedule: 1. The Contractor shall submit a written schedule to the Grounds Manager indicating when the Contractor proposes to mow the contracted properties.

2. CCS realizes this schedule may change due to inclement weather or event conflicts, but once accepted it should be adhered to under normal circumstances. 3. The Contractor will maintain records as to the frequency of mowing operations and pesticide applications at each site. N. Inspections: 1. The Contractor's work will be subject to inspection and approval by the Grounds Manager or Representative. 2. Full payment will be made to the Contractor should the work be determined acceptable. 3. Contractors whose work is considered unacceptable will not be paid until deficiencies are corrected. 4. Repeated occurrences of unacceptable work will constitute grounds for contract termination. 5. The Contractor should insure that a Mowing Inspection Report is completed prior to leaving the school site. 6. The mowing report submitted by the school should be faxed or emailed to the Grounds Manager by the end of the calendar week in which mowing occurred.

O. Facility Sites: 1. Cabarrus County Schools will make a reasonable effort to ensure that the mowing site is reasonably even and free of large rock. However, it is inevitable that uneven ground and some rock will be present in a public school. 2. Cabarrus County Schools will not be responsible for damage to the Contractor's equipment due to these conditions or obstructions hidden in the turf. The contractor is urged to exercise prudent caution in avoiding obstacles in the turf. 3. The Contractor understands that during the life of this contract, changes may occur in the mowing areas of each public site due to either areas being taken out of mowing or areas being added to mowing. CCS will alter the Contractor's payment by an amount proportional to the area increased or decreased. 4. General mowing/maintenance acreages are calculated as total area minus athletic field mowing minus parking lots/tennis courts/buildings minus high school athletic playing fields minus stormwater retention ponds. 5. During the life of this contract facility sites may need to be added or removed based on CCS ownership and usage. New sites will be quoted by contractor that has that district award and added to PO’S. If an agreement cannot be made on new sites CCS reserves the right to bid said site out separately.

P. Other: 1. Any infraction of these specifications will receive (one) 1 warning. Any future infraction, a different contractor will be hired to correct the problem. Cabarrus County Schools will provide an invoice (due within 30 days) for repair costs. Any intentional damage will be reported to local law enforcement agencies. Q. U. Landscape Maintenance/Pruning for Alternates: 1. Remove all pruning debris on the same day as pruned. 2. Tree pruning shall include sucker removal and small branch removal. b. Maintain trees in their natural shape and form the specific species or variety, even when necessary to control size. c. Topping of trees is prohibited. Do NOT top Crape Myrtles. d. Contractor is not required to prune trees such as Maples, Oaks, etc. 4. Shrubs a. Maintain plant material that is actively growing with good color and vigor for the specific species. b. Maintain plants in their natural shape and form of the specific species or variety, even when necessary to control size. c. Prune flowering shrubs immediately after blooming so that later pruning will not remove the next season’s flowers. d. Shearing and the use of hedge shears must be approved by Grounds Manager. e. Use hand pruners and loppers. f. Remove limbs that interfere with student play/outdoor classroom areas, vehicular or pedestrian sight lines, or compromise safety and/or security. g. Prune to control growth, remove inconsistent growth, remove dead or damaged limbs, and remove suckers or water sprouts. h. Do not spray herbicides on tree or shrub sprouts. i. Remove branches and foliage that hang below seven (7 foot) above the ground in traffic areas where sight obstructions are a problem. j. Prune shrubbery to a height no greater than thirty (30) inches where sight obstructions are a problem. 5. Do NOT top Crape Myrtles. 6. Perennials a. Perennials include, but are not limited to, ornamental grasses, liriope, day lilies, canna lilies, spring or summer flowering bulbs, or any herbaceous plant material. b. Prune and remove clippings from all liriope and ornamental grasses once each spring prior to new growth.

Do not pile mulch up around tree and shrub trunks. 6. Taper mulch to ground level around shrub and tree trunks.

PART 2 - DUTIES OF CABARRUS COUNTY SCHOOLS A. Provide appropriate staff to effectively monitor the provisions of the mowing contract. 1. This will be done by promptly providing inspections of the maintained sites. 2. The Grounds Manager will also be available to address any problems or concerns that may arise during the term of the contract. 3. The direct representative of the Cabarrus County Board of Education for landscape maintenance is the Grounds Manager. B. If Alternate 1 and or 2 are not accepted by CCS, CCS will provide for all turf improvements including overseeding, fertilizing, aeration, verticutting, or other activities. Grounds Manager will notify the Contractor of these activities in advance so that work schedules will be compatible. C. Perform all major landscape bed maintenance such as mulching, usual plant replacement, insect control, etc. D. Designate all work break and lunch locations at each public mowing site. All school restrooms are prohibited from private Contractor’s utilization. E. Cabarrus County Schools will provide appropriate staff to effectively monitor the provisions of the routine contract and performance of same. The Grounds Manager will also be available to address any problems or concerns that may arise during the term of the contract.

PART 3 - DURATION OF THE CONTRACT A. This contract shall be in force from July 1, 2021 until June 30, 2024. At the end of the three year period all schools will be re-bid for mowing services. B. At each one year anniversary of Contract, the Owner or Contractor may submit a request to adjust the annual cost for each District based on any area acreage adjustments and any change in the cost of gasoline. The Contractor must produce objective substantiation, including the annual change in gasoline prices based on annual data from the Bureau of Labor Statistics- Consumer Price Index – Average Price Data (US Average – “Gasoline, unleaded regular, per gallon”, see http://data.bls.gov/pdq/SurveyOutputServlet). C. Cabarrus County Schools, at its sole discretion, reserves the right to renew any contract for two additional years, or to terminate any contract and rebid only those affected mowing sites.

PART 4 - INDEMNITY AND INSURANCE A. The Contractor shall indemnify and save harmless the Cabarrus County Board of Education, its agents, employees and assigns from and against all claims, suits, actions, costs, counsel fees, expenses, damages, judgments, decrees, loss, cost, damages, expense and liability caused by an accident or other occurrence resulting in bodily injury, including death, sickness, and disease to any person; or damage or destruction to property, real or personal, arising directly or indirectly from operations, products, or services rendered under this contract whether by negligence or otherwise B. The Contractor further agrees to purchase and maintain during the life of the contract with an insurance company acceptable to the Board authorized to do business in the State of North Carolina, the following insurance: 1. CONTRACTOR'S LIABILITY INSURANCE a. The Contractor shall purchase and maintain such insurance as will protect him from claims set forth below which may arise out of or result from the Contractor's operations under the Contract, whether such operations be by himself or by anyone directly or indirectly employed by any of them, or by anyone for whose acts any of them may be liable: i. Claims under workers compensation disability benefit and other similar employee benefit acts. ii. Claims for damages because of bodily injury, occupational sickness or disease, or death of his employees. iii. Claims for damages because of bodily injury, sickness or disease, or death of any person other than his employees. iv. Claims for damages because of injury to or destruction of tangible property, including loss of use resulting there from. v. Claims for damages insured by usual personal injury liability coverage which are sustained (a) by any person as a result of an offense directly or indirectly related to the employment of such person by the Contractor, or (b) by another person. b. The insurance required by paragraph A shall be written for not less than any limits of liability specified in the Contract Documents, or required by Law, whichever is greater, and shall include contractual liability insurance as applicable to the Contractor's obligations under the Indemnification Provision. Completed operations liability shall be included.

Certificates of Insurance acceptable to the Board shall be submitted with Contractor’s bid and shall be filed with Cabarrus County Schools Grounds Manager prior to commencement of the Work. i. For bidding purposes, in the absence of such certification, proposers/bidders may submit a Letter-of-Commitment from an acceptable insurance company, licensed to do business in North Carolina, stating that the required insurance coverage will be available to the proposer at the time/term of contract commencement. ii. LETTERS-OF-INTENT FROM INSURANCE BROKERS WILL NOT BE CONSIDERED ACCEPTABLE. iii. Certificates of Insurance shall be filed with CCS Grounds Manager prior to commencement of the Work. iv. Certificates of Insurance shall contain the provision that Cabarrus County Schools be given thirty (30) days written notice of any intent to amend or terminate either the Contractor or the issuing company. d. The limits of insurance shall be as follows: Public Liability (1) Bodily Injury Each occurrence $1,000,000 Aggregate $1,000,000 (2) Property Damage Each occurrence $300,000 Aggregate $300,000 Automobile Liability (1) Bodily Injury each person $300,000 Bodily Injury each occurrence $100,000 (2) Property Damage each occurrence $300,000

WORKMEN’S COMPENSATION INSURANCE The limits of Insurance shall be that required by the statutes of the State of North Carolina and include a minimum limit of $100,000 Employer's Liability.

CONTRACTOR'S LIABILITY INSURANCE The Contractor shall be responsible for purchasing and maintaining their own liability insurance and, at their option, may purchase and maintain such insurance as will protect them against claims which may arise from operations under the contract. PROPERTY INSURANCE i. Unless otherwise provided the Contractor shall purchase and maintain property insurance upon the entire Work at the site to the full insurable value thereof. This insurance shall include the interests of the Board and the Contractors in the Work and shall insure against the perils of Fire, Extended Coverage, Vandalism and Malicious Mischief. ii. Any insured loss is to be adjusted with the Board and made payable to the Board as trustee for the insured's, as their interests may appear. iii. Other insurance covering such perils as tornado, theft, plate glass, etc., may be provided by the contractor at their option; to the extent that the Board will not be subject to claims for any item in connection with the project unless otherwise provided. PART 5 - CANCELLATIONS/OPTION FOR TERMINATION A. Upon the occurrence of any one or more events that violate the provisions of this contract, this mowing contract may be subject to cancellation. B. As a conditional precedent, the Board shall give the Contractor ten (10) days notice by registered or certified mail of the date set for cancellation, the grounds of cancellation, and shall provide the Contractor with an opportunity to be heard with respect to the proposed cancellation, on or before the effective date of cancellation if a timely request is made by the Contractor. C. In the event the Contract is terminated by Cabarrus County Schools due to breach, including failure to perform acceptably, or in the event the Contractor terminates without giving adequate notice, the Contractor shall pay as liquidated damages a sum equal to two (2) mowing cycles. D. The Owner may, at any time, terminate the contract for the Owner’s convenience and without cause. The Contractor shall be entitled to receive payment for Work executed as of the date of termination.

PART 6 - METHOD OF PAYMENT A. The contractor shall submit monthly a written invoice to the Grounds Manager that will individually list each mowing performed by site and the date it was performed. B. The Contractor should allow two weeks for processing between invoicing and payments. C. The invoice shall include one month only. D. The invoice shall be received by the Grounds Manager as soon as possible, at the end of each month.
