Brandon Burgess Chairman and Chief Executive Officer Brandon Burgess is Chairman and Chief Executive Officer for Networks, Inc. Since the network's launch in 2008, Burgess has guided ION to leadership in content creation and technological innovation. He has been instrumental in maximizing ION's unique footprint of 60 full-power DTV television stations, providing the backbone for wireless consumer innovations and pioneering a series of groundbreaking mobile and next-generation products. On the content side, he launched , which provides high-quality media and information 24/7; ION Life, a channel dedicated to active living and personal growth; and , the award-winning 24/7 kids' channel. Under Burgess's leadership, ION's network, ION Television, has grown to more than 99 million households and become a top 10–rated U.S. network in record time.

Prior to joining ION, Burgess was the head of Business Development and Global Strategy for NBC Universal, where he was credited with evolving the NBC broadcast network into an integrated global multimedia company. He was the architect of NBC's acquisition of Universal Entertainment, creating NBC Universal. Other accomplishments include the restructuring of Rainbow Media, resulting in NBC's acquisition of , its first cable entertainment channel. As co-head of the NBC Affiliates Futures Committee, he emphasized digital growth among NBC-affiliated station groups, resulting in the NBCOlympics.com online venture with over 200 stations, as well as NBC Weather Plus, the first U.S. digital broadcast network in a network-affiliate partnership. In prior positions, Burgess worked in Corporate Strategy for PepsiCo and in the Investment Banking Division at Goldman Sachs.

Jeff Quinn Chief Financial Officer Jeff Quinn is Chief Financial Officer for ION Media Networks, Inc. Quinn sets the financial policy and direction of the organization and is also an active participant in and driver of its overall strategy. He leads financial administration, business planning and development, and budgeting. Quinn established ION's Financial Planning & Analysis Group, serving as its Director. He also held the titles of Vice President and Senior Vice President of Finance, and Treasurer. His recent accomplishments include the development of a five-year business plan based on a revised business operating strategy, as well as the development and implementation of budget and reporting processes, including the creation of fully integrated models for profit and loss, balance sheets, and cash flow. He also created financial frameworks for each of the major areas of the company: Programming, Sales, Distribution, Marketing, and Corporate.

Having served in the industry for more than 10 years, Quinn previously held positions as Manager of Operations Reporting and subsequently Director of Planning & Analysis for AutoNation, Inc., the country's largest automotive retailer, with 272 dealerships nationwide employing approximately 25,000 people. As director, Quinn was responsible for all aspects of forecasting and quarterly management reporting. He has also held positions with such successful companies as Ryder System, Inc., Eastern Financial Federal Credit Union, United Resources, Inc., The Waterbury Screw Machine Products Company, and Ernst & Whinney.

Quinn is a CPA with a BS and BA in Accounting from the University of Richmond and a Master's degree in Accounting from International University. He has one daughter.

Terri Santisi Chief Administrative Officer Terri Santisi is Chief Administrative Officer for ION Media Networks, Inc. Santisi oversees core functions of the company, including revenue and profitability potential, human resources, talent development, and growth management. A recognized business leader in the media and entertainment field with an outstanding record of achievement in financial management, strategic business development, and business risk assessment, Santisi was responsible for restructuring and rebranding ION Media Networks in 2008.

In 2007, Santisi founded T. Media Services International, a strategic and business consultancy firm. As an expert in financial and operational matters of media companies, she represented several media companies and reported on the business models of the recorded music and music publishing industries. She has also served as Executive Vice President, Chief Financial and Administrative Officer at IMG, a sports, media, and entertainment company where she was responsible for overseeing IMG's worldwide operations in finance, corporate development, accounting, information technology, administration, and other key areas. Previously, she was Chief Financial Officer of Interpublic Media, a division of the Interpublic Group, and a partner and Industry Leader of KPMG's Global Media and Entertainment Practice, and she also held senior executive positions with EMI Group PLC, one of the world's largest music companies. She began her career at Ernst & Young.

Santisi has been an active participant in the World Economic Forum and has authored white papers on the future of the media industry. Recognized as one of the Fifty Most Powerful Women in the Entertainment Industry by The Hollywood Reporter, Santisi was also a recipient of the Leadership in Action Award by the Women's Action Alliance, and she is a member of the steering committee of She Made It, an initiative of the Paley Media Center to recognize outstanding women in media. Santisi is married and graduated magna cum laude from College.

Joseph Titlebaum General Counsel Joseph Titlebaum is General Counsel for ION Media Networks, Inc. As the company's chief legal officer, Titlebaum oversees all of its corporate and business legal affairs, heads its legal team based in and Florida, and supervises compliance areas regarding public and regulatory reporting activities. In addition, he is responsible for all operational legal issues, corporate transactions, negotiation, and drafting of major content rights and affiliation agreements.

A recognized authority on media and telecommunications issues for more than 20 years, Titlebaum also served as the General Counsel and Secretary of XM Satellite Radio for 10 years. While at XM, he led all legal and compliance matters throughout the company's run, from the concept stage through the merger process with Sirius Satellite Radio. Titlebaum was responsible for all of XM's corporate legal matters, including venture funding, the IPO and ongoing public and private financing activities, the establishment of strategic partnerships and joint ventures, and ongoing litigation and compliance matters. The XM legal department was recognized by WMACCA as the small legal department of the year in 2008. He also practiced with Cleary Gottlieb Steen & Hamilton LLP for eight years, splitting his time between New York and Tokyo.

Titlebaum is Chairman of the National Pancreas Foundation and previously served on the board of WMACCA, the D.C.-area chapter of the Association of Corporate Counsel. Titlebaum holds a JD from Harvard Law School and received his BA from Columbia, where he graduated magna cum laude. He is married with two sons and a daughter.

Stephen Appel President of Sales Stephen Appel is President of Sales for ION Media Networks, Inc. In this role, Appel oversees a staff of nearly 60 professionals in offices located in , , West Palm Beach, , and . Appel has built key outreach and communication with the community, creating partnerships and defining infrastructure to support strong demand within the marketplace. In addition to handling client negotiations for network initiatives and providing B2B marketing solutions for national clients, he oversees direct-response and long-form sales. In addition, he is responsible for the negotiation of operational contracts such as Nielsen, MRI, OSI, EDI, and INVISION.

With more than 20 distinguished years in the industry, Appel was Vice President/Director of Sales for Seltel Television Sales in New York, managing the advertising sales revenues for 19 sales offices and helping to increase Seltel's revenues exponentially. From 1985 to 1991, he worked for the ABC Radio Group and its owned- and-operated WABC 77 AM in New York as the Director of Sales. Earlier in his career, Appel held sales positions with Blair and Nationwide Cable Rep. He started his career as an account executive at Worldvision Syndicated Television Sales.

While at Capital Cities/ABC, Appel was recognized and invited to participate in the exclusive management meeting Arrowwood, hosted by then Chairman/CEO Thomas Murphy and President/COO Daniel Burke, for future leaders of the company. Appel graduated from Long Island University with a BA and is married with five children.

John Ford President of Programming, ION Television John Ford is President of Programming for ION Television, which is owned and operated by ION Media Networks, Inc. Ford developed and leads a successful programming formula that features proven series, an expansive catalog of blockbuster movies, and a commitment to introducing new original programming. He oversees all aspects of ION Television's content activities, including continued acquisitions, exploring originals, scheduling, and creative strategy and positioning.

Ford is a respected 30-year veteran of the broadcasting industry. At Discovery Communications, he was responsible for the creative and business strategies and management of the channel. He also served as the President and General Manager of Discovery Times Channel and Military Channel. Previously, he was Executive Vice President, Programming, at National Geographic Channel, whose ratings tripled during his tenure, and President of New Media for Discovery Networks U.S., where he was responsible for all interactive, high-definition, and video-on-demand products. He was the executive in charge during the launch of Discovery Health Channel, and he rose from Senior Vice President of Programming to Executive Vice President and General Manager of TLC, during which time the channel's ratings grew 800 percent and it won a Peabody Award and the NATAS (Emmy) Governor's Award.

Ford is a member of the Board of Directors of American Public Television and a member of the Board of Visitors at the Sanford School of Public Policy at Duke University. He was honored by CINE with its Leadership Award in 2011 and was named CableFax Programmer of the Year. He holds a BA in History from Duke University and a Master's degree in Public Affairs from the LBJ School of Public Affairs at the University of Texas in Austin. He is married with a daughter and son.

David A. Glenn President of Engineering David A. Glenn is President of Engineering for ION Media Networks, Inc. Glenn oversees all technical matters, including operations and technical developments, for each of ION's 60 full-power DTV television stations around the country. He built the largest group of television stations from the ground up and led the development of the company's unparalleled model of centralization now emulated by other broadcasters. Since joining ION, Glenn has overseen the construction of 112 television facilities, including 60 digital TV stations, 79 new master control facilities, 37 new towers, and the company's network operations center and central monitoring facility. He also managed ION's digital station build-out, helping it become the first company to begin digital multicasting in the with its Chicago station, WCPX-DT, in early 2000.

Glenn began his broadcasting industry career in 1979, working for a radio and television group in Tampa. From 1984 to 1986, he worked in FCC compliance and government contracting with top security clearance for the broadcast consulting firm Carl T. Jones & Associates in , D.C. He also received numerous FCC Class A and Class B compliance certifications for companies such as Panasonic, Samsung, Hyundai, and other Asian manufacturing corporations. From 1986 to 1990, Glenn operated his own company, designing and constructing 20 radio and television stations from to the mid-Atlantic states.

Glenn is a member of the Association of Federal Communications Consulting Engineers and serves on the Executive Advisory Board of Harris Corporation. He has also co- authored technical presentations for IEEE and NAB. Glenn graduated cum laude from the University of Central Florida and has two daughters.

Douglas V. Holloway President, Multi Channel Distribution Douglas V. Holloway is President of Multi Channel Distribution for ION Media Networks, Inc. Overseeing cable, satellite, and telco partner relationships for ION Television, Qubo, and ION Life, Holloway directs a distribution team, including the multi channel sales staff, in multiple locations across the United States.

A television industry veteran of 30 years, Holloway previously served as President of NBC's Network Distribution Partnerships and Affiliate Marketing, handling distribution and clearances, as well as President of NBC Universal's Cable Investments, where he was responsible for managing joint ventures for NBC Universal. His experience also includes managing all distribution, online businesses, affiliate marketing, local ad sales, finance, business affairs, and operations while he served as President of Network Distribution and Affiliate Relations for USA Networks, Inc.

Representing ION in a variety of television distribution trade and marketing organizations, Holloway has received an NCTA Vanguard Award for Marketing as Chairman of the Board for both CTAM and NAMIC, and he is also a member of the Pioneer Association. He was named one of Crain's magazine's 40 Under 40 and has received a NEED Achievement Award. He holds an MBA in Marketing and Finance from Columbia University, which honored him with its Alumni Heritage Award, and a BS in Mass Communications from Emerson College, from which he received an Alumni of Distinction award. Holloway has two sons.

Joseph Koker President of Television Station Group Joseph Koker is President of Television Station Group for ION Media Networks, Inc. Koker oversees the management and operation of ION's 60 full-power, owned-and- operated television stations throughout the country. He leads a team of management and staff that focuses on efficiencies, strategic initiatives, and corporate transparency across the company's distribution, operations, and technology platforms. Koker was instrumental in the acquisition of ION's 60th television station in , and he not only led digital transition efforts for ION's local stations but also coordinated DTV test efforts on behalf of all participating broadcast and cable networks in the United States.

During his 23 years as a television and cable industry expert, Koker has amassed an extensive background in sales management, including serving as Regional Director of Client Services and Ad sales with Adelphia Cable. Koker's work with Scripps Howard and Cable generated new sales revenue streams by tapping into the power of cable networks on a regional basis.

Koker graduated from Hocking College and College.

Marc Zand Executive Vice President for Content Acquisitions and Digital Networks Marc Zand is Executive Vice President for Content Acquisitions and Digital Networks for ION Media Networks, Inc. Zand has been instrumental in acquiring "Positively Entertaining" programming for ION Television including , Without a Trace, , Monk, House and Leverage. Additionally, using the company's nationwide digital broadcast terrestrial assets, he extended and leads ION's digital channel offerings, including the formation and operation of Qubo and ION Life.

With more than 20 years of global multichannel television and digital media experience, Zand brings a successful track record of cross-functional expertise across both traditional and emerging media. Before joining ION, he served as Senior Vice President of Business Affairs at ABC Disney, where he negotiated deals to produce and acquire programming across all dayparts. Prior to that, Zand was a founding member and Managing Director of the Cisneros Television Group, where he led negotiations for the creation and acquisition of 12 television channels throughout Latin America. Additionally, he was Senior Vice President of Business Affairs & Development for Playboy TV International, where he oversaw the strategic planning and operational implementation for the launch of the Playboy Channel in 25 new territories. Zand has held various Business Affairs positions at Worldvision Enterprises, a division of Spelling Entertainment/Paramount, and at Myriad Pictures.

Zand holds a BS in Political Science from the University of and received his JD from the University of School of Law. He is married with a son and daughter.

Dan Hsieh Executive Vice President of New Business Development Dan Hsieh is Executive Vice President of New Business Development for ION Media Networks, Inc. Hsieh's responsibilities include developing ION's new business opportunities and evaluating strategic investments and partnerships. In addition to his work on ION's long-range plans, he supports various key initiatives across the company's operational areas and has played a major role in rolling out new mobile and digital services.

Before working with ION, Hsieh served as president of MTC Services LLC and was a strategic advisor to leading media, technology, and private equity firms, focusing on developing new content-related business. Previously, he was Senior Vice President of Corporate Strategy, Business Development, and Technology for , and a partner at William Kent International, a management consulting firm that specialized in developing international strategies for multinationals.

Hsieh has an MBA in Finance and International Business from the University of Chicago, where he was a member of the international business honor society Beta Gamma Sigma, and a BS in Engineering and Applied Sciences from Harvard University, from which he graduated cum laude. He is married.

Chris Addeo Vice President of Marketing Chris Addeo is Vice President of Marketing for ION Media Networks, Inc. Overseeing the Consumer, Sales, Distribution, and Corporate Marketing areas, Addeo develops strategic marketing initiatives, plans advertising campaigns for the network, and provides the sales team with innovative client solutions. During her time with the media company, Addeo was a key player in the 2008 launch of ION Television's rebrand in addition to recently creating and managing ION's 2010 multiplatform graphics rebrand and ION Television's acclaimed "Best-Kept Secret in Television" marketing campaign in 2011.

Since joining the company in 2001, Addeo has served as Director of Internet Content and Promotions, in addition to working as National Promotion Director for the sales organization. She eventually rose to the position of Senior Director of Marketing, in which she was responsible for developing ION's Marketing department. Previously, Addeo was Senior Marketing Manager for NBC Internet, and she also served as Promotions Manager for NBC Entertainment in Burbank. In both roles, she was responsible for creating promotions for NBC's hit shows, including Friends, The West Wing, and Saturday Night Live to drive viewership to the network and traffic to NBC.com. Addeo holds a BS in Psychology from California Polytechnic University, San Luis Obispo. She is married with a son and two daughters.

Russell Frederickson Vice President of Creative Services Russell Frederickson is Vice President of Creative Services for ION Media Networks, Inc. Fredrickson is responsible for managing and developing all network on-air promotions, graphics and images. In addition to producing award-winning promotions that have garnered him and his team Promax and CableFAXIE awards, Frederickson spearheaded the rebrand launch of ION Television and recently led the successful "Best-Kept Secret in Television" trade and consumer campaigns.

Frederickson has extensive experience in various areas of design and television production in the network, affiliate, Internet, and corporate environments. Prior to being promoted from Design Director to his current position, he served as Production Manager and Creative Director for the national Money Watch. Previously, he was Senior Designer at the ABC affiliate in Detroit and Design Director for ABC in West Palm Beach. He began his career as Senior Designer at Ford Motor Company's communications network.

Fredrickson holds a BA in Television Production and Graphic Design from Ferris State University in .

ION MEDIA NETWORKS IS BORN ION Media Networks, Inc. was formed in 2006 under the leadership of Chairman and Chief Executive Officer Brandon Burgess.

ION TELEVISION BECOMES "POSITIVELY ENTERTAINING" In 2008, the company's flagship network, already boasting a distribution footprint of more than 94 million homes, was rebranded ION Television.
