However, such a history is obviously not necessary to the passage of a state statute protecting free speech on private property, a course which might have sub- stantial advantages over a judicially created right of access in any case.20 2 Furthermore, even if a state's constitutional provi- sion regarding free speech is worded identically to that in the Federal Constitution, the state is still free to interpret it as providing broader protection.20 A number of paths are open to the states to create a right of access to privately owned property for free speech pur- poses. The PruneYard case indicates that these paths are largely free of federal constitutional obstacles, at least under similar facts. The ultimate effect of the PruneYard decision will depend on the extent to which individual states choose to take advantage of this opportunity, and on how far their ef- forts are allowed to proceed before the Supreme Court im- poses further limitations. ' The more lengthy expression is caveat emptor, qui ignorarenon debuit quod jus alienum emit which means let a purchaser, who ought not be ignorant of the amount and na- ture of the interest which he is about to buy, exercise proper caution.2 The rule of caveat emptor in realty transactions has enjoyed a long, although increasingly tenuous, position in Wisconsin and in this country generally.$ Its continued exis- tence is in doubt because of the harsh and inequitable results often reached through its application. The harshness of the doctrine of caveat emptor is most striking when compared to the continued development of consumer protection in the sale of personal goods. One writer has observed that the law offers greater protection to the purchaser of a seventy-nine cent dog leash than to the purchaser of a $40,000 home.4 If the dog leash is defective the purchaser can easily obtain a refund or a new leash, or even sue to recover damages if the defective leash resulted in the loss of his pet. The purchaser of the home, on the other hand, is often without recourse when the spring rains filter through his basement walls. In two recent decisions, 5 the Wisconsin Supreme Court discussed the concept of caveat emptor in the sale of realty. The first of these decisions constituted a step toward abolition of caveat emptor in the sale of realty, while the second found caveat emptor alive and well in the setting of noncommercial 1. The purpose of this article is to analyze the factual context and holding of these two decisions, to evaluate the reasoning employed in them, particularly the distinction made between commercial and noncommercial vendors, and, finally, to examine their likely effect on realty transactions in Wisconsin. II. RECENT WISCONSIN DECISIONS A. Ollerman v. O'Rourke Co. In the first of these decisions, Olterman v. O'Rourke Co.' the court was presented with a purchaser of a lot for residen- tial construction who alleged that the commercial-subdivider- vendor had fraudulently failed to disclose the existence of a well beneath the surface of the lot. The nondisclosure led the purchaser to believe that the lot was suitable for the immedi- ate construction of his home. Shortly after the excavation be- gan, the well was uncapped, releasing water which resulted in large expenditures for cleanup and changes in construction plans by the purchaser. The purchaser brought suit against the vendor on the theory of intentional misrepresentation and, in the alternative, negligent misrepresentation for failure to exercise ordinary care in disclosing the defective condition of the lot. The case reached the supreme court on an appeal from an order overruling the vendor's motion to dismiss the pur- chaser's amended complaint for failing to state a claim upon which relief could be granted. Justice Connor Hansen's con- curring opinion7 was entirely correct in pointing out that the sole issue on such an appeal is whether or not the pleadings set forth any facts upon which relief could be granted. The majority, however, after having determined that the com- plaint stated a claim for intentional misrepresentation, went beyond that threshold issue and briefly discussed the merits of a cause of action for negligent misrepresentation. Regard- less of the propriety of the court's discussion of negligent mis- representation in this particular case, its holding, with respect to intentional misrepresentation through nondisclosure in re- alty sales, was progressive but narrow. MARQUETTE LAW REVIEW [Vol. 64:547 [A] subdivider-vendor of a residential lot has a duty to a "non-commercial" purchaser to disclose facts which are known to the vendor, which are material to the transaction, and which are not readily discernible to the purchaser. A fact is known to the vendor if the vendor has actual knowl- edge of the fact or if the vendor acted in reckless disregard as to the existence of the fact. A fact is material if a reasonable purchaser would attach importance to its existence or nonexistence in determining the choice of action in the transaction in question; or if the vendor knows or has reason to know that the purchaser re- gards or is likely to regard the matter as important in deter- mining the choice of action, although a reasonable purchaser would not so regard it. See 3 Restatement (Second) of Torts, sec. 538 (1977). Whether the fact is or is not readily discern- ible will depend on the nature of the fact, the relation of the vendor and purchaser and the nature of the transaction.8 In sum, the court held that a commercial realty seller has a duty to disclose to a noncommercial purchaser any material fact which the vendor knows or should know about the realty.

    PRODUCTS LIABILITY: A SYNOPSIS The endeavor of products liability law is to allocate the costs of inju- ries caused by defective products between manufacturers or sellers and consumers. Judical formulae which have been devised to effect this allo- cation have undergone and will continue to undergo modifications as pressure is applied by one side or the other. If the allocation process is viewed as a continuum, the doctrine of caveat emptor represents that end of the continuum most favorable to sellers in that the risk of injury is placed entirely upon the buyer or consumer. Strict liability represents the other end of the continuum, as that continuum is delineated by cur- rent jurisprudence, and places much of the cost of injuries from defective products upon the seller or manufacturer. The purpose of this presenta- tion is to review the current theories of recovery which are available to the consumer who is injured by a defective product. A basic tenet of common law is that losses should be -borne by the person who incurs them unless there is some valid reason for shifting the loss to another. A theory or legal justification is a prerequisite to the transfer of a loss. Today there are three such theories available to the plaintiff in a products liability case: first the theory of negligence by the defendant, and second the breach of a commercial code warranty by the defendant, and third, the theory of strict tort liability. The initial portion of the discussion will be devoted to a brief overview of the scope and lim- itations of these three theories as they relate to products liability.

    COMMENTS Builder-Vendor's Implied Warranty of Good Workmanship and Habitability. Humber v. Morton, 426 S.W.2d 554 (Tex: 1968). Mrs. Humber purchased a new house from Morton, a builder- vendor. The first time she used the fireplace, the house caught fire and partially burned. Mrs. Humber brought suit for damages against Morton; one of her theories for recovery was that the sale gave rise to an implied warranty that the house was fit for human habitation. Morton's defense was that Texas had never recognized an implied warranty in the sale of a iew house, because of the common law rule of caveat emptor (let the buyer beware). The Supreme Court of Texas reversed the court of appeals judgment for the seller' and held that, on remand, Mrs. Humber might base her suit on a theory that the builder- vendor of a new home impliedly warrants to his vendee that the house has been built in a workmanlike manner and is habitable. I. BACKGROUND OF THE ISSUE The court's forthright holding aligns Texas with a slender array of states that have made available a new theory of recovery for the home buyer who accepts a deed and then finds that he cannot live in the house. In the past, a buyer could proceed against his seller on several theories, if his facts and available proof justified the attempt. The easiest route was to show breach of an express warranty-either an oral promise or a promise incorporated in the sales contract or in the deed, a guarantee that the realty sold had certain qualities.

    STRIKING DOWN THE IMPERVIOUS SHIELDS: WHY CAVEAT EMPTOR MUST BE ABANDONED IN COMMERCIAL REAL PROPERTY SALES AND LEASES Gregory L. Pierson* In Florida, caveat emptor no longer applies to residential real property leases or to new or used residential real property sales, yet the doctrine persists in commercial real property leases and sales.1 The Florida Supreme Court’s failure to abandon the caveat emptor doctrine and impose a duty to disclose on lessors and sellers in commercial real property leases and sales transactions is harmful to prospective purchasers and lessees. Holding property purchasers and lessees to a different standard depending on the land use categorization of the property harms these parties by affording them less protection, and doing so is not grounded in any legitimate justification. Accordingly, this Article both sets forth reasons for why the ancient caveat emptor doctrine must be eradicated from commercial real property transactions and provides an alternative solution that will afford more protection to purchasers in certain real property transactions. I. Should you be the owner of such premises, would you treat it as advantage or disadvantage? 2 Reading for gist Skim the following article and decide whether these statements are true or false: 1 The case ,decided by NY Supreme Court, First Instance Division in 1991, involves two parties, Ackley and Stambovsky, the latter being the defendant and the former, being the plaintiff. 2 The case is sometimes called the Ghostbusters case. 3 The alleged roperty, located in NY, was in ownership of Helen Ackley. 4 The house was known for the existence of numerous poltergeists which was reported to the police by neighbours. 5 The house was therefore included on six-home walking tour of the city. 6 Mrs Ackley´s realtor intended to reveal the haunting to J. Stambovsky before he entered into a contract to purchase the house. 7 Having learned of the haunting story, Stambovsky filed an action to rescind a sales contract and for damages of fraud. 8 The majority opinion read that the house, as a matter of fact, is haunted, because it was published and the defendant may not therefore deny the existence of ghosts. 9 The Appellate Court affirmed the dismissal of the fraudulent misrepresentation, because realtor had no duty to inform the purchaser of the haunting.
