OPERATIONAL HIGHLIGHTS A detailed review of the Company’s operations has been provided in the Management Discussion and Analysis Report in terms of Regulation 34 of the SEBI (Listing Obligations and Disclosure Requirements), 2015 which forms part of this Report. DIVIDEND In view of the loss, no dividend has been recommended for the fi nancial year 2017-18. DEPOSITS The Company has not accepted/renewed any deposits from the public during the year and there are no outstanding deposits. CORPORATE SOCIAL RESPONSIBILITY In view of the loss incurred, provisions of Section 135 of the Companies Act, 2013 relating to incurring expenditure on Corporate Social Responsibility, are not applicable to the Company. However, as a responsible corporate, the Company has taken various initiatives for the benefi t of the society and various other stakeholders, the details of which are provided in this Report as Annexure 1. CORPORATE GOVERNANCE The Company has complied with the corporate governance requirements, as stipulated under the various regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the Companies Act, 2013. A report on Corporate Governance along with certifi cate on its compliance forms a part of the Annual Report. SUBSIDIARIES AND ASSOCIATE COMPANIES As per the approvals of the Board of Directors and the members of the Company, NDTV Networks Limited (“Networks”), a subsidiary of the Company, had completed the sale of its 2% shareholding, held in Lifestyle & Media Holdings Limited (formerly known as NDTV Lifestyle Holdings Limited) (“Lifestyle Holdco”) to Nameh Hotels & Resorts Private Limited (“Nameh”), on March 30, 2018.

Santana Mondal, a dalit woman supporter of the Communist Party of India (Marxist), was attacked by Trinamool Congress men for defying their diktat and exercising her franchise. This incident illustrates the nature of the large-scale violence which has marred the 2014 Lok Sabha elections in West Bengal. Serious allegations of booth capturing and voter intimidation have been levelled against the ruling TMC. Santana Mondal, a 35 year old woman, belongs to the Arambagh Lok Sabha parliamentary constituency in Hooghly district, West Bengal. She lives in Naskarpur with her two daughters and her sister Laxmima. The sisters work as agricultural labourers. Mondal and Laxmima are supporters of the Communist Party of India-Marxist [CPI(M)], whose candidate Sakti Mohan Malik is a sitting Member of Parliament (MP). Before voting took place in the Arambagh constituency on 30 April, political activists from the ruling Trinamool Congress (TMC) had reportedly threatened everyone in the area against voting for the Left Front, of which the CPI(M) is an integral part. Mondal ignored the threats. Her nephew Pradip also disregarded the intimidation and became a polling agent for the CPI(M) at one of the booths. After voting had taken place, three political activists of the TMC visited Mondal’s home. They wanted her nephew Pradip but could not find him there. On 6 May, two days later, the men returned.

    NDTV EARNINGS RELEASE FOR THE PERIOD ENDED 30 SEPTEMBER 2014 SUMMARY: NDTV’s losses are lower in the first half of this year than in the previous year and are narrowing down over time. A major step forward is that NDTV Profit / Prime was EBITDA positive this quarter (this is after making losses of Rs. 40+ crore last year and losses in earlier years too). This will help the company to move towards profitability. Profitability will also be achieved by restructuring of businesses or selling of loss-making units while ensuring a hard focus on the core business. Results: . NDTV Group operating income grew by 24% for the half year ended September 2014 to Rs 258 crore, up from Rs. 209 crore for the same period last year. NDTV Group operating income for the quarter ended September 2014 is Rs. 110 crore, up from Rs. 106 crore in the same quarter last year. NDTV Profit / Prime achieved a major turnaround by turning EBITDA positive in Q2 FY15, within six months of its re-launch. NDTV Convergence continues to show robust revenue growth of 22% in this quarter and a growth of 34% for the half year ended 30th September, 2014 on YoY basis. The Board has mandated the Management to: - Fix, restructure or sell non-core businesses while accelerating growth in core businesses; - Further investment in online assets to accelerate the Company’s leadership position to benefit from the digital revolution; and - Explore all options to unlock and maximize Shareholders’ value.
