The award was given by The International Brand Consulting Company, USA. This is a challenging time for the media, as is being reported every day. Nevertheless, we are so proud to be able to report to you that your company has, for the second year in a row, been profitable. As your NDTV recovers its financial strength, building on the careful gains of the last two years, it has been able to substantially reduce its bank debt. Operating efficiencies, as well as a very controlled and diligent approach to spending, have combined to allow your Company seven profitable quarters of the last eight. Our consolidated results for the NDTV Group also show a marked improvement over earlier years. NDTV continues to be respected, admired and followed for its integrity and its commitment to impartial news. At the start of the year, NDTV reiterated its credo of No Hate-For-Profit: it will never promote communalism or divisiveness in a tawdry attempt to get eyeballs. This mission statement was promoted on our channels and on our hoardings in different cities. Now, the world has adopted a movement to shun news that peddles Hate-For-Profit. In America and other countries, viewers are asking advertisers to shun any news platform that is guilty of Hate-For-Profit. And advertisers abroad are finally listening. Your Company is so proud to have taken the lead on this in India; we hope advertisers here too will listen to viewers’ requests to support news that is not toxic. Similarly, five years ago, NDTV declared it would not run any ads for fairness creams because they promote discriminatory and regressive values. Now, companies that make these creams have announced they will no longer do so. All this proves your Company is guided by values that are worth fighting for. With your support, we operate with principles that focus on equality, unity, and appreciation - and not just tolerance - of diversity. So many of these values are embodied in our Ravish Kumar, who, in September was awarded the Magsaysay Award for his journalism and for “giving voice to the voiceless”. Ravish’s voice, literally and through his work, is inimitable. He has withstood threats and much more as he dives fearlessly everyday into uncovering the real stories of India - ones that you won’t find on other channels but that are essential and are shaping who we are as a country and what we stand for. We know you are as proud of Ravish as we are. This year saw the arrival of Coronavirus. With great speed and responsibility, NDTV provided all employees with a safe working environment with new processes that ensured social distancing. For business, too, quick changes were introduced to ensure that the lockdown and the bruised economy would not force the Company into losses at the end of the year. Details of these changes are in this report. While it is impossible to predict when advertising may return to pre-Covid levels, please know that we are working our hardest to insulate the Company from any adverse economic impact trigged by this unprecedented pandemic. Other challenges confronting us include cash flow constraints and the need to continue consolidating our operations to focus only on our core business, which we have been working on. The next year will be an enormous test of all businesses in India. We know that with your backing and collective grit, and the courage of our convictions, we will navigate a difficult period while upholding the journalism that has repeatedly seen your company awarded “Most-Trusted Broadcaster”. STATEMENT REFERRED TO IN REPLY TO PARTS (a) to (e) OF LOK SABHA STARRED QUESTION NO.339 FOR ANSWER ON 15.12.2005 (a) : The Ministry has permitted 94 private TV channels to be uplinked from India since January, 2003. A list of such channels is placed at Annexure. (b) to (e) : All programmes telecast on TV channels transmitted/retransmitted through the Cable/DTH network are required to adhere to the Programme Code prescribed under the Cable Television Networks (Regulation) Act, 1995. The Government had received complaints against three news channels. No action was taken on one complaint as the Inter-Ministerial Committee constituted to look into violation of the Programme & Advertising Code was of the view that there was no violation.

    NDTV FINANCIAL RESULTS: Q2, FY 09-10 Standalone Highlights - For the quarter ending September 30 th , 2009 -NDTV 24x7 has consolidated its position as the Clear and Emphatic leader in the English News space. -The latest survey by Nielsen (UMAR survey) shows NDTV 24x7 with a viewership share of 60% while Times Now is at 28% and CNN-IBN at 12%. -NDTV India has now improved its standing to become the 3rd most popular Hindi news channel according to Nielsen. NDTV India is the most credible Hindi news channel. -NDTV Profit has held its viewership despite new entrants and remains the clear and distinct number 2 in the Business News space. Revenues from operations for Q2 FY‘10 have shown resilience and were at Rs.69.35 cr, a dip of only 6% over the revenues of the same quarter of the previous year which is much better than the industry norm. Subscription income has shown a growth of 23% over the same quarter of the previous year. EBITDA has improved by as much as 73.6% from a loss of Rs 10.23 cr in the same quarter, previous year, to a loss of Rs 2.70 cr in the current quarter. Major efficiency initiatives undertaken by NDTV have taken effect and the total expenditure for this quarter was Rs 78.15 cr against that of Rs 90.02 cr in the same quarter in the previous year, a difference of nearly Rs 12 cr (13%) in this quarter alone. Cumulatively, over the six month period, there is a reduction of nearly Rs 20 cr (11%) over the half yearly expenditure in the previous year.

    NDTV EARNINGS RELEASE FOR THE PERIOD ENDED 30 SEPTEMBER 2014 SUMMARY: NDTV’s losses are lower in the first half of this year than in the previous year and are narrowing down over time. A major step forward is that NDTV Profit / Prime was EBITDA positive this quarter (this is after making losses of Rs. 40+ crore last year and losses in earlier years too). This will help the company to move towards profitability. Profitability will also be achieved by restructuring of businesses or selling of loss-making units while ensuring a hard focus on the core business. Results: . NDTV Group operating income grew by 24% for the half year ended September 2014 to Rs 258 crore, up from Rs. 209 crore for the same period last year. NDTV Group operating income for the quarter ended September 2014 is Rs. 110 crore, up from Rs. 106 crore in the same quarter last year. NDTV Profit / Prime achieved a major turnaround by turning EBITDA positive in Q2 FY15, within six months of its re-launch. NDTV Convergence continues to show robust revenue growth of 22% in this quarter and a growth of 34% for the half year ended 30th September, 2014 on YoY basis. The Board has mandated the Management to: - Fix, restructure or sell non-core businesses while accelerating growth in core businesses; - Further investment in online assets to accelerate the Company’s leadership position to benefit from the digital revolution; and - Explore all options to unlock and maximize Shareholders’ value.
