  • The Failure of FCC Merger Reviews
DRAFT Not for attribution The Failure of FCC Merger Reviews: Communications Law Does Not Necessarily Perform Better than Antitrust Law Harold Furchtgott-Roth* Visiting Fellow American Enterprise Institute Prepared for Manhattan Institute Conference New York, New York December 9, 2002 Abstract: Antitrust law and communications law do not coexist well. The underlying premises of much of antitrust law makes little sense when the government sets prices, qualities of services, and reviews most if not all business decisions of a regulated firm. Yet the recent experience of the FCC’s review of mergers demonstrates that the FCC does a poor job as a surrogate antitrust agency. Not only are the FCC reviews redundant, they are costly, inefficient, and often lead to unlawful results. Consequently, antitrust law should not necessarily yield in the presence of communications law or other forms of regulatory law. * The views expressed are those of the author alone and do not necessarily reflect the views of the American Enterprise Institute which takes no positions on public policy matters. Parts of this paper draw heavily on material from my forthcoming booking, A Tough Act to Follow. -1- DRAFT Not for attribution The topic of this conference might be paraphrased as the role of antitrust law in a regulated industry. Of course, the two seemingly do not blend well. An underlying theme of several papers at this conference may be characterized as follows: in lawfully complying with government rules that regulate business practices, private businesses should not be liable for Sherman Act antitrust claims so long as the regulatory compliance is lawful.

The consequences of such overreaching power are manifestin the public sphere as a hegemonic system in which freemarket capitalism is portrayed as democratic and necessaryto serve the needs of the public. C2006_text-1.qxd 7/20/05 1:34 PM Page 253 CHAPTER 6 Corporate Media Is Corporate America BIG MEDIA INTERLOCKS WITH CORPORATE AMERICA AND BROADCAST NEWS MEDIA OWNERSHIP EMPIRES By Bridget Thornton, Brit Walters, and Lori Rouse The Project Censored team researched the board members of 10 major media organizations from newspaper to television to radio. Of these ten orga- nizations, we found there are 118 people who sit on 288 different Ameri- can and international corporate boards proving a close on-going interlock between big media and corporate America. We found media directors who also were former Senators or Representatives in the House such as Sam Nunn (Disney) and William Cohen (Viacom). Board members served at the FCC such as William Kennard (New York Times) and Dennis FitzSimmons (Tribune Company) showing revolving door relationships with big media andU.S. government officials. These ten big media organizations are the main source of news for most Americans. Their corporate ties require us to continually scrutinize the qual- ity of their news for bias. Disney owns ABC so we wonder how the board of Disney reacts to negative news about their board of directors friends such as Halliburton or Boeing. We see board members with connections to Ford, Kraft, and Kimberly-Clark who employ tens of thousands of Americans. Small (Small), by his attorney, hereby replies to the various comments filed in the captioned docket. In reply thereto, the following is respectfully submitted: 1) WNNX's rule making petition seeks to remove existing service from 658,920 persons. WNNX's Technical Exhibit, Petition for Rule Making, p. 10. Paragraph 11 of the Notice of Proposed Rule Making ~RM) requires WNNX to "show what areas and populations will be separately served by the allotment ofChannel 261 C3 at Anniston and Channel 264A at Ashland . .." It is not apparent that WNNX's Comments respond to the Commission's inquiry. Figure 3 of WNNX's Comments, nominally titled, in part, "the Areas and Populations which will be separately served by Channel 261C3 at Anniston and 264A at Ashland," appears calculated to be responsive, however, WNNX's response presents combined, not separate, area and population figures for the two proposed fill-in stations. WNNX states that total service loss will be 658,920. However, WNNX's Figure 3 is not at all clear as to what is being counted. Figure 3 does not explicitly state ,., •.. :..•"-_.", .•._-~-,-,, ,,~,_._-- that the proposed Anniston and Ashland stations are excluded, Figure 3 does not provide separate data for service loss in the area to be served by the proposed stations, and Figure 3 does not contain separate service figures for the two proposed stations such that it is possible to determine how many people in the loss area each station would cover.
