____________________________________________________________________________________________________________ PUBLIC COUNSEL | COMMUNITY DEVELOPMENT PROJECT | FORM OF MINUTES | 2017 Annotated Sample of Minutes, Consents, and Board Resolutions California Nonprofit Public Benefit Corporation About This Form: Public Counsel’s Community Development Project has designed these annotated sample minutes, consents, and board resolutions to serve as a tool for non-membership California nonprofit public benefit corporations and pro bono attorneys who represent them. Exercise of Board Authority and Resolutions Subject to the provisions of its articles of incorporation, California Nonprofit Corporation Law and any other applicable laws, a California nonprofit public benefit corporation’s business and affairs are managed, and all corporate powers are exercised, by or under the direction of its board of directors (sometimes referred to as “the board”). The board may delegate its management authority to any person or persons, management company, or committee, provided that, ultimately, the activities and affairs of the Corporation are managed and all corporate powers are exercised under the direction of the board.i A resolution is the written documentation of a binding decision regarding the affairs of a corporation made by its board of directors or committee, either at a meeting or through unanimous written consent. This publication provides sample resolutions for common board actions. Corporate Minutes Minutes are the official record of the proceedings of a board or a committee meeting. Every California nonprofit corporation is required to maintain minutes of its board and committee proceedings either in written hardcopy or another format that can be converted into “clearly legible tangible form” (e.g., as an electronic data file).ii Board meeting minutes are typically drafted by or under the supervision of the corporation’s secretary, and committee meeting minutes are typically drafted by or under the supervision of the committee chair or secretary. -

Novelist Neal Stephenson Once Again Proves He's the King of the Worlds by Steven Levy 08.18.08
Novelist Neal Stephenson Once Again Proves He's the King of t... http://www.wired.com/print/culture/art/magazine/16-09/mf_ste... << Back to Article WIRED MAGAZINE: 16.09 Novelist Neal Stephenson Once Again Proves He's the King of the Worlds By Steven Levy 08.18.08 Illustration: Nate Van Dyke Tonight's subject at the History Book Club: the Vikings. This is primo stuff for the men who gather once a month in Seattle to gab about some long-gone era or icon, from early Romans to Frederick the Great. You really can't beat tales of merciless Scandinavian pirate forays and bloody ninth-century clashes. To complement the evening's topic, one clubber is bringing mead. The dinner, of course, is meat cooked over fire. "Damp will be the weather, yet hot the pyre in my backyard," read the email invite, written by host Njall Mildew-Beard. That's Neal Stephenson, best-selling novelist, cult science fictionist, and literary channeler of the hacker mindset. For Stephenson, whose books mash up past, present, and future—and whose hotly awaited new work imagines an entire planet, with 7,000 years of its own history—the HBC is a way to mix background reading and socializing. "Neal was already doing the research," says computer graphics pioneer Alvy Ray Smith, who used to host the club until he moved from a house to a less convenient downtown apartment. "So why not read the books and talk about them, too?" With his shaved head and (mildewless) beard, Stephenson could cut something of an imposing figure. -

Book Three of the Author's Baroque CycleBy Steven M. AnthonyOdalisque is Book Three of Volume I (Quicksilver) of the author’s Baroque Cycle. Book One introduced Daniel Waterhouse, a 17th century member of the English Royal Society. Both the college years and twilight years of Waterhouse’s life are covered in separate threads. Book Two follows the exploits of Half-Cocked Jack Shaftoe and his traveling companion Eliza, whom he liberated from the Turks at the Siege of Vienna.Book Three merges the characters of Books One and Two during the historical period covering the reigns of Charles II, James II, Louis XIV and William of Orange. This equates to the middle age of Daniel Waterhouse, a Puritan who is navigating the perilous religious landscape between the Protestant King Charles II and the Catholic King James II. Meanwhile Eliza shuttles between the Versailles court of Louis XIV and the Dutch Republic, acting as both financial manipulator and covert operative. Various other historical figures make their appearances throughout the pages. If you enjoyed Books One and Two, then this is more of the same. -
Teacher's Notes
Teacher’s Notes: The Maximus Black Files The Only Game in the Galaxy By Paul Collins Synopsis The Only Game in the Galaxy is the final book in the series The Maximus Black Files . The trilogy includes the previously published and very successful, Mole Hunt as well as the intriguing Dyson’s Drop. Author Paul Collins imbues his characters and settings with detailed descriptions of futuristic worlds. The story is set in a far away galaxy in a time where life on earth is a distant memory. Maximus Black is a Special Agent for RIM, an intergalactic law enforcement agency. Previously, he had set out to kill Anneke Longshadow who was his sworn enemy and also an agent at RIM. She is just as smart, just as talented, and also prepared to do just about anything to survive. Unlike Maximus however, she is loyal to RIM. She survives Max’s attempt on her life but suffers a strange type of amnesia. Whilst Max curses about her survival he is determined to ‘use’ her on a dangerous mission that should lead her to a hapless death. These main characters, Maximus Black and his nemesis, Anneke Longshadow, continue their rampant dislike of each other. However, this story also includes events where they are dependent upon each other not only for their own survival but also the protection of their family and future. They travel back in time encountering strange and dangerous virus-infected planets, grossly fierce and ugly beings, as well as attempting to solve the code that will fulfil their destiny. -
Outer Planets: the Ice Giants
Outer Planets: The Ice Giants A. P. Ingersoll, H. B. Hammel, T. R. Spilker, R. E. Young Exploring Uranus and Neptune satisfies NASA’s objectives, “investigation of the Earth, Moon, Mars and beyond with emphasis on understanding the history of the solar system” and “conduct robotic exploration across the solar system for scientific purposes.” The giant planet story is the story of the solar system (*). Earth and the other small objects are leftovers from the feast of giant planet formation. As they formed, the giant planets may have migrated inward or outward, ejecting some objects from the solar system and swallowing others. The giant planets most likely delivered water and other volatiles, in the form of icy planetesimals, to the inner solar system from the region around Neptune. The “gas giants” Jupiter and Saturn are mostly hydrogen and helium. These planets must have swallowed a portion of the solar nebula intact. The “ice giants” Uranus and Neptune are made primarily of heavier stuff, probably the next most abundant elements in the Sun – oxygen, carbon, nitrogen, and sulfur. For each giant planet the core is the “seed” around which it accreted nebular gas. The ice giants may be more seed than gas. Giant planets are laboratories in which to test our theories about geophysics, plasma physics, meteorology, and even oceanography in a larger context. Their bottomless atmospheres, with 1000 mph winds and 100 year-old storms, teach us about weather on Earth. The giant planets’ enormous magnetic fields and intense radiation belts test our theories of terrestrial and solar electromagnetic phenomena. -

Part One: 'Science Fiction versus Mundane Culture', 'The overlap between Science Fiction and other genres' and 'Horror Motifs' Transcript Date: Thursday, 8 May 2008 - 11:00AM Location: Royal College of Surgeons SCIENCE FICTION VERSUS MUNDANE CULTURE Neal Stephenson When the Gresham Professors Michael Mainelli and Tim Connell did me the honour of inviting me to this Symposium, I cautioned them that I would have to attend as a sort of Idiot Savant: an idiot because I am not a scholar or even a particularly accomplished reader of SF, and a Savant because I get paid to write it. So if this were a lecture, the purpose of which is to impart erudition, I would have to decline. Instead though, it is a seminar, which feels more like a conversation, and all I suppose I need to do is to get people talking, which is almost easier for an idiot than for a Savant. I am going to come back to this Idiot Savant theme in part three of this four-part, forty minute talk, when I speak about the distinction between vegging out and geeking out, two quintessentially modern ways of spending ones time. 1. The Standard Model If you don't run with this crowd, you might assume that when I say 'SF', I am using an abbreviation of 'Science Fiction', but here, it means Speculative Fiction. The coinage is a way to cope with the problem that Science Fiction is mysteriously and inextricably joined with the seemingly unrelated literature of Fantasy. Many who are fond of one are fond of the other, to the point where they perceive them as the same thing, in spite of the fact that they seem quite different to non-fans.
