NCOSS AGM 2016 Minutes Minutes of the 79th Annual General Meeting Wednesday 16 November 2016, 6:15pm Grand Lodge, Level 1, Sydney Masonic Centre 66 Goulburn Street, Sydney 1. Present’s Welcome NCOSS President, Karen Bevan, opened the meeting at 6:15pm and welcomed staff, members and visitors to the NCOSS 79th Annual General Meeting (AGM). Ms Bevan introduced Uncle Allen Madden, Gadigal Elder representing Metropolitan Lands Council and invited him to deliver Welcome to Country. Welcome to Country Uncle Allen Madden welcomed everybody to the meeting, delivered welcome to country and shared knowledge about Gadigal land and Gadigal people. Ms Bevan announced selected apologies received to date from NCOSS members, board members and politicians. Karen informed the meeting that the complete list of apologies is available on request. Resolution 01/16: ‘That the apologies be accepted.’ Moved: Adam Farrar Seconded: Marianna Brungs Motion carried. 2. Minutes of 78th AGM 2015 The minutes of the 78th Annual General Meeting were distributed to all members and visitors via web site. Resolution 02/16: ‘That the minutes of the 78th Annual General Meeting of the Council of Social Service of New South Wales be accepted as a true and accurate record.’ Moved: Eamon Waterford Seconded: Marianna Brungs Motion carried. 3. Presentation of Annual Report and President’s Report Ms Bevan presented 2015‐16 Annual Report and the President’s Report. The President noted that team delivered impressive report and the list of members confirms that NCOSS has been successful in the past 12 months. ncoss.org.au NCOSS AGM 2016 Minutes Resolution 03/15: ‘That the NCOSS Annual Report for 2015‐2016 be accepted.’ Moved: Kellie Checkley Seconded: Anthony Brown Motion carried. Ms Bevan noted that NCOSS celebrated 80th anniversary. NCOSS continues taking a strong role in influencing government policy and driving initiatives to improve the lives of vulnerable people in NSW. NCOSS demonstrated willingness to innovate, to change and grow, to respond to its members and the changing conditions facing people who experience poverty and disadvantage. Member engagement has been a strategic focus this year and membership has continued to grow. NCOSS engaged with new categories of partners and supporters to have a vibrant community of people and organisations involved in its work. NCOSS has launched new website and new campaigns this year and continued hosting key forums to bring together the coalition of key agencies to make a difference. NCOSS was successful this year in growing and diversifying its work through winning the opportunity to lead a consortium to take The Collective into the next phase and being contracted to deliver critical sector capacity building to support transition to the National Disability Insurance Scheme. NCOSS in consultation with its members developed new Strategic Plan. Ms Bevan acknowledge Tracy Howe’s visionary leadership, management team and the staff of NCOSS. Ms Bevan also noted that the NCOSS Board has been continually challenged to enable the organisation to grow and this was a hallmark of excellence. Karen announced that after seven years on the NCOSS Board she is standing down this year, but leaves the organisation and the Board in an excellent position to continue to grow and create the social change needed in NSW. Karen thanked NCOSS Board members, including Treasurer Vivek Prabhu who resigned from the Board in April 2016, for their support and willingness to work hard on behalf of NCOSS members and the purpose NCOSS serves. 4. Treasurer’s Report The President invited the NCOSS Treasurer to deliver Treasurer’s Report. Christine Truong delivered Treasurer’s report and recommended the audited financial statements to the NCOSS membership. 2016 was a year of financial transition for NCOSS, being the first full financial year with market based rents since the relocation of NCOSS’ office premises to William Street, East Sydney in late 2014. Whilst NCOSS was fortunate to receive one off funding assistance from the NSW State Government towards the cost of relocation, no ongoing funding was provided to meet the permanent increase in occupancy costs. ncoss.org.au NCOSS AGM 2016 Minutes Consequently, NCOSS recorded a modest deficit in 2016 of $65,650 (2015: $88,905 surplus), a sound outcome in a challenging year. NCOSS has taken measures to strengthen the organisations financial sustainability to meet the ongoing increase in operational costs. Resolution 04/16: ‘That the Treasurer’s Report and the audited financial reports for 2015‐2016 be accepted.’ Moved: Christine Truong Seconded: Anne‐Marie Elias Motion carried. 5. Introduction of Returning Officer The President introduced Lesley Garton as the Returning Officer. 6. Election of Board Members/Declaration of Poll The Returning Officer, Lesley Garton reported that the following people will remain on the Board until the 2017 AGM: Treasurer: Christine Truong Vice President: Denele Crozier resigned at the Board meeting on 24 October 2016 and Cecily Michaels was elected into the position for the remainder of the term (until 2017). Ordinary Directors: Marianna Brungs Ben Gallen Gillian Cohen Kellie Checkley. Lesley Garton announced that the following people had been elected unopposed: President: Tony Davies Vice President: Adam Farrar Lesley Garton announced that following people were elected as Ordinary Directors: Ngila Bevan Ben Carblis Suellen McCaffrey Eamon Waterford. ncoss.org.au NCOSS AGM 2016 Minutes Resolution 05/16: “That the Returning Officer’s Report be accepted and the ballot papers destroyed.” Moved: Tricia Graham Seconded: Tony Wilkinson Motion carried. Karen Bevan welcomed re‐elected members: Ngila Bevan, Adam Farrar and Eamon Waterford and new Board members: Tony Davies, Ben Carblis and Suellen McCaffrey. Karen thanked Denele Crozier who served on the NCOSS Board for over 10 years in various capacities, including as Ordinary Director, Treasurer, Vice President and member of various board committees. Tony Davies acknowledged retiring President Karen Bevan and thanked her for her extraordinary contribution to NCOSS and also thanked Denele Crozier for serving on NCOSS Board. 7. Other Business No other business was raised. 8. Close of meeting Tony Davies declared the meeting closed at 6:45pm. Meeting closed at 6:45pm.
