TRADEMARK LICENSE AGREEMENT
This Trademark License Agreement (the "Agreement") is effective as of October 5, 2016 (the “Effective Date”), regardless of the date executed.
The “parties” are:
City of Glendale, a Colorado municipal corporation, whose principal place of business is located at 950 S. Birch Street, Glendale, Colorado 80246 (hereafter "Licensor"), and
Major League Rugby, LLC, a Utah limited liability company, whose principal place of business is located at 125 W. Burton Ave, # B, Salt Lake City, UT 84115, (hereafter “Licensee”).
RECITALS
A. Licensor is the owner of certain trademarks detailed on Exhibit A (collectively, the “Marks”). Should Licensor utilize the Marks in connection with other products or services not included in Exhibit A, this paragraph will automatically expand to include such products and/or services, and all other terms and conditions shall remain in effect.
B. During the Term, Licensee wishes to utilize the Marks in connection with products and services to promote major league rugby in the United States, to include, but not limited to: clothing, namely, tops, bottoms, footwear; headwear, namely, caps and visors; hats; beanies; baseball caps; aprons; scarves; jumpers; sporting and athletic clothing, namely, jerseys, tracksuits, shirts, singlets, shorts, swimming shorts, and socks; boxer shorts; dressing gowns; bathrobes; jackets; jerseys; children's wear, namely, jerseys, shirts, tracksuits, shorts, pants, jackets, and scarves; babywear, namely, jerseys, shirts, pants; earmuffs, gloves, headbands, hoods, leggings, leg warmers, mittens, muffs, neckties, pocket squares, ponchos, socks, tee-shirts, uniforms; entertainment in the nature of RUGBY games; entertainment in the nature of RUGBY tournaments; providing facilities for educational conventions; providing facilities for recreation activities; providing facilities for recreational activities, namely, RUGBY EVENTS; providing facilities for sports tournaments; providing facilities for RUGBY tournaments; providing sports facilities; providing various facilities for an array of sporting events, sports and athletic competitions and awards programs; recreational park services; rental of stadium facilities; conducting of sports competitions; organization of sports competitions; providing a website containing information relating to the sport of rugby, including team information, player statistics and news; educational services, namely, conducting programs in the field of rugby; educational services, namely, conducting online exhibitions and displays and interactive exhibits in the field of rugby; entertainment, namely, television show production regarding rugby football games and tournaments; entertainment services in the nature of hosting

rugby games; entertainment services, namely, organization and presentation of rugby football competitions; teaching of rugby football; conducting educational exhibitions in the field of rugby; conducting entertainment exhibitions in the field of rugby; museums; arranging and conducting athletic competitions; entertainment in the nature of competitions in the field of athletics and sports; entertainment services, namely, arranging and conducting of competitions for athletic and sporting events, organizing and conducting exhibitions for entertainment purposes, organizing and conducting rugby tournaments and international rugby tournaments, all rendered live and through broadcast media including television and radio, and via a global computer network or a commercial on-line service; entertainment services, namely, organizing and conducting an array of athletic events rendered live and recorded for the purpose of distribution through broadcast media; production and distribution of motion pictures; production and distribution of radio programs; production and distribution of television shows and movies; production of cable television programs; providing news and information in the field of sports (the “Products and Services”) and Licensor is willing to grant a license to Licensee to utilize the Marks in connection with the Products and Services.
NOW THEREFORE, in consideration of the above Recitals and the mutual promises and covenants contained herein, as well as other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by the parties hereto, the parties agree as follows:
AGREEMENT
1. Recitals incorporated. The Recitals detailed above are incorporated in this Agreement as if specifically set forth herein in their entirety.
2. Ownership. To the best of its knowledge, information, and belief, Licensor believes it is the owner of the Marks in the United States and in several other countries as utilized in connection with the Products and Services.
3. License. As of the Effective Date, and subject to the terms of this Agreement, Licensor shall grant to Licensee an exclusive license for the Term of this Agreement to use the Marks in connection with the Products and Services and any other services related to Licensee’s mission to promote and develop a professional rugby league in the United States. Licensee’s use of the Marks may be in any media, including without limitation, in print, digital, audio, visual, and multi-media formats as long as all such use complies with Licensor’s Acceptable Use Standards (“Standards”) as detailed on Exhibit C. Any use of the Marks for any products, services, or purposes unrelated to the promotion of major league rugby in the U.S. must be pre-approved by Licensor in writing by an amendment to this Agreement, which approval shall not be unreasonably withheld. 4. Fees/Royalties. In return for the promotion and advertising Licensor will receive through Licensee’s use of the Marks on the Products and Services in compliance with the Standards, and as long as Licensee complies with this Agreement, no additional license fees will be required during the Term.
5. Extent of License.
a) Licensee warrants and represents that the Products and Services shall be of excellent and industry-standard quality.
b) Licensor shall have the right to inspect and audit Products and Services to ensure compliance with this Agreement. Upon Licensor’s reasonable request, Licensee will provide Licensor with examples of Products and Services using the Marks. In the event of noncompliance with Licensor’s Standards, the parties will reasonably work together to ensure modifications are made to so comply. Licensee shall not be required to remanufacture or destroy products not in compliance, but Licensee agrees to make reasonably requested modifications to ensure that the Marks are used in a manner to best protect their quality and integrity. Further, the parties will work together to clarify, expand, and improve the Standards over time as the types of Products and Services expand.
c) Licensee shall be permitted to sublicense the rights herein as long as sublicensees are required to execute agreements substantially similar to this Agreement. Such agreements will obligate such sublicensees to comply with the terms of license set forth in this Agreement. Licensee agrees to reasonably enforce any breach of such sublicense agreements. Licensee also agrees to provide an annual report to Licensor detailing a list of all current sublicensees and the use of the Marks sublicensed.
d) Licensee warrants and represents that it will use best efforts to use the Marks in a manner as to not injure the fine reputation of Licensor and shall use the Marks in a manner to increase both parties’ reputation and visibility and the visibility of U.S. rugby throughout the world.
e) Each party warrants and represents that it shall not do, or omit to do, any act which will prejudice or injure the other party’s business relationships with any third party.

f) Nothing contained in this Agreement shall give Licensee or any other third party any rights, title, or interest in and to the Marks, other than the right to use the Marks in accordance with this Agreement.
g) This Agreement does not alter or in any way reduce Licensor's rights to utilize, or to not utilize, the Marks or issue other licenses to the Marks whatsoever.
6. Standards of Use. Attached, as Exhibit C, are Licensor’s Standards detailing the format, size, and any font requirements for Licensee’s use of the Marks and required acknowledgements and disclaimer(s). Standards may change from time to time in Licensor’s sole reasonable discretion, however, Licensor will discuss, in good faith, any changes with Licensee prior to modification/revision, which new Standards will take effect ten (10) days after such discussion(s), unless exigencies exist which require a shorter time (which shorter time will be reasonably agreed upon by the Licensor and Licensee). Licensee has provided Licensor with certain samples of uses of the Marks (Exhibit B attached). Licensor approves the proposed uses as detailed in Exhibit B as long as all use complies with the Standards.
7. No Further Use Approved. No unauthorized uses of the Marks are permitted without Licensor’s prior written authorization.
8. Duration and Termination. This Agreement and the license provided herein shall continue from the Effective Date through and until December 31, 2025 (the “Initial Term”) and shall automatically renew for successive three (3) year periods (each a “Renewal Term” and collectively, the Initial Term and any/all Renewal Terms are referenced as the “Term”).
a) Either party may terminate this Agreement for cause, subject to paragraph #8(b) below, or upon mutual agreement upon Notice provided to the other no more than one hundred twenty (120) days or less than ninety (90) days prior to the commencement of any Renewal Term (between September 2 and October 2 of 2025 and every three years thereafter). b) Upon a party’s breach of this Agreement, the non-breaching party will provide the breaching party with notice of a breach, reasonably describing the breach with specificity. The breaching party will have thirty (30) days immediately following its receipt of written notice of the breach (the “Cure Period”) to cure the breach to the non-breaching party’s reasonable satisfaction. If, however, a breach is not capable of being cured during the Cure Period, but substantial efforts are being made to effect a cure, termination shall be delayed for a reasonable period of time to permit such cure.

c) Upon termination, Licensee shall cease all use of the Marks. For clarification, Licensee shall not be required to destroy uses of the Marks already in inventory, distributed prior to termination, in the process of being manufactured, or that are in shipment, however, Licensee shall also not make use of the Marks in any manner outside of its standard and normal use after receiving a Notice of termination and Licensee shall not attempt to manufacture or have manufactured a large quantity of products or provide more than usual Products and Services during this time-period. d) Upon termination, Licensee shall provide Licensor with written confirmation that no further manufacture or distribution of the Products and Services, or any other product or service bearing the Marks or any trademark confusingly similar thereto, exists, has occurred, or has been authorized by Licensee. e) In the event a party wishes to terminate this license for cause or the parties wish to terminate on mutual agreement, the parties agree to reasonably discuss the option of a purchase/assignment of the Marks by Licensee. Any such purchase and assignment must be mutually agreed upon by the parties.
9. Limitations on Liability.
a) THE MARKS ARE LICENSED TO LICENSEE "AS IS." TO THE EXTENT PERMITTED BY LAW, LICENSOR EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, EXPECTED OR INTENDED RESULTS, AND NON-INFRINGEMENT.
b) Licensor grants Licensee the right to make and/or file against a third party any demands, actions, claims, defenses, or legal or equitable proceedings, whatsoever (collectively “Claims) relating to the Marks. Licensee agrees to Notify Licensor regarding any such Claims, whatsoever, in order to permit Licensor the opportunity to join in any such Claims. Each party shall be responsible for its own attorneys’ fees and the costs of any Claims made.
c) During any Term, in the event a party becomes aware of, or has knowledge of, third-party misuse of any of the Marks, that party shall promptly Notify the other party, reasonably providing such other party with all available information regarding such Claim. The parties will work together on all decisions, settlement, or proceedings relating to such misuse, unless the misuse and any resulting Claim arose from one party’s grossly negligent or intentional actions or omissions in which case the party directly causing the misuse and/or

resulting Claim shall be liable and shall indemnify the other party for any such Claims, including attorneys’ fees and costs.
d) EXCEPT AS PERMITTED HEREIN, NEITHER PARTY SHALL BE LIABLE FOR ANY OF THE OTHER PARTY’S DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHER DAMAGES, WHATSOEVER, INCLUDING ATTORNEYS’ FEES AND COSTS. IF A DISAGREEMENT OR CLAIM BETWEEN THE PARTIES OR FROM A THIRD PARTY REGARDING THE SUBJECT MATTER OF THIS AGREEMENT IS RULED UPON IN A JURISDICTION THAT DOES NOT ACCEPT SUCH LIMITATIONS ON LIABILITY, EACH PARTY’S LIABILITY, IN FULL, SHALL NOT EXCEED ANY LICENSE FEES PAID, IF ANY, DURING THE TWO (2) MONTHS PRECEDING THE CLAIM ARISING.
10. Representations and Warranties. In addition to all other representations and warranties herein, each party represents and warrants that it has (a) the full right, power and authority to enter into this Agreement and to carry out its obligations hereunder and each has obtained all approvals from its Board of Directors and required approval by its shareholders, if any; (b) it holds all appropriate licenses, permits, and other required authorizations from governmental authorities, if any, to fulfil its respective obligations under this Agreement; (c) to the best of its knowledge, no obligations to any third party exist that are inconsistent with its obligations under this Agreement; and (d) it shall comply with all applicable rules, laws, statutes, and regulations.
11. Binding Effect/Assignment. This Agreement shall be binding upon and inure to the benefit of each party’s subsidiaries and affiliates, authorized successors, heirs, and assigns, and Licensee’s sublicensees. Neither party shall transfer this Agreement or the rights/obligations herein without the other party’s prior written authorization, which authorization shall not be unreasonably withheld, including a transfer of primarily all of a party’s assets or stock.
12. No Franchise. The parties do not intend this Agreement to create any franchise. Licensor exercises no marketing or other controls over the Marks or Licensee. This Agreement is not tied to any other obligations between the parties. Licensee warrants and represents that any income earned from use of the Marks shall be less than 20% of Licensee’s total income earned.
13. No Security. Licensee shall not allow any third party to lien or use the Marks as security. In the event an attempt is made to secure or lien such property, Licensee shall promptly notify Licensor and shall take all steps necessary to remove such lien or security at its sole cost and expense.

14. Modifications in Writing. No modifications to this Agreement shall be valid unless made in writing and executed by both parties.
15. Notices. Any notification required under this Agreement shall be in writing. Notices will be deemed given when delivered personally or within five (5) days after being mailed by U.S. mail, postage pre-paid, to the addresses stated herein or to such other address as may be requested by the parties from time to time (collectively “Notice”).
16. Severability. The provisions of this Agreement shall be deemed severable, and the invalidity, illegality, or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provisions. In the event any provision of this Agreement is found to be invalid, illegal, or unenforceable, the parties, or a court of competent jurisdiction, shall endeavor to modify that clause in a manner that gives effect to the intent of the parties in entering into the Agreement.
17. Relationship of Parties. Nothing in this Agreement shall be construed as creating an agency, partnership, joint venture, or employment relationship between the parties.
18. Applicable Law. This Agreement shall be interpreted and enforced according to the laws of Colorado, without regard to any conflicts of law provisions, except where U.S. Federal law applies. Venue shall be appropriate only in the federal court(s) of Colorado. Both parties hereby agree to submit to the personal and subject matter jurisdiction of such Colorado U.S. Federal courts in the event of a disagreement arising out of this Agreement or the subject-matter hereof. The parties further agree to accept service of process for any dispute arising from the subject matter of this Agreement by U.S. mail, overnight delivery, and shall promptly sign and return any required waiver to the other party upon receiving such service of process.
19. Entire Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings whether written or oral.
20. Not Exclusive Remedies. The rights and remedies within this Agreement (including termination rights) are not exclusive, the exercise thereof will not constitute an election of remedies, and the aggrieved party will in all events be entitled to seek whatever additional remedies may be available in law or in equity.
21. Waiver. Any waiver of a particular breach of this Agreement by a party shall not operate as a waiver to any other breach of this Agreement by that party.

22. Convenience of Formatting. All captions and formatting used in this Agreement are for convenience only and shall have no meaning in the interpretation or effect of this Agreement.
23. Counterparts/Digital Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Digital signatures shall be as effective as handwritten signatures.
24. Construction. In construing this Agreement, (a) all captions, fonts, underlining ,or footers used in this Agreement are for convenience only and will have no meaning in the Agreement’s interpretation or effect; (b) capitalized terms have the meaning specified in this Agreement and, if not so specified, have the plain meaning normally given to such terms; (c) the pronoun “he,” “she,” “his,” or “it” shall refer to the party so referenced, regardless of whether a human individual or entity and regardless of gender; (d) anything a party is prohibited from doing “directly,” it cannot do “indirectly either;” (e) the terms “herein” or “hereof” shall refer to this Agreement generally.
25. Survival. The terms of paragraphs #5c - 5g, #7, #8c, #8d, and #9 - #26 shall survive the termination of this Agreement.

TRADEMARK LICENSE ACCEPTABLE USE STANDARDS
The City of Glendale, a Colorado municipal corporation (“Glendale” or “Licensor”), has established standards to identify, develop and maintain its Marks, as identified in the License Agreement dated October 5, 2016 with Major League Rugby, LLC (“Licensee”).
All use of Glendale’s Marks under this License Agreement must be pre-approved by Glendale, in writing, which approval shall not be unreasonably denied, provided, however, Glendale acknowledges that the uses identified in Exhibit B have been pre-approved. No third-party use is permitted without a mutually agreed upon, written, license agreement. Any proposed use must be submitted to Ms. Linda Cassaday at 950 S. Birch Street, Glendale, Colorado 80246 or, for convenience, may be submitted by email to Ms. Cassaday for approval at [email protected], provided delivery is confirmed by a read receipt. Glendale will have five (5) days from receipt to review and inform such third party of its approval or any required alterations to comply with Glendale’s then- applicable standards of use in order to maintain the quality of such Marks and Glendale’s reputation. If Glendale does not respond to an existing licensee (with a signed License Agreement) within five (5) days, Glendale’s approval of the proposed use shall be deemed approved. Use of Glendale’s Marks without prior written authorization shall be a breach of Glendale’s rights, title, and interest.
TRADEMARKS AND SERVICE MARKS UTILIZED IN HEADINGS:
Glendale’s Marks registered with the U.S. Patent and Trademark Office (USPTO) or with any national or state registration offices outside the U.S. must have a ® legend next to the Mark in all headings. The ® should always be next to the Mark – do not add words to the Marks or delete any words either.
Marks that are registered with the Colorado Secretary of State or are unregistered anywhere should have an SM legend next to them for services or a ™ legend next to them for goods sold or distributed in conjunction with that Mark.

Should a Mark cease to be protectable for any reason, Licensor will Notify Licensee and it will be Licensee’s obligation to cease all use of such Mark within sixty (60) days of such Notification.

TRADEMARK LICENSE AGREEMENT
TRADEMARKS AND SERVICE MARKS UTILIZED IN TEXT WITHIN A PUBLICATION:
Marks utilized in text should always be used in a font different that the rest of the text or should appear in all capital letters or in quotation marks. The manner of such use shall be at the option of Licensee.
As long as a Mark is utilized in a heading with an appropriate legend, a Licensee does not need to also place an ®, ™, or SM next to the mark in text, but Licensee may add such additional marking.
If a Mark is not utilized in a heading, the first use of the Mark in any text should have an ®, ™, or SM next to it in any publication.
Marks must always appear in the English language.
FOOTERS:
Any publication that references any Glendale Marks shall include a legible footer on the first page in type no smaller than 8pt in size in the English language stating:
[trademark]™ is used with permission, and is owned by City of Glendale, Glendale, Colorado U.S.A.
FONT AND FONT SIZES:
For authorized merchandise and/or products created, produced, manufactured, marketed, distributed, and sold by Licensee, and for authorized Products and Services, Licensee may use any fonts desired, however, the Marks shall appear in a reasonable size and position so that consumers will easily recognize the product as a Glendale branded product.
WEBSITE AND PROMOTIONS:
Any publication or promotion on a website shall be treated the same as any printed publication.
If a Licensee wishes to materially revise previously approved promotional materials regarding a product or Service bearing a Glendale Mark, Licensee must gain Glendale’s prior written authorization, which authorization shall not be unreasonably withheld.
