Aanvraag artikel 47 in het kader van de voorgenomen consolidatie in de postsector door PostNL en Sandd Aanleiding aanvraag artikel 47 PostNL heeft op 25 februari 2019 de voorgenomen overname van Sandd aangekondigd en gemeld bij ACM. ACM heeft op 5 september 2019 het besluit genomen om geen vergunning te verlenen aan PostNL voor de overname van Sandd. PostNL realiseert zich dat het verlenen van een vergunning voor consolidatie er toe leidt dat er nog maar één landelijke fysieke postspeler overblijft en dat daarmee concurrentie verdwijnt. Echter, consolidatie in de context van de Nederlandse postsector is geen standaard concurrentievraagstuk dat zich leent voor een afweging op basis van enkel een reguliere mededingingsrechtelijke toets. PostNL meent dat er sprake is van een uitzonderlijke situatie waarbij grotere, maatschappelijke belangen op het spel staan dan de gevolgen voor de concurrentie op korte termijn. PostNL doet om die reden een uitzonderlijk verzoek voor een zeer uitzonderlijke situatie: op grond van artikel 47 van de Mededingingswet vragen wij een vergunning voor deze consolidatie in de postsector in het bredere maatschappelijke belang. Wij lichten dit graag verder toe. Als gevolg van de aanhoudende krimp is consolidatie al langer gaande in de postsector Vanaf 2009 is sprake geweest van een marktkrimp van gemiddeld 8 tot 10 procent en is ruim de helft van het totale marktvolume verdwenen. De krimp zorgt voor grote uitdagingen in de postsector. De kosten om een postnetwerk in stand te houden blijven voor een groot deel hetzelfde, ook als er minder brieven hoeven te worden bezorgd. Dit betekent dat wanneer er meer brieven worden bezorgd, de kosten per brief steeds lager worden. -

Samenvatting Met dit besluit wordt met terugwerkende kracht een vergunning verstrekt voor de concentratie van PostNL en Sandd.1 Ik heb de omstandigheden en belangen afgewogen en oordeel dat er gewichtige redenen van algemeen belang zijn die zwaarder wegen dan de te verwachten belemmering van de mededinging en die nopen tot verlening van de aangevraagde vergunning, zoals bedoeld in artikel 47 van de Mededingingswet. Ik heb aan de vergunning voorschriften verbonden. De situatie op de postmarkt is uniek. Het postvolume is gekrompen van 5,6 miljard poststukken in 20052 naar 2,2 miljard poststukken in 20193. Sinds 2011 neemt het volume ieder jaar met 6 tot 10% af.4 (Brieven)post wordt in toenemende mate vervangen door met name digitale vormen van communicatie (e-mail, digitale postvakken en omgevingen, sociale media). Op langere termijn is de verwachting dat de postmarkt als zelfstandige markt zal verdwijnen en zal opgaan in bredere markten voor berichtenverkeer en bezorging.5 1 Dit nieuwe besluit wordt genomen naar aanleiding van de uitspraak van de rechtbank Rotterdam waarmee het oorspronkelijke besluit van 27 september 2019 is vernietigd, maar uitsluitend voor zover dat in hoger beroep noodzakelijk blijkt. -
