anni 90’ le Casse di Risparmio, nate nei primi dell’800, furono interessate da una radicale trasformazione, che ne modificò profondamente l’assetto, sia in ambito giuridico-istituzionale che strutturale-operativo. Il processo di trasformazione che coinvolse il sistema bancario italiano subì una rapida accelerazione con l’approvazione della legge di delega n. 218 del 30 luglio 1990, la cosiddetta Legge Amato e dei relativi decreti applicativi, fra cui in particolare il d.lgs. n. 356 del 1990. Il processo di ristrutturazione del settore creditizio, in attuazione ai principi dettati dalla legge Amato, 1990 prevedeva la separazione, in due diverse entità, delle funzioni di diritto pubblico dalle funzioni imprenditoriali. Questo determinò lo scorporo delle Fondazioni dalle Casse e dispose che la banca conferitaria divenisse società per azioni, la Cassa di Risparmio Spa, sotto il controllo dell’Ente conferente, la Fondazione, al quale vennero attribuite finalità di interesse pubblico e di utilità sociale, previste negli statuti delle originarie Casse di Risparmio. Il nome originario di “Casse” è stato, ad oggi, perso da quelle società bancarie che si sono accorpate ai maggiori gruppi bancari italiani. Le Fondazioni Le Fondazioni sono nate, quindi, negli anni 90’ a seguito del processo di trasformazione del sistema bancario in applicazione del citato d.lgs. n. 356/90, attuativo della legge di delega n. 218/90 (Legge Amato). Dal 1990 ad oggi, le Fondazioni sono state interessate da un continuo susseguirsi di leggi che hanno apportato numerose modifiche alla normativa 1990-1994 originaria. Fino al 1994 le Fondazioni avevano l’obbligo di mantenere il pacchetto azionario di maggioranza del capitale sociale delle Casse di Risparmio Spa. Tale obbligo fu eliminato con l’entrata in vigore della legge n. 474 del 1994 (Direttiva Dini) che prevedeva incentivi fiscali per la dismissione delle partecipazioni detenute dalle Fondazioni. Il processo di ristrutturazione bancaria si completa nel 1998 con l’approvazione della legge di delega 23 dicembre 1998, n. 461, la cosiddetta Legge Ciampi e con il successivo decreto applicativo, il d.lgs. n. 153 del 1999. Le Fondazioni traggono, infatti, il loro assetto istituzionale dalla riforma e dal decreto sopra citati che non solo regolamentarono una revisone della discilpina civilistica e fiscale delle Fondazioni ma le definirono persone guiridiche private senza fine di lucro, dotate di piena autonomia 1998-1999 statutaria e gestionale, improntate al perseguimento di scopi di utilità sociale e di promozione dello sviluppo economico del proprio territorio di riferimento. Per effetto della Legge Ciampi l’iniziale obbligo di detenere la maggioranza del capitale sociale delle banche conferitarie fu sostituito da un obbligo opposto, quello della perdita del controllo delle società bancarie, incentivato fiscalmente con la previsione di un regime di neutralità fiscale per le plusvalenze realizzate nella dismissione. Gli anni 2002 e 2003 sono stati caratterizzati da importanti interventi 2002-2003 legislativi. La legge Finanziaria 2002 (L. 448/2001, cd. Legge Tremonti) promosse pag. 4 a 129 rilevanti modifiche alla riforma Ciampi con l’intenzione di intervenire sia sulla natura privatistica che sull’autonomia gestionale delle Fondazioni Le modifiche introdotte hanno suscitato la legittima opposizione delle Fondazioni che hanno impugnato a più riprese la nuova norma davanti al TAR del Lazio, il quale ravvisando la sussistenza di profili di illegittimità dell’intervento legislativo, con l’ordinanza n. 803/2003 ne ha disposto la remissione alla Corte Costituzionale. La Corte Costituzionale, con le sentenze n. 300 e 301 del 29/09/2003, ha ribadito il ruolo e l’identita’ delle Fondazioni che sono state definitivamente riconosciute “persone giuridiche private dotate di piena autonomia statutaria e gestionale”. Anche con la decisione della Commissione Europea del 22/08/2002 relativa all’attività svolta, le Fondazioni sono state annoverate tra gli enti senza fine di lucro operanti per scopi di utilità sociale. Le decisioni della Corte Costituzionale sono state poi interamente recepite nel D.M. 18/05/2004 n. 150 (in vigore dal 01/07/2004), “Regolamento in materia di disciplina delle Fondazioni bancarie, ai sensi dell’articolo 11, comma 14”, della Legge 28/12/2001, n. 448 (cosiddetta Legge Tremonti). Il 2004 citato Regolamento, che abroga e sostituisce integralmente il precedente emanato in data 02/08/2002, ha posto fine ad un lungo periodo di incertezza permettendo

La missione del gruppo è un' altra: supportare le aziende, la pubblica amministrazione e lo sviluppo infrastrutturale del Paese.

The UniCredit banking group is registered with the Register of Banking Groups held by the Bank of Italy pursuant to Article 64 of Legislative Decree No. 385 of 1 September 1993, as amended (the Italian Banking Act) under number 02008.1 (the Group or the UniCredit Group). The Notes will bear interest on their Prevailing Principal Amount (as defined in Condition 2 (Definitions and Interpretation) in “Terms and Conditions of the Notes”), payable (subject to cancellation as described below) semi-annually in arrear on 3 June and 3 December in each year (each an Interest Payment Date), as follows: (i) in respect of the period from (and including) 20 December 2017 (the Issue Date) to (but excluding) 3 June 2025 (the First Call Date) at the rate of 5.375 per cent. per annum, and (ii) in respect of each period from (and including) the First Call Date and every fifth anniversary thereof (each a Reset Date) to (but excluding) the next succeeding Reset Date (each such period, a Reset Interest Period), at the rate per annum, calculated on an annual basis and then converted to a semi-annual rate in accordance with market conventions, equal to the aggregate of 4.925 per cent.
