SECTION II

INSTRUCTIONS TO BIDDERS

A. INTRODUCTION: 1. DEFINITIONS: 1.1 “Agreement ” means this Operation and Maintenance Services Agreement together with the Annexure(s) attached hereto, as the same may be amended, supplemented or modified, from time to time, in accordance with the provisions hereof.

1.2 “ Applicable Laws ” means any law, rule, regulation, ordinance, order, code, treaty, judgment, decree, injunction, permit or decision of any central, state or local government, authority, agency, court or other body having jurisdiction over the matter in question, as in effect, from time to time.

1.3 “Fees” shall mean the amount payable to the Service Provider subject to successful rendering of services by the Service Provider which is more detailed in Section-VII, part -II.

1.4 "Services" shall mean the services which are mentioned in Section-XI under the scope of services annexed hereto, to be rendered by the Service Provider to BSNL, in relation to the operation and maintenance of the infrastructure.

2. ELIGIBLE BIDDERS: Vendor Eligibility Conditions for Maintenance service provider of GSM Mobile Network Infrastructure Equipments for the BTS Locations shall be as mentioned below.

2.1 Bidder should be registered company under the Indian Companies Act, 1956. 2.2 The total annual turnover of the bidder should be at least Rs. 1 Crores or More during preceding two financial years (2010-11 & 2011-12). Original Financial Audit Report or provisional audit report duly certified by CA. 2.3 Bidder should have successfully executed the Maintenance service of wireless networks containing more than 300 (THREE HUNDRED) BTS sites involving Infrastructure equipments like Power Plant, Diesel Generator and Air Conditioners. They should also have experience in filling of diesel and upkeep of BTS stations for previous two years in BSNL/MTNL/DOT/Any other Telecom Service. The documentary proof for this shall be submitted by the bidder, signed by an officer of rank equivalent or above Deputy General Manager in case of BSNL/MTNL/DOT/ and from the Authorized Signatory in case of Private Telecom Service Provider. 2.4 Other Telecom GSM/CDMA TELECOM SERVICE PROVIDERS are not eligible to participate in this tender.

3. COST OF BIDDING: The bidder shall bear all costs associated with the preparation and submission of the bid. The Purchaser will, in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process. B. THE BID DOCUMENTS

4. DOCUMENTS REQUIRED:

4.1 The required Maintenance Service, bidding procedures and contract terms and conditions are prescribed in the Bid documents. The Bid Documents include: a. Notice Inviting Tender. b. 4.2 The Bidder is expected to examine all instructions, forms, terms and specifications in the Bid Documents . Failure to furnish all information required as per the Bid Documents or submission of bids not substantially responsive to the Bid Documents in every respect will be at the bidder’s risk and may result in rejection of the bid.

5. CLARIFICATION OF BID DOCUMENTS:

5.1. The prospective bidder, requiring any clarification on the bid documents shall notify the purchaser in writing or by FAX at the purchaser’s mailing address indicated in the invitation of Bid. The Purchaser shall respond in writing to any request for the clarification of the bid documents, which it receives not later than 10 days prior to the date of opening of the Tenders. Copies of the query (without identifying the source) and clarifications by the Purchaser shall be sent to all the prospective bidder who have received the bid documents.

5.2 Any clarification issued by BSNL in response to query raised by prospective bidders shall form an integral part of bid documents and it may amount to an amendment of relevant clauses of the bid documents.

6. AMENDMENT OF BID DOCUMENTS:

6.1 At anytime, prior to the date of submission of bids, the Purchaser may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify bid documents by amendments.

6.2 The amendments shall be notified in writing or by FAX to all prospective bidders on the address intimated at the time of purchase of the bid document from the Purchaser and these amendments will be binding on them.

6.3 In order to afford prospective bidders a reasonable time to take the amendment into account in preparing their bids, the Purchaser may, at its discretion, extend the deadline for the submission of bids suitably.

C. PREPARATION OF BIDS :

7. DOCUMENTS COMPRISING THE BID:

The bid prepared by the bidder shall comprise the following components:

a. Documentary evidence established in accordance with the Clause 2 and 10 that the bidder is eligible to bid and is qualified to perform the Contract if his bid is accepted. b. Bid Security furnished in accordance with Clause 12 / (Document fee by DD also in case of website downloaded document). c. A Clause by Clause compliance as per Clause 11.2.(c). d. A bid form and price schedule completed in accordance with Clause 8 & 9.

8. BID FORM :

The Bidder shall complete the Bid Form and appropriate Price Schedule furnished in the Bid Documents, indicating the goods to be supplied, brief description of the goods, quantity and prices as per Section VII Part II.

9. BID PRICES:

9.1 Bidder shall quote the comprehensive price of Service maintenance contract on annual basis as per mentioned terms and condition. The price should be inclusive of all taxes except service tax. The service tax as applicable shall be filled by the bidder with Service Tax Registration Number in each invoice. The bidder shall also submit the copy of the Service tax Registration Certificate for BSNL record. The offer shall be firm in Indian Rupees. No foreign exchange will be made available by the BSNL. 9.1 Service maintenance contract charges shall be quoted for one year. 9.2 The Bidder shall give the total composite price inclusive of all Levies and Taxes i.e Sales Tax, service tax & Excise, packing, forwarding, freight and insurance etc., but excluding Octroi/Entry Tax which will be paid extra as per actuals wherever applicable. The basic unit price and all other components of the price need to be individually indicated against the goods it proposes to supply under the contract as per the price schedule given in Section VII, Part II. Prices of incidental services should also be quoted. The offer shall be firm in ‘Indian’ Rupees. No Foreign exchange will be made available by the Purchaser.

9.3. A bid submitted with an adjustable price quotation is likely to be treated as non-responsive and will be rejected summarily.

9.4 “DISCOUNT”, if any, offered by the bidder shall not be considered unless specifically indicated in the price schedule. Bidders desiring to offer discount shall therefore modify their offer suitably while quoting and shall quote clearly net price taking all such factors like Discount, free supply, etc., into account”.

9.5 The price approved by the BSNL for award of Service maintenance contract will be inclusive of all levies and taxes except service tax.

9.6 Prices charged by the Bidder for services performed under the Service maintenance contract shall not be higher from the prices quoted by the Bidder in his Bid.

9.7 In case of downward revision of statutory levies/Taxes during the Tender period of the tender, the BSNL reserves the right to ask for reduction in the prices

10. DOCUMENTS ESTABLISHING BIDDER’S ELIGIBILITY AND QUALIFICATION:

10.1 The bidder shall furnish, as part of bid documents establishing the bidder’s eligibility the following documents or whichever is required as per terms and conditions of Bid Documents. i. Certificate of incorporation. ii. Article or Memorandum & Article of Association or Partnership Deed or Proprietorship Deed as the case may be. iii. Latest and valid NSIC Certificate duly certified by NSIC iv. Registration certificate of CST / VAT / service tax / PAN duly attested copy. v. Valid Electrical license issued by the competent authority. vi. Current license from State Labour Commissioner for the labour being employed.

10.2 In order to enable the Purchase to assess the proven-ness of the system offered, the bidder shall provide documentary evidence regarding the system being offered by him.

11. DOCUMENTS ESTABLISHING GOODS CONFORMITY TO BID DOCUMENTS

11.1 Pursuant to clause 7, the bidder shall furnish, as part of his bid, documents establishing the conformity of his bid to the Bid Documents of all goods and services which he proposes to supply under the contract.

11.2 The documentary evidence of Maintenance Infrastructure service Experience of all equipments viz. Power Plants, Diesel Generator and Air Conditioners etc in conformity with the Bid. Documents may be in the form of literature and data demonstrating substantial responsiveness to the Technical Specification and commercial conditions and shall furnish a clause-by-clause compliance on the BSNL's all terms and conditions of this bid (Tender document and addendum/clarifications if any). A bid without clause-by clause compliance shall not be considered for evaluation and will be summarily rejected. 11.3 For purposes of compliance, the bidder shall sign on each and every page along-with the seal of the company.

12. BID SECURITY: 12.1 Pursuant to Clause 7, the bidder shall furnish, as part of his bid, a Bid Security for an amount of Rs. 2,75,000/- (Rupees Two lakhs Seventy five thousand only). The bidders (Small Scale Units) who are registered with National Small Scale Industries Corporation under SINGLE POINT REGISTRATION SCHEME, are exempted from payment of bid security upto the amount equal to their monitory limit or Rs.50 Lakhs which ever is lower.

• A proof regarding current registration with NSIC for the tendered items will have to be attached along with the bid. • The enlistment certificate issued by NSIC will not be permanent and should be renewed within two years of its presentation . • The unit claiming concession of NSIC is required to submit its monthly turnover in support of its claim for meeting the delivery schedule.

12.2 The bid security is required to protect the purchaser against the risk of bidders conduct, which would warrant the forfeiture of bid security, pursuant to Para 12.7

12.3 The bid security shall be in the form of Bank Guarantee issued by a Scheduled Bank in favour of the purchaser valid for a period of 180 days from the date of tender (Technical Bid) opening or Demand Draft drawn in favour of “BSNL, Bangalore Telecom District” payable at Bangalore.

12.4 The bid not secured in accordance with para 12.1 and 12.3 shall be rejected by the Purchaser being non-responsive.

12.5 The bid security of the unsuccessful bidder will be discharged / returned as promptly as possible but not later than 30 days after the expiry of the period of bid validity prescribed by the Purchaser pursuant to Clause 13.

12.6 The successful bidder’s bid security will be discharged upon the bidders acceptance of the advance purchase order satisfactorily in accordance with Clause 27 & furnishing the performance security.

12.7 The bid security may be forfeited. a. If the bidder withdraws his bid during the period of bid validity specified by the bidders in the Bid Form, or b. In the case of successful bidder, if the bidder fails:

i. To sign the contract in accordance with Clause 28 or ii. To furnish performance security in accordance with Clause 27.

c. In both the above cases, i.e 12.7 (a) and (b), the bidder will not be eligible to participate in the tender for same item for one year from the date of issue of APO. The bidder will not approach the Court against the decision of BSNL in this regard.

13. PERIOD OF VALIDITY OF BIDS

13.1 Bid shall remain valid for 150 days from the date of opening of bids prescribed by the purchaser, pursuant to Clause 19.1. A bid valid for a shorter period shall be rejected by the purchaser being non-responsive.

13.2 In exceptional circumstances, the purchaser may request the consent of the bidder for an extension to the period of bid validity. The request and the response thereto shall be made in writing. The bid security provided under Clause 12, shall also be suitably extended. The bidder may refuse the request without forfeiting his bid security. A bidder accepting the request and granting extension will not be permitted to modify his bid .

14. FORMAT AND SIGNING OF BID:

14.1 (i) The bidder shall prepare one complete set of original bid inclusive of all necessary certificate etc., as at clause 10 & 11.

(ii) The copy of quality manual and Article or Memorandum of Association may be provided along with tender documents .

14.2 The original of Bid shall be typed or printed and all the pages numbered consecutively and shall be signed by the bidder or a person or persons duly authorized to bind the bidder to the contract. The letter of authorization shall be indicated by written power-of-attorney accompanying the bid. All pages of the original bid except for un-amended printed literatures, shall be signed by the person or persons signing the bid. The bid submitted shall be sealed properly.

14.3 The bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the bidder in which case such correction shall be signed by the person or persons signing the bid.

14.4 i. The Power of Attorney should be submitted and executed on the non-judicial stamp paper of appropriate value as prevailing in the respective states(s) and the same be attested by a Notary public or registered before Sub-Register of the states(s) concerned.

ii. The power of Attorney be executed by a person who has been authorized by the Board of Directors of the bidder in this regard. On behalf of the Company/Institution/Body corporate.

iii. In case of the bidder being a firm, the said Power of Attorney should be executed by all the partner(s) in favour of the said Attorney.

D. SUBMISSION OF BIDS:

15. SEALING AND MARKING OF BIDS:

15.1.1 The Tender bid consists of two envelopes details of which as follows.

Envelope “A”- Unpriced Technical Bid will contain : a) Bid Security / EMD / valid NSIC (Document fee by DD also in case of website downloaded document). b) Bid form duly completed (Section VII, Part-I). c) Other documents mentioned in Clause 2 & 10 (as applicable).

e) “Original Bid” (all pages of tender document except Section VII, Part-II) duly signed in all pages by authorised signatory. f) Covering letter for the above.

Envelope “B” - Price Bid/Financial Bid: The Price bid in Envelope B should contain the price schedule in the same proforma (Section-VII, Part-II).

15.1.2 Unpriced Technical and Commercial bids ( Envelope ‘A’ ) & Price bids ( Envelope ‘B’ ) both are to be wax / tape sealed in separate covers and to be submitted in one Big envelope wax / tape (Sealed) containing both the covers. Unpriced Technical and Commercial bids in Envelope A should essentially contain EMD, the total technical solution offered for the proposal along with the diagram, the Technical Specifications of the components offered along with the statement of deviation from technical specification, in addition to the items covered under clause 15.1.1.

The Technical bid will be opened first. Price bid / Financial bid in Envelope ‘B’ containing price/rate for the tendered item will be opened on a later date only if Envelope A is in order . The date of opening of ‘B’ Bid will be intimated later. The envelope ‘B’ marked Financial bid / Price bid will be opened only for qualified bidders in the Technical and commercial bid (Envelope ‘A’). Price bids in envelope 'B' of disqualified and non-responsive bids will not be opened and same will be returned to the bidder in due course by registered post or by hand.

15.2 (a) The envelope will be wax / tape sealed containing all documents under Clause 15 shall be addressed to Purchaser at the following address :

(b) The envelopes shall bear the words “Maintenance Service Contract for providing Maintenance Service for Mobile BTS Infrastructure Equipments in BGTD” , the tender No. MM-549/I/2012-13/2 dtd. 08.10.2012 and the words “DO NOT OPEN BEFORE 30.10.2012 at 1500 hours” in bold letters on top.

(c ) The inner and outer envelopes shall indicate the name and address of the bidders to enable the bid to be returned unopened in case it is declared ‘late’ or rejected.

(d) Tender may be sent by Registered Post or delivered in person on above mentioned address (address is given in Clause 15.2 (a) above). The responsibility for ensuring that the tenders are delivered in time would vest with the bidder.

(e) Bids delivered in person upto the day of tender opening shall be delivered upto 1400 hrs in the Tender Box kept at the Office of SDE (MM-I), 4 th Floor, Telephone House, Rajbhavan Road, Bangalore -01 before the due time and due date. The Purchaser shall not be responsible if the bids are delivered elsewhere.

(f) Tender will be opened at the venue (address is given in Clause 15.2 (a) above) at 1500 hrs on the due date. If due to administrative reasons, the venue of bid opening is changed, it will be intimated on web site.

15.3 If the envelopes are not wax / tape sealed and marked as required at para 15.1 & 15.2, the bid is liable to be rejected.

16. SUBMISSION OF BIDS:

16.1 Bids must be received by the Purchaser at the address specified under Para 15.2 not later than due time on due date.

16.2 The Purchaser may, at his discretion, extend this deadline for the submission of bids by amending the bid documents in accordance with Clause 6 in which case all rights and obligations of the Purchaser and bidders previously subject to the deadline will thereafter be subject to the deadline as extended.

16.3 The bidder shall submit his bid offer against a set of bid documents purchased by him for all or some of the system/equipments as per required of the bid documents. He may include alternate offer, if permissible as per the bid. However, not more than one independent and complete offer shall be permitted by the bidder.

17. LATE BIDS: Any bid received by the purchaser after the deadline for submission of bids prescribed by the purchaser pursuant to clause 16, shall be rejected and returned unopened to the bidder.

18. MODIFICATION AND WITHDRAWAL OF BIDS:

18.1 The bidder may modify or withdraw his bid after submission provided that the written notice of the modification or withdrawal is received by the purchaser prior to the deadline prescribed for submission of bids.

18.2 The bidder’s modification or withdrawal notice shall be prepared, sealed, marked and dispatched as required in the case of bid submission in accordance with the provision of clause 15. A withdrawal notice may also be sent by FAX but followed by a signed confirmation copy by post not later than the deadline for submission of bids.

18.3 Subject to Clause 20, no bid shall be modified subsequent to the deadline for submission of bids.

E. BID OPENING AND EVALUATION:

19. OPENING OF BIDS BY PURCHASER:

19.1 The Purchaser shall open Bids, in the presence of bidders or their authorised Representatives who choose to attend at due time on due date. The bidders representatives, who are present, shall sign in an attendance register. Authorisation letter to this effect shall be submitted by the bidders before they are allowed to participate in bid opening. (A Format is given in Section IX).

19.2 A maximum of one representative for any bidder shall be authorized and permitted to attend the bid opening.

19.3 The Bidders name, Bid prices, modifications, Bid withdrawals and such other details as the purchaser at its discretion, may consider appropriate will be announced at the time of opening. 19.4 The date fixed for opening of bids, if subsequently declared as holiday by the BSNL the revised date of schedule will be notified. However, in absence of such notification, the bids will be opened on next working day and venue remaining unaltered.

20. CLARIFICATION OF BIDS : To assist in the examination, evaluation and comparison of bids, the purchaser may at its discretion ask the bidder for the clarification of its bid. The request for clarification and response shall be in writing. However, no post bid clarification at the initiative of the bidder, shall be entertained.

21. PRELIMINARY EVALUATION :

21.1 Purchaser shall evaluate the bids to determine whether they are complete, whether any computational errors have been made, whether required sureties have been furnished, whether the documents have been properly signed and whether the bids are generally in order.

21.2 Arithmetical errors shall be rectified on the following basis. If there is a discrepancy between the Unit Price and Total Price that is obtained by multiplying the Unit Price and quantity, the unit price shall prevail and the total price shall be corrected by the purchaser. If there is a discrepancy between words and figures, the amount in words shall prevail . If the supplier does not accept the correction of the errors, his bid shall be rejected.

21.3 Prior to the detailed evaluation, pursuant to Clause 22, the Purchaser will determine the substantial responsiveness of each bid to the bid documents. For purposes of these clauses, a substantially responsive bid is one which confirms, to all the terms and conditions of the bid document without material deviations. The Purchaser’s determination of bid’s responsiveness shall be based on the contents of the bid itself without recourse to extrinsic evidence.

21.4 A bid, determined as substantially non-responsive will be rejected by the Purchaser and shall not subsequent to the bid opening be made responsive by the bidder by correction of the non-conformity .

21.5 The Purchaser may waive any minor infirmity or non-conformity or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or effect the relative ranking of any bidder.

22. EVALUATION AND COMPARISON OF SUBSTANTIALLY RESPONSIVE BIDS :

22.1 The Purchaser shall evaluate in detail and compare the bids previously determined to be substantially responsive pursuant to Clause 21.

22.2 (a) The evaluation and comparison of responsive bids shall be done on the basis of Net cost to BSNL on the prices of the goods offered inclusive of Duties and Taxes ( but excluding CENVAT – able Duties & Taxes), Sales tax, Packing, Forwarding, Freight and insurance charges etc. as indicated in Col. 17 of the price schedule in the Sec. VII part-II of the Bid - document. As stipulated in clause 9.1, octroi / Entry Taxes are not to be included in the composite price and hence the same will not be considered for the purpose of evaluation and comparison of responsive bids. However, octroi/ Entry taxes will be paid extra, as per actuals wherever applicable on production of proof of payment/ relevant invoices/ documents.

(b) i) “Duties & taxes for which the firm has to furnish cenvatable challans/ invoices will be indicated separately in the PO/APO.” ii) Vendors should furnish the correct E.D/customs tariff head in the price Schedule. If the credit for the Duties and taxes under CENVAT credit Rules,2004 is found to be not admissible at any stage subsequently owing to wrong furnishing of Tariff head, then the vendors will be liable to refund such non-admissible amount, if already paid, along with penalty if charged by the concerned authority . iii) In case the Duties & taxes which are non CENVAT – able as per the quotes indicated in the price schedule by the vendors and subsequently at any stage it is found that credit for such Duties & taxes is admissible as per CENVAT credit Rules, 2004, then the vendors will be liable to refund the amount equivalent to such Duties & Taxes if already paid to them. However, the purchaser may allow the supplier to submit necessary paid documents in this regard which may enable the purchaser to avail the CENVAT credit provided such credit is still available for the amount so paid as per CENVAT Credit Rules 2004.

iv) The purchaser reserves the right to ask the bidders to submit documentary proof confirming the correct Tariff head from the E.D./ Customs authority where the Tariff Head furnished against the particular tendered item by different bidders differs from each other or the same is found apparently not furnished in accordance with E.D/Customs Tariff notifications.

v) “If the supplier fails to furnish necessary supporting documents i.e. Excise/Customs invoices etc. in respect of the Duties/Taxes which are Cenvatable, the amount pertaining to such Duties/Taxes will be deducted from the payment due to the firm.”

23 CONTACTING THE PURCHASER:

23.1 Subject to Clause 20, no bidder shall try to influence the Purchaser, on any matter relating to its bid, from the time of the bid opening till the time the contract is awarded.

23.2 Any effort by a bidder to modify his bid or influence the Purchaser in the Purchaser’s bid evaluation , bid comparison or contract award decisions shall result in the rejection of the bid.

F. AWARD OF CONTRACT

24. PLACEMENT OF ORDER 24.1 The BSNL shall consider placement of order for Maintenance service contract for a period of one year on bidder whose offer has been found technically, commercially and financially acceptable and lowest in price. 24.2 The work order for the Maintenance service contract will be awarded for the GSM Mobile Network’s Infrastructure equipments (Power Plants, Air Conditioners along with stabilizer and Timer, Diesel Generators, diesel filling of DGs,, Fire Cum Smoke Intruder unit and the Sensor for the Aviation Lamp including upkeep of BTS sites . Successful Maintenance service provider has to submit the performance guarantee from a Nationalized Bank for a sum equal to the One Year Maintenance Charges for the due performance of the contract for 18 months.

25. PURCHASER’S RIGHT TO VARY QUANTITIES:

(a ) The purchaser will have the right to increase or decrease up to 25% of the quantity of goods and services specified in the schedule of requirements without any change in the unit price or other terms and conditions at the time of award of contract or upto 50% of the additional quantities of goods and services contained in the running tender/contract can be ordered within a period of twelve months from the earliest date of acceptance of APO at the same rate negotiated (downwardly) with the existing venders considering reasonability of rates based on prevailing market conditions and the impact of reduction in duties and taxes etc. and supplies to be obtained supplies to be obtained within delivery period scheduled & fresh.

(b) In exceptional situation where the requirement is of an emergent nature and it is necessary to ensure continued supplies from the existing vendors the purchaser reserves the right to place repeat order up to 100% of the quantities of goods and services contained in the running tender/contract within a period of twelve months from the earliest date of acceptance of APO at the same rate or a rate negotiated (downwardly) with the existing vendors considering the reasonability of rates based on prevailing market conditions and the impact of reduction in duties and taxes etc. Exceptional situation and emergent nature should be spelt out clearly detailing the justification as well as benefits accrued out of it and loss incurred in case this provision is not invoked and approved by the authority competent to accord administrative and financial approval for the procurement calculated on the basis of total procurement i.e. initial and proposed add on quantity.

(c ) BSNL Board will have full power to accord administrative approval and financial concurrence to procure any equipment/material in any quantity by any means in the exigencies of services and interest of BSNL. . 26. PURCHASER’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS:

The Purchaser reserves the right to accept or reject any bid and to annul the bidding process and reject all bids, at any time prior to award of contract without assigning any reason whatsoever and without thereby incurring any liability to the affected bidder or bidders on the grounds of the Purchaser’s action.

27. ISSUE OF ADVANCE PURCHASE ORDER

27.1 The issue of advance purchaser order shall constitute the intention of the purchaser to enter into contract with the bidder.

27.2 The bidder shall within 14 days of issue of advance purchase order, give his acceptance along with performance security in conformity with Section VIII provided with the bid document.

28. SIGNING OF CONTRACT:

28.1 The issue of Purchase Order shall constitute the award of contract on the bidder.

28.2 Upon the successful bidder furnishing performance security pursuant to clause 27, the Purchaser shall discharge the bid security in pursuant to clause 12.

29. ANNULMENT OF AWARD Failure of the successful bidder to comply with the requirement of Clause 28 shall constitute sufficient ground for the annulment of the award and forfeiture of the bid security in which event the Purchaser may make the award to any other bidder at the discretion of the Purchaser or call for new bids.

30. While all the conditions specified in the Bid Documents are critical & are to be complied, special attention of bidder is invited to the following Clauses of the bid documents. Non-compliance of any one of which shall result in outright rejection of the bid.

i. Clause 12.1 & 12.3 & 13.1 of Section II: The bids will be rejected at opening stage if Bid Security is not submitted as per Clauses 12.1 & 12.3 and bid validity is less than the period prescribed in Clause 13.1 mentioned above.

ii. Clause 2 & 10 of Section II: If the eligibility conditions as per Clause 2 of Section II is not met and / or documents prescribed to establish the eligibility as per Clause 10 of Section II are not enclosed, the bids will be rejected without further evaluation.

iii. Clause 11.2 (c ) of Section II: If clause-by-clause compliance and deviation statements as prescribed are not given; the bid is liable to be rejected at the stage of primary evaluation. In case of no deviations, a statement to that effect must be given.

iv. Section III Commercial conditions, Section IV Special Conditions of Contract & Section VI Technical Specifications: Compliance if given using ambiguous words like “Noted”, “Understood”, “Noted & Understood” shall not be accepted as complied. Mere “Complied” will also not be sufficient, reference to the enclosed documents showing compliances must be given.

v. Section VII Price Schedule: Prices are not filled in as prescribed in price Schedule.

vi. Section II Clause 9.5 on discount which is reproduced below:

“Discount, if any, offered by the bidder shall not be considered unless specifically indicated in the price schedule. Bidders desiring to offer discount shall therefore modify their offer suitably while quoting and shall quote clearly net price taking all such factors like Discount, free supply, etc. into account”. vii. Before outright rejection of the Bid by Bid-opening team for non-compliance of any of the provisions mentioned in 30 (i), 30 (ii) of Section-II and clause 2 of Section-IV though, the bidder company is given opportunity to explain their position, however if the person representing the company is not satisfied with the decision of the Bid opening team, he/they can submit the representation to Bid opening team immediately but in no case after closing of the tender process with full justification quoting specifically the violation of tender conditions if any.

Bid opening team will not return the bids submitted by the bidders on the date of tender opening even if it is liable for rejection and will preserve the bids in sealed cover as submitted, by taking signatures of some of the desirous representatives of the participating bidder / companies present on the occasion.

The in-charge of the Bid opening team will mention the number of bids with name of company found unsuitable for further processing on the date of tender opening and number of representations received in Bid opening minutes and if Bid opening team is satisfied with the arguments of the bidder/company mentioned in their representation and feel that there is prima-facie fact for consideration, the in-charge of the Bid opening team will submit the case for review to competent authority PGM, BGTD, Bangalore-01, as early as possible preferably on next working day and decision to this effect should be communicated to the bidder /company within a week positively. Bids found liable for rejection and kept preserved on the date of tender opening will be returned to the bidders after issue of P.O. against the instant tender.

If the reviewing officer finds it fit to open the bid of the petitioner that should be done by giving three (working) days notice to all the participating bidders to give opportunity to desirous participants to be present on the occasion.

31. Purchaser reserves the right to disqualify the supplier for a suitable period who habitually failed to supply the equipment in time. Further, the suppliers whose equipment do not perform satisfactory in the field in accordance with the specifications may also be disqualified for a suitable period as decided by the purchaser.

32. Purchaser reserves the right to blacklist a bidder for a suitable period in case he fails to honour his bid without sufficient grounds.

33. The bidder should give a certificate that none of his/her near relative is working in the units as defined below where he is going to apply for the tender. In case of proprietorship firm certificate will be given by the proprietor. For partnership firm certificate will be given by all the partners and in case of limited company by all the Directors of the company excluding Government of India/Financial institution nominees and independent non-Official part time Directors appointed by Govt. of India or the Governor of the State. Due to any breach of these conditions by the company or firm or any other person the tender will be cancelled and Bid Security will be forfeited at any stage whenever it is noticed and BSNL will not pay any damage to the company or firm or the concerned person.

The company or firm or the person will also be debarred for further participation in the concerned unit.

The near relatives for this purpose are defined as:-

(a) Members of a Hindu undivided family.

(b) They are husband and wife.

(c) The one is related to the other in the manner as father, mother, son(s) & Son’s wife (daughter in law), Daughter(s) and daughter’s husband (son in law), brother(s) and brother’s wife, sister(s) and sister’s husband (brother in law).

The format of the certificate to be given is “I…………………..s/o………………. r/o…………….. hereby certify that none of my relative(s) as defined in the tender document is/are employed in BSNL unit as per details given in tender document. In case at any stage, it is found that the information given by me is false/incorrect, BSNL shall have the absolute right to take any action as deemed fit/without any prior intimation to me.”

34. “The bidder will verify the genuineness and correctness of all documents & certificates, including experience /performance certificates, issued either by the bidder or any other firm/associate before submitting them in the bid. The onus of proving genuineness of the submitted documents would rest with the bidder.

As per the requirement of the tenders conditions if any document/paper /certificate submitted by the participant bidder is found to be false / fabricated /tampered/ manipulated at any stage during bid evaluation or award of contract, then the bid security(EMBG) of the bidder would be forfeited and the bidder would be disqualified from the tender. Action would also be taken for banning of business dealing with the defaulting firm. In case contract has already awarded to the bidder then PBG would be forfeited. & the contract would be rescind /annulled and BSNL would be at liberty to procure the ordered goods and services from any other source at the risk and cost of the defaulting bidder. Action would also be taken for banning business dealing with the defaulting firm.

To obviate any possibility of doubt and dispute and maintain veracity of the documents /papers/certificates, the documents conforming to eligibility part will be submitted by the participant bidder in a separate cover fully stamped and signed by the authorized signatory along with EMBG(bid security ) of requisite amount and will be opened at the time of tender opening. The documents/papers to be submitted in a separate cover will be explicitly mentioned in clause 15 of section-II . These papers will be signed by the Incharge of the tender opening team and the authorized representative of the bidder company and will be kept preserved along with the original bid and in case of any dispute this paper will be treated as authentic one.

SECTION III

GENERAL (COMMERCIAL) CONDITIONS OF CONTRACT

1. APPLICATION: The general condition shall apply in contracts made by the purchaser for the procurement of goods.

2. TERMS and CONDITIONS : The services provided under this contract shall conform to terms and conditions as prescribed in the special conditions mentioned in Section-VI.

3. PATENT RIGHTS: The supplier shall indemnify the purchaser against all third-party claims of infringement of patent, trademark or industrial design rights arising from use of the goods or any part thereof in Indian Telecom Network.

4. PERFORMANCE SECURITY:

4.1 “ All Suppliers (including small scale units who are registered with the National Small Scale Industries Corporation under Single point registration scheme) shall furnish performance security to the purchaser for an amount equal to 5% of the value of purchase order within 14 days from the date of issue of advance purchase order by the purchaser”.

4.2 The proceeds of the performance security shall be payable to the Purchaser as compensation for any loss resulting from the supplier’s failure to complete its obligations under the contract.

4.3 The performance security Bond shall be in the form of Bank Guarantee issued by a scheduled Bank and in the form provided in ‘Section VIII’ of this Bid Document.

4.4 The performance security Bond will be discharged by the Purchaser after completion of the supplier’s performance obligations, including any Warranty obligations under the contract.

5. INSPECTIONS AND TESTS:

The BSNL's representative shall have the right to inspect the premises of the prospective bidders’ facility and the quantity and quality of the Diesel being supplied.

6 MAINTENANCE SERVICE CONTRACT CHARGES AND PAYMENTS:

6.1.1. The MAINTENANCE SERVICE CONTRACT charges shall be paid by BSNL on monthly basis from the beginning of MAINTENA NCE SERVICE CONTRACT. Monthly payments will be made after deducting penalties(mentioned in Annexure-2 based on the logbook entries. 6.1.2 This price is total composite inclusive of all levies and taxes, packing, forwarding, freight, insurance and incidental charges etc. TDS shall be deducted before actual payment.

6.1.3 PRICE ESCALATION:

The Bharat Sanchar Nigam Limited shall not be responsible for any escalation in prices of labour or materials, machinery, equipment etc. what-so-ever or any increase in any duties, levies, or taxes in respect thereof whatsoever and the Bidder rates and Bidder’s obligation shall remain unaffected by such escalation and/or increase. However if during the execution of the contract any decrease in rate of material the same will pass to the BSNL.

6.2 Bidder shall submit Monthly reports.

6.2.1 PAYING AUTHORITY : THE SENIOR ACCOUNTS OFFICER (CASH) HQ, O/O PGM, BSNL, BGTD, TELEPHONE HOUSE, I FLOOR, RAJ BHAVAN ROAD, BANGALORE – 560 001.

7. DELAYS IN THE BIDDER'S PERFORMANCE :

7.1 Delay in Performance of services shall attract penalty for the bidder in accordance with SECTION-VII, . Part-II. 7.2 If at any time during performance of the Contract, the Bidder should encounter conditions impending timely performance of service, the Bidder shall promptly notify to the BSNL in writing of the fact of the delay, its likely duration and its causes(s). As soon as practicable after receipt of the Bidder’s notice, the BSNL shall evaluate the situation and may at its discretion extend the period of performance of the contract after mutual discussion with the Bidder.

8. TERMINATION FOR DEFAULT: If the bidder is not turning up for attending any faults reported upon continuously for 5 days and/or if the bidder fails rectify at least 90% of all the faults reported with in the time frame of the tender consecutively for 15days then BSNL has the right to terminate the contract and also the performance security submitted by the bidder will be en-cashed.

9. TERMINATION FOR INSOLVENCY:

The BSNL may at any time terminate the Contract by giving written notice to the Bidder, without compensation to Bidder, if the Bidder becomes bankrupt or otherwise insolvent as declared by the competent court provided that such termination will not prejudice or affect any right or action or remedy which has accrued or will accrue thereafter to the BSNL.

10. FORCE MAJEURE:

10.1 If, at any time, during the continuance of the contract, the performance in whole or in part by either party or any obligation under this contract is prevented or delayed by reasons of any war or hostility, acts of the public enemy, civil commotion, sabotage, fires, floods, explosions, epidemics, quarantine restrictions, strikes, lockouts, or act of God (Hereinafter referred to as events) provided notice of happenings, of any such eventuality is given by either party to the other within 21 days from the date of occurrence thereof, neither party shall by reason of such event be entitled to terminate this contract nor shall either party have any claim for damages against other in respect of such non-performance or delay in performance, and deliveries under the contract shall be resumed as soon as practicable after such an event come to an end or cease to exist, and the decision of the Purchaser as to whether the deliveries have been so resumed or not shall be final and conclusive. Further that if the performance in whole or part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days either party may, at its option, terminate the contract.

10.2 Provided, also that if the contract is terminated under this clause, the Purchaser shall be at liberty to take over from the supplier at a price to be fixed by the Purchaser, which shall be final, all unused, undamaged and acceptable materials, bought out components and stores in the course of manufacture which may be in possession of the supplier at the time of such termination or such portion thereof as the Purchaser may deem fit, accepts such materials, bought out components and stores as the supplier may with the concurrence of the Purchaser elect to retain.

11. TERMINATION FOR INSOLVENCY:

The Purchaser may at any time terminate the Contract by giving written notice to the Supplier, without compensation to the Supplier. If the Supplier becomes bankrupt or otherwise insolvent as

declared by the competent court provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to the Purchaser.

12. ARBITRATION:

12.1 In the event of any question, dispute or difference arising under this agreement or in connection there – with (except as to matters, the decision to which is specifically provided under this agreement), the same shall be referred to sole arbitration of the PGM, BSNL, BGTD, Raj Bhavan Road, Bangalore-560 001, or in case his designation is changed or his office is abolished, then in such cases to the sole arbitration of the Officer for the time being entrusted (whether in addition to his own duties or otherwise) with the functions of the PGM, BSNL, BGTD, Raj Bhavan Road, Bangalore-560 001 , or by whatever designation such Officers may be Called (hereinafter referred to as the said Officer) and if the PGM or the said Officer is unable or unwilling to act as such, then to the sole arbitration of some other person appointed by PGM or the said Officer. The agreement to appoint an arbitrator will be in accordance with the Arbitration and Conciliation Act, 1996.

12.2 There will be no objection to any such appointment that the Arbitrator is Government Servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as a Government Servant he has expressed his views on all or any of the matters in dispute. The award of the Arbitrator shall be final and binding on both the parties to the agreement. In the event of such an arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reasons whatsoever, the PGM, BSNL or the said Officer shall appoint another person to act as arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to proceed from the stage at which it was left out by his predecessors.

12.3 The arbitrator may from time to time with the consent of parties enlarge the time frame for making and publishing the award. Subject to aforesaid Arbitration and Conciliation Act, 1996 and the Rules made there under, any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause.

12.4 The venue of the arbitration proceeding shall be the Office of the PGM, BSNL, Bangalore Telecom District, Telephone House, Raj Bhavan Road, CTO Building, Bangalore-560 001 or such other places as the arbitrator may decide.

13. COURT JURISDICTION:

i. Any dispute arising out of the tender/bid document/evaluation of bids/issue of APO shall be subject to the jurisdiction of the competent court at the place from where the NIT/tender has been issued.

ii. Where a contractor has not agreed to arbitration, the dispute/claims arising out of the Contract/PO entered with his shall be subject to the jurisdiction of the competent Court at the place from where Contract/PO has been issued. Accordingly, a stipulation shall be made in the contract as under.

“This Contract/PO is subject to jurisdiction of Court at Bangalore only”.

14. SET OFF:

Any sum of money due and payable to the supplier (including Security deposit refundable to him) under this contract may be appropriated by the Purchaser or the BSNL or any other person or persons contracting through the BSNL, India and set off the same against any claim of the Purchaser or BSNL or such other person or person(s) for payment of a sum of money arising out of this contract or under any other contract made by the supplier with the Purchaser or BSNL or such other person(s) contracting through BSNL, India.

15. INCIDENTAL DAMAGES 15.1 Not withstanding any of the other provisions contained in this Tender/Contract, the Bidder shall protect, defend, indemnify and hold harmless to BSNL and its employees, officers, Directors, agents, or representatives from and against any and all liabilities, damages, fines, penalties and costs(including legal costs and disbursement) arising from ‘or’ relating to:

a. Any breach of any statute, regulation, direction, orders or standards from any governmental body, agency, or regulator. b. Any claim made by third parties arising out of use of the services of BSNL being provided using the MAINTENNCE SERVICE CONTRACT services under the Tender. c. Claims arising in connection with interruptions ‘or’ degradation of services to BSNL customers ‘or’ to other service providers whatsoever shall be the cause ‘or’ duration thereof; and d. Any claim that the equipment/services/’or’ any value addition component offered and supplied by the bidder in this tender, infringe any patent, trademarks or copyright of any third party.

The bidder shall furnish on unequivocal, unqualified and irrecoverable undertaking along with the Bid Document to the effect that; During the Bidding process ‘or’ during the course of execution of the Contractor ‘or’ at any stage thereafter, if it is found that the Bidder has fraudulently misrepresented any of the facts about the product/services etc being offered under the Tender/Contract, the BSNL(BSNL) shall be free to claim a sum equivalent to damage as assessed by it subject to a maximum of the Value of the Tendered services from the Bidder for such misrepresentation. The Bidder shall immediately on being told by BSNL pay such sum of money to BSNL. Quantum of damages under this clause assessed and levied by the BSNL(BSNL) shall be final and not challengeable by the Bidder/supplier..

SECTION IV

SPECIAL CONDITIONS OF THE CONTRACT

1. The special conditions of contract shall supplement the “Instructions to the bidders” as contained in Section II & ‘General (Commercial) Conditions of the Contract’ as contained in Section III and wherever there is a conflict, the provisions herein shall prevail over those in Section II and Section III.

2. The Bank guarantee for Bid Security or NSIC Certificate for claiming exemption from submission of Bank Guarantee against Bid Security, as prescribed in Clauses 12.1 and 12.3 of Section II of the bid document and Proof of Execution of E.O/C.O as required under Clause 2 of Section II shall be submitted along with the bids in Envelope “A” (Un price Technical Bid ) cover. The Bank Guarntee so submitted shall be as per the format given in Annexure-II on prescribed judicial paper with stamps of proper value and should contain full address of the issuing branch of the bank with its telephone number and FAX number.

3. The Small Scale Industries registered with National Small Scale Industries Corporation (NSIC) for the tendered item under single point registration scheme and desirous of claiming concession available to such units inclusive of bid security should submit their latest NSIC certificates and documents in respect of their monitory limit and financial capability duly certified by NSIC.

4. Inspection Authority: The BSNL's representative shall have the right to inspect the premises of the prospective bidders’ facility and the quantity and quality of the Diesel being supplied.

5 The purchaser intends to limit the number of technically and commercially responsive bidders to the first One from the list of such bidders arranged in increasing order of their evaluated prices starting from the lowest for the purpose of ordering against this tender. The bidder with the lowest evaluated price will be considered for 100% of the tendered quantity.

7. Repair of faulty equipment and setting up of repair facilities : Not Applicable

8. The date fixed for opening of bids if subsequently declared as holiday by BSNL, the revised date of schedule will be notified. However, in absence of such notification, the bids will be opened on the next working day, time and venue remaining unaltered.

9. Purchaser reserves the right to disqualify such bidder who have a record of not meeting contractual obligations against earlier contracts entered into with the Purchaser.

10. Purchaser reserves the right to black list a bidder for a suitable period in case he fails to honour his bid without sufficient grounds.

11. Multiple Vendors with same rate will be treated as one single bidder for quantity allocation.

12. The Purchaser reserves the right to counter offer price (s) against price (s) quoted by any bidder.

13. The Purchaser reserve the right to increase or decrease the quantity up to 100% of the total quantity at the time of ward.

15. Evaluation Criteria : The evaluation is on a package basis for all the works as per the description/ Scope of work taken together mentioned in this document. The bidder with lowest evaluated price will be considered for 100% of the tender quantity.

1. Details of BTS sites: There are approximately 500 GSM BTS sites for which maintenance service is to be rendered. Out of this 446 are in urban area and 54 sites are in rural area. In Urban or Rural area, all the sites are to be made in groups of 10. One Technician should be Provided for group of 10 Sites. For 6 nos. of Technician one superior should be provided. Any part of 10 sites or below one technician should be deployed. Two Coordinators for fault reporting system. One Technician Manager for over all management of process has to be provided.

These 500 sites are divided in to 4 divisions as detailed below .

2. OBLIGATIONS OF SERVICE PROVIDER.

2.1 Service Provider shall ensure that it provides to BSNL the operational and maintenance Services on 365×24 basis free from all sorts of defects and deficiencies, at no additional cost, irrespective of the number of faults, number of cell sites and their locations. Service Provider shall ensure all supervision of the Services rendered by it. 2.2 Service Provider shall ensure that its personnel deployed at the cell sites possess requisite qualification, skill, expertise and possess professional certification from the appropriate authorities for due performance of work entrusted to them. 2.3 Service Provider shall ensure that its personnel at the cell site be in proper uniform with identity cards and shall be properly guarded with safety shoes and gloves. The personnel shall have a valid driving licenses and other related documents to drive a 2-wheeler or any other conveyance provided to them by Service Provider for fault rectification at the cell sites of BSNL. 2.4 Service Provider shall try to maintain excellent liaison with electricity board officials to ensure restoration of Electric Board Power(“EB”) at the earliest time possible depending upon the nature of fault (Phase Failure, Cable Fault etc.) at no additional cost to BSNL. 2.5 Service Provider shall provide its own resources, staff, tools, instrument and equipment for carrying out the Services under this Agreement. The personnel/staff of the Service Provider shall at all the times be accessible through their mobile phones, provided by Service Provider at its own cost. All airtime charges for the calls made to BSNL on such account shall be borne by Service Provider. 2.6 Service Provider shall replace consumable spares such as fuses, bulbs, fluorescent tubes, starters, switches, cables etc. that may be required for day-to-day electrical repairs or maintenance, if provided by BSNL. 2.7 While rendering its Services at the cell sites, Service Provider shall be fully responsible and liable for any direct or indirect loss/damage to materials, equipment, furniture and fixtures of BSNL and its customers at the cell site attributed to its personnel/subcontractors/employees. Service Provider shall fully indemnify B SNL or its customers for such losses/damages.

2.8 Service Provider shall be solely responsible and liable for payment of all and any costs and liabilities associated with employment of its employees/personnel or sub-contractors who are deployed for rendering Services at the cell sites or otherwise, including but not limited to salary, income tax, Central Provident Fund contributions, insurance, workmen's compensation, and every payments or requirements under the Provident Fund and Miscellaneous Provisions Act, Employees State Insurance Act 1948, Minimum Wages Act, Payments of Wages Act, 1936, Workmen Compensation Act , 1923 and other infringements ("Employee Costs"). The Service Provider shall also ensure compliance with the requirement of the Contract Labour (Regulation and Abolition) Act, and submit details of all compliances and all forms as and when required. BSNL shall not be liable in any manner whatsoever for any non-compliance on part of Service Provider of the applicable laws and in the event of any adverse claim of whatsoever nature arising thereof, the entire burden shall be strictly borne by Service Provider. Service Provider shall indemnify BSNL against any costs including the legal expenses with respect to such liabilities.

3. REPRESENTATIONS & WARRANTIES OF THE SERVICE PROVIDER

The representations and warranties of the Service Provider set out in this clause shall survive the termination of this Agreement and its related documents and both Parties acknowledge that they have entered into this Agreement and other related documents in full reliance upon the representations and warranties as mentioned below.

3.1 Service Provider is a company duly formed and validly existing under the laws of India and has all the requisite corporate power, authority and necessary licenses and other related documents to execute and perform this Agreement. 3.2 Service Provider possesses the requisite manpower and adequate financial resources to fullfill all of its obligations set out in this Agreement, to the complete satisfaction of BSNL. 3.3 Service Provider has inspected and verified the availability, adequacy and functionality of any or all service descriptions, materials, equipment, facilities, transportation, personnel and all other matters necessary for timely execution of assignment/work order . 3.4 Service Provider further warrants and undertakes that in the event it fails to meet any of the warranties in the stipulated deadlines, BSNL may at its option and upon a notice to Service Provider engage the Services of any third party, at the sole risk and expense of Service Provider, to rectify /repair entire or any part of the materials/equipment /machinery or take any other Service, without prejudice to its right to impose the appropriate penalty on the Service Provider as envisaged by this Agreement.

4. RELATIONSHIP:

4.1 This Agreement is on a principal-to-principal basis and does not create any employee-employer relationship between the Parties. Service Provider, its employees/personnel, agents and representatives shall provide Services as independent entity and nothing contained herein shall be deemed to create any partnership or joint venture between the Parties or a merger of their assets or their fiscal or other liabilities or undertakings or create any employment or relationship of principal and agent between BSNL and Service Provider and/or its representatives, employees and agents. 4.2 At no time shall Service Provider represent to any third party that the scope of its association with BSNL extends beyond the scope of this Agreement. Persons employed by Service Provider will be under the sole and exclusive direction and control of Service Provider and shall not be considered employees of BSNL for any purpose.

SECTION VI

SCOPE OF SERVICES

1. Scope of Services: The Scope of Work to be provided by the Service Supplier is of carrying out electrical and technical maintenance services at cell sites as detailed below the list is indicative, not exhaustive. a) To undertake preventive maintenance activities / break down maintenance / fault management of electrical infrastructure equipment as listed below. The equipment may be of any capacity and of any make/vendor. • Microprocessor controlled Air Conditioner units and other Air conditioner units. • Diesel Generator Set & AMF Panel. • Isolation Transformer/ Servo Voltage stabilizer. • Power Plant. • VRLA Battery bank. • PIU/ ACPDB • Solar Systems if any. • DCDB • Earth pits • Energy Meter • Tower/ Mast/ Poles for MW, GSM antennas • Prefab Shelter/ Brick Room for equipment • Fire detection/ suppression system. • Any new addition of equipment in that particular cell site. • In case of any theft, service provider has to report to the Police Station and get the FIR copy. • Air conditioning units filters has to be cleaned periodically. b) The Service Supplier should attend all breakdown calls pertaining to power related on (24 x 7) round the clock basis. The total response time will be less than 2 hours irrespective of location. If any cell site having access/ transportation constraints to reach in a particular location should be agreed with BSNL operations team and at any case, the Total Access Time (TAT) will not to be exceeded/ the cell site should be attended to less than 2 hours during day time (06:00 hrs to 22:00 hrs) and less than 4 hours during night time (22:00 hrs to 6:00 hrs). Technician not responding within specified time for 3 times in a site, in a month service charges for that particular site shall not be paid for that month. Technician should visit all the sites daily in that cluster ,irrespective of faults in BTS. c) The Service Supplier shall arrange to fill diesel in the presence of BSNL representative as and when required at each cell site within short turn around time. The Service Supplier is responsible to receive supply, transport, loading, unloading and filling up of diesel for diesel generator sets of BSNL cell site locations across Bangalore Telecom district, assigned to them by BSNL operations team. d) Co-ordination with respective state electricity boards/ authorities, fault reporting/ rectification for trouble free operation, energy meter & power cable maintenance and compliance. e) The Service Supplier shall arrange for timely Electricity Bill collection from Cell sites/ various electricity board zone offices. f) Carry out periodic preventive maintenance of earth pits. g) Carry out physical checks and ensure proper fitting / termination of lightning arrestor. h) Carry out physical checks and ensure proper functionality of aviation lamp installed on tower top.

No. MM-549 / I / 2012-13/2 dtd. at BG-01, the 08.10.2012 i) Carry out physical checks and ensure that there is no leakage of High Speed Diesel (HSD)/ Oil from the DG Set. j) Ensure proper lock and key arrangement and maintenance of DG canopy, initially one time provision of lock and keys by BSNL operations team, subsequently, in case of loss of keys, cost of lock and keys replacement to be borne by Service Supplier. k) The Service Supplier needs to study the consumption pattern of HSD/Oil/electricity of site and in case of abnormal consumption, corrective action to be initiated in consultation with BSNL operations team and thereafter follow-up/ escalation. l) The Service Supplier should log the complaint and also coordinate with all 3 rd party vendors for undertaking various fault/ preventive maintenance activities at BTS site. m) To ensure proper house keeping of BTS site (including site premises). n) Major over hauling , repairs, break downs will be attended by BSNL.

Wherever DG is working, DG should be switched on within half an hour during power failure.

Two DG services are to be carried out in one year. All consumables for DG service will be provided by BSNL. At the start of the tender, oil filter, fuel filter and air filter are to be replaced in the presence of BSNL engineer. Second service is to be carried out after a gap of six months from the first service. Air filter need not be changed during second service but only be cleaned. o) All required preventive maintenance needs to be done with the help of standard prescribed tools. p) To extend the support to engineers in changing the HW/ Antenna on tower top. q) All required statutory arrangement for undertaking such works (on tower top) to be done by the Service Supplier. r) The Service Supplier should extend the support to BSNL operations team in resetting the Hardware installed at site and carry out simple tests in consultation with OMC/ field engineer. s) At every instant of outage, irrespective of reason, Service Supplier must deploy a technician to visit the site. t) The technicians deployed by Service Supplier should carry mobile phone with a valid connection to co-ordinate the activities in consultation with OMC/ BSS Engineer. u) The Service Supplier should be responsible for timely collection of EB/ Sub-Meter monthly bills of various sites within his area of operation and depositing to BSNL Office. v) The Service Supplier should notify BSNL operations team of any kind of mishap from a security or nuisance point of view. Service Supplier should also coordinate with any necessary government offices in connection with Services. w) The Service Supplier must carry out preventive maintenance schedule as per standard checklist. And also perform preventive maintenance schedule provided by the BSNL maintenance staff as and when given. x) The Service Supplier must carry out specific preventive maintenance schedule for Panels (ACPDB/AMF).

2. Service Level Parameters:

The Service Level Parameters for the Services mentioned in this Agreement are as detailed below:

(a) No of technicians to be deployed:

i. Min. one Technician for every 10 sites in urban areas ( 90% of total sites) ii. Min. one Technician for every 10 Sites in rural areas ( 10% of total sites)

(b) No. of supervisors deployment - Min. of 1 supervisor per 6 Technicians.

3. Penalty for DC power failure: BSNL shall impose a penalty on Service Provider for non-availability of network . Non availability of sites for every hour Rs.1,000/- will be imposed as a penalty due to negliance of service provider to a maximum of Rs.10,000/- per site per month. The time for calculating such Penalty shall be calculated from the time on which the notice (oral or in writing) given to the Service Provider by BSNL in this regard. In case of non-availability of sites due to BSNL reasons to be certified by concerned officer in-charge. If Technician / Supervisor is absent / not provided, a penalty of RS.1,000/- will be levied per day per cluster .

4. Operations & Maintenance Team: The Service Provider will have to take necessary arrangement for deployment of suggested operation & maintenance team across Bangalore telecom District. The manpower deployment suggested is the bare minimum requirement and BSNL have all rights to insist additional manpower which essentially required to take care of operations and to be deployed within 7 days of such notice to Service Provider. For entire Bangalore Telecom district Services should be headed by one senior level persons namely, manager . 5. FAULT BOOKING AND ESCALATION PROCEDURE:

5.1 CALL LOGGING PROCEDURE

5.2 Bidder shall provide phone/SMS based complaint booking mechanism for 24 x 7. It shall be possible to generate a Docket Number against the complaint/fault booked. The Complaint/Fault shall be considered to be acknowledged once Docket Number is allotted .. 5.3 The Bidder would appoint a designated person at contact point, may be at his office where bidders telephone and Fax are readily available, who will receive the docket from BSNL representative, assign the calls to the respective engineers and maintain the consolidated Log of each docket form event. 5.4 The escalation matrix and the list of support engineers with their names, location, and contact phone numbers are to be submitted by the bidder .

5.5 The Bidder also will maintain the logbook at each site where in the corrective/preventive maintenance undertaken by the contractor shall be recorded and the same shall be countersigned by the concerned BSNL in-charge for reference.

6. MAINTENANCE OF CALL DOCKETS, LOG BOOKS

6.1 The Bidder shall maintain the logbook at each site (to be kept with BSNL) wherein the corrective/preventive maintenance undertaken by the Bidder shall be recorded .The details of Diesel filled be noted along with OMR and CMR of DG meters and the same shall be countersigned by the concerned BSNL officer in-charge for reference. The checklist of preventive maintenance for the Power Plants, Diesel Generators, Air Conditioners along with Stabilizer and Timers, Fire &smoke cum Intruder Unit and Aviation Lamp sensor are attached as Annexures The format of the logbook for corrective and preventive maintenance that will be kept at designated contact point for recording the events.

SECTION XI

GENERAL CONDITIONS FOR SERVICES 1. Personnel

1.1 The Service Provider shall assign personnel of appropriate qualification, skill and experience to perform and fulfil its obligations under this Agreement. The Service Provider shall at all times ensure that all persons assigned to the execution of the Services shall be properly certified to perform the work entrusted upon them. The Service Provider shall ensure the necessary supervision of the personnel and the performance of the Services. Without limiting the Service Provider’s obligation to arrange the aforementioned supervision of the Services, BSNL may appoint a designated person to watch and inspect the Services. The person appointed by BSNL shall have the right to give instructions in respect of the performance of the Services including the right to cease the execution of the Services if the execution of the same is not in compliance with the requirements set out under this Agreement. 1.2 The Service Provider shall ensure that all its personnel comply with all legislative requirements in the execution of this Agreement. If requested by BSNL, the Service Provider shall promptly provide BSNL with a list of persons assigned to the assignment including information on their professional certifications. 1.3 Notwithstanding any degree of supervision exercised by BSNL over the assignment or Service Provider’s personnel, such personnel shall at all times be deemed to be the employees of Service Provider and the Service Provider shall remain responsible for the personnel. Under no circumstances shall an employment relationship be deemed to arise between BSNL and the Service Provider’s personnel.

2 Representatives

2.1 Each Party shall appoint an authorized representative to be the other Party’s principal contact to all matters related to the execution of the Assignment. Service Provider’s representative shall directly supervise, control and be primarily responsible for performance of the Assignment, including all day to day matters.

3 Use of Subcontractors

3.1 The Service Provider shall not, without the prior written approval of BSNL (which shall not be unreasonably withheld), subcontract any of the Services under the Agreement. 3.2 BSNL shall at all times have the right to forbid the service Provider from engaging subcontractors or other third parties to perform the Assignment or any part there of , in case such subcontractors are in the reasonable opinion of BSNL found to the unsuitable for the execution of the Assignment. 3.3 Notwithstanding any consent from BSNL, Service Provider shall at all times remain fully liable for the performance of any subcontracts or other third parties as for its own performance. 3.4 The Service Provider shall promptly at the request of BSNL provide sufficient details and/or any other information on the subcontractors. 3.5 BSNL shall at all times have the right, by itself or through an authorized third party to conduct an inspection at the premises of the Service Provider or any other premises where the Services are being performed during regular business hours in order to verify compliance with the Agreement

4 Supervision and Management of Services

4.1 The Service Provider shall be responsible for the daily supervision and management of the Services and delivery of any operation and management services in connection therewith. 4.2 The Service Provider shall supervise and manage the Services and deliver the Services efficiently, professionally and diligently and in full compliance with the Agreement.

5 Materials and Equipment

5.1 The Service Provider shall procure and provide, at its sole risk and expense, all materials and equipment necessary for the execution of the assignment, unless expressly agreed otherwise by the Parties in writing. All such materials and equipment shall be delivered at mutually agreed time and place or on similar terms with the rest of the services in case no such time and place has been separately agreed upon. 5.2 The Service Provider warrants that all materials and equipment supplied by the Service Provider under this Agreement shall be free from all defects and fit for the intended purpose. The Service Provider further warrants that all materials and equipment supplied by the Service Provider under this Agreement shall at all times comply with legislative requirements and all other relevant requirements, specifications, standards and

5.3 In case BSNL has agreed to procure any materials or equipment necessary for the execution of the assignment, BSNL shall use its best endeavours to provide such materials to the Service Provider at a mutually agreed time and place. The Service Provider shall be responsible for the acceptance, insurance and storage of all materials and equipment provided by BSNL. The Service Provider shall clearly mark all such materials and equipment with sufficient notices to clearly indicate that the equipment is property of BSNL all in accordance with any instructions that may be given by BSNL. 5.4 The Service Provider shall immediately inspect any materials and equipment provided by BSNL and promptly give notice to BSNL of any defect in such materials. After the inspection of the aforementioned equipment and materials by the Service Provider, the Service Provider shall take full responsibility for the care of such materials and equipment and assume liability for risk of any loss or damage thereto.

6 Terms of Payment

6.1 The agreed fee shall be deemed to include the cost of the whole of the assignment and shall include all activities and materials and other incidentals such as remedial work required to complete the assignment in accordance with this Agreement.

6.2 The Service Provider warrants that the manner of payment of the agreed fee provided for in this Agreement is not contrary to any applicable laws or regulations of the country in which the payment is remitted, in the event that any such law or regulation at any time requires such payment in some other manner, the Service Provider agrees to notify BSNL thereof in writing prior to submitting the respective invoice.

6.3 All amounts payable are gross amounts but exclusive of any value added tax, use tax, sales tax or similar tax. BSNL shall be entitled to withhold taxes. The Service Provider shall comply with all applicable tax, employment and other legislation and shall be responsible for taxes based upon its income or income of its personnel and all other employer’s payments under any applicable legislation. 6.4 Both Parties shall pay all taxes (including, but not limited to, taxes based upon its income) or levies imposed on it under applicable laws, regulations and tax treaties as a result of the agreement and any payments made hereunder (including those required to be withheld or deducted from payments) and shall furnish evidence of such paid taxes as is sufficient to enable to the other party to obtain any credits available to it

7 Environmental and Ethical Issues and Occupational Health and Safety

7.1 In addition and without limiting any other obligations of the Service Provider under the Agreement, the Service Provider shall at all times diligently enforce all national and international regulations concerning environmental and ethical issues, and occupational health and safety.

7.2 Prior to the commencement of the execution of the assignment the Service Provider shall implement appropriate risk management plans in relation to all occupational health and safety issues in accordance with generally accepted industry standards.

7.3 The Service Provider shall be committed to ethical conduct and respect for human rights in the spirit of internationally recognized social and ethical standards, e.g. SA8000. The Service Provider shall further monitor the ethical performance of its providers and subcontractors and shall inform BSNL immediately if it detects cases where ethical performance of BSNL’s providers or subcontractors com

MUTUAL NON-DISCLOSURE AGREEMENT

This Agreement is made as of the ______between Bharat Sanchar Nigam Limited (A Government of India Enterprise),O/)The GM(MSO-2), Shanakarapuram Telephone Exchange Building, Bangalore-560019., having its registered office at 10th Floor, Statesman House, B-148, Barakhamba Road, New Delhi-110001 herein after called “BSNL” which expression shall unless repugnant to the subject or the context mean and included its successors, nominees or assign and M/s …….. (Bidder), an Indian Company incorporated and registered under the companies Act 1956, having its registered office at ……………….. herein after referred to as the “Bidder” which expression shall unless repugnant to the subject or the context mean and include its successors, nominees or assigns. In order to pursue the mutual business purpose specified in Exhibit A (the "Business Purpose"), BSNL and Bidder recognize that there is a need to disclose to one another certain confidential information of each party to be used only for the Business Purpose and to protect such confidential information from unauthorized use and disclosure.

In consideration of the other party's disclosure of such information, each party agrees as follows:

1. This Agreement will apply to all confidential and proprietary information disclosed by one party to the other party, including information listed in Exhibit A and other information which the disclosing party identifies in writing as confidential before or within thirty days after disclosure to the receiving party ("Confidential Information").

2. Each party agrees (i) to hold the other party's Confidential Information in strict confidence, (ii) not to disclose such Confidential Information to any third parties, and (iii) not to use any Confidential Information for any purpose except for the Business Purpose. Each party may disclose the other party's Confidential Information to its responsible employees with a bona fide need to know, but only to the extent necessary to carry out the Business Purpose. Each party agrees to instruct all such employees not to disclose such Confidential Information to third parties, including consultants, without the prior written permission of the disclosing party.

3. Confidential information will not include information which: (i) is now, or hereafter becomes, through no act or failure to act on the part of the receiving party, generally known or available to the public: (ii) was acquired by the receiving party before receiving such information from the disclosing party and without restriction as to use or disclosure; (iii) is hereafter rightfully furnished to the receiving party by a third party, without restriction as to use or disclosure: (iv) is information which the receiving party can document was independently developed by the receiving party; (v) is required to be disclosed pursuant to law, provided the receiving party uses reasonable efforts to give the disclosing party reasonable notice of such required disclosure; or (vI) is disclosed with the prior written consent of the disclosing party.

4. Each party agrees not to remove any of the other party's Confidential Information from the premises of the disclosing party without the disclosing party's prior written approval. Each party agrees to exercise extreme care in protecting the confidentiality of any Confidential Information which is removed, only with the disclosing party's prior written approval, from the disclosing party's premises. Each party agrees to comply with any and all terms and conditions the disclosing party may impose upon any such approved removal, such as conditions that the removed Confidential Information and all copies must be returned by a certain date, and that no copies are to be make off of the premises. 5. Upon the disclosing party's request, the receiving party will promptly return to the disclosing party all tangible items containing or consisting of the disclosing party's Confidential Information all copies thereof.

6. Each party recognizes and agrees that nothing contained in this Agreement will be construed as granting any rights to the receiving party, by license or otherwise, to any of the disclosing party's Confidential Information except as specified in this Agreement. 7. Each party acknowledges that all of the disclosing party's Confidential Information is owned solely by the disclosing party (or its licensors) and that the unauthorized disclosure or use of such Confidential Information would cause irreparable harm and significant injury, the degree of which may be difficult to ascertain. Accordingly, each party agrees that the disclosing party will have the right to obtain an immediate injunction enjoining any breach of this Agreement, as well as the right to pursue any and all other rights and remedies

9. This Agreement will remain in effect for five years from the date of the last disclosure of Confidential Information, at which time it will terminate.
