INTRODUCTION: 1. DEFINITIONS: 1.1 “Agreement ” means this Operation and Maintenance Services Agreement together with the Annexure(s) attached hereto, as the same may be amended, supplemented or modified, from time to time, in accordance with the provisions hereof. 1.2 “ Applicable Laws ” means any law, rule, regulation, ordinance, order, code, treaty, judgment, decree, injunction, permit or decision of any central, state or local government, authority, agency, court or other body having jurisdiction over the matter in question, as in effect, from time to time. 1.3 “Fees” shall mean the amount payable to the Service Provider subject to successful rendering of services by the Service Provider which is more detailed in Section-VII, part -II. 1.4 "Services" shall mean the services which are mentioned in Section-XI under the scope of services annexed hereto, to be rendered by the Service Provider to BSNL, in relation to the operation and maintenance of the infrastructure. 2. ELIGIBLE BIDDERS: Vendor Eligibility Conditions for Maintenance service provider of GSM Mobile Network Infrastructure Equipments for the BTS Locations shall be as mentioned below. 2.1 Bidder should be registered company under the Indian Companies Act, 1956. 2.2 The total annual turnover of the bidder should be at least Rs. 1 Crores or More during preceding two financial years (2010-11 & 2011-12).
