John Shaw Billings, after 30 years of developing the Library of the Office of the Surgeon General of the U.S. Army- now the National Library of - became the Director of the newly formed New York Public Library in 1896. 16 RULES FOR MLA BUSINESS MEETINGS Excerpted from the Bylaws, June 19 76.

Article II: Meetings Section 5. Quorum A quorum of five per cent of the voting members shall be required for the trans­ action of business. For purposes of determining a quorum, a person eligible to cast two votes shall be counted as two voting members.

Section 6. Voting To facilitate the counting of votes, the Executive Director shall provide easily seen voter identification to all eligible voters attending the meeting.

Section 7. Order of Business The order of business at the business meetings of the Annual Meeting shall be at the discretion of the presiding officer, but the business shall include:

Approval of the minutes of the Annual Meeting and of any special meetings of the membership held in the preceding year, but not necessarily of earlier meet­ ings of the current session.

Reception of the reports of the Board of Directors, the Executive Director, the several other appointed officers, and the several committees and representatives.

Action on amendments to the Bylaws (if notice thereof has been given).

Announcement of the election of Officers and the Nominating Committee.

New business.

Section 8. Resolutions A voting member may offer at the Annual Meeting a complex motion introduc­ ing a new item of business only if written copies have been distributed at or before the meeting to each voting member present or by the unanimous consent of voting members present.

Article XI. Parliamentary Authority Section 1. Rules The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order the Association may adopt.

From Robert's Rules of Order Newly Revised (1970): Before a member ... can make a motion or speak in debate ... he must obtain the floor; that is, he must be recognized by the chair as having the exclusive right

17 to be heard at that time. (p. 23) [At MLA Business Meetings, this is done by first going to the nearest microphone.]

When the names of the members are not generally known, a person addressing the chair to claim the floor should state his name and any necessary identifi­ cation ... , as [John Doe, Oxbridge University Medical Library]. (p. 24)

Each member has the right to speak twice on the same question on the same day, but cannot make a second speech on the same question so long as any member who has not spoken on that question desires the floor. (p. 35)

A member who has spoken twice on a particular question on the same day has exhuasted his right to debate that question for that day. (p. 35)

Without the permission of the assembly, no one can speak longer than . .. ten minutes. (p. 35)

Debate must be confined to the merits of the pending question. (p. 35)

Speakers must address their remarks to the chair, maintain a courteous tone, and - especially in reference to any divergence of opinion - should avoid inject­ ing a personal note into debate. (p. 35)

Speakers should refer to officers only by title, and should avoid the mention of other members names as much as possible. (p. 35)

If at any time the presiding officer rises to ... speak within his privilege, any member who is speaking should be seated (or should step back slightly [from the] microphone ... ) until the presiding officer has finished. (p. 333)

Parliamentary Know-How

To introduce business: move to main motion. To approve action: move to accept, adopt or ratify. To modify or change: move to amend or refer to a committee. To defer action: move to postpone to a definite time, refer to a committee or lay on table. To limit discussion: move to limit debate. To stop discussion: move the previous question. To determine correctness of an announced voice vote: move for division of the assembly. To suppress a question: object to consideration, move to postpone indefinitely, or lay on table. To object to decision of the chair: move an appeal from the decision. To make a request: call for point of information, rise to parliamentary inquiry, or raise question of privileges.

18 To consider a second time: move to take from the table, reconsider or rescind . To repeal action: move to rescind.

To Amend : (Or to modify) - five methods to amend : 1) to strike; 2) to insert; 3) to strike and insert; 4) to add at end of sentence; 5) to substitute. (pp. 108- 135). Substitution generally is used only for an entire paragraph or section; strike and insert is quicker, easier, and accomplishes the same purpose. (pp. 1!2-113)

Refer to Committee - For information, for appropriate recommendations and/ or carry out recommendations. (p. 140)

Postpone to a Certain Time - Defer further consideration of the main question until a definitely stated time. (p. 150)

Previous Question - to close debate on current question. Affirmative vote (two­ thirds without discussion) closes debate and orders immediate vote on pending question. The call "Question" may be ignored by the chair. (p. 166)

Lay on Table - Set aside temporarily. Majority vote and no discussion. Motion may not be modified. If definite time is desired, postpone should be employed. (p . 177)

Incidental Motions These arise from pending question and must be decided before the question. (p. 58)

19 No recognition required. Division is used by the chair or assembly when the out­ come of a vote is uncertain. A standing vote need not be counted unless the out­ come is still uncertain or a record of the vote is required. (pp. 4243)

Reconsider Must be made by one who voted on the prevailing side: In order only on the same day or the next succeeding day. If reconsideration carries, the motion to which it applies is again before the assembly. (pp. 265-281)

Rescind (Or Cancel) May be called for by anyone when it is too late for reconsideration, if action is not under way. Two-thirds vote without notice required, majority if notice to rescind has been given . (pp. 256-260)

Adjourn May be accomplished by general consent or by motion. (pp. 199-206)
