No. 4530-VCS SHAREHOLDERS LITIGATION : VERIFIED CONSOLIDATED CLASS ACTION COMPLAINT Plaintiffs Philadelphia Public Employees Retirement System (“Philadelphia PERS”), The General Retirement System of the City of Detroit (“Detroit General”), The Police and Fire Retirement System of the City of Detroit (“Detroit P&F”), the City of Ann Arbor Employees’ Retirement System (“Ann Arbor”) and Beverly Rosman (“Rosman,” and collectively with Philadelphia PERS, Detroit General, Detroit P&F and Ann Arbor, “Plaintiffs”), by and through their undersigned counsel, upon knowledge as to themselves and upon information and belief as to all other matters, allege as follows: NATURE OF THE ACTION 1. Plaintiffs are holders of common stock of PepsiAmericas, Inc. (“PAS” or the “Company”). Plaintiffs bring this action individually and as a class action on behalf of all holders of PAS common stock other than the defendants and their affiliates. Plaintiffs seek injunctive and other equitable relief in connection with the proposal of PepsiCo, Inc. (“PepsiCo”) to acquire all of the PAS’ outstanding shares that PepsiCo does not already own for a combination of cash and stock valuing PAS at $23.27 per share (the “Proposed Merger”). 2. PepsiCo simultaneously offered to acquire Pepsi Bottling Group, Inc. (“PBG” and with PAS, the “Companies”) at $29.50 per share, and has made consummation of a merger with either bottler contingent on consummating a merger with the other. PepsiCo’s offers are timed and structured to favor PepsiCo and promise a paltry 17.1 percent premium over the closing prices of the Companies’ stock on April 17, 2009, the last trading day prior to PepsiCo’s announcement of the Proposed Merger. -

EPA and DOE recognize leading green power purchasers and green power suppliers respectively. CRS recognizes leading organizations and individuals building the market for green power. The Green Power Leadership Awards for purchasers is a recognition program of the EPA Green Power Partnership, a voluntary program working to reduce the environmental impact of electricity use by fostering development of the voluntary green power market. The Partnership provides technical assistance and public recognition to organizations that commit to using green power for a portion of their electricity needs. Partners in the program include Fortune 500 companies, states, federal agencies, universities, and leading organizations around the country that have made a commitment to green power. For the 2007 green power supplier and purchaser awards, two panels of judges reviewed nearly 100 nominations through a national competitive review process. Purchasers were evaluated based upon the size and characteristics of their green power commitment, ingenuity used to overcome barriers, internal and external communication efforts, and overall renewable energy strategy. Recognition of these companies falls into three categories: On-site Generation, Green Power Purchasing, and Green Power Partner of the Year. Suppliers were evaluated based on the following criteria: technologies utilized, total sales, evidence of annual audit to verify procurement and sales, amount of green power supplied, and number of customers served. -
