RECEIVER'S RESPONSE TO MARTIN GARVEY'S OBJECTIONS TO THE MAGISTRATE JUDGE'S REPORT AND RECOMMENDATION THAT HIS MOTION FOR AWARD OF ATTORNEYS FEES AND COSTS BE DENIED

Marty Steinberg, the court-appointed receiver (the "Receiver") of Lancer Management

Group, LLC ("LMG"), Lancer Management Group II, LLC ("LMG II"), Lancer Offshore, Inc.

("Offshore"), The Omnifund, Ltd. ("Omnifund"), LSPV, Inc. ("Offshore LSPV"), LSPV, LLC

("Partners LSPV"), Alpha Omega Group, Inc., G.H. Associates, LLC, and CLR Associates, LLC

(collectively, the "Receivership Entities"); and formerly the responsible person for Lancer

Partners, L.P. ("Partners," and collectively with the Receivership Entities, the "Lancer Entities"),

files this Response to Martin Garvey's Objections to the Magistrate Judge's Report and

Recommendation that His Motion for Award of Attorneys Fees and Costs be Denied (the

"Response"). Case No. 03-80612 CIV-MARRA/HOPKINS

BACKGROUND1

1. On March 1, 2012, Martin Garvey ("Garvey") filed his Motion for Award of

Attorneys Fees and Costs in which Garvey requested an order from this Court requiring the

Receiver to indemnify him for various attorneys fees and costs (DE 2581 and 2584, the "Motion

for Fees")?

2. On March 23, 2012, the Receiver filed his Response to the Motion for Fees (DE

2588, the "Response to the Motion for Fees"). 3

3. On April 3, 2012, Garvey filed his Reply in Support of the Motion for Fees (DE

2593, the "Reply").

4. On July 17, 2012, Magistrate Judge Hopkins issued his Report and

Recommendation (DE 2620, the "R&R"), wherein the Magistrate Judge found that the Motion

for Fees should be denied for the same reasons that Magistrate Judge Linnea R. Johnson had previously recommended that Michael Lauer's claim for indemnification be denied (see Nov. 4,

2011 Report & Recommendation at DE 2524), including that: (i) Garvey had failed to file a

contingent proof of claim by the claims deadlines even though he knew before the Receivership

Claims Bar Date that he would incur the Legal Fees; and (ii) the claimants whom the District

Court has already determined have allowable claims and who have already received distributions

Capitalized terms not defined herein shall have the meanings ascribed to them m the Receiver's Response to the Motion for Fees.

2 The Receiver notes that although Garvey states in the Motion for Fees that he seeks the Legal Fees for "monies that [he] personally spent on legal representation from 2003 until 2008 to combat a threatened Securities and Exchange Commission ("SEC") action and a threatened Department of Justice ("DOJ") indictment" (see Motion for Fees at 1), Garvey now states that he seeks the Legal Fees for the Criminal Action. See Objection at 1.

2 Case No. 03-80612 CIV-MARRA/HOPKINS of assets, would be prejudiced if Garvey's untimely claim were allowed at this late stage.4

5. On August 7, 2012, Garvey filed his Objections to the R&R (DE 2630, the

"Objection"). In the Objection, Garvey argues that this Court should not affirm the R&R for various reasons, including that: (i) he "is not an investor, creditor, or claimant of, or to, the

Lancer Offshore Funds and is therefore not bound by the court-ordered bar date[;]" (ii) the

Receivership Entities governing documents do not contain bar dates; and (iii) Garvey was indicted in the Criminal Action and acquitted after the Receivership Claims Bar Date. All of the arguments that Garvey has raised in the Objection were either previously made in the original

Motion for Fees and/or the Reply, or are not relevant.

6. Because Garvey's Objections are substantially similar to arguments previously made by Garvey in his Motion for Fees and Reply, the Receiver (in the interests of brevity and for the convenience of this Court) incorporates herein all arguments made in the Receiver's

Response to the Motion for Fees, and does not repeat those arguments in full here in this

Response.

7. Nevertheless, the bottom line is that despite being given notice on three separate occasions by the Receiver of the Receivership Claims Bar Date, Garvey failed to file a proof of

Nevertheless, even if Garvey had done so, any request for indemnification from Partners also would be untimely as Garvey never filed a proof of claim (contingent or otherwise) with the Bankruptcy Court, the deadline to do so has long passed, and the Partners Liquidating Trustee has already made a first distribution of assets to creditors with allowed claims. In any event, any request for indemnification from Partners would need to be made with the Bankruptcy Court. As discussed in the Response to the Motion for Fees, Partners is a liquidated debtor and its Chapter 11 Bankruptcy Case is pending before the United States Bankruptcy Court for the Southern District of Florida (the "Bankruptcy Court"). Indeed, Partners' assets are subject to the Bankruptcy Court's jurisdiction and are being administered by the Liquidating Trustee pursuant to Partners' Chapter 11 Plan, Confirmation Order and Liquidating Trust Agreement. Thus, any claims that Garvey or any other party believe exist against Partners for indemnification or otherwise must be filed with the Bankruptcy Court and served upon the Liquidating Trustee in that action.

3 Case No. 03-80612 CIV-MARRA/HOPKINS claim, contingent or otherwise, by the Receivership Claims Bar Date. Garvey had notice that he would be incurring legal fees prior to the Receivership Claims Bar Date, and in fact, acknowledges in his Motion for Fees that he started accruing the Legal Fees on July 18, 2003, well before the Receivership Claims Bar Date. Thus, any claims for indemnification or otherwise should have been filed by Garvey on or before the Court-imposed deadline. 5

8. Garvey's assertion that he is not bound by the Receivership Claims Bar Date because he is not an investor, creditor, or claimant of Offshore, and because the Articles of

Association and PPM's of Offshore do not contain bar dates is nonsensical. First as noted by the

Receiver in his Response to the Motion for Fees, the Case management Order, which designated

April 1, 2004 as the Receivership Claims Bar Date, stated that "[a]ll persons or entities with claims or demands against any Receivership Entity must present their claims to the Receiver in accordance with this Order ... [and] substantially in the form provided by the Receiver." See

Response to the Motion for Fees at 4. Garvey is clearly a person that is attempting to assert a

"claim" or make a "demand" against the Receivership Entities. Accordingly, he is bound by the

Receivership Claims Bar Date.

9. Second, even if the Articles of Association and PPM's do not contain bar dates, this is irrelevant to whether persons with claims or demands against any of the Receivership

Entities must file those claims by the Court-imposed Receivership Claims Bar Date. Following this twisted logic, no person with a claim, whether an investor or otherwise, would be required to

See also R&R at 3 ("The fact that the full amount of Garvey's legal fees was unknown at that time does not justify his failure to 'have filed at least a contingent claim during all of those years, especially since Garvey knew before the Receivership Claims Bar Date that he would incur the Legal Fees.") file that claim by any particular deadline, and would be able to do so indefinitely. This argument

is without merit and should be rejected. 6

10. Accordingly, for the reasons stated herein, as well as within the Response to

Motion for Fees, Garvey's arguments are without merit. Thus, the R&R should be affirmed.

WHEREFORE, for the foregoing reasons, the Receiver respectfully requests that this

Court enter an order affirming the R&R, and granting such other and further relief as the Court deems just and proper.

6 Garvey also states that the Receiver should have a separate account set up to fund his indemnification claims. As stated by Magistrate Judge Hopkins, however, Garvey does not have an allowable indemnification claim. He failed to file any proofs of claim, contingent or otherwise, by the Receivership Claims Bar Date, even though he had hired legal counsel and knew before the Claims Bar Date that he would incur the Legal Fees.

In any event, whether the Receiver has sufficient assets in the Receivership Estate to pay the Legal Fees is irrelevant under our facts. As stated by the Magistrate Judge, "to allow Garvey's untimely claim at this late stage would prejudice the claimants whom the District Court has already determined have allowable claims and who have already received a partial distribution of assets." See R&R, p. 3.
