Brief of the ugly incidence of stopping the Shareholder from attending the AGM last month by ICICI Bank by abusing power is placed below.
In the light of it, it is requested to kindly direct Mr K V Kamath / Mrs Chanda Kochhar of ICICI Bank to forthwith withdraw the case, confirm it to the Shareholder and close the chapter created by the Directors of the Bank.
And, please issue instructions that hereafter, whether ICICI Bank or any Company, must not make such sinister attempt to encroach upon the legitimate right of the Shareholders in India.
As you are well aware, I objectively and dispassionately discuss the vexed issues by personal discussions in a congenial manner and the ICICI Bank is also welcome for personal discussion.
I expect the Cabinet Secretary Shri Ajit Seth to take decisive action within the next one week and keep the undersigned complainant informed so as to obviate the need for reminder (s) and unnecessary precipitation of the problem created by the ICICI Bank Management.

Bogus Court case filed by ICICI Bank against Shareholder Babubhai Vaghela & not allowed the Shareholder to attend AGM on 24/06/13.
1. I, Babubhai Vaghela S/O Dhudabhai Vaghela, aged about 65, senior citizen, Ex Senior Manager Indian Oil Corporation Limited, R/O of C202, Shrinandnagar V, Makarba Road, Vejalpur, Ahmedabad 380051 wish to inform as under.
2. As a concerned citizen, I have been making suggestions / fling complaints, using RTI and filing PILs on larger public interest issues with the Authorities in India

3. As a Shareholder, I have been attending Company AGMs and EGMs also having held some Shares in those Companies from diverse fields. Accordingly, I attended good no. of AGMs and EGMs during the last one decade.
4. As the Shareholder, I asked prudent questions and deliberated formally and informally with the Board of Directors to improve governance and curb irregularities.
5. Accordingly, I asked questions in ICICI Bank AGM of 25/06/2012 and emailed in advance the questions to be asked in the AGM of 24/06/2013.
6. The Shareholder never disrupted any AGM or EGM of IOC, HPCL, BPCL, SBI, Adani Power, Reliance Power, Bank of Baroda, Tata Consultancy Services or ICICI Bank Limited that he attended during the last one decade.
7. There has not been any incidence and, obviously, no complaint by the ICICI Bank, that the Shareholder Babubhai Vaghela ever disrupted their AGM.
8. The Shareholder Babubhai Vaghela behaved in most polite manner and did not disrupt ICICI Bank AGM of 25 June 2012 (or even Bank of Baroda AGM of 26 June 2013 for that matter that was held at Vadodara at the same Venue).
9. However, ICICI bank did not allow Shareholder Babubhai Vaghela to attend the AGM on 24 June 2013 on unsubstantiated apprehensions and unexplained pre conceived notion that he would disrupt the AGM though nothing like that happened in the past.
10. Repeated gentle personal requests to the Company Secretary Mr Sandeep Batra to issue Entry Pass to the Shareholder for entering the AGM Hall were brushed aside and the Shareholder was not allowed to attend the AGM.
11. Only High Courts and Supreme Court have legal jurisdiction to hear and decide cases of Fundamental Rights & not the Lower Courts like the one at Vadodara in which the ICICI Bank filed case against the Shareholder Babubhai Vaghela on 21 June 2013 to debar him from asking questions on Mr MS Ramachandran, recording Video / taking photographs during the AGM, that was scheduled on 24 June 2013.
12. There has been no Judicial Order, whatsoever, from any court, that debarred Shareholder Babubhai Vaghela from attending the ICICI Bank AGM on 24 June 2013 and yet he was illegally debarred. That makes the said AGM liable to be declared illegal, nonest and to be conducted as De Novo.
13. While the ICICI Bank issues raised in Vadodara court revolve around ICICI Bank AGM of 25 June 2012, the Company Management did not file any case for full one year till only 4 days (including week end Saturday & Sunday) were left for the AGM of 24 June 2013 to take place. At the request of the Company ICICI Bank, next hearing was scheduled at 15.00 Hrs on the same day of 24 June 2013 that clashed with the AGM timing while the Shareholder had been pleading with the Company Secretary for Entry Pass to allow him to attend the AGM.
14. What made the Vadodara court Judge Mr SD Pandey to entertain the case & not to outright reject the case filed at eleventh hour by Mr Raj Sharma of ICICI Bank through Advocate Mr Sudhanshu P Bhattji is intriguing and reasons for it must be known to the Judge only.
15. The Shareholder received no court order on 24 June 2013 on ICICI Bank pleading to restrain Shareholder on his attending the AGM.
16. ICICI Bank has not served any document in support of the allegations made in the case filed against the Shareholder in Vadodara court.
17. What sort of financial / nonfinancial loss the Company will suffer due to Shareholder exercising his right to ask questions in the AGM has also not been spelled out.

19. It is a fact is that Mr M S Ramachandran as Chairman Indian Oil, a decade back, was instrumental in harassing, torturing and victimising Indian Oil Officer Mr Babubhai Vaghela and the latter had all the opportunities and more than enough time to file Atrocity case / other cases against the former, the latter has not done it as that is not the issue in the former being the Director of ICICI Bank.
20. What sort of financial / nonfinancial loss the Company will suffer due to Shareholder electronic recording in the AGM has also not been spelled out.
21. As confirmed in their Affidavit, ICICI Bank Management has no Power or Authority to debar any Shareholder from attending the ICICI Bank AGM and rightly so as the Company belongs to the Shareholders and Shareholders have legitimate rights to attend the Shareholders Meetings. Company Management, servants of the Company, cannot and justifiably has no Power or Authority to stop the Shareholders from attending the AGMs.
22. ICICI Bank Management did not obtain the Shareholders' permission to debar one particular Shareholder Babubhai Vaghela from attending the AGM on 24 June 2013.
23. 24. Video recording and photography of the AGMs is a routine feature and the ICICI Bank also does it like other Companies regularly do.
25. Dozens of Video recording of the AGMs proceedings are available on Social Media YouTube including few of them uploaded by the Shareholder Babubhai Vaghela pertaining to IOC, HPCL, SBI, Bank of Baroda, Adani Power and ICICI Bank. No Company objected to the Shareholder of recording Video or capturing Photographs.
26. The case of Mr MS Ramachandran Director ICICI Bank, who received Govt of India Displeasure letter as Chairman IOC for corrupt practice, has not been settled and is still pending with ICICI Bank / Prime Minister Office.
27. Repeated requests of the Shareholder for allowing personal discussion with Shri K V Kamath Head of ICICI Bank to discuss the issue of unfit person being Director of ICICI Bank was also turned down without assigning any reason.
28. Reliance Power IPO Fraud committed by ICICI is also not settled by the ICICI Bank though ROC, MCA, Mumbai complaint is pending with the Bank.
