6 PRETORIA COUNTRY CLUB Suggested amendments to the wording of the Constitution and to the General By-Laws of the Club.

(Requested by the General Manager, prepared by Johan de Villiers and vetted by the Main Committee)

1. The changes which are suggested in this Memorandum (which is attached to the Notice of the Annual General Meeting of the Club to be held on the 21st October 2020) contain in essence, an effort to make the Constitution and the General By-Laws more reader-friendly and they affect the purport, ambit and signifi cance of the provisions very slightly, if at all.

2. This Memo should be read preferably in conjunction with the Constitution as displayed on the website of PCC or as contained in the booklet with “Pretoria Country Club Constitution and By-Laws” on the cover and dated “2016/2017” which is presently in circulation.

3. The suggested amendments to the Constitution of the Pretoria Country Club are as follows: 3.1 The existing sequence of Sections in the present Co nstitution is retained for purposes of this Memo but it is suggested that the sequence and the wording of the headings are changed (see attachment 1). The reason for this is that at present, several provisions which have bearing on the same subject follow one another, then a paragraph follows which relates to a completely different matter and then the former subject is again addressed in a following paragraph. An attempt at a more logical sequence in the attachment has been followed, also to place the provisions in order of importance which is, broadly speaking:

7 • Corporate identity and Legal personality; • Membership; • Main Committee; • Meetings; • Financial Matters; • Guests and Visitors; • The reference to the Income Tax Act provisions as required by SARS has been retained, unchanged, in the fi nal paragraph.

3.2 At present, the word ”Section” as used in the constitution to refer to a specifi c provision, and it is suggested that this term be replaced everywhere with the word “clause” (this word is used in a provision which was approved in recent years e.g. 14). This is to avoid confusion as the word “Section” is also used in relation to the different sports sections. For now, the word has been retained in this document as applying to both a Sports Section and a provision in the Constitution.

3.3 Section 3.1 describes the activities of the Club and not its objects as stated in the heading. Suggested change (“Sc”): “The Club is a sports and recreational club and its object is to provide such sports, social, culinary, recreational and residential facilities as may be required in order to further the interests of the Club and its members”.

3.4 Section 3.2: Sc: at the end after the words “that meeting” add the following: “provided that there is a quorum present at such a meeting”.

3.5 In Section 4, add at the end thereof after “general meeting” a comma and: “but subject to Section 29 of the Constitution below” (this is the SARS Income Tax Act provisions referred to above). 3.6 In Section 6 it is not only the payment by the Club to the member which is relevant but also the expenditure by the member which needs to have been made in good faith. Sc, delete second sentence and replace with:

“However, nothing herein shall prevent payment to any member of the Club to re-imburse him for any payment made by such member in good faith in furthering the interests of the Club or to remunerate any person (whether a member of the Club or not) for any services rendered to the Club. No member shall have any right in, or claim to, any property or asset of the Club solely by virtue of being a member of the Club. Every provision of this Section and of all other Sections in this Constitution, the By-Laws and Rules, are subject to the provisions of the Income Tax Act stated in 29 below”.

8 3.7 Sc in Section 7 substitute, in the last sentence “and” instead of “or” (…the By-laws).

3.8 The President of the Constitutional Court is now also the Chief Justice as it is the same offi ce. Therefore, in Section 8.2.2.1 Sc: delete the words “…the President of the Constitutional Court...”

3.9 Section 8.3 is confusing – Sc: the comma in the third line should be changed to a period after the word “members” and then substitute: “If such an invitation is accepted the invitee shall be liable for payment of the annual subscription fee payable by town members and, in the case of the Head of an accredited diplomatic mission, he and his spouse shall in addition thereto, also be liable for payment of entrance fees applicable to town members from time to time”.

3.10 In 8.6.2.2 and 8.6.2.3 replace the word “they” with “such student member”.

3.11 The intention in Section 8.7.3 as presently worded was to allow a person to apply to be a junior member even though he is younger than 6 or older than 19 so (Sc) simply replace 8.7.3 with:

“Any of the Sections may request the Committee to waive this age restriction and to allow a pupil of less than 6 years of age or older than 19 years of age to become a junior member if there are special circumstances which apply. Whether the circumstances of such pupil can be regarded as “special” shall be in the sole discretion of the Committee.”

3.12 In 8.10.6, the disciplinary provisions of the whole of section 14 and not only 14.2 must apply, but also, it should apply to a nominated representative of a corporate member: amend to read:

“All the disciplinary provisions of Section 14 of the Constitution shall apply with the necessary changes which the context may require, to any such institution and to any person nominated in terms of 8.10.2 or 8.10.3 above”.

3.13 The effect of the second paragraph of 8.11 seems to be that country membership may be granted to members, if they reside beyond the distance limit, but (in terms of a previous ruling by SAGA) provided that such person belongs to an affi liated club where they reside.

Thus, Sc: in the fi rst paragraph of 8.11, add a colon after the words “provided that” in the second line to read as follows and the second paragraph then to be deleted and the following to be added:

9 (“Such membership… provided that:) • such member must be a full golf member of a golf club (which is affi liated to Golf RSA) where such member resides and he must be handicapped at such Club; • the Committee may, in the case of an existing town member of the Club waive the 150-kilometre requirement stated above; • the provisions of section 19.3 and 19.4 of this Constitution shall apply to such member”.

3.14 In 9.1.3 Sc: change the word “on” to “at the time of his application…”.

3.15 In Section 9.2, Sc: amend heading to read “Limitation of rights of proposed new members who have applied for membership” (there should not be any doubt that an existing member will not be affected by this provision) and replace the whole of the clause with the following:

“The Committee may elect a new member subject to a limitation of the right of such a member to use any sporting amenity of the Club.

The Committee:

• may determine the ambit of such limitation which limitation may be a comprehensive one or it may restrict such use to any day of the week or to specifi c times on specifi c days of the week; • may withdraw or amend any such limitation on such member’s right of use at any time; • shall, in the exercise of this power of limitation or the withdrawal or amendment thereof, give priority as far as possible to any such new member in accordance with the date on which he was admitted as a member so that he who is fi rst in time should receive priority before a member who joined later; • may, in exceptional circumstances, deviate from giving priority only by comparing the respective dates of election of one member with those of other members to whom the restrictions apply. What amounts to “exceptional circumstances” shall be in the sole discretion of the Committee; • shall, if it exercises the power of limitation or any withdrawal or amendment thereof as stated above, forthwith announce its decision to do so by way of a notice on the noticeboard of the Club”.

10 3.16 In 10.1.4 Sc.: (a) in the fi rst line after “right” add a comma and “is encouraged to” provide… (b) in the second line after “information” add: “whether positive or negative”; and (c) in the fi fth line after “…Confi dential” delete “and” before “be received” and replace with a comma and then after “name is on the noticeboard” add a comma and add: “and such information shall be given by him to the Committee before the meeting at which it considers the application for election of a candidate.”

3.17 In 10.1.7 Sc: Add a period instead of a comma after “noticeboard” in second line, delete “provided” in third line and add new sentence so that provision is made for joint liability of not only proposer and seconder but also of the candidate (obviously) which is not presently the case: “However, the proposer and seconder of a candidate shall be jointly and severally liable together with such candidate for any amount owing to the Club for an expense which was incurred by such a candidate in the meanwhile”.

3.18 In 10.1.8 Sc: Replace the word “monies” with “such fees” and add after “the candidate”: “ after subtracting any amounts owing to the Club for an expense which was incurred by the candidate in the meanwhile.”

3.19. In Section 10.1.10 Sc: replace the fi rst sentence with:

“If it appears to the Committee at any time after the election of a candidate that the candidate, the proposer, the seconder, or the Club which issued a letter of good standing regarding the candidate, misrepresented (whether intentional or not) any material information regarding the identity, character or reputation of such a candidate the Committee may declare the election of such a member null and void, retroactively (delete “ab initio” and replace with) … from the date on which he was so elected. However, the Committee shall not do so unless the candidate has been given an opportunity to deliver a submission in writing to the Committee why it should not make such a declaration and:

• the candidate has failed to do so within 10 calendar days of being informed of the Committee’s intention to consider the matter and the candidate being invited to make such a submission, or • the candidate has delivered a submission and the Committee has decided to do so, despite the contents of the submission.”

11 Then follows: “Such person shall thereupon be stripped of his membership…paid to the Club by such “ but replace member with “person” and add “after subtracting any amounts owed by such person to the Club at the date of such decision,” so that the second sentence of 10.1.10 is split into two and then reads: “Such person shall thereupon be stripped of his membership and shall have no claim against the Club for damage, return of entrance fees or subscription fees then paid, or on any other grounds whatsoever. However, the Committee may, in its sole and absolute discretion, refund, as an ex gratia payment the whole or any part of any payments which have been paid to the Club by such person after subtracting any amounts owed by such person to the Club at the date of such decision,”

3.20 In 11 Sc: Because the postal service is so unreliable Sc: remove “registered post” in the fi rst line and replace with “email or by hand” and remove the words “prior to” and replace with “on or before…”

3.21 In Section 14.7 replace the Latin term “mutatis mutandis” - paragraph 3.38 of this Memorandum below) and add at the end of the paragraph: “The Section concerned may suspend the member by precluding him from using any of the facilities of the Section for a period not exceeding 6 (six) months.” (The Golf, Bowls, Squash, Tennis and Pretoria Club’s By-Laws will be amended accordingly in due course).

3.22 It is suggested that Section 20 be replaced by the following: “20.1 A member who fails to pay any amount owing to the Club for annual subscription fees or for the supply of food, liquor, goods or otherwise, within 45 (forty fi ve) days after it has become payable: (a) shall be advised in writing that he may not continue to be a member or to make use of the Club facilities as long as this amount remains unpaid; (b) may have is name posted on the Club noticeboard as a defaulter; and (c) may have his name struck off the list of members of the Club if the amount remains unpaid for fourteen (14) days after the date on which his name was so posted”.

3.23 In 20.2 Sc: Delete the words “This action…” and replace with: “Having his name struck off the list of members as stated above” shall not release….

12 3.24 In 21.2 the committee referred to is clearly the Main Committee already defi ned in the preamble so Sc: “a” Committee should be replaced with “the” Committee and Sc: replace “shall be” vested with “is” vested;

3.25 Also in 21.2 Sc: replace the words “is answerable” with “reports” (to the Committee).

3.26 In 21.3 Sc for the sake of clarity and because a member who is not a member of the Main Committee and a member who is authorised to act on behalf of the Club while not being a member of any committee and without remuneration, is not indemnifi ed in terms of the Section as presently worded, Sc, replace 21.3 with the following: “Any act by the Committee or any member thereof or of any other committee of the Club which is executed in good faith in the execution of its (or his) duties, is deemed an act of the Club. A member of: • the Committee or • of any other committee of the Club, or • the Club who does not serve in any offi cial capacity in the Club and has been authorised by the Club to act in a specifi c matter on behalf of the Club without remuneration: shall incur no liability in respect of any act, omission or default whilst so acting, or in respect of an act, omision or default of a fellow committee member or an offi cial of the Club and will be indemnifi ed by the Club in regard to any claim emanating therefrom unless such liability is attributable to the dishonesty or lack of good faith on the part of such member”.

3.27 In 21.4.1.3 in the second sentence, amend “be elected” to “become” (an elected member cannot be “elected” to become an ex offi cio member) and in the last sentence of that clause after the words “be elected” add: “to the Committee”.

3.28 In 21.4.2 Sc: between the heading and 21.4.2.1 add in brackets: (“These procedures shall, with the necessary changes required by the context) also apply to elections of members of all other committees of the Club)”.

3.29 In 21.4.2.1 delete “/her” (one gender includes others in terms of 2.1.2).

3.30 In 21.4.2.2 amend the word “or” (who is not in breach) to “and who is not in breach…”; and the reference to clause 21.6.4 should read “21.5.4”.

3.31 In 21.4.2.7, for the sake of clarity, replace the second sentence with:

13 “The nominee who receives the most votes following the ballot, shall be deemed to have been duly elected and the fi rst vacancy fi lled by him. If there is a further vacancy the nominee who received the second highest number of votes following the ballot shall be deemed to have been duly elected to fi ll the second vacancy and so on, until all vacancies have been fi lled. If all or any of the nominees receive the same number of votes following the ballot, those who receive the same number of votes, shall draw lots to determine who shall fi ll the vacancy or vacancies.”

3.32 In the General By-Laws there is a paragraph 4 (which does not relate to any preceding or following clause) with the heading ”NUMBER OF VOTES PER MEMBER AT ELECTIONS”. It is suggested that the contents of the paragraph, without the heading, be moved to clause 21.4.2 as sub- paragraph number 21.4.2.7. The present two paragraphs 21.4.2.7 and 21.4.2.8 are then re- numbered to .8 and .9 respectively.

3.33 For the sake of clarity Sc: Clauses 22.1.1 and .2 to be re-formulated as follows: “22.1.1. The Committee shall manage the business of the Club, exercise control over it and execute the objects stated in clause (3) above, unless any provision of this Constitution requires the exercise of such powers only by the Club in general meeting or the latter has given specifi c directions as to how any of these powers should be executed in future (such directions, shall however, not affect the validity of any earlier Committee decision or resolution made or taken prior to the date of the direction); 22.1.2. The Committee may, from time to time co-opt any person to assist it as an assessor member in its deliberations or otherwise in managing the affairs of the Club, whether such a person is a subscribed member of the Club or not. Such a person may participate in meetings or other proceedings of the Committee and have such rights and duties as may be determined by the Committee but may not vote”.

3.34 The heading of clause 25 to be changed to correct grammar: it is suggested to read “Bank” not “Banking” Account.

3.35 Sc in the (second) unnumbered paragraph following on 27.5.2, re- phrase in order to abbreviate: “Unless the Committee consents thereto no business other than the business for which any Special General Meeting was convened, shall be discussed at such meeting”

3.36 In clause 27.7 the word “General” should, so it is suggested, be added in the sub-heading.

14 3.37 In all clauses where there is a reference to the “Manager” or the “Club Manager” it is suggested that this be replaced with the term “General Manager”.

3.38 In the Constitution the Latin term “mutatis mutandis” is used. The tendency now in Legislation, the Law of Contract and otherwise, is to avoid using Latin terms in legal documents and it is suggested that we also replace this term everywhere with the following in brackets: “(with the necessary changes required by the context)”.

4. Suggested changes to the General By-Laws

4.1 In 1.3 (“sc”): replace “clash” with “confl ict”.

4.2 In 2.2 sc: replace “shall” with “may” (remove).

4.3 In 3.1.1 and 3.1.2 the Club is indemnifi ed for any claim “howsoever caused, including from negligence or fault” which is rather confusing in legal terms. Dear Member The opportunity to host ‘a legal gathering of members’ to conduct the 2019/2020 Annual General Meeting has fi nally arrived and I am privileged to report broadly, on various club matters including progress on the implementation of the Strategic Business Plan (“SBP”) and the fi nancial results. The Finance Committee Chairman, Dirk Venter, will deliver a more comprehensive fi nancial report at the Annual General Meeting. When I started my tenure as Chairman, PCC implemented Dawid Muller enhanced reporting systems and measures in line with the requirements of the King Report on Corporate Governance. All our Committee members signed a Pledge (July 2019) in which they accept that with their appointment, they have a duty to promote the interests of the Club and that they will abide by the governance principles listed in the King IV report and a Code of Conduct. This Code of Conduct sets standards of behaviour (as directed by the King Report) expected of all committee and sub-committee members irrespective if they serve as elected or ad hoc members of any committee at Pretoria Country Club. In terms of our Constitution the Main Committee must hold the Annual General Meeting on or before 30 June. The Main Committee was prevented from holding the meeting on that date due to the lockdown implementation. Given the impact of the lockdown this report will therefore deal with a period of fi fteen months and will include the fi nancial impact of the lockdown, possible business interruption claims and club performance after the easing of the lockdown regulations. From a fi nancial point of view, 2019/20, similar to the prior year, was particularly diffi cult. A highlight was found in the increase in golf rounds from 31 002 in 2018/9 to 36 704 in FY 2019/20. This increase did not result in the same percentage increase in revenue given the strategies we were required to implement during the greens resurfacing period. These strategies included amongst other things, the postponement of golf days to the following year at discounted rates and free rounds to corporate

19 Chairman’s Report 2020 (continued) members who maintained and paid their corporate membership during the construction period. These strategies were successful in retaining long standing relationships with corporate golf days and corporate memberships. The club has now honoured all outstanding commitments. There were however two signifi cant and unexpected expenses incurred during this period. Firstly, an over expenditure of R404 028 incurred for water usage due to incorrect water meter readings by City of Tshwane. Incorrect invoicing was supplied to the club for the prior two-year period and the club was informed that we owed the City of Tshwane the outstanding amount. Management’s efforts to negotiate a settlement on the outstanding balance failed and the club was required to settle the outstanding balance. Secondly, the driving range netting incurred damage and given the need to assure the safety of patrons the netting was repaired at a cost of R412 840. Notwithstanding these ad hoc expenses the Club still returned a marginal profi t after capital expenditure of R101 590, realised against a budgeted profi t of R591 000. You are welcome to review the audited fi nancial statements for more detailed information. Continuing the report, I have considered this to be a year of three periods. A pre- lockdown, total lock down and a recovery period.

PRE-LOCKDOWN PERIOD

During the pre-lockdown period, despite political events and the economic environment being challenging, the Club performed well. During this period, the Main Committee focussed on the implementation of the Strategic Business Plan (‘SBP’) adopted in 2018. This fi ve-year plan was drafted to form an integral role in directing our Club’s fortunes and ensuring that club management and its committees achieve certain key objectives. Broadly, the SBP aims to create the country club of choice for the residents of Pretoria by offering outstanding sport facilities, supported by a unique and safe social and family environment. The SBP provides for plans that aim to improve infrastructure followed by a phase in which we increase revenue and control spending to rebuild club reserves thereby ensuring fi nancial stability. At the start of the year most of the planned infrastructure improvements were completed and the focus then moved to revenue generation. During the pre-lockdown period Club performance and revenue generation were certainly enhanced by a golf course that was back to its best, a thriving squash section, the success of the pizza oven, improved member value and increased member

Growth was positive, but with hindsight probably at too slow a rate considering the requirement to replenish the reserves used for the dam wall repair and the greens project. For example, although the number of golf rounds for FY 2019/20 looks impressive compared to the previous year (a 18.4% increase), it may be misleading due to the fact that we had temporary greens in play during this period and this constrained the number of rounds played. It is more prudent to compare the 2019/20 performance with a ‘normal’ year in which temporary greens were not in play. In 2017/8, the most recent comparable year the club recorded 35 405 rounds. This indicates that in 2019/20 the number of rounds played only increased by 1 299 rounds or a more conservative 3.7% increase. At the beginning of the year it became clear that the infrastructure improvements on their own were not going to enhance revenue growth without the governing body fi nding comparable plans with key performance drivers to leverage the Club’s improved infrastructure. As a fi rst step, the committee structures in the governing body were reviewed to ensure that they were aligned to deliver plans and pursue the key performance drivers. The following changes were made: • A new entity called the MORE [exploring MORE revenue and business opportunities] Committee was created under the chairmanship of Henry Human mandated to (1) consider and identify options to improve the Club’s fi nancial sustainability in relation to the management of its assets and contractual obligations; (2) review and investigate available opportunities to leverage better returns from Club assets; (3) review the business cases (plans) and oversee the performance of the catering, restaurant, accommodation and venue management and (4) other possible elements identifi ed by the Main Committee to ensure the maximisation of returns for the Club. • The Membership and Marketing Committee was split into two separate committees. o The Membership Committee under the chairmanship of Jan Van Der Merwe now deals with (1) the election process of new members; (2) overview of all decisions made on member applications, requests and complaints to ensure that the decisions remain compliant with the Constitution and applicable By-Laws; and (3) to maintain the Constitution and the Bylaws. o The Marketing Committee, whose effectiveness in the past was hampered given its link with membership matters and a time-consuming approval processes, is now a committee with independent decision-making powers.

This committee, under the chairmanship of Johan Mook created a strategic marketing plan (approved by the Main Committee) designed to retain current members, to recruit new members and to ensure that the club has a positive market presence that promotes the club to all visitors. The Marketing Committee oversees the implementation of this plan. • The powers and responsibilities of our General Manager were reviewed and changed to ensure that he has more managerial autonomy. The Main Committee ensured that the General Manager is supported by and has full access to the Executive Committee (Chairman, Vice-Chairman, Chair of Finance, Golf Captain and Risk Management Chair) should the General Manager require urgent support or advice on club matters. These governing structure changes have already had a positive impact on club matters. The Membership Committee under the guidance of Johan De Villiers has reviewed our Constitution and has corrected any cosmetic issues (grammar mistakes, typo’s and the like). These changes have been placed on the notice boards for consideration. We all owe Johan a big thank you for many hours spent on a document that urgently required a ‘clean-up’. Furthermore, the MORE Committee has identifi ed and shared with the Main Committee, short- and long-term strategies to improve the club’s revenue generation ability. For immediate consideration, the following matters were raised: • Investigations by the MORE Committee found that golf cart hire is a signifi cant contributor to the revenue of most golf clubs. It was recommended that the golf cart operations be taken over by the Club and that the fl eet be increased to ensure that the Club can optimise revenue generated through the availability of more carts for golf days. The recommended increase in the number of golf carts however requires a capex investment which is not currently available given the low profi t margin achieved during the 2018/9 fi nancial year. These recommendations were considered during the golf shop negotiations. • MORE also found that premier golf clubs generate a signifi cant percentage of their subscription revenue from social membership fees and that PCC’s social member total is considerably lower than those of other premier clubs. MORE also found that the clubs in question increased social membership by adding access to sporting facilities (not golf) to social membership packages. The Main Committee has drafted a proposal on the matter and has tasked the Finance Committee to complete a fi nancial impact analysis on the proposal. These discussions have thus far led to a recommended review and cancellation of the loyalty fees (to be ratifi ed).

• MORE has reviewed the current catering contracts and have made recommendations that the terms of these contracts should be aligned with current industry trends. Since lock down the industry trends have certainly changed and the recommendations have been referred to MORE for reconsideration. The fi ndings and recommendations will be key when the extension of the catering contracts is negotiated in the new year. The new Marketing Committee, managed by Johan Mook and his vice-chair, Piet Jordaan ably supported by Mon-Mari Naude, have turned a struggling support mechanism into an effective marketing machine. In their own words, they claimed from the outset that if they “fi nd the right jockey”, they could make it work. It must be said that the Club certainly found the right “jockeys” to make marketing work for our members and the club. This team has succeeded in expanding the Club’s image through effective communication on all social media platforms, introducing new events, encouraging all sections to communicate continuously and by driving partnerships with businesses interests. In a recent survey conducted by the newspaper, Beeld, titled “Waarde vir geld is deurslagewend” Pretoria Country Club was rated by readers as the ‘best value for money’ offering of all golf clubs in the greater Pretoria area. There can be no doubt that the creative and consistent work of the Marketing Committee has had a defi nite impact on the survey results.

The SBP included two further infrastructure upgrades for the past year, the children’s playground and a review of the golf shop offering. • The children’s playground improvement was completed in March just in time to face the total lockdown of the club premises. Since the Club’s reopening, it is clear from the recent activities in the area, that the offering has been positively embraced by our members. It has now become a common occurrence to see young families, and at times grandparents, enjoying a beverage or light snack whilst children are playing on the colourful equipment. Since the opening in July, this area is the most visible evidence that it is the club’s objective (as stated in the SBP) to create an enhanced family experience for members at Pretoria Country Club that is interactive, co-operative, effective, powerful and most importantly fun. • A closed tender process was adopted to fi nd a future partner that would fi ll the void that is to be left by the imminent retirement of Sybies and Athol. At this point, I would be remiss if I did not recognise the role played by these two icons in the process to identify the entity that is to modernise our golf

shop, enhance the golfi ng experience and our services to golf days. MoreCorp (owners of the Proshop) and Global Golf (managers of 22 golf shops at clubs across South Africa) both submitted comprehensive and impressive proposals. The Main Committee accepted the MoreCorp proposal given that the company was willing to contribute an immediate cash injection of R1 million towards a new Golf Cart Facility making it possible to secure the required capex for the golf cart fl eet expansion. To ensure that we could commence the new golf shop contract on 1 June 2020, the golf cart facility was designed, and construction started in March.

THE LOCKDOWN PERIOD:

March was dominated by the emergence of COVID-19. The impact on our daily lives and Club life, was devastating. The impact of the pandemic forced South Africa into a full national lockdown and the Club was closed for 68 days. It was only on 2 June that we were able to invite members (in groups of three) to return for a walk on the club premises. Golf was our fi rst sport section to open, 79 days after the inception of the lockdown. The total lock down was necessary, but it placed increased pressure on our already- ailing economy. Equally, the Club found itself in particularly challenging times as no revenue could be generated by club operations. Our forecasts showed that the impact on our fi nancial health would be severe the longer the total lockdown remained in place. Potential losses were successfully limited with cost saving strategies such as salary cuts, negotiation of fees with key suppliers/contractors and the implementation of a limited maintenance regime. Club subscriptions became our only cash fl ow generator, and essential for the required maintenance services and other operations. On behalf of all the governing bodies and management, I voice our heartfelt appreciation to the membership for the support and co-operation shown by heeding the call to pay club subscriptions in demanding and fi nancial uncertain times. If it was not for your continued and unqualifi ed support, we would not have been in the fi nancial position we found ourselves today. I am therefore grateful to confi rm that we have navigated the lockdown and are currently in a sound fi nancial condition. Not only have we survived this period, we have done so whilst management, with the assistance of some of our key suppliers, have kept the club and its premises in immaculate condition. The efforts of our General Manager, Vivian Van Wyk and his team to maintain the club, manage our service providers and to keep our operational

24 Chairman’s Report 2020 (continued) costs in check, are highly appreciated. These efforts are commendable considering that the team had to accept unavoidable personal fi nancial sacrifi ces. During the latter part of the lockdown, construction was again permitted, and the golf cart facility was completed. MoreCorp, however, did not respond to our demands for the payment of the cash incentive and eventually advised that they were unable to honour their commitment given the impact of the national lockdown on their cash reserves. This declaration removed the element of their proposal that clinched the deal. The Club subsequently approached Global Golf and the following terms was agreed to: • Global Golf will commence operation on 1 December 2020 and will own all golfi ng retail and merchandising rights for a period of 5 years. They will implement an online-merchandise platform which will see a wider selection of merchandise items available to members upon a 24-hour delivery basis. There will however be a minimum in store stock level. • On all revenue that exceeds R4 million per annum, Global Golf will pay the club 5% of turnover. • Global Golf will deploy a shop manager and two sales assistants at PCC. They will employ Lazarus Modupi Maila as a sales consultant. • Christiaan Jonck will remain in the employ of the Club as the Golf Manager. Athol and Sybrand will remain in their current positions to facilitate the handover through to the end of February 2021. Thereafter they will be retained on a part time basis to assist Christiaan with member competitions and member bookings. • Global Golf will pay the utilities of the golf shop. • The Etienne Olivier Golf Academy will take over driving range management and implement a professional golf academy focusing on improved member experience and the development of a junior clinic. Henk Alberts will be offered the position of head coach at the Academy. • Athol Dowie will continue as an independent coach on the range. • Global Golf will oversee the management of the hiring out of the golf carts and will have no right to any of the revenue generated by golf cart income. Global Golf has already started the handover process with Sybrand and Athol. They will provide Sybrand and Athol with consignment stock at cost which they can sell for

25 Chairman’s Report 2020 (continued) their own profi t, until the handover in December 2020. Global Golf will agree a price to take over the current stock held in the golf shop.

The Main Committee unanimously decided to retain the rights to the golf cart revenue as the new facility had been completed and paid for at Club cost, the potential revenue of golf cart rental is the most lucrative of all the golf shop services and EZGO agreed to fi nance the fl eet if allowed to share in the revenue.

In terms of our 5-year agreement with EZGO, the company will provide thirty-six new EZGO RXV golf carts equipped with lithium batteries. EZGO will fi nance the fl eet, service the units monthly and carry the insurance payments. For the fi rst three months of operation, the Club will retain all revenue generated by golf cart rentals. Thereafter, the Club and EZGO will share equally in the rental revenue. We have conservatively estimated that the monthly rental revenue will be R150 000. The fl eet should arrive the fi rst week of November.

This deal will improve not only the golf cart services, golf shop offerings and corporate golf day potential, it will also turn around the current monthly cost of R65 000 associated with the current golf shop to a very conservative monthly revenue earning of R25 000. Annually the changes and golf cart revenue stream will combine to equate to an added nett profi t of R1 080 000.

All forecasts indicate that due to the Club’s excellent performance since lockdown the Club will achieve the budgeted profi t for this year. This is due to the increase in rounds (3 351 rounds in July up from 2802 in July 2019 and 3 949 in August up from 3 145 in August 2019) and sound fi nancial strategies.

The Main Committee will seek ratifi cation for the use of the funds as is required by Section 23.3 of the Constitution at the next Annual General Meeting. This was not possible at the date of the original Annual General Meeting as lockdown forbade the holding of the AGM on the original date.

THE RECOVERY PHASE

The relaxing of lock down measures was indeed slow however club performance has been exceptional. At this point we have recovered some of the losses incurred during the lockdown period. We have accepted a R200 000 ex gratia payment from our insurer without accepting that the payment is received in full settlement of our business interruption claim. We are, however, instructed that the determination of the damage

26 Chairman’s Report 2020 (continued) amount suffered due to the lockdown, will be completed at the fi nalisation of this year’s fi nancial statements.

The Main Committee will drive the recovery phase by implementing strategies aimed at improving the club’s revenue streams. The seeds we planted to generate revenue growth will now grow and ultimately remove the Clubs’ dependency on subscription fees. The implementation of these strategies was delayed by the lockdown period and it is therefore essential that we expedite the implementation phase so that the new initiatives can kick in as we return towards normality. Whilst the recovery phase demands the involvement of management and the committees, you, the club member have a valuable role to play. Everything we do and plan to do is to ensure that upon return, you the member experience the value a premier club aims to provide.

We are ready to fi nd new and innovative ways to ensure that membership can be enjoyed in a safe environment, in what has become known as the ‘new normal’. The Club is particularly focussed on the provision of a safe environment. The Main Committee and Management have been monitoring the situation closely since the Covid-19 outbreak and we have made it our priority to protect the well-being of every person who enters our premises. We have applied precautionary measures in keeping with the guidance we continue to receive from Government, the World Health Organisation and other relevant authorities. We are, and have remained, committed to provide the safest environment possible and will continue to update any precautions as required.

Unfortunately, the prevalence of the virus in South Africa, exposes us to potential infection and a few members have been infected. Fortunately, all have recovered, and I must commend those involved (management, the affected members and those in contact with them) for their adherence to our safety protocols. Required notifi cations, quarantine measures and the disinfecting of facilities were all followed admirably. This has provided us with confi rmation that we have the correct measures in place to run the club safely for all involved. Please join our efforts and continue to adhere to all cleaning regimes and the rules announced by the authorities. If we are all sensible and do not endanger the well-being of others through our own behaviour, the Club can be a haven in these uncertain times.

A refreshing sight as we navigate these challenging times. I am happy to report that we are making good progress restoring our golf calendar to maximum capacity after the upgrade of the green complexes. Our Golf Committee restored the Woolavington Trophy Champion- ship to its former glory hosting 89 players (up from the 40 players in past years). Congratulations to André van Wyk who is now the proud holder of the 2019 Woolavington trophy. The Ladies Cullinan Cup, a better ball knockout event that dates back to 1939, was won for the fourth time by Lynn Bentley and Heather Maizey. PCC’s Sun City Classic, played at the Gary Player Country Club on the Tuesday and Wednesday immediately following the Nedbank Challenge, hosted by Sybrand Van Der Spuy, was again a very enjoyable experience. Tinus Rautenbach (Jnr), on his 26th attempt, having fi nished runner-up numerous times, played fantastic golf, recording 73 and 78 (gross scores) over the two days fi nally winning the coveted trophy. Our PCC caddies who participated in the caddy league continued to do well and won their league. Our congratulations to the team. The Ladies Section hosted our seventeenth Smyth Cup and with the generous support of our members raised R230 000 for charity. I was privileged to join our Men’s and Ladies Captains and members of the Ladies Golf Committee when PCC presented the funds raised to the different charities. Each of the recipient organisations gave us a brief review of their work, efforts and plight and made a lasting impression on those present. Their wonderful and unselfi sh work confi rmed the importance of our Smyth Cup and long may it continue.

I would be remiss if I did not congratulate our ladies for again hosting a highly successful Smyth Cup. Their willingness to have provided time and effort to ensure that we hosted a successful fundraising effort for children’s homes across Pretoria, is appreciated by all. For me personally, a highlight was this year’s Captain’s Dinner serving to prove that the Clubs esprit de corps remains alive and well. The dinner was fi lled with great food, fi ne wine and camaraderie. Compliments go to our Golf Captain and his team for their invitation to two exceptional speakers that, without doubt, embody the spirit of golf at PCC. Our two golf directors, Sybrand Van Der Spuy (43 years at PCC) and Athol Dowie (38 years at PCC) joined forces to share with the guests their long and fabled PCC golf experience. Sybrand and Athol’s memories and stories highlighted the richness of the Club’s traditions. Stories of the night included real life characters such as a “poster making gynaecologist”, a “thermosensitive judge” and an “interestingly creative motor car salesman”. Sadly, our two great ambassadors have reached the age of ‘fi nal independence’ and are planning to vacate their positions. Even though we accept that there comes a time to retire they again demonstrated their dedication to the Club by supporting the handover of our golf shop to the new entity. Both have further agreed to remain available to look after our member competitions and the planning of key member events. Despite this not being a fi nal farewell, I would like, on behalf of all committee structures to thank these two wonderful friends for a combined 81 years’ service to our club and its members. You have both deserved the “no more early mornings” claim! The efforts of our Golf Section, to increase member participation, has been bolstered by the success of the greens resurfacing project. The new greens have been in play for two years and under the expert guidance of our Green Superintendent, Wynand Ferreira and Southern Turf Management, the course has regained its rightful place as a

This status was confi rmed when the Sunshine Tour invited the Pretoria Country Club to host the Titleist Open at the beginning of September. The tournament was won by our own George Coetzee with Tristen Strydom second and James du Preez (Jnr) in sixteenth place. It was a successful week for both Tristen and James as they are starting out in their golfi ng careers. As members we are proud of the two young men, both members and residents of our prestigious club. George won his third professional title at PCC and celebrated the win with his family. I was honoured to meet George’s grandmother and to share some of her memories, built up over a membership that spanned 40 years. George himself is always willing to participate in our junior programmes much to our junior member’s delight. It was however the golf course that was the star of the tournament receiving numerous accolades from the tournament organisers and many of the experienced professional players. Comments included: “on my list of fi ve best greens played on in my career” (James Kingston), “what a course, should be a challenge for every aspect of your game with billiard table greens” (Keith Horne) and “I play a lot in Gauteng and the two best clubs to play at in terms of club facilities and golf course are always PCC and Glendower” (Ulrich Van Den Bergh). High praise indeed. The lockdown period came at a time when our growth efforts had started to gain momentum. Unfortunately, the lockdown prevented golfi ng activities for our members for a 79-day period. This led to the cancellation of the men’s league competitions but fortunately the ladies league managed to complete their competitions. Our Ladies section excelled again by winning both the Gauteng North Golf Union (GNGU) Ladies Thursday and Saturday leagues. The PCC men and ladies then teamed up to win the coveted GNGU Mixed League title. Our Club continues to produce future champions with seventeen-year old Christiaan Maas, successfully defending his Club Championship trophy this year as well as winning the fi rst GNGU Junior event, as well as, the fi rst two All Amateur GNGU Men’s events played since lockdown. Christiaan also received his Senior National Colours this year. Bronwyn Doeg successfully defended her Ladies Club Championship title this year and received the award for the most promising women’s player of the year at the 2020 GNGU Annual Awards Ceremony.

Another product of our junior program received national colours and is now studying through a golf scholarship at Purdue University (USA). Danielle Du Toit has excelled and won the fi rst two GNGU All Amateur Women’s events with Bronwyn coming third and fourth respectively. Fortunately, I can report that we were able to maintain our growth momentum through the efforts of our Marketing Committee and their social media platforms. Since golf’s return, on 13 June, the support of our golf members has been phenomenal. Notwithstanding being forced to employ a single tee start, we recorded 3 351 rounds in July (up from 2802 in July 2019) and 3 949 in August (up from 3 145 in August 2019). It is wonderful to participate in regular club competitions and again to witness how our Ladies Golf Committee continues to provide the best golfi ng experience for our women members. We are again exposed to lady golfers colourfully dressed up for a predetermined theme. The sound of our ladies discussing their rounds over a glass of wine has returned and it is irresistibly inviting to join their festivities. Despite our Club caddies not being employees, we offered fi nancial support to our 32 registered full time and 15 weekend caddies throughout the lockdown period. With the generous support of our golfi ng members and an audit system managed by Christiaan Jonck and Bruno Maubane, our caddy representative, we were able to distribute food vouchers to the total value of R197 000 in three tranches. We have begun our ‘recovery phase’ with great success and it is encouraging to receive such fantastic support from our members. Each member has an important role to play in this recovery. I can assure members without hesitation that everything we do and plan to do, is to ensure that you the member, experience the value a Premier Club is proud to provide.

32 Chairman’s Report 2020 (continued) BOWLS Judging by the many bursts of applause emanating from our bowling greens and the happy chatter coming from the bowls pavilion after the game this suggests that Bowls at Pretoria Country Club continues to be in an extremely healthy state. It remains a vibrant and busy section driven by an active committee that works hard not only to keep their member base happy but also to build the sport. Whenever I visit the section, I am reminded of two key values evident on the greens, namely dedication and devotion. The sections initiative to host Corporate Days as a team building event for Corporates and other entities has not only introduced new players to the sport but has also advertised the Club to Corporates and potential new members. The willingness of our Bowling members to host these events by providing coaching and bar services to participants is testament to the “esprit de corps” within the section. The Business League with twelve participant teams, not only continues the efforts to introduce new players and members but also creates the opportunity to generate funds for a worthy cause. Under the leadership of Brian Birkholtz the Bowling Section, through the Business League, was able to make a donation of R25 000 to the New Hope School to assist with the work they do for children with disabilities. The Bowls Section confi rmed again that PCC is proud to associate itself with our community and that PCC is extremely proud to support community driven initiatives.

As a premier club PCC faces the continued challenge to upgrade the bowling surfaces of our current two greens. The greens have been in play for more than 20 years and need resurfacing due to the invasion of foreign grass types. The Main Committee and the Bowls Section are actively pursuing fund-raising efforts and sponsorship initiatives to address the challenge. In the section, competition is healthy evidenced by the high number of entries for the Annual Club Championships. The “competitive’’ highlight of the season must be the winning of the Bowls Gauteng North Men’s Reserve League. The section also won both the Ladies and Men’s trophies in their annual game against Bryanston Country Club. Many congratulations to the participants. The Section also continues to introduce bowls to younger generations through the Barefoot Bowls event to be held in association with our Young Members Committee, scheduled for October. The Section further continues their efforts to contribute to the overall spirit of the greater PCC by continuing to host the Intersection Bowls Competition later this year. This event was extremely successful last year, and I would advise members to form a team and to book early.

TENNIS A more beautiful setting for a tennis section is hard to imagine. Our tennis courts are situated next to the Club’s beautiful lake and are surrounded by lawns, fl ower beds and trees. This year the facilities were upgraded with the installation of fl oodlights. All

This upgrade was made possible by a very generous donation made by the late Frans Te Groen, a much- loved member of the Tennis Section. Frans served until his passing as a Tennis Section Committee Member. We all join our tennis members in expressing our greatest gratitude to Frans’s family for his contribution to tennis at PCC and particularly his dedication to the future of tennis at the club.

PCC Tennis Coach, Dino Pavlou and his two assistants,iWVNikkdB Wayne Van Niekerk and Bryn Langley, continue to provide support during club competitions, arrange tennis matches and provide valuable advice to members on the game. The coaching team provide coaching to beginners and advanced players wanting to hone specifi c aspects of their game. A large percentage of their students are junior tennis players enabling the Club the opportunity to emphasize the development of junior tennis at the Club. With our continued commitment to establish PCC as the Country Club of choice for families, the Tennis Section offers Wednesday Social Tennis from 18:00 and, weekly Saturday Social afternoon tennis. On Saturday morning, Social Beach Tennis is growing to be a sport for young and old followed by the occasional braai at the new Boma for the whole family and invited friends.

SQUASH For the second year in a row our Squash Section was crowned ‘best club’ in Gauteng North while retaining the coveted Woody Kaiser trophy at the prestigious Northern Gauteng Squash Awards Dinner. In March, PCC was also chosen to host the Northern’s PSA, Closed Satellite tournament, an international PSA ranking points competition, with a R22,500 purse. In February, PCC hosted 180 juniors at the club who participated in the annual Gauteng North Junior Squash Round Robin. Two of our junior PCC members both ended

runners-up in their respective age groups. Well done Patrick Weir (u/14) and Milan Raffa (u/11).

During the 58thAnnual Club Championships, 75% of our squash members participated! Sam Siame and Robyn Fourie were crowned as the Men’s and Ladies Club Champions. In November 2019 PCC again hosted the annual PCC-Romo Squash Doubles, drawing squash players from all around Gauteng. Sixty percent of our squash members now play league which is a healthy balance between “serious” and “social” play. Sadly, the league was suspended during the lockdown, squash resumed in August. Notwithstanding the delay, the section is gearing up for our ‘recovery phase with tournaments planned for - • September - Internal PCC Round Robin • November - PCC’s 59th Annual Club Championships • November- 4th Annual PCC-Romo Doubles Tournament Being away from their favourite game, our squash members have grown in appreciation for the importance of their association with the Club what this contributes to their health and social well-being. Members now appreciate that the physical conditioning, afforded by a regular game of squash, contributes wonderfully to one’s immune system and recovery capacity. Equally, the quality of our squash member base, the safe and premium status of the facilities, create the opportunity for healthy social interaction. Interaction that allows regular duels with fellow members followed by a welcome cold beverage. We are proud of the success of our Squash Club, measured by the winning of numerous awards and playing in the league. However, this is not the only benefi t. The members are geared to increase the volume of social play and this to be used as a platform to engage with new-found friends and to bring family into the fold.

SNOOKER As part of our strategy to increase member benefi ts at PCC, we have introduced snooker as an additional sports section. Our “Snoekerkamer”, recently featured in a clip on Supersport, is located on the second fl oor of the grand Main Building. Standing proudly in the room, is an original full size, fully restored Joe Davis championship snooker table. With the support of generous sponsorships, the room has been redecorated and is now the perfect backdrop for entertaining and relaxing with fellow members and guests.

Recently, World Snooker Champion, Ronnie O’Sullivan bemoaned the slow growth of snooker claiming that he will have to “lose an arm and a leg to fall out of the top 50”’. This slow growth certainly does not apply to snooker at PCC with the new section now reporting more than 50 active members. The Snooker section has already held two Club Championships with 24 players entering the fi rst championship back in June 2019. Our recent championship required a qualifying event to identify 32 players for the championship draw. Piet Jordaan successfully defended his title beating Rob Hoffman in the fi nal on both occasions. There are now nine monthly medals on offer with each medal being decided by a 32 player knock out draw. Encouragingly the section keeps growing. In November 2019, the section hosted the Ladies World Pool Champ, Amy-Claire King who provided some instruction on proper playing technique. The section also hosted the particularly strong snooker team from the Wanderers Club and managed to half the doubles matches. The singles competition however indicated to us that our players have some work to do. Wanderers did however invite an 8-man team from PCC to play at their club.

More impressive however is the spirit that has developed around the snooker table. Members have shown unwavering support, generously contributing to improvements and equipment for the snooker room. A camaraderie has developed in the room, one that George Coetzee referred to after both his two recent wins. A camaraderie built on the PCC Way. A ‘gees’ (spirit) that says “come in, have something to drink and loosen that tie a bit”.

PRETORIA CLUB With its 16 Country Members and 253 Town Members, the Pretoria Club remains the social arm of the Pretoria Country Club. Their monthly lunches with a variety of speakers addressing contemporary subjects were unfortunately interrupted by the COVID-19 Lockdown restrictions. They however managed to attend their regular Day at the Races in July 2019 and presented another successful 2020 Burns Nicht under the auspices of Ian Fraser. Their regular Quiz Evenings remain popular events. Once lockdown levels have returned to normality, I am sure member activities in this section will once again be very popular and entertaining.

38 Chairman’s Report 2020 (continued) WINE FRATERNITY The Wine Fraternity currently has 80 active members. These members are all ardent followers of Paul Sauer who once said - “Don’t be intimidated by the pretentiousness of those who purport to be wine connoisseurs. Please, do not allow them to get in your way and don’t allow the snobs to terrorise you. Don’t become obsessed with the ‘right’ wine. Decide for yourself what a good wine tastes like. For you, the best wine is the wine that tastes the best, and to hell with the rest…”

It assisted my task greatly that most of the members of the Main Committee were part of the planning of our current Strategic Business Plan (SBP). There has been great continuity of Committee members with most of us serving through the terms of both Chairmen, Dave Avery and Nicky Bloem. Together, we planned the future of the club over the past six years and have started the implementation of the SBP resulting in, amongst other things, the recent infrastructure improvements and upgrading. Much has been done in the past year; however, much remains to be done.

Despite the diffi cult and uncertain times, the Main Committee members remained available to support and govern our club. Without their help, management and I would not have been able to navigate the Club through the turbulent waters to ports of calm.

I would like to pay a special tribute to the Main Committee members that will retire during October 2020.

George Wesson who is retiring as Bowls Captain, served our bowling community well at Main Committee level through his willingness to protect the interests of the Bowling community as well as through his efforts to promote the sport. The members of PCC will remember him as the driving force behind the Inter Section bowling challenges.

Roy Fouche who retires after 6 years’ service at Main Committee level. His expertise during the upgrading of our infrastructure was greatly appreciated by all who served with him. Never afraid to speak his mind during debates, he often ensured that the ‘other point of view’ was raised and heard.

Dirk Venter accepted the Chairmanship of the Finance Committee for the past year and will retire this position to return to the Golf Committee. During this challenging period where the committee was faced with low revenue, Dirk displayed his true metal as a fi nancial expert and club man. Dirk never shied away from the diffi cult issues and was a key member in dealing with the impact of the pandemic. I certainly look forward to retaining his services at committee level.

Lou Van Wyk (Jnr) who retires as Golf Captain this year. As one of youngest captains in the history of PCC, Lou quickly proved that he would certainly be no ‘push over’ at Main Committee level. His attention to all matters pertaining to the club and his consistent efforts to improve the golfi ng experience, ensured that the relationship between the Main Committee and the Golf Committee remained healthy. For me it was great to witness his growth as the leader of the largest section in PCC.

Piet Jordaan retires as Squash Captain and has made himself available for election as Main Committee Member. Under Piet’s leadership the squash section was transformed from a struggling business unit to a squash club that retained the Woody Kaiser trophy and remained, for the second year running, as the ‘best squash club’ in Gauteng North. Under his leadership the squash facilities were upgraded to premium standard and the section is now a popular destination for professional and provincial events. Piet was also the driving force behind the creation of our new Snooker Section and the restoration of the now famous, ‘Snoekerkamer’. Finally, his generous support for our Marketing Chairman and the management of our communication channels ensured that our marketing efforts aligned with the expectations of members of our premier country club. I am looking forward to welcome Piet back to the Main Committee next year.

Johan Van Den Bergh, a member of our Executive Committee has decided that he needs to make room for the younger generation after 12 years’ service at Main Committee level. His business management skills and club experience will be missed in the committee rooms of the club. As the chairman I will certainly miss his support and advice.

Gentlemen, to all of you, thank you for efforts and the many hours that you dedicated to the club. Each of you left an indelible mark on the future of this club. It was an honour for me to serve with each of you and I wish you all the best for the future.

To the remaining Main Committee members, our journey continues. The journey may have been interrupted but I sincerely believe that we are on the right track to deliver on the strategies embodied in the SBP. For the two remaining sectional leaders, Charles Van Staden (Pretoria Club) and Louis Marais (Tennis) I am indebted to you for your dedication to not only grow your sections but also to ensure that all enjoy the benefi ts of a remarkable country club. In the past year, you have both worked tirelessly to ensure your sections become key value drivers in the club. To Jan Van der Merwe, the custodian of all membership matters and Margaret Trunk (Finance and Membership) thank you for the support and dedication.

A special commendation for the chairmen of the two, key committees contributing to our success, Johan Mook (Marketing) and Henry Human (MORE). There is still much to be done. However, in this shortened year your committees have delivered much about which to be excited. I am convinced that if we stay the course, we will soon see the fruits of new revenue streams.

To my Vice-Chairman, Louw Massyn who has proved again this year that he is a true club man and a hard-working committee member. Thank you for your support, your availability and valued advice. You are a true wingman and have made my task much easier and pleasant.

To our membership, thank you for the support particularly during these diffi cult times. Allow me to leave you with this.

The Main Committee understands that members have supported the investment in the club’s infrastructure and that it is now time for the members to reap the benefi ts of these investments. Member satisfaction will remain as the committee and management’s primary objective in the coming year. We appreciate that we cannot continue to allow increased operational costs to burden members through increased subscriptions. To balance the books, the SBP with its enhanced and new revenue streams, hopes to ensure this burden is limited.

We will sweat the assets of this club and we encourage you the membership to make use of those assets. Provide us with your comments, compliments or suggestions via our administration offi ce. You have our fi rm commitment that management and the committee will willingly give consideration to your concerns and ideas. We will continue to seek out and be guided by your input. We know that satisfi ed and happy members will both remain and become true ambassadors, fuelling the growth of our club. In promoting the club, these members will become the best and most effective new member recruiters.

In closing, I would like to thank our General Manager, his team and all the members of the sectional committees for your invaluable support. A special word of appreciation for Herman De Bruyn, for conducting this year’s annual audit remotely (virtually). Thank you for the many additional hours and added effort.

The Main Committee will never be able to succeed without your dedication. It has certainly been a diffi cult and unique year that demanded considerable sacrifi ces. You were key to our survival and for this we are deeply thankful.

53 Independent Auditor’s Report To the members of Pretoria Country Club Opinion We have audited the annual fi nancial statements of the Pretoria Country Club set out on pages 57 to 70, which comprise the statements of fi nancial position as at 29 February 2020, and the statements of comprehensive income, statements of changes in equity and statement of cash fl ows for the year then ended, and the notes, comprising a summary of signifi cant accounting policies and other explanatory information. In our opinion, the annual fi nancial statements present fairly, in all material respects, the fi nancial position of the club as at 29 February 2020, and its fi nancial performance and cashfl ows for the year ended in accordance with the entity specifi c accounting framework disclosed in Note 1 to the annual fi nancial statements. Basis for Opinion We conducted our audit in accordance with International Standards on Auditing (ISAs). Our responsibilities under those standards are further described in the Auditor’s Responsibilities for the Audit of the Annual Financial Statements section of our report. We are independent of the club in accordance with sections 290 and 291 of the Independent Regulatory Board for Auditors’ Code of Professional Conduct for Registered Auditors (Revised January 2018) parts 1 and 3 and of the Independent Regulatory Board for Auditors’ Code of Professional Conduct for Registered Auditors (Revised November 2018) (together the IRBA Codes) and other independence requirements applicable to performing audits of annual fi nancial statements in South Africa. 1. Accounting policies Purpose of fi nancial statements and basis of preparation Purpose of fi nancial statements These fi nancial statements are prepared for the purpose of providing fi nancial information to the members of the Pretoria Country Club. Basis of preparation The fi nancial statements are prepared in accordance with the basis of accounting set out below which has been determined by the Main Committee. The Committee considers this basis suitable for the members. The fi nancial statements are prepared on the historical cost basis or otherwise detailed below. Land and buildings Land, buildings and improvements are stated at valuation of the committee on 28 February 1990 and are not depreciated. Land bought subsequent to this date is shown at cost. All capital expenditure, including additions and improvements to buildings is expensed in the Statement of Comprehensive Income. Inventory Inventories are stated at the lower of cost or net realisable value on the fi rst in fi rst out basis. Net realisable value is the estimated selling price in the ordinary course of business, less estimated selling expenses. Revenue recognition Revenue, including other income, is recognised on the accrual basis except for detailed below. Revenue includes all income derived from the use of the Club’s amenities. Taxation Income tax is the expected tax payable on the taxable income for the year, using tax rates enacted or substantively enacted at the reporting date, and any adjustments to tax payable in respect of previous years. Deferred tax is not recognised in respect of temporary differences between the carrying amounts of assets and liabilities for fi nancial reporting purposes and the amounts used for tax purposes. Financial instruments

Trade and other receivables

Receivables are carried at cost. Bad debts are written off in the year in which they are identifi ed when there is evidence that the Club will not be able to collect the amount due according to the original terms.

Trade and other payables and Subscriptions, fees and levies in advance

These fi nancial instruments are recognised at historical cost.

Cash and cash equivalents

Cash and cash equivalents comprise cash on hand, net of bank overdrafts, and short- term cash deposits as well as investments in unit trusts, all of which are available for use unless otherwise stated. Cash and cash equivalents are measured at fair value.

Provisions

Provisions are recognised when the Club has a present legal or constructive obligation as a result of past events and it is probable that an outfl ow of resources will be required to settle the obligation and a reliable estimate of the amount of the obligation can be made.

Lease expense and income

Payments made and received under all leases are recognised in profi t or loss as incurred and are not straight-lined over the terms of the leases. Leases are not capitalised but recognised through profi t and loss.

Sport section funds

Funds generated by sport sections by means of competition entry fees, bar facilities and other means are credited to the respective fund account. Related expenditure is debited against the respective fund account.

16. Income Tax The Club is a registered taxpayer for Income Tax, VAT and as an Employer. Currently the Club enjoys partial exemption from income tax and also contributes to SARS’ tax collections through VAT payments and payroll taxes. Effectively, the Club has to pay VAT on all its revenues, but cannot claim VAT input credits on one of its most substantial cost, being its employees. Due to changes in the tax legislation, the Club is not subject to taxation on its core related activities as this income is exempt per the tax legislation, however all other non-core income and capital gains are taxable. Expenditure in respect of exempt income is not deductible from taxable income. Expenses relating to taxable income are tax deductible. The Club also receives a basic exemption on its taxable income up to the greater of 5% of the total membership fees and subscriptions accruing to the Club during the year of assessment or R120 000. 17. Prior period error

In the previous fi nancial year, the club raised an income tax receivable on a calculated tax loss. This is incorrect as no income tax is due by SARS. The calculated tax loss will be setoff against any future surpluses. This error was material and the statements of fi nancial position and comprehensive income were restated. 18. Going concern

The annual fi nancial statements have been prepared on the going concern basis as the club will be able to settle its liabilities and commitments within the next 12 months with the income generated by its operations and the realisation of its assets.

19. Subsequent events

At the date of fi nalisation of the annual fi nancial statements there were no material events that occurred subsequent to the reporting date that required adjustments to the amounts recognised in the annual fi nancial statements. However, the COVID-19 outbreak is a material subsequent non-adjusting event that requires disclosure in the annual fi nancial statements.

On March 11, 2020, the World Health Organisation declared the COVID-19 outbreak to be a pandemic.The South African economy was affected by the news of the fi rst confi rmed cases of the virus in the country early in March 2020 and this led to the President declaring a national disaster on 15 March 2020. The country was placed in lockdown from midnight on 26 March 2020 until 30 April 2020. Effective 1 May 2020 government has implemented a risk adjusted strategy to ease the lockdown restrictions. The National Coronavirus Command Council have approved a fi ve-level plan on easing the lockdown, which will be adjusted based on various factors.
