Many involve substantial deregulation with a view toward allowing issuers and investors to contract privately for desired levels of disclosure and fraud protection. The behavioral literature explored in this Article cautions that in a deregulated securities world it is ex- ceedingly optimistic to expect issuers voluntarily to disclose optimal levels of information, securities intermediaries such as stock ex- changes and stockbrokers to appropriately consider the interests of investors, or investors to be able to bargain efficiently for fraud pro- tection. After eight years of investor-friendly Securities and Exchange Commission (SEC) leadership by Arthur Levitt,2 Congress is contemplating a top- to-bottom review of all federal securities laws, beginning with the 1933 and 1934 Securities Acts.3 In such a review, Congress might well turn for guidance to the writings of leading academics who propose dramatic changes in federal securities regulation. For example, Congress might well look at the writings of Profes- sor Paul Mahoney4 and Professor Adam Pritchard,5 who have both recommended a dramatically reduced role for current enforcement mechanisms and an attendant increase in the power and responsibility of stock exchanges. In the alternative, they might examine Professor Roberta Romano’s proposal to largely replace federal securities regulation with state regulation in a system of competitive federal- ism.6 They also might study Professor Stephen Choi’s plan to refocus regulatory attention from the professional actors in the securities sys- tem to the investors.7 These proposals, however, should be considered with some trepidation because they are not informed by a large body of behav- ioral research8 that directly bears upon their premises and conse- 2. For many years, Soros had been the largest hedge fund manager as determined by assets under management; but in 1998, Robertson’s assets overtook Soros’s. At their peaks, both had assets of about $22 billion. Both men had long and successful track records. Soros started his fund in 1969 and Robertson in 1980. Both evolved into global macro managers—those managers who take advantage of opportunities around the world and invest in a variety of instruments including stocks, bonds, commodities, currencies, and futures, and typically take large leveraged positions. By midyear 2000, the situation had changed drastically. Robertson had retired and Soros had significantly changed his organization and fund objectives. TIGER UNRAVELS I met Julian H. Robertson Jr. for the first time in August 1998. We had breakfast in his office on the top floor of 101 Park Avenue. He fit the image of the Southern gentleman that I had heard about so often.   • Suburban Corruption Takes Different Forms Ranging from Officials Hiring Family Members to Police Chiefs Protecting Criminals
    1 The City of Chicago attracts local, national, and even international attention for its long and salient culture of corruption. But the media and the general public tend to overlook the abundant political and public corruption that also exists in many of the region’s suburbs. Patronage, nepotism, cronyism, abuse of power and criminal activity flourish, sometimes for decades, in numerous city halls, police stations and special purpose government agencies in suburbs surrounding Chicago and in the collar counties. Public corruption has afflicted the north, south, and west suburbs. It impacts upper income and lower income villages, towns and cities. More than 130 individuals have been convicted of corruption related schemes in the suburbs since the 1970s, including more than 100 public officials in the last two decades. Far from being an escape from the corrupt practices of the big, bad city, many of the suburbs seem determined to imitate them. There are six categories of corruption-related convictions in suburban Chicago: 1) Public officials with ties to organized crime 2) Nepotism 3) Police officers aiding or extorting criminals 4) Kickbacks and bribes to officials and administrators 5) Large Development Projects 6) Stealing of funds by leaders of school districts and special purpose districts This report shows how suburban corruption takes different forms ranging from officials hiring family members to police chiefs protecting criminals. Cumulatively the many examples in this report contradict the common perception that while Chicago is corrupt, the suburbs have clean, open, and effective governments.
