NOTICE OF MEETING AGM details: Time: 11.30 am (AEST) Date: Friday 10 April 2015 Place: The Theatre Department of Education 50 Marcus Clarke Street Canberra ACT Notice is hereby given that the 13th Annual General Meeting of the Australian Research Alliance for Children and Youth Limited will be held at The Theatre, Department of Education, Canberra on Friday 10 April 2015 at 11.30am (AEST). Ordinary business of the meeting A. Accounts and reports To receive and consider the financial statements and the reports of the directors and of the auditors for the year ended 31 December 2014. B. Election of directors Two existing board members offer themselves for re-election at this Annual General Meeting. Elaine Henry and Lisa Paul will at the conclusion of this meeting, have been the longest in office since their last election and therefore retire in accordance with the Company’s Constitution. A profile of each candidate standing for election is provided in the Explanatory Notes below. The following resolutions for the election of a director are proposed: Resolution 1 (ordinary resolution) That Elaine Henry be re-elected as a director of the Company. Resolution 2 (ordinary resolution) That Lisa Paul be re-elected as a director of the Company. C. Voting and proxy instructions Your vote is important For the purpose of determining your entitlement to vote at the Annual General Meeting, you will be taken to be an organisational member if you are registered as such at 5.00pm (AEST) on Monday 30 March 2015. Organisational members can vote on the resolutions in person by their Councillor attending the Annual General Meeting. Organisational members can also vote by proxy if: the vote is cast by a person as proxy for an organisational member who is entitled to vote, in accordance with the directions on the Proxy Form; or the vote is cast by the person chairing the meeting as proxy for a member who is entitled to vote, in accordance with a directions on the Proxy Form to vote as the proxy decides. Proxy Voting When an organisational member is unable to attend the meeting, we encourage that organisational member to either; - complete and return a Proxy Form. Or - complete an electronic proxy form by going to; http://www.aracy.org.au/surveys/command/newtest?1=0010 For your vote to be counted, the Proxy Form accompanying this Notice of Meeting or electronic vote must be received no later than 5.00pm (AEST) on Monday 30 March 2015. An organisational member may appoint a Councillor or other proxy, attorney or representative to attend and vote on its behalf. By order of the board Jane Brooks Company Secretary 12 March 2015 Explanatory Notes – Election of Directors Two existing board members offer themselves for re-election at this Annual General Meeting. Ms Elaine Henry OAM (Board Chair) joined the board in 2001. Elaine Henry has been the Chair of ARACY since 2011, having served on the Board since its inception in 2001. Elaine also Chairs the National Breast Cancer Foundation and is a Director of Financial Literacy Australia; a Member of the Early Start Advisory Committee of the University of Wollongong; a Governor of the Committee for the Economic Development of Australia; and, a Member of the Advisory Boards of the Global Foundation, the Australian School of Business (UNSW), and the Centre for Social Impact (UNSW). Elaine was awarded first-class honours in Science at the Oxford Brookes University in the UK before returning to Australia. She was the Executive Director of the Cancer Council (NSW) from 1985-1997 and during that time was awarded a Medal in the Order of Australia (OAM) for her work in cancer control in 1994 which was also recognised with an honorary Doctorate of Letters from UNSW in 2006. In 1998, as CEO of The Smith Family, she led a comprehensive transformation of the organisation focusing it on the power of education to change the lives of disadvantaged children, families and communities across Australia. As part of a social movement, she was a founding member of Social Ventures Australia, inaugural chair of Nonprofit Australia Ltd and Director of the Australian Social Innovation Exchange. Throughout her career, Elaine has served on a wealth of committees and boards at the state, national and international levels, including as chair of the Australian Government’s Stronger Families and Communities Partnership, which had a major role in the development of the Communities for Children initiative, and as a member of the former Prime Minister’s Community Business Partnership. Elaine’s leadership skills have been recognised by many awards including the Lifetime Achievement Award from Research Australia in 2008. Ms Lisa Paul AO PSM (Director) joined the board in 2010. Lisa Paul AO PSM is Secretary of the Australian federal government Department of Education and Training. Prior to this, Lisa was Secretary of the Department of Education from 2013 to 2014, Secretary of the Department of Education, Employment and Workplace Relations from 2007 to 2013 and Secretary of the Department of Education, Science and Training from 2004 to 2007. In 2011, Lisa was made an Officer of the Order of Australia for distinguished service to public sector leadership in key policy and program implementation and received the Australia Chartered Accountants’ Federal Government Leader of the Year award. In 2003, she was awarded a Public Service Medal for leading the Australian Government's domestic response to the Bali bombings. Along with her role at ARACY, she is currently a non-Executive Director of the Advisory Council of the Australian National University Crawford School of Public Policy, the Advisory Board to the Strategic Centre for Leadership Learning and Development, the Australian Schools Plus Board, the Centre for Strategy and Governance Advisory Board, Social Ventures Australia and the National Security College Advisory Board. She is a National Fellow of the Institute of Public Administration Australia, a fellow of the Australian Council for Educational Leaders, a fellow of the Australian Institute of Management, a fellow of the Australian Institute of Company Directors, an ANU Public Policy Fellow and is a member of Chief Executive Women. .
