SFM is engaged as the full-time outsourced management solution for the entire $80 million complex.

As the County considers it’s options for this engagement, it must consider the 4 major phases of development. They are Planning, Funding, Development, and Operations. Each of these phases has very specific success metrics that impact future phases. In the Planning Phase the goal is to: 1. Evaluate market opportunity, competition, trends, and real-world comparable venues and their performance. 2. Right-size the program plan to the market opportunity and available funding sources. 3. Identify potential funding sources that may impact the projects development or operational phases. 4. Forecast development costs. 5. Forecast utilization by program and season, operating revenues, expenses, overnight hotel stays, direct tourism spending, and other factors. 6. Ensure the proposed development represents the fabric of our community and is in line with future community, development, and tourism goals.

Our firm has fulfilled the role of advisor, analyst, and manager for numerous projects within the Tampa Bay area. Methodology & Project Management SFA will assign a dedicated project management team which will oversee this project through its entirety.

This Team will be directly led by Evan Eleff who will serve as the primary point of contact for Pinellas County. This creates one clear point of contact for the County to ensure ease of access and seamless communication. As Principle in Charge (“PIC”), Dev Pathik, will work directly with Evan and help to coordinate the ODELL and other professional resource teams from the senior-most level. Internally, SFA and ODELL will assign dedicated “Account Executives” that will oversee the project from start-to-finish through the feasibility process. The Account Executive will be responsible for leading SFA’s strategic advisors, project managers, business analysts, and research specialists as well as providing regular updates to the County’s project team.

SFA develops a detailed project plan in concert with the County’s project plan to coordinate all internal and external resources and initiatives. When it comes to sports and recreation, it is very important to hit our project timelines to ensure we are ready to launch the operation in time for specified programming seasons. This process has been used to successfully managing SFA planning initiatives in over 2,000 communities across the country and around the world.

With over 300 full-time industry experts, SFA has considerable bench strength. If anything should happen resulting in the loss of a key team member, we will immediately assign a new account executive or the appropriate resource. This depth of support ensures that the project will continue to progress without compromising quality, schedule, or budget considerations. The current workloads of SFA & ODELL are such that we are well positioned to support the County with this in-depth analysis. We have already identified a team, as illustrated in our organizational chart below, that will be responsible for the launch of this project should our team be awarded the opportunity.

Within this section, we have outlined an overview of a sample approach to support the County through the feasibility and analysis of a new facility.

Step 1: Kick off Meeting, Existing Data Review, & Local Market Study To begin the project, SFA will organize a formal kick off call with the appropriate County Staff to kick off this important project. This meeting will include: • Introductions of all key team members from the County, SFA, and ODELL • Review of the project goals, scope of work, and major steps within the scope. • Data collection discussion. In this discussion, we will discuss available data, data that can be obtained through online research, and information about the market that you will share based on your knowledge, presence, and experience. • Project communication – next steps, ongoing meeting schedule, set dates onsite

Coming out of the kick off call, SFA will review and assess any available existing operating and program information the County has from existing operations. This may include program descriptions, schedules, organization/staffing information, operations resources, user group information, and other pertinent data.

In addition to reviewing County data, SFA will conduct local market research to further understand local opportunities and constraints. The custom market research will include a drive time analysis of demographic factors like population and density, income and spending, growth trends, etc. Additionally, we will conduct very market specific sports and recreation factors such as participation trends, an analysis of existing service providers, and a review of local organizations. SFA will focus on both the immediate community need and the larger regional/national opportunity. This level of research will allow us to facilitate an effective onsite strategy meeting in Step 2.

The work completed in Step 1 by SFA will support the completion of Tasks 1a-d in the RFP Scope of Work. Step 2: Market/Site Tour, Business Development Planning & Strategy Session (BDPS), Community Engagement In step 2, SFA will host a series of meetings, facility tours, and facilitate an in-depth strategy session with project stakeholders. Site tours will include all of the existing assets the County is using for sports programming, as well as, a review of sites that could be in consideration for future use. This strategic planning session (“BDPS”) will help to provide insights into the project history, scope, needs, purpose, goals, and constraints. This step also assists SFA in learning potential contributions from program users and partners.

The BDPS will encompass discussions related to existing programs, project goals, and plans for site development, as well as topics such as the business model, the program plan, design/space considerations, alliances with sports and other user groups, utilization, funding/financing, competition analysis and market share, the management and staffing plan, and much more.

In addition to County Assets, SFA will visit complimentary and competitive facilities in the greater Tampa Bay area. This will also include municipal, privately owned, and school facilities in the area that the CVB is currently using for event usage. As a result, we will provide an overview and assessment of competition and the resulting market opportunity. We will also use this as an opportunity to uncover local partnership opportunities and identify potential stakeholders for the process. SFA will also conduct research on the local hotel inventory, price points, and occupancy levels.

Last but not least, SFA will engage with the community to gather valuable input from local user groups. This

is accomplished through a series of stakeholder and town hall meetings to give the local public a structured forum for input, control messaging, and to set expectations for what the development may/may not include. As a local firm, SFA will not be restricted by travel schedules or costs for these meetings. This will allow SFA to provide more “face time” and ensure we get as much time with the venues, stakeholders, and community as needed.

The preferred site(s) will be evaluated to determine the capability(ies) of the site(s) to host the full desired program of sports tourism events. The success of the host site(s) will be affected considerably by the location within the county, roadway accessibility and traffic, site visibility, size and buildable area, physical site features, and existing environmental conditions. Our team will engage an environmental consultant to perform a Phase I Analysis that will address known, observable and historical uses of the site to assess the likelihood of any environmental concerns that could trigger a Phase II Analysis.

The work completed in Step 2 by SFA will support the completion of Tasks 2a-f in the RFP Scope of Work. Step 3: Project Development Plan Concept Our team includes ODELL Architects, a Florida-licensed firm with extensive experience conducting feasibility studies and architectural designs for major sports tourism venues. ODELL will collaborate with SFA in the program development and will then prepare a conceptual site and venue master plan illustrating how the program document can be translated in physical, tangible forms to help quantify the program and communicate the overall vision for the project. Design concepts will include a 2d and 3d site master plan and aerial renderings showing recommended venues and site improvements, along with conceptual block floor plans of any proposed indoor venues illustrating various event configurations. These design concepts not only help communicate the project vision to the public, but they also are useful in developing more realistic project cost projections.

Design It is assumed that formal design services would not be initiated until after this feasibility study is completed and the project scope, budget and funding have been approved. The SFA/ODELL team, however, is prepared to collaborate during the design phase either as the sports venue advisor (SFA) and architect (ODELL) or to assist the County in overseeing the design process as a program manager. In this initial feasibility phase, our team will recommend a methodology for design and oversight services and a realistic schedule for implementation. Our team will pay particular attention to program and schedule adherence, cost control, and quality management of the design documents.

Construction Like the design phase, our team will make recommendations for the procurement of construction services, including construction methodologies, bidding and procurement, and realistic schedules for construction and close out. We will review and list the advantages and disadvantages of the various construction delivery options including traditional design/bid/build, construction management, design/build, and integrated project delivery (IPD). If desired, our team can prepare the necessary Request for Proposals to help select the construction team based on the chosen delivery method. If our team is chosen for full advisory and architectural services, then we can provide the normal construction administration and oversight services. If not, then our team is also available in a program management role for construction oversight and owner representation services.

The work completed in Step 3 by ODELL will support the completion of Tasks 3a-c in the RFP Scope of Work.

Step 4: Detailed Financial Forecast (Pro Forma) In step 4, SFA will utilize the existing data, market research, and information gathered during the strategy sessions to produce a 5-year cash flow forecast. SFA’s pro formas are detailed, institutional-grade financial forecasts, used to support decision-making and financing. The pro forma will provide the County with a detailed understanding of the financial reality of this potential project.

The pro forma will provide insight into the financial potential of the project and will include projections related to construction and start-up costs, revenues/expenses by product/program, facility utilization, and more. The financial forecast will also address the wide range of key performance indicators and contributing factors that influence operations and the overall financial performance of the facility.

The pro forma will provide you with detailed financial details related to and based on: • The ideal business model to best meet the definitions of success for your facility • Realistic and/or recommended debt-to-equity mix and debt service • Right-sized program spaces and space requirements • Construction and start-up costs based on recent, comparable projects • Recommended parking • Revenue by product/program • Direct/variable costs (Cost of Goods Sold) • Facility and operating expenses • Management and staffing model • Utilization projections

Understanding that the County is looking for this analysis to include operational details for the venue, SFA will also provide an example operating schedule. This program schedule will be based on the desired programming by the County and the recommendations of SFA. Additionally, the pro forma will have a detailed breakdown of the required organizational structure and salaries required to operate the venue (operating financial model). This also includes a list of potential events and activities inclusive of local programming.

SFA’s pro formas are based on SFM’s real-world experience and understanding of running venues. The pro forma will include key assumptions around generating the necessary market reach to achieve the pro forma forecast. In order to ensure we have allocated an appropriate marketing budget, SFA will forecast and provide 4 specific areas of marketing spending: Brand development & pre-opening marketing, program specific marketing, facility wide/general marketing (includes activities like PR, SEO, industry associations, launch events, etc.), and an event bid fee budget. SFA will also budget the personnel resources necessary to manage and execute the overall marketing budget.

SFA can support the County by exploring a number of project financing options. SFA has experience with traditional debt/equity, public private partnerships, public finance mechanisms, and creative finance solutions. SFA will work with the County to explore the most advantageous finance structure for the project and forecast the cost of capital in the pro forma. Upon completion of this work, should the County choose to move forward with the project, SFA has the unique ability to help the County raise capital for the project as an extension of services.

The work completed in Step 4 by SFA will support the completion of Tasks 4a-f in the RFP Scope of Work.

Step 5: Economic Impact Analysis SFA will forecast the economic impact of the facility on an annual basis. Economic impact is defined as new off-site spending that will occur in the market as a result of tournaments and events held at the facility. This information is used to project economic activity from out-of-County visitors who would not be in the market but for the events that will be held at the facility.

The results, primarily quantified as room nights generated and direct spending, are used by elected officials and private developers alike to understand the impact that the venue will have on the lodging, dining, retail, entertainment, and transportation industries as well as on the tax base of the municipalities that benefit from new spending.

SFA’s economic impact projections are developed based on projections for tournaments and events throughout the pro forma and reflective of several key drivers of economic impact, including: • Number of Events • Number of Teams • Number of Participants • Number of Affiliated Spectators • Percent of Participants and Affiliated Spectators from out-of-County • Length of Stay • Average Daily Rate (ADR) • Average Daily Expenditures (ADE)

Through this economic impact analysis, SFA will quantify the demand for local hotel rooms and other accommodations in the market. This information, coupled with the review of hotels onsite, will help provide the County with detailed recommendations as to the local market hotels and amenities analysis. Importantly, having access to the local STAR report and working with the local tourism bureau will be important.

The work completed in Step 3 by SFA will support the completion of Task 5 in the RFP Scope of Work. Step 6: Feasibility Report Upon completion of the market research, community engagement, financial forecasting, and the economic impact; SFA will package findings into a formal Feasibility Study. The Feasibility Study will serve as summary of findings that address the opportunity to execute your business model in Pinellas County and the resulting financial feasibility of the project. The report will be prepared with the understanding that it may become part of a package used to secure funding for the new facility. As with all SFA documents, this report will be developed for the eye of a broad audience including sophisticated funding sources. The report will include:

This may include conversations around design, financing, development, and future operations. Important to note, SFA has the ability to support project finance for municipalities. This includes standing behind our work and research with real-world results, aligning stakeholders, sourcing capital, identifying creative structures, securing letters of intent for usage, and more.
