ASX Announcement (Scheme Booklet) 26 April 2018 ASX Market Announcements 20 Bridge Street SYDNEY NSW 2000 Dear Sir / Madam Scheme Booklet registered with Australian Securities and Investments Commission Watpac Limited (Watpac) (ASX: WTP) is pleased to announce that the Australian Securities and Investments Commission (ASIC) has today registered the Scheme Booklet in relation to the proposed scheme of arrangement, under which its major shareholder, BESIX Group SA (BESIX), will acquire 50% of the ordinary shares held by Watpac shareholders (other than BESIX and its associates), for a cash consideration of $0.92 per share (Scheme). A full copy of the Scheme Booklet, which includes the Independent Expert’s Report and Notice of Scheme Meeting, is attached to this announcement. The independent expert, Lonergan Edwards & Associates (Independent Expert), has concluded that the Scheme is fair and reasonable and, therefore, is in the best interests of Watpac shareholders, in the absence of a superior proposal. The Independent Expert has assessed the value of Watpac on a 100% controlling interests basis to be in the range of $0.82 and $1.01 per share. The Scheme consideration of $0.92 per share is within this range and, accordingly, the Independent Expert has concluded that the Scheme is in the best interests of Watpac shareholders. Copies of the Scheme Booklet and proxy form will be sent to Watpac shareholders on or around 1 May 2018 (and those shareholders who have previously nominated an electronic means of notification to Watpac’s share registry will receive an email where they can download the Scheme Booklet and lodge their proxy form online).     Project update – Barangaroo Station August/September 2021 Sydney Metro is Australia’s biggest public transport project. Services started in May 2019 in the city’s North West with a train every four minutes in the peak. Metro rail will be extended into the CBD and beyond to Bankstown in 2024. There will be new CBD metro railway stations at Martin Place, Pitt Street and Barangaroo and new metro platforms at Central. In 2024, Sydney will have 31 metro railway stations and a 66-kilometre standalone metro railway system. There will be ultimate capacity for a metro train every two minutes in each direction under the Sydney city centre. John Holland CPB Ghella (JHCPBG) is building the 15.5-kilometre-long twin railway tunnels between Chatswood and Sydenham and excavating six new metro stations, including one at Barangaroo. Barangaroo Station – upcoming work Through August and September, the Barangaroo site team will continue construction of permanent structures in the shark’s fin, the area to the west of the station box. These structures will form the northern entry to the Barangaroo Station. Other key activities in the station include concrete pours for the roof and construction of underground structures such as platforms, stairwells and plant and equipment rooms. The Hickson Road footpath will remain closed to pedestrians between High Steps and beneath Munn Street to allow for finishing works to continue in the Barangaroo station box.
