At the entrance to the Bay of Boka Kotorska from where beginning the territorial waters of Montenegro, and whose natural border make Cape Ostra with the left side and the island-fortress Mamula and Lustica peninsula on the right side is located Riviera of Herceg Novi, which stretches in the length of 15 km. Island - Fortress „Mamula“ was built on a small island, circular shape with a diameter of about 200 meters, surrounded by lots of agaves and with low vegetation. Mamula island is named after the Austrian general and governor of Dalmatia Lazar Mamula, which in the mid-nineteenth century is built a fortress Mamula. On the nautical charts this small island is called also Lastavica and together with the fortress Arza, which is about 1 nautical miles away from the fortress Mamula and fortress Prevlaka, on Cape Ostra (Croatia) was used as shield undesirable entrance to the Bay. Lustica peninsula is located at the right of the entrance of the Bay of Kotor. It covers an area of 47 km2 and it is 13 km long. Its highest point is the hill Obosnik 582 m. It has an extraordinarily lavish, 35 km long coastline and there are some of the most attractive tourist sites and beaches are such as: Rose, Zanjice, Miriste, Arza and Dobrec. Lustica is famous for its olives, olive oil, prosciutto, cheese and the brandy. Herceg Novi Riviera includes the settlements Njivice, Igalo, city of Herceg Novi, Meljine, Zelenika, Kumbor, Djenovici, Baosici, Bijela and Kamenari which are located on 15 kilometers from Herceg Novi on the beginning of the Verige strait. Verige Strait is only 350 meters wide and it is the narrowest strait in the Boka Bay. The name comes from unwilling event from 1624, when the pirates from North Africa sailed into the Bay and then ravaged the city of Perast. After that, the people of Perast and Kotor in order to ensure against sudden pirate incursions, in the narrowest part of the strait, have developed from one coast to the other shore an iron chain-Verige. Today Kamenari are best known for the ferry „Catara“. Ferry shortens way around the Bay. During the summer period it works non-stop, while in winter period till 22,00 h. In Kamenari there are more religious monuments and the most important is the church of St. Nedelja from 1704 which was built on the hill above Kamenari. With Kamenari ends famous Herceg Novi Riviera, which attracts with its attractiveness, regardless of whether in the Boka Kotorska Bay you come by boat or you drive by Adriatic highway. Bijela is more and more mentioned as a synonym or the homeland of exquisite Boka shipbuilders. Even today there is a ship building industry, because the tradition of reparation and ship building stems from the time of the founder of Herceg Novi, Bosnian king Tvrtko. The skillfulness of ship building to the masters from Bijela conveyed the famous and well known masters, or as they were called locally “Mestri”, from Korcula (Dalmatia). In Bijela you can visit one of the significant historical sites is the church Rize Svete Bogorodice (Our Blessed Lady’s Robe) the first church was built in this location dates back to 12th century, an early Romanic period, even though it is not excluded that it might be even older. Parts of walls of the old church with its foundation are present in a very exquisite manner in the current one, and they can be seen through a glass window, which is placed in the level of the present church’s floor. The old apse is colored inside with frescoes of the Byzantium style originating from the end of the 12th or beginning of the 13th century. In the vicinity there are also some other churches such as: Sveta Gospodja (Our Blessed Lady 18th century), Svetog Petra (St. Peter) as well as the church Sveti Vraci (St. Sorcerer's built in 1904). An integral part of the settlement are Bijelske Krusevice well known by origin of Pope Sixtus V, which is at the head of the Catholic Church elected 24 of April 1585 - after the death of Pope Gregory XIII. Mild Mediterranean climate, crystal clear sea water, long beaches, rich flora and fauna, are the reasons having an unforgettable vacation at the Herceg Novi Riviera. Town has a specific microclimate, which is a result of southern exposition, proximity to the sea, limestone substratum and mountainous hinterland which prevents the breakthrough of cold air masses. Rare examples of flowers and decorative trees are cultivated there. During the winter the temperature at Montenegro coast is mostly between 8-14 C and during summer between 25-34C. Herceg Novi was founded 625 years ago by the Bosnian king Tvrtko I in 1382 who started to build the famous castle Forte Mare to protect the bay of Kotor (Boka Kotorska Bay) from pirates and intruders. The „Town of painter and poets“, located on the Adriatic south coast, became a charming Mediterranean travel destination for people who like beach walking without cars and highly automotive traffic because the beach areas are completely restricted from cars and parking lots during travel and tourist season. The old town has beautiful Gothic, Renaissance and Baroque buildings, churches, monasteries, palaces and fountains, which all cut mostly from the same light-colored stone. The Old town of Herceg Novi is overlooking the sea from its steep hill, from its fortresses, stone stairs and belfries. It overlooks the sea with its gardens of orange, figs and lemon trees, palms, pines and cypresses. Until the second half of the 20th century it was a sparsely inhabited village. Only in the last five decades it turned into the little town almost connected to Herceg Novi. A modern Medical health center was built on the grounds of the Igalo’s mud bath. More than a thousand patients can be treated in this center at the same time. This centre is especially famous for curing the rheumatic diseases. Traditionally, the most regular ‘users’ of Igalo’s benefits are the Scandinavians, especially the Norwegians. Many famous people came here to be treated for rheumatic and the other diseases - many crowned persons, princes and kings. One of the regular guests was also the president of the former Yugoslavia Josip Broz Tito. In order to serve his needs a special villa “Galeb” was built just beside the Institute which lately is frequent used as a residential facility of the Government of the Republic of Montenegro intended for receiving important foreign guests. Igalo encompasses the coast line from the Sutorina River to the Galeb restaurant. This is both a bathing beach and a promenade. The beach is sandy, with some beautifully designed paved areas, making swimming and sun bathing a pleasurable experience. With security offered by sandy beaches with very low sea depth, Igalo has become very popular destination for families with children. There are many restaurants and cafes where the aroma of fish specialties, the sound of music and pleasant surroundings entice people to linger a while.     CASE STUDY “JUZNI JADRAN“ HERCEG NOVI I: INTRODUCTION: The case of "Juzni Jadran" refers to the privatization of a tourist and catering company in Herceg Novi, which owned valuable real estate of more than 100 thousand square meters on the most beautiful part of the Montenegrin coast, with a considerable number of buildings. The case study shows that Podgorica-based company "Carine", which appeared as a buyer of a first package of shares, for which it paid a negligible price instead of real privatization, and pushed the company "South Adriatic" into debt and liquidation, thereby taking its valuable real estate. It also shows one of the behavior patterns of privatization tycoons, who have emerged as buyers of once rich companies because of their property and abuse of official business in the economy, at the expense of the public interest and especially the interest of minority shareholders. II: “CARINE“ ENTERS “JUZNI JADRAN“: In January 2001, Podgorica-based company "Carine", owned by Cedomir Popovic, bought 30 percent of shares in the tourist and catering company "Juzni Jadran", which owned a large number of real estate in Herceg Novi, at a public auction. "Carine" bought shares of the then Pension Fund and Employment Office for the amount of DM 247,632. Popovic paid two deutsche marks per share at the special auction, although the nominal value of a share was DM 40. Namely, there were no interested parties at a public auction held in December 2011, so the Privatization Council held a special auction January next year, where the value of a share fell from 40 to two deutsche marks and where Popovic himself appeared as a buyer.
