A. DESCRIPTION OF PROPERTY

All that piece and parcel of Land together with the superstructure thereon situated at 200 Feet Road, Ponniammanmedu, Madhavaram, Chennai, comprised in S.Nos.1353l2A and 1353128 and as per Patta T.S.Nos.6 and7, Ward D, Block No.53 situated in Madhavaram Village, Madhavaram Taluk (earlier Taluk), Thiruvallur District, measuring a total extent of 2.10 Acres or thereabouts and bounded on the

North by T.S.No.5 East by T.S.No.11 West by T.S.No.89 South by T.S.Nos.8 and 9

and situated within the Registration District of Chennai North and Sub- Registration District of Madhavaram.

The Property described supra is hereinafter referred to as "the Subject Property".

B. PRESENT OWNERS OF THE SUBJECT PROPERTY

(1) Mr L.K. Sudhish, son of late L.C. Kanniah, and (2) Mrs. S. Poornajothi (alias Sudhish Poorrnajothi), wife of Mr L.K. Sudhish, are the owners of the Subject Property.

C. OWNERS' TITLE TO THE SUBJECT PROPERTY

The aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (alias Sudhish Poorrnajothi) are possessed of a good, valid and marketable title to the Subject Property.

D. DOCUMENTS PRODUCED AND SCRUTTNISED

Title Deeds pertaining to the Subject Property produced and scrutinised are listed in lhe "Annexure" attached herewith.

E. DERIVATION OF TITLE

We have perused the title deeds, as listed in the attached "Annexlrre", pertaining to the Subject Property and opine as follows:

Mr C. Vidyashankar, Mr C. Vinodhkumar and Mrs C. Padma sold Agricultural Vacant Land comprised in S.No.1353 (Part) situated in Madhavaram Village, Taluk, Chingleput District, measuring an extent of 1 Acre or thereabouts to Mr Pabbi Setty Lakshminarayana Gupta, Mr P. Jaiprakash Narayan Gupta and Mrs. P. Chandra Latha through a Deed of Sale dated 27.06.1985 registered as Document No.2218 of 1985 in the Office of the Sub-

Registrar, Sembiam (Doc.No.O1). After the said purchase, the aforesaid Mr Pabbi Setty Lakshminarayana Gupta, Mr P. Jaiprakash Narayan Gupta and Mrs. P. Chandra Latha became the owners of the aforesaid property.

Mrs. P. Subbarathnamma, Mr P.V. Prasad, and Mrs. P. Vanitha Rani purchased Agricultural Land measuring an extent of 1.OO Acres or thereabouts comprised in R.S.No.1353 situated in Madhavaram Village, Saidapet Taluk, Chingleput District, from the aforesaid Mr C. Vidyasankar, Mr C. Vinod Kumar and Mrs C. Padma through a Deed of Sale dated 29.07.1985 registered as Document No.2657 of 1985 in the Office of the Sub-Registrar, Sembiam (Doc.No.02). After the said purchase, the said Mrs. P. Subbarathnamma, Mr P.V. Prasad, and Mrs. P. Vanitha Rani became the owners of the aforesaid property.

The aforesaid Mr Pabbi Setty Lakshminarayana Gupta and two others sold Land measuring an extent of (i) a3.60 Cents or thereabouts comprised in S.No.1353 (Part) and as per Patta S.No.1353l2B (Part) situated in Madhavaram Village, Saidapet Taluk, Chengai-MGR District, to Mr V. Ravi and Mr T. Muthu through a Deed of Sale dated 18.09.1996 bearing Document No.6358 of 1996, (ii) 30.62 Cents or thereabouts comprised in S.No.1353 (Part) and as per Patta S.No.1353l2B (Part) situated in Madhavaram Village, Saidapet Taluk, Chengai-MGR District, to Mr K.C. Udayakumar Babu and four others through a Deed of Sale dated 18.09.1996 bearing Document No.6359 of 1996 and (iii) 29.78 Cents or thereabouts comprised in S.No.1353 (Part) and as per Patta S.No.1353l2B (Part) situated in Madhavaram Village, Saidapet Taluk, Chengai-MGR District, to Mrs. Kamini Kumari and four others through a Deed of Sale dated 18.09.1996 bearing Document No.6360 of 1996, all registered in the Office of the Sub-Registrar, Sembiam (Doc.Nos.03 to 05). Mr L.K. Sudhish and Mrs. S. Poornajothi purchased the aforesaid properties being Vacant Land measuring a total extent of 2.10 Acres or thereabouts situated in Madhavaram Village, through six separate Sale Deeds, as detailed below, and the said Sale Deeds were registered in the Office of the Sub- Registrar, Sembiam:

After the aforesaid purchases, Mr L.K. Sudhish and Mrs. S. Poornajothi became the owners of their respective properties. Later on Mr L.K. Sudhish put up superstructure over a portion of his aforesaid property.

The Zonal Deputy Tahsildar, Madhavaram, Ambattur Taluk, issued Patta bearing No.5041 in favour of the aforesaid Mr L.K: Sudhish and Mrs. S. Poornajothi for their aforesaid properties and as per the said Patta, Land measuring an extent of 0.42.0 Hectare comprised in S.No.1 353128 situated in Page 5 of 14 N. SRINIVASAN, 8.A., LL.B. No.50, Madhavaram ll village, Ambattur Taluk, Thiruvallur District (Doc.No.12). Chitta and Adangal both dated 12.12.2002 issued by the Village Administrative officer, 50, Madhavaram ll, Ambattur Taluk, reveal that the aforesaid property stands in the names of the aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (Doc.Nos.13 and 14).

The Zonal Deputy Tahsildar, Madhavaram, Ambattur Taluk, issued patta bearing No.5042 in favour of the aforesaid Mr L.K. sudhish and Mrs. s. Poornajothi for their aforesaid properties and as per the said patta, Land

measuring an extent of 0.43.0 Hectare comprised in S.No.13s3t2Asituated in No.50, Madhavaram ll Village, Ambattur Taluk, Thiruvallur District (Doc.No.15). chitta and Adangal both dated 19.01.2004 issued by the Village Administrative officer, No.50, Madhavaram ll Village, Ambattur Taluk, reveal that the aforesaid property stands in the names of the aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (Doc.Nos.1G and 17).

The aforesaid Mr L.K. Sudhish and his wife Mrs. S. Poornajothi executed two

separate Memorandums of Deposit of Title Deeds both dated 01.08.2007 in favour of , Chennai-600 002, with an intent to create an equitable mortgage in favour of the aforesaid Bank on the aforesaid properties owned by them for securing repayment to the Bank of all the amounts owing from M/s. Captain Cine Creations and the said Memorandums of Deposit of Title Deeds were registered as Document Nos.7032 and 7033 of 2007 in the office of the sub-Registrar, (Doc.Nos.18 and 19). The aforesaid lndian overseas Bank executed two Receipts both dated 03.12.2009 acknowledging receipt of Rs.4,00,00,000/- each from M/s. captain cine Creations and discharging the aforesaid Memorandums of Deposit of Tile Deeds both dated 01.08.2002 bearing Document Nos.7032 and 7033 of 2007 registered in the office of the Sub-Registrar, Sembium, and the said Receipts

passed by the Board of Directors of M/s. styleone properties Private Limited on 12.08.2014 granting sanction to develop the aforesaid property measuring a total extent of 2.10 Acres or thereabouts by constructing a Building Complex after demolishing the existing structure thereon belonging to the aforesaid Mr L.K. Sudhish and Mrs. S. poornajothi (alias Sudhish Poorrnajothi) and authorising Mr p. santosh sharma, Director of M/s. Styleone Properties Private Limited to do the acts and deeds for the said purpose is enclosed (Doc.No.22).

The special rahsildar (Town/Natham Land rax scheme), Madhavaram, issued two Manavari Thoraaya pattas bearing (i) SR No.543/2014 dated 01.10.2014 for 4148 sq.mtrs. comprised in T.s.No.6, otd s.No.13s3t2A (ii) sR No.53512014 dated 01.10.2014 for4366 sq.mtrs. comprised in T.s.No.7, old s.No.1353128, ward No.D, Block No.53 situated in Madhavaram village, Madhavaram Taluk, Thiruvallur District, in favour of the aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (Doc.Nos,23 and24).In the aforesaid pattas classification of the land is indicated as "R.N" (i.e., Rayathu Nanjai). The Letter bearing Na.Ka.No.21 dated 27.03.201s issued by the special Tahsildar, Town Land survey Scheme, Madhavaram, confirms that as per the Madhavaram Town Land rax scheme, the land comprised in old s.Nos.1353l2B and 135312A, T.s.Nos.6 and 7, ward D, Block 53, is classified as "Rayathu Nanjai". (Doc.No.25). The Village Administrative officer, Madhavaram-ll, Madhavaram Taluk, issued a Certificate that the aforesaid property is not Natham Land (Doc.No.26).

The aforesaid property being Land together with the superstructure thereon situated at 200 Feet Road, Ponniammanmedu, Madhavaram, chennai, comprised in s.Nos.1353l2Aand 13s3l2} and as per patta T.s.Nos.6 andr, ward D, Block No.53 situated in Madhavaram Village, Madhavaram Taluk,

Thiruvallur District, measuring a total extent of 2.10 Acres or thereabouts. is more fully described in the "Description of property', supra and the same is hereinafter referred to as "the Subject property". Page 7 of 14 N. SRINIVASAN, 8.A., LL.B. Advocate

Poorrnajothi) executed a General Power of Attorney dated 1g.12.2014 in

favour of M/s. Styleone Properties Private Limited, Chennai-600 O2O. empowering -TRcaforesaidMrL.K.SudhishandMrs.S.Poornajothi(a|iasSudhishit inter alia to do the acts and deeds pertaining to the development of the Subject Property and sale of 61872.08 Sq.ft. of Undivided Share in the Land in the Subject Property and the said General power of Attorney was registered as Document No.7360 of 2014 in the Office of the Sub-Registrar, Madhavaram (Doc.No.27).

Mr s. Janarthanan, Advocate, chennai-600 092, caused public Notice dated 07 '02'2015 in The Times of lndia and Makkal Kural intimating the public regarding the loss of the originals of (i) Deed of sale dated 27.06.19g5 by c. Vidyashankar and others in favour of Pabbi Setty Lakshminarayana Gupta and others bearing Document No.221gl1995, (ii) Memorandum of Deposit of Title Deeds dated 01.08.2007 by L.K. Sudhish in favour of Indian Overseas Bank bearing Document No.7032tzoor, (iii) Receipt dated 03.12.2009 by Indian overseas Bank bearing Document No.g06stzoog, (iv) Memorandum of Deposit of Title Deeds dated 01.08.2007 by S. Poornajothi in favour of Indian overseas Bank bearing Document No.7033/2007 and (v) Receipt dated 03.12.2009 by lndian overseas Bank bearing Document No.g066/200g, and original of the Duplicate copy of the Deed of sale dated 29.07.19g5 by c. Vidyasankar and others in favour of Mrs. p. subbarathnamma and others bearing Document No.2657l1985 and sketch attached to the sale Deed dated 18.09.1996 bearing Document No.6359/1996, all registered in the Office of the Sub-Registrar, Sembiam. The said Public Notice is enclosed (Doc.Nos.28 and 29). The aforesaid Mr s. Janarthanan, Advocate, through his fetter dated 27.03.2015 confirmed that he has not received any response for the aforesaid Public Notice from any one (Doc.No.3O). The Inspector of Police, R-5, p.s., chennai-600 092, issued a certificate dated 28.03.2015 stating that Mr L.K. sudhish lodged a missing complaint stating that he lost the originals of Document No.221g of 1gg5, Document I ./,,(;-8' -' Page 8 of 14 N. No.2657 of 1985, Document No.7032 of 2007, Document No.7033 of 2007, Document No.8065 of 2009 and 8066 of 2009 all registered in the Office of the Sub-Registrar, Sembium, and that the same could not be traced so far (Doc.No.31).

The aforesaid Indian Overseas Bank executed two Receipts both dated 20.02.2015 in favour of Mrs. s. poornajothi and Mr L.K. sudhish acknowledging receipt of amounts due to the Bank and discharging the aforesaid Memorandum of Deposit of rifle Deeds bearing Document Nos.7033 and 7032 of 20QZ and the said Receipts were registered as Document Nos.1035 and 1036 of 2015 in the Office of the Sub-Registrar, Madhavaram (Doc.Nos.32 and 33). These Receipts were executed and

registered, since the earlier. Receipts dated 03.12.2009 were executed in favour of M/s. Captain Cine Creations by mistake.

Mr N. srinivasan, Advocate, chennai-93, caused a public Notice in Deccan Chronicle and Malai Malar both dated 05.04.2015 intimating the public that his Client proposes to develop the Land together with the superstructure thereon situated at 2oo Feet Road, ponniammanmedu, Madhavaram, chennai, comprised in S.Nos.1353l2Aand 1353128 situated in Madhavaram Village (as per Patta Madhavaram ll Village), Ambattur Taluk, Thiruvallur District, measuring a total extent of 2.10 Acres or thereabouts (as per Land rax

favour of Indian Overseas Bank bearing Doc.No.703212007, (iii) Receipt dated 03.12.2009 by Indian Overseas Bank bearing Doc.No.8065/2009, (iv) Memorandum of Deposit of Title Deeds dated 01.08.2007 by S. Poornajothi in favour of Indian Overseas Bank bearing Doc.No.703312007 and (v) Receipt dated 03.12.2009 by Indian Overseas Bank bearing Doc.No.8066/2009, and Original of the Duplicate Copy of the Deed of Sale dated 29.07.1985 by C. Vidyasankar and others in favour of Mrs. P. Subbarathnamma and others bearing Doc.No.265711985 and Sketch attached to the Sale Deed dated 18.09.1996 bearing Doc.No.6359/1996, all registered in the SRO, Sembiam, pertaining to the aforesaid property were misplaced/lost by them and inspite of their best efforts the same could not be traced out (Doc.Nos.34 and 35). The aforesaid Mr N. Srinivasan, Advocate, issued a Certificate dated 14.05.2015 regarding the aforesaid Public Notice stating that he has not received any response for the aforesaid Public Notice (Doc.No.36).

The aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (alias Sudhish Poorrnajothi) are the owners of the Subject Property. The aforesaid M/s. Styleone Properties Private Limited is the Power Agent of Mr L.K. Sudhish and Mrs. S. Poornajothi (alias Sudhish Poorrnajothi).

F. ENCUMBRANCE

Three Encumbrance Certificates covering the period 01.01.1980 to 14.12.2014, pertaining to the Subject Property, do not reveal any subsisting encumbrance over the Subject Property (Doc.Nos.37 to 39). The registered transactions covered by the entries in the aforesaid Encumbrance Certificates are discussed supra.

VERIFICATION OF ORGINIAL TITLE DEEDS

H. OPINION

To conclude, based on the title deeds produced and scrutinised, as listed-in the attached Annexure, and subject to production of Encumbrance Certificate from 15.12.2014 to up-to-date without any encumbrance, we are of the opinion that the aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (alias Sudhish Poorrnajothi) are possessed of a good, vatid and marketable title to the Subject Property.

Any Sale Deed in respect of 61872.08 Sq.ft. of Undivided Share in the Land in

the Subject Property executed by M/s. Styleone Properties Private Limited in their capacity as the Power Agent of the aforesaid Mr L.K. Sudhish and Mrs. S. Poornajothi (alias Sudhish Poorrnajothi) will convey a good, valid and marketable title to the Purchaser/s.
