General information: TAYO ROLLS LIMITED (“the Company”), formerly Tata- Yodogawa Limited was incorporated in 1968. The address of its registered office is at Jamshedpur. Its parent and ultimate holding company is Tata Steel Limited. The Company was promoted by Tata Steel Limited in collaboration with Yodogawa Steel Works, Japan and Nissho Iwai Corporation of Japan for production of cast iron and cast steel rolls for metallurgical industries. As a part of its backward integration, the Company has set up a mini blast furnace of 40,000 tpa for the manufacture of Pig Iron. Other products include Forged Rolls, Engineering Forging and Ingots. The Company has a license and know-how agreement with Sheffield Forgemasters International, UK for the transfer of technology to manufacture forging quality ingots, forged bars, engineering forgings and forged rolls. The principal activities of the Company are described in Note 30. The equity shares of the Company are listed on Bombay Stock Exchange Limited (BSE). The functional and presentation currency of the Company is Indian Rupee (“INR”) which is the currency of the primary economic environment in which the Company operates. All financial information presented in Indian rupees has been rounded to the nearest lakhs except share and per share data. 2. Significant accounting policies : 2.1 Statement of compliance The financial statements have been prepared in accordance with the Indian Accounting Standards (‘Ind AS’) notified under the Companies (Indian Accounting Standards) Rules, 2015 read with section 133 of the Companies Act, 2013 and other accounting principles generally accepted in India.

Witzel is affiliated to Exeter Business School and the Winthrop Group, UK. He is also a prolific writer on areas related to business studies and management. His interest in the Tata Group is related to the growing awareness of the Tata brand in the UK markets following the successful acquisition of British brands like Tetley Tea, Corus, Jaguar and Land Rover in recent years by the Tatas. Given the growing importance of the Tatas in the UK markets, there is an increasing need for both business analysts and policy makers to develop a better understanding of what the Tata brand promise represents. Witzel therefore sets out to incorporate a brief history of the Tata Group as a prelude to analysing the main attributes of the brand. This book will be of use to both students of brand building and business history. The link between these disciplinary categories is also something that the reader might want to examine in passing since, as Ratan Tata boldly points out in this book, the Tatas have always had a good ‘reputation’ though not necessarily a ‘brand’.

(TSL or the company) from BWR AA (Stable) to BWR AA+ (Stable) The upgrade follows substantial improvement in the debt protection metrics of TSL on consolidated basis with reduction of consolidated Gross Debt by Rs. 32901 Cr during past three quarters and reduction of debt under European operations during Q1FY22 on the back of strong cash flow generation sequentially since 2QFY21 onwards with improved operating performance globally. As per management guidance, the Company plans to reduce Gross Consolidated Debt by minimum USD 1 Billion annually targeting sustained long term Net Debt to EBITDA of 2.0x. TSL’s European operations have been EBITDA positive for the second consecutive quarter in 1QFY22 as steel consuming sectors, especially automotive, continued to recover. Steel prices in India and Europe remained elevated driven by sharp demand recovery and supply tightness. Further, TSL’s European debt which was at Rs. 18816 Cr as on March 31, 2021, has reduced to approximately Rs.13000 Cr as on June 30, 2021 (including FB facilities) with scheduled repayment of the term debt in FY26.
